September 17, 2026 In the year two thousand and twenty -six, on the seventeenth day of September, in Milan, Via Metastasio No. 5.

I, the undersigned, FILIPPO ZABBAN, notary in Milan, enrolled at the Milan

Notary Board,

proceed to draw up and sign the minutes of the ordinary Shareholders' Meeting of the Company:

"Avio S.p.A."

with registered office in Rome, Via Leonida Bissolati No. 76, subscribed and paid-in share capital of Euro 158,506,882.70, enrolled at the Rome Companies Registration Office, with enrolment and tax number 9105940960, Economic and Administrative Index No. RM -1509588, whose shares are admitted to trading on the STAR segment of the Euronext Milan market organised and managed by Borsa Italiana S.p.A.

(hereinafter also " Avio " or the " Company " or the " Issuer "), held on September 8, 2026 at the Meeting location in Milan, Via Metastasio No. 5, at the office of ZNR Notai, with my continuous participation in the Shareholders' Meeting proceedings at the Meeting location.

Given the above, I record the following (pursuant to Article 2375 of the Civil Code and in accordance with other applicable provisions) in relation to the conduct of the aforementioned Shareholders' Meeting.

On the eighth day of September in the year two thousand and twenty -six, at 4:04PM in Milan, Via Metastasio No. 5, at the “ZNR notai” firm, the shareholders’ meeting was held of the company

"Avio S.p.A."

as called for that location, in single call, at 4PM.

The Chairperson of the Board of Directors ROBERTO ITALIA, participating by telecommunication means, extends a cordial welcome to all attendees, also on behalf of the members of the Board of Directors, the Board of Statutory Auditors and company personnel, and assumes the chair of the

2 Shareholders’ Meeting, in accordance with Article 10.5 of the By -Laws and Article 4 of the Shareholders’ Meeting Regulation.

The Chairperson reminds those present that - in accordance with Articles 10.4 and 10.6, respectively, of the By -Laws and in compliance with applicable legal and regulatory provisions - this meeting is being held with attendance at the Shareholders' Meeting, for those persons admitted, also by telecommunication means, and that the share capital participates exclusively through the Designated Agent. The Chairperson acknowledges that he is connected by telecommunication means with the office of ZNR Notai in Milan, Via Metastasio No. 5, the location of the Shareholders' Meeting, and that all participants - whose identity and entitlement to attend the meeting has been ascertained - are speaking via audio -video link.

In accordance with Article 10.5 of the By -Laws, the Chairperson calls upon Notary Public Filippo Zabban, who is physically present at the place where the location of the meeting, to act as secretary of the Shareholders' Meeting, specifying that he will take minutes in the form of a public notarial act.

The Chairperson declares that participating by telecommunication means

are:

- On behalf of the Board of Directors, in addition to its Chairperson, Chief Executive Officer Giulio Ranzo and Directors Steven Duncan Wood, Stefania Tomassi and Maria Elena Pisonero were present, while the absence of the other members was excused;

- On behalf of the Board of Statutory Auditors, Chairperson Vito Di Battista and Statutory Auditors Silvia Muzi attend. Meanwhile, the absence of the third Statutory Auditor, Filippo Maria Invitti, is currently excused.

The Chairperson notes that, in accordance with the Shareholders’ Meeting rules, a system for recording the proceedings of the Shareholders’ Meeting is in operation (as authorised by the Chairperson), in order to facilitate the notary’s preparation of the minutes. The recording will be retained for the time strictly necessary for this purpose.

The Chairperson then declares that this Ordinary Shareholders’ Meeting was duly called at the office of ZNR Notai, in Milan, Via Metastasio n. 5, for September 8, 2026, at the time of 4PM, in single call, in accordance with law and the By -Laws, through a call notice published on July 31, 2026 on the company website and on the “EMARKET STORAGE” storage mechanism, as communicated through a press release, in addition to an extract published in the “Italia Oggi” newspaper on August 1, 2026 and with the

following

“1. Amendment of Section I of the remuneration policy approved by the Shareholders’ Meeting on April 28, 2026: resolutions thereon.

2. Approval of the incentive plans based on financial instruments pursuant to Article 114 -bis of Legislative Decree No. 58/98: resolutions thereon.

3. Approval of the proposal to authorise the purchase and disposal of treasury shares as per Articles 2357 and subsequent of the Civil Code, in addition to Article 132 of Legislative Decree No. 58 of February 24, 1998 and Article 144 -bis of the Consob Regulation adopted with motion No.

11971/1999 and subsequent amendments: resolutions thereon.

The Chairperson states that shareholders did not present any requests to supplement the Agenda of the Shareholders’ Meeting nor motion proposals regarding matters already on the Agenda, in accordance with Article 126 -bis of Legislative Decree No. 58 of February 24, 1998 (“ CFA”), nor were any individual motions proposed.

He also recalls that Article 122 of the CFA establishes, among other matters, that:

"1. Agreements, in any form, concerning the exercise of the right to vote at companies with listed shares and at companies which they control, within five days from signing are: a) communicated to Consob; b) published in extract form in the daily press; c) filed at the companies register of the location where the company has its registered office; d) communicated to the companies with listed shares.

- 4. Voting rights concerning listed shares for which the obligations established under paragraph 1 have not been fulfilled may not be exercised.”.

The Chairperson states that, pursuant to Article 122 of the Consolidated Finance Act (CFA) and Article 130 of Consob Regulation No. 11971/1999 (“Issuers’ Regulation” ), as of today, the Company is aware of a shareholder agreement - considered material pursuant to Article 122, paragraphs 1 and 5, letter b), of the CFA - signed on July 6, 2026, by VANTAGE HYP (LUXEMBOURG) S.r.l. ( the “Investor” ), a company indirectly held by certain funds managed by and/or for which ADVENT INTERNATIONAL, L.P. and its associates provide advisory services, and Avio S.p.A. - pursuant to which, subject to the fulfilment of certain conditions precedent, the Investor will acquire approximately 6.54% of the ordinary shares issued by Avio S.p.A. ,

4 on a fully diluted basis, taking into account the capital increase. The agreement, filed with the relevant commercial registry, also includes commitments regarding the interim management of the Company. The agreement has been publicised in compliance with current regulations and the excerpt of the agreement and essential information related to it can be found on the Company's website www.avio.com.

He notes that, as stated in the call notice, pursuant to Articles 10.4 and 10.6 of the By -Laws and in compliance with applicable laws and regulations, participation in the Shareholders' Meeting by those entitled to vote is permitted exclusively through the Designated Agent, and that the same Designated Agent could also be granted ordinary proxies or sub -proxies pursuant to Article 135 -novies of the CFA as an exception to Article 135 -

undecies, paragraph 4 of the CFA.

He indicates that, in accordance with the provisions of Article 10.4 of the By -

Laws, the Company has designated Monte Titoli S.p.A. (" Monte Titoli ”) as the party to which shareholders may grant proxy with voting instructions on all or some of the proposals on the agenda, pursuant to Articles 135 -

undecies and 135 -novies of the CFA (the “ Designated Agent ”); Monte Titoli

- in attendance by telecommunication means in the person of Francesca Neodo - in its capacity as Designated Agent, declares that it has no interest of its own in the proposals submitted for voting. Considering the contractual relations between Monte Titoli and the Company, and in particular considering the technical assistance to the Shareholders’ Meeting and accessory services, to avoid any possible disputes concerning conflicts of interest as per Article 135 -decies, paragraph 2, letter f) of the CFA, Monte Titoli expressly declares that, where circumstances arise that are unknown at the time of issuing the proxy and cannot be communicated to the principal, or in the case of amendment or supplementation of the proposals presented to the Shareholders’ Meeting, it shall not express a vote differing from that indicated in the instructions.

The Designated Agent takes the floor and announces that 304 entitled participants in the meeting are represented through the Designated Agent, holding a total of 23,102,155 ordinary shares, duly deposited and entitled, representing 49.375% of the total 46,789,543 ordinary shares that make up the share capital.

The Chairperson:

5 - confirms the information provided by the Designated Agent and declares that the eligibility of those entitled to vote has been verified and that the proxies have been added to the company records, reserving the right to report, where necessary, changes to the attendance figures just report ed;

- notes that, in accordance with paragraph 3 of the aforementioned Article 135-undecies of the CFA, the shares for which proxy has been delegated, even partially, to the Designated Agent, are included for establishing the valid constitution of the Shareholders’ Meeting, while for the shares in relation to which voting instructions have not been provided regarding the proposals on the Agenda, such shall not be included with the calculation of the majorities and of the share capital percentage required to approve the relative motions.

The Chairperson continues, indicating that the communications from intermediaries to allow entitled parties to attend this Meeting through the Designated Agent have been made in accordance with the applicable provisions of law and in compliance with the provisions of the Company’s By-Laws and in the Call Notice.

*** The Chairperson declares the Ordinary Shareholders’ Meeting properly called and validly constituted in single call in accordance with law and the By-Laws to resolve upon the matters on the Agenda.

*** Following a brief remark by the notary - who noted that, during the Chairperson’s contribution - Director Stefano Ratti and standing auditor Filippo Maria Invitti had also connected - the Chairperson resumed stating:

- that in relation to today’s Shareholders’ Meeting, solicitations for proxy voting were not granted or sought in accordance with Article 136 and subsequent of the CFA;

- that, pursuant to EU General Data Protection Regulation 2016/679 (“GDPR”) and applicable national privacy legislation (Legislative Decree No.

101 of August 10, 2018), the personal data collected are processed and stored by the Company, on electronic and paper media for the purposes of the regular performance of the Meeting and for the proper recording of minutes, as well as for any related corporate and legal obligations.

The Chairperson thereafter declares that:

- the subscribed and paid -in share capital at today’s date is Euro 158,506,882.70, comprising 46,789,543 ordinary shares without nominal

value;

6 - the Company holds 626,929 treasury shares, comprising 1.34% of the share capital, for which the voting right is suspended;

- the Company’s shares are traded on the Euronext Star Milan, organised and managed by Borsa Italiana S.p.A.;

- the Company is, as per current regulations, an SME listed share s issuer ;

- those holding, either directly or indirectly, more than 5% of Avio’s subscribed share capital - as represented by shares with voting rights and according to the shareholders' register, as supplemented by the communications received pursuant to Article 120, paragraph 2 of the CFA -

and/or more than 3% of the share capital - pursuant to Article 1, paragraph 5, of Decree -Law No. 21 of March 15, 2012, converted with amendments by Law No. 56 of 2012 - are as follows:

In addition to this announcement, the Chairperson notes that the filings have been made for the purposes of the Shareholders’ Meeting by the following

noting that the aggregate ownership held by these parties amounts to approximately 4.059% of the share capital.

The Chairperson states that, in light of the partial similarity in names, the classification of the various positions as “funds”, the fact that they are located in the same place (Boston or Minneapolis), and the additional information available to the public on the website https://www.columbiathreadneedle.com/en/, it appears

7 more likely than not that these entities are attributable to a single operator or centre of interests.

After a brief statement by the notary, the Chairperson notes:

- that voting rights may not be exercised with regards to shares for which the communication obligations as per paragraphs 2 and 4 -bis of Article 120 of the CFA have not been fulfilled;

- that, as per Article 1, paragraph 5, of the aforementioned Decree -Law No.

21 of March 15, 2012, converted with amendments by Law No. 56 of 2012, in the current text, anybody acquiring a shareholding in companies who are of strategic importance in the national defence and security system - such as the Company - should notify the acquisition within fifteen days to the President of the Council of Ministers, sending simultaneously the necessary information, including the general description of the acquisition project, of the acquiring entity and its scope of operations, for the relative assessments as per paragraph 3 of the same Article;

- that, in the case of the acquisition of shares of a company trading on regulated markets, a notification should be made where the acquiring entity comes to hold, following the acquisition, an investment exceeding the threshold established of 3% and, are subsequently notified of the acquisitions which result in the surpassing of the thresholds of 5%, 10%, 15%, 20%, 25% and 50%;

- that the voting rights attached to the shares representing the relevant shareholding are suspended until such notification and, thereafter, until the expiration of the period for imposing conditions or exercising the power of objection; in line with the ostensibly preferable interpretation, the Chairperson states his belief that suspension concerns only the excess over the aforementioned thresholds.

The Chairperson then reiterates that previously indicated regarding the Columbia Overseas Value Fund, the Columbia Variable Portfolio – Overseas Core Fund, the Columbia Overseas Core Fund, the Columbia Trust Overseas Value Fund, the Columbia Trust Overseas Core Fund and the Columbia Global Opportunities Fund, noting that, not having received a notification pursuant to Decree -Law 21/2012 nor confirmation of a positive outcome thereof - and also taking into account the additional checks conducted by the Company regarding the equity interests held by these funds - the corresponding voting rights are admitted for a total of 3%, in prudential application of Article 1, paragraph 5, of Decree -Law 21/2012, with a proportional reduction of such rights for all of these funds.

8 The Chairperson asks the Designated Agent if it is aware that any participant in the meeting from whom it has received a proxy is in any situations of exclusion from voting rights pursuant to the aforementioned applicable regulations, subject to that previously indicated by the Chairperson with regards to the Columbia funds.

The Designated Agent declares that, subject to the provisions regarding the aforementioned funds and to the best of his knowledge, there are no circumstances that would disqualify such parties from voting.

The Chairperson retakes the floor, reminding those present that the Designated Agent will exercise votes on the basis of the instructions provided by the delegating parties.

The Chairperson continues by noting that:

- with regards to the matters on the Agenda, the requirements as per the applicable laws and regulations have been fulfilled;

- specifically, among others, the following documents have been filed at the registered office and are also available on the website www.Avio.com and through the “EMARKET STORAGE” storage mechanism:

- the Board of Directors’ explanatory report on the first item on the Agenda, prepared in accordance with Article 125 -ter of the Consolidated Finance Act (CFA), regarding the amendment to Section I of the remuneration policy;

- the Board of Directors’ explanatory report on the second item on the Agenda, prepared in accordance with Article 114 -bis of the CFA and Article 84 -bis of the Issuers’ Regulation, together with the information document prepared by the Board of Directors, also pursuant to Article 114 -bis of the CFA and Article 84 -bis of the

Issuers’ Regulations;

- the explanatory report of the Board of Directors on the third point on the Agenda, prepared as per Article 73 of the Issuers’ Regulation.

- since all documents pertaining to the resolutions taken have published according to the applicable regulations, unless specifically requested by those present, no documents concerning the Agenda items will be read out.

- the following shall be attached to the minutes of the Shareholders’ Meeting as an integral and substantial part thereof:

- the list of attendees at the Shareholders’ Meeting, by proxy to the Designated Agent, together with all details required by Consob ,

9 with indication of the number of shares for which the communication by the intermediary to the Issuer in accordance with Article 83 -sexies of the CFA was made;

- the list of parties expressing, through the Designated Agent, votes in favour, against or abstaining for each vote, and the relative number of shares represented.

- no questions from shareholders under Article 127 -ter of the CFA were received prior to the Shareholders' Meeting;

- the voting on individual matters on the Agenda shall take place through oral communication overseen by the Designated Agent.

At this point, the Chairperson introduces the discussion of the first item on the Agenda (1. Amendment of Section I of the remuneration policy approved by the Shareholders’ Meeting on April 28, 2026: resolutions thereon ) and notes that the meeting is called upon to vote on the Board of Directors’ proposal to amend Section I of the “Remuneration Policy 2026 and Report 2025” approved by the Shareholders’ Meeting on April 28, 2026 (the “Remuneration Report” ) in accordance with the terms set out in the new Section I of the aforementioned Remuneration Report made available to the public, with indication of the changes made, in the manner and within the timeframes provided for by applicable law.

The Chairperson continues by reading aloud to the meeting the proposed resolution regarding the first item on the Agenda as follows: “The Shareholders’ Meeting of Avio S.p.A.,

- having reviewed the Board of Directors’ Explanatory Report on the present item of the Agenda;

- having reviewed the proposed amendments to Section I of the “Remuneration Policy 2026 and Report 2025” approved by the same Shareholders’ Meeting on April 28, 2026;

- taking into account the provisions regarding the remuneration policy set out in Article 123 -ter of Legislative Decree No. 58 of February 24, 1998, and Article 84 -quater of Consob Regulation No. 11971/1999,

RESOLVES

1. to approve the amendment to Section I of the “Remuneration Policy 2026 and Report 2025”, which was approved by the same Shareholders’ Meeting held on April 28, 2026, in accordance with the terms presented in the Board of Directors’ Explanatory Report regarding this agenda item

10 and in the related documentation made available to the public in the manner and within the timeframes provided for by applicable law;

2. to grant the Board of Directors, with the authority to subdelegate, all the powers necessary for the practical implementation of the resolutions adopted pursuant to the preceding point”.

After reading the motion, the Chairperson puts the motion as read to a vote .

After indicating that the Designated Agent does not report, with specific regard to the matter being voted on, any situations of exclusion from voting rights, the Chairperson asks the Designated Agent whether, pursuant to Article 135 -undecies of the CFA for the calculation of majorities and in relation to the motion read out, she is in possession of instructions for all the shares for which proxy has been granted.

The notary speaks, clarifying that the request was made by the Chairperson to the Designated Agent to determine whether there are any exclusions from voting rights other than those pertaining to the Columbia funds, regarding which it has already been agreed with Euronext how to calculate the quorums in accordance with the Chairperson’s instructions.

Francesca Neodo confirms that there are no instances of exclusion from voting rights other than those mentioned and that the Designated Agent has voting instructions for 22,606,777 shares.

The Chairperson asks the Designated Agent to carry out the vote; Francesca Neodo orally announces that the result of the vote is as follows:

- in favour 18,151,324 votes;

- against 4,455,253 votes;

- abstained 200 votes.

The notary asks Francesca Neodo and receives confirmation from her that these figures are calculated net of the 3% exceeding of the share capital of the Columbia funds.

At the conclusion of the meeting, the Chairperson declares that the proposal has been approved by a majority vote, with the votes announced orally by the Designated Agent, in compliance with the legal provisions referred to in Article 8 of the By -Laws, and specifies that the list of shareholders who cast their votes, through the Designated Agent, and the corresponding number of shares will be included in the list attached to the minutes of the Shareholders’ Meeting, and this shall apply to all votes.

The Chairperson asks the Designated Agent pursuant to Article 134 of the Issuers’ Regulation whether votes were cast by her in deviation from the instructions received, receiving a negative response.

11 The discussion then moves on to the second item on the Agenda (2.

Approval of the incentive plans based on financial instruments pursuant to Article 114 -bis of Legislative Decree No. 58/98: resolutions thereon.). The Chairperson, as previously indicated, confirms the intention not to read the documentation prepared in connection with the item under discussion. He therefore refers the meeting to the contents of the report, in addition to the disclosure document prepared by the Board of Directors pursuant to Article 114-bis of the CFA and Article 84 -bis of the Issuers’ Regulations, which has been made available to the public in accordance with the terms and procedures set forth in applicable law.

The Chairperson then reads aloud the following proposed resolution on the second item on the Agenda:

“The ordinary session of the Shareholders’ Meeting of Avio S.p.A.:

- having reviewed the disclosure document prepared pursuant to Article 114 -

bis of the CFA and Article 84 -bis of Consob Regulation No. 11971 of May 14, 1999, regarding the “2026 –2031 Stock Option Plan”, the “2026 –2028 Performance Share Plan”, the “2027 –2029 Restricted Share Plan” and the “2026 –2031 Warrant Plan”;

- having reviewed the Board of Directors’ explanatory report, drawn up as per the combined provisions of Articles 114 -bis and 125 -ter of the CFA;

RESOLVES

- to approve, pursuant to and for the purposes of Article 114 -bis of the CFA, the adoption of the “2026 –2031 Stock Option Plan”, the “2026 –2028 Performance Share Plan”, the “2027 –2029 Restricted Share Plan” and the “2026 –2031 Warrant Plan” in accordance with the provisions set out in the explanatory report and the related disclosure document;

- consequently, to grant the Board of Directors, with the power to sub -

delegate, within the limits of the law, all powers necessary to enact the

aforementioned plan;

- to confer on the Chairperson of the Board of Directors and the Chief Executive Officer, freely and severally, all powers to carry out the legislative and regulatory fulfilments resulting from the adopted resolutions”.

Having read the proposal, the Chairperson puts it to a vote .

As the Designated Agent does not report, with specific regard to the matter being voted on, any situations of exclusion from voting rights, the Chairperson asks the Designated Agent whether, pursuant to Article 135 -

undecies

12 of the CFA for the calculation of majorities and in relation to the motion read out, she is in possession of instructions for all the shares for which proxy has been granted. Francesca Neodo confirms that she holds voting instructions for 22,606,777 shares - and therefore the same number of votes - and that, in this case also, there are no circumstances that would preclude voting, subject to the provisions indicated regarding the Columbia funds’ holdings.

The Chairperson asks the Designated Agent to carry out the vote; the Designated Agent orally announces that the result of the vote is as follows:

- in favour 18,158,816 votes;

- against 4,447,961 votes;

- no votes abstaining;

Upon conclusion, the Chairperson declares that the proposal is approved by a majority with the votes declared verbally by the Designated Agent, provided that the legal provisions referred to in Article 8 of the By -Laws are complied with.

The Chairperson asks the Designated Agent pursuant to Article 134 of the Issuers’ Regulation whether votes were cast by her in deviation from the instructions received, receiving a negative response.

The discussion moves on to the third item on the Agenda ( 3. Approval of the proposal to authorise the purchase and disposal of treasury shares as per Articles 2357 and subsequent of the Civil Code, in addition to Article 132 of Legislative Decree No. 58 of February 24, 1998 and Article 144 -bis of the Consob Regulation adopted with motion No. 11971/1999 and subsequent amendments: resolutions thereon.”) and the Chairperson notes that the Shareholders’ Meeting is called upon to decide, among other matters, on the purchase of treasury shares pursuant to Article 2357 and subsequent of the Civil Code, Article 132 CFA, and Article 144 -bis of the Issuers’ Regulation.

It is hereby acknowledged that, pursuant to Article 73 of the Issuers’ Regulations, the Board of Directors has approved and made available - in accordance with the procedures and within the time limits set forth in applicable law - the report, prepared in accordance with Annex 3A, Form No.

4, of the Issuers’ Regulations, which outlines to the shareholders the purposes, procedures and characteristics of the authorization requested, including in relation to the disposal of shares held in portfolio in accordance with the law.

The Chairperson then read s the following proposed resolution on the third item on the Agenda:

13 ”The Shareholders' Meeting of Avio S.p.A., meeting in ordinary session,

- having regard to Articles 114 -bis and 132 of Legislative Decree No. 58 of February 24, 1998, as amended;

- having regard to Articles 2357 and 2357 -ter of the Civil Code;

- noting that, at today’s date, Avio S.p.A. has in portfolio 626,929 ordinary treasury shares, for which the voting right is suspended pursuant to Article 2357 -ter of the Civil Code, equal to approx. 1.34% of the share capital;

- having regard to the Board of Directors’ report on this item on the agenda;

- in view of the favourable opinion from the Board of Statutory Auditors;

RESOLVES

1. to authorise the purchase of treasury shares in the Company, in one or more instalments, pursuant to Articles 2357 and 2357 -ter of the Civil Code, in amounts at the Board of Directors’ full discretion, up to 1% of share capital and to undertake one or more acts of disposition of the shares held, including those purchased in execution of this resolution, under the following

conditions:

a) the authorisation is limited to purchases to be undertaken for the purposes illustrated in the Directors’ Report;

b) in any case, purchases of treasury shares will be made at a price per share that is not less than 10% and not more than 10% of the reference price recorded on the STAR segment of the Euronext Milan regulated market, organized and managed by Borsa Italiana S.p.A. on the day preceding the execution of each individual purchase transaction, and in any case (ii) at a price that does not exceed the higher of the price of the most recent independent transaction and the price of the highest current independent buy offer on the trading venue where the purchase is made, or to such other consideration as provided for by accepted market practices or by Regulation (EU) No. 596/2014 of the European Parliament and of the Council of April 16, 2014, with respect to the transactions governed therein;

c) the authorisation for purchase is granted for a period of 18 (eighteen) months from the date on which this resolution is passed, whereas authorisation of disposition is granted without time limits and may be exercised on one or more occasions, in order to permit the above purposes to be achieved;

d) the purchases must be undertaken within the limits of the distributable profits and available reserves from the latest approved financial statements;

14 e) the purchases of treasury shares will be undertaken, pursuant to Article 144-bis, paragraph 1, letter b) of the Issuers’ Regulation, in accordance with the provisions of the market regulations in order to ensure equal treatment of shareholders. Accordingly, the purchases will be undertaken, on one or more occasions, solely on regulated markets organised and managed by Borsa Italiana S.p.A., under the operating procedures established by this latter, which does not permit the direct joint proposal to purchase with predetermined proposals to sell;

2. to establish that the treasury shares that will be purchased in execution of the resolution set out in point 1 above will be used to:

a) efficiently utilising liquidity generated by Company operations, also through medium -long-term investment in treasury shares;

b) to offer shareholders an additional tool to monetise their investment;

c) using treasury shares as consideration in corporate transactions, to receive funds for acquisition projects and/or in exchanges of shareholdings, or for other uses deemed of interest to the Company in financial, managerial and/or strategic terms;

d) to use treasury shares that have been purchased or are already held in the portfolio to support any existing or future stock incentive plans reserved for directors, employees and collaborators of the Company and/or its

subsidiaries;

3. to authorise the Chief Executive Officer, with the power to sub -delegate:

a) to execute today’s resolution and, inter alia, to set aside the funds for the negative component of equity provided for in Article 2357 -ter of the Civil Code, in accordance with the law;

b) to establish the executive and ancillary methods, terms and conditions for optimal execution of this resolution, conducting all appropriate assessments and inquiries, as necessary, and discharging all related obligations and formalities, without any exclusions or exceptions”.

At the conclusion of the reading, the notary then takes the floor to ask Chairperson Vito Di Battista to confirm the favourable opinion of the Board of Statutory Auditors as indicated in the text of the proposed resolution just read by the Chairperson. Having received confirmation from the notary that this attestation pertains to compliance with the limits on distributable profits and available reserves as shown in the most recent financial statements, Vito Di Battista, after seeking the consent of his fellow Statutory Auditors,

15 certifies compliance with the aforementioned limits established by law regarding the purchase of treasury shares.

The Chairperson then thanked the speaker for the clarification just provided and put the proposal that had been read aloud to a vote .

As the Designated Agent does not report, with specific regard to the matter being voted on, any situations of exclusion from voting rights, the Chairperson asks the Designated Agent whether, pursuant to Article 135 -

undecies of the CFA for the calculation of majorities and in relation to the motion read out, she is in possession of instructions for all the shares for which proxy has been granted; Francesca Neodo confirms that she holds voting instructions for 22,606,777 shares and indicates that, in this case also, there are no circumstances that would preclude voting, subject to the provisions already specified regarding the Columbia funds’ holdings.

The Chairperson asks the Designated Agent to carry out the vote; the Designated Agent orally announces that the result of the vote is as follows:

- in favour 22,606,421 votes;

- against 356 votes;

- no votes abstaining;

Upon conclusion, the Chairperson declares that the proposal is approved by a majority with the votes declared verbally by the Designated Agent, provided that the legal provisions referred to in Article 8 of the By -Laws are complied with.

The Chairperson asks the Designated Agent pursuant to Article 134 of the Issuers’ Regulation whether votes were cast by her in deviation from the instructions received, receiving a negative response.

Before declaring the conclusion of the Shareholders’ Meeting, the Chairperson extends special thanks to Maria Elena Pisonero, whose participation in the activities of the Board of Directors concludes with this Shareholders’ Meeting. He notes that the Director has made an invaluable contribution to the work of both this and the previous Board terms, and thus to the company’s development, by supporting the significant strategic initiatives currently underway - initiatives that will keep Avio particularly busy over the years ahead. Her contribution regarding the issues discussed at today's meeting was particularly valuable. The Chairperson states that he would also like to thank Stephen Wood for his engagement with the shareholders regarding the particularly valuable clarification on the issues he mentioned, extending the same appreciation also to Raffaele Cappiello.
