TERNA REFINANCES AN ESG -LINKED €2.255 BILLION
REVOLVING CREDIT FACILITY
Rom e, 6 August 2026 – Terna S.p.A. (“Terna”) has signed today an ESG -linked Revolving Credit Facility for a total amount of €2.255 billion (the “Revolving Credit Facility”).
The Revolving Credit Facility, structured as committed, revolving and ESG -linked facility, has been entered into through an amendment of the revolving credit facility signed on 15 April 2024, extending its maturity to 5 year s from today’s date and updating its ESG targets .
The pool of banks participating in the transaction consist s of the same credit institutions involved in the previous revolving facility as Joint Mandated Lead Arrangers: Intesa Sanpaolo, BNP Paribas, Banco Santander, Cassa Depositi e Prestiti, Unicredit, SMBC, CaixaBank and Crédit Agricole Corporate and Investment Bank.
Intesa Sanpaolo S.p.A. acted as Ag ent while Unicredit S.p.A. served as Sustainability Coordinator.
The Revolving Credit Facility envisages the introduction of specific environmental, social and governance ("ESG") targets , linked to a n incentive/penalty mechanism applied to the contractual provisions related to the s.c. commitment fee and to the margin, further strengthening the integration of sustainability targets into the Company’s financial strategy.
The transaction allows Terna to maintain an adequate level of liquidity consistent with the Group’s current credit rating, strengthening the Company’s financial structure, and confirms the Company ’s strong commitment to a model which aims to integrate sustainability as a strategic lever for creating value for all its stakeholders.
