RESIGNATION OF INDEPENDENT AUDIT FIRM BDO AUDIT SERVICES S.R.L. PURSUANT TO MINISTERIAL DECREE NO. 261/2012 Milan, August 5, 2026 – Cloudia Research S.p.A., an Innovative SME operating in the digital transformation sector with a specialized offering in ERP (Enterprise Resource Planning), Cloud, and AI ("Cloudia Research" or the "Company"), listed on Euronext Growth Milan, hereby announces that on August 4, 2026, it received formal notification of the irrevocable resignation of BDO Audit Services S.r.l. ("BDO") from its position as statutory auditor. The resignation was submitted pursuant to Article 5, Paragraph 1, letters d), e), and f) of Ministerial Decree no. 261/2012. BDO justified its withdrawal by citing difficulties encountered in obtaining the documentation required to carry out the engagement, as well as the non-payment of overdue professional fees. Pursuant to applicable law (Article 13, Paragraph 6 of Legislative Decree no. 39/2010 and Article 6, Paragraph 3 of Ministerial Decree no. 261/2012), BDO will continue to perform its duties within the limits provided by law until the effective date of the Shareholders' resolution appointing the new independent auditor. The Board of Directors will convene shortly to initiate the procedures for calling the Shareholders' Meeting to confer the new appointment, following the opinion of the Board of Statutory Auditors.
