RESIGNATION OF BDO AUDIT SERVICES S.R.L. FROM THE
STATUTORY AUDIT ENGAGEMENT
PROCEDURES FOR THE APPOINTMENT OF A NEW
STATUTORY AUDITOR
Carrara, Marina di Carrara, July 28th, 202 6 – The Italian Sea Group S.p.A. (“ TISG ” or the “Company ”), a company with shares listed on Euronext Milan, announces that on 27 July 2026 it received from BDO Audit Services S.r.l . (hereinafter the "Auditor" or "BDO") the communication of its irrevocable resignation from the statutory audit engagement for the Company's separate and consolidated financial statements . According to BDO, the resignation is based on the occurrence of the circumstance referred to in Article 1, paragraph 1, letter (e), of Ministerial Decree No. 261/2012 . The resignation also applies to the statutory audit engagements entrusted to BDO by the Company’s subsidiary Celi S.r.l. and its parent company GC Holding S.p.A. . It should be noted that, as required by applicable law, BDO will continue to perform its duties until the appointment of the new statutory auditor becomes effective, thereby ensuring the continuity of its audit activities in relation to the financial state ments pending approval .
According to the information provided by BDO, the resignation was motivated by the alleged unavailability of certain documents — namely, the forensic report prepared by KPMG Advisory S.p.A. and the criminal complaint filed against certain former managers — which the Statutory Auditor considered relevant for the purposes of carryi ng out its audit activities. Such documents were made available to BDO for review at the Company’s registered office. The documents were also made available to the investigating authorities, the court -appointed judicial commissioners and the relevant corporate bodies, in compliance with the applicable legal and regulatory requirements.
The Company will, as a matter of urgency, take all necessary corporate actions in connection with the appointment of another statutory auditor and comply with the disclosure requirements set out in Article 6, paragraph 2, of Ministerial Decree No.
261/2012 . The Company will therefore convene the Shareholders’ Meeting without delay so that it may formally acknowledge the resignation.

The Board of Directors will accordingly initiate the procedures required for the selection and appointment of a new statutory auditor, in compliance with the applicable laws and regulations and as promptly as possible, in order to ensure the continuity of the statutory audit activities and the Company’s compliance with its applicable legal and regulatory obligations.
The Company takes note of the resignation submitted by BDO Audit Services S.r.l. , reiterates its full commitment to ensuring the highest degree of transparency vis -à-vis the market, its shareholders, the supervisory authorities and all stakeholders and it’s currently assessing its position in relation to the circumstances described by the Statutory Auditor in its notice of resignation and reserves the right to take any action necessary or appropriate to protect its rights and interests .
