RESIGNATION OF AN INDEPE NDENT DIRECTOR
Colleferro (Rome), 29 July 2026 – Avio S.p.A. (“Avio” or the “Company ”) announces hereby that today , non -executive and independent Director Elena Pisonero , also Chairman of the Nomination and Remuneration Committee , has tendered h er resignation for personal reasons , effective as of the date of the Shareholders ’ Meeting convened on 8 September 2026 to resolve , among others things, on the incentive plans that the Board of Directors today unanimously resolved to submit to the Shareholders’ Meeting, upon the unanimous favourable opinion of the Nomination and Remuneration Committee .
Elena Pisonero qualified as independent director both under Article 148 of the D.Lgs . no.
58/1998 (“ CFA”) and pursuant to the Corporate Governance Code.
As of today, Elena Pisonero does not hold any shares of the Company. No indemnities or other benefits are due as a result of the termination of her office.
The Board of Directors would like to thank Elena Pisonero for his commitment, quality and professional contribution as a member of the Company's Board of Directors and as Chairman of the Nomination and Remuneration Committee .
