PREMESSA
Il Gruppo Danieli è tra i principali leader mondiali per la costruzione e vendita di impianti per l’industria
siderurgica (
Plant Making
) e tra i maggiori produttori di acciai speciali a livello europeo (
Steel Making
)
(d’ora
in avanti “Gruppo Danieli” o “Gruppo”) .
L’innovazione e la capacità di creare valore sono gli elementi distintivi del Gruppo ,
accompagnati da solidi indicatori economici e finanziari
e
confermati dai risultati dell’esercizio appena concluso.
Il documento ha l’obiettivo di presentare in modo trasparente e completo a tutti gli Stakeholder della S
ocietà
la struttura delle remunerazioni adottata e le sue relazioni con il business del Gruppo per
rafforzare il dialogo con il mercato.
Nell’esercizio chiuso al 3

i
risultati finanziari del G ruppo sono rimasti solidi sia in termini di redditività con un EBITDA di oltre 439
milioni di Euro e una posizione finanziaria netta di circa
1.019
milioni
di Euro.
L’esercizio concluso al 30 giugno 202 6
è stato un anno importante per la S ocietà sia per i risultati operativi ed anche per il percorso di sostenibilità del Gruppo.
In relazione al percorso di sostenibilità del Gruppo ,
da quest’anno
la relazione di sostenibilità
è stata
redatta
ai sensi della CSRD secondo i nuovi principi ESRS (European Sustainability Reporting Standards) emessi
dall’
EFRAG
(European Financial Reporting Advisory Group) .
L a
presente Relazione
si pone quale principale obiettivo quello di
fornire una maggiore comprensione della struttura remunerativa riservata agli Amministratori , alcuni dei quali sono anche Dirigenti con Responsabilità Strategiche, all’Organo di controllo
ed ai dipendenti del Gruppo.

La presente Relazione si pone
l’obiettivo di rendere trasparenti le forme di remunerazione e di semplificare la loro applicazione.
La R
elazione
è articolata in due sezioni
e nello specifico :
La Sezione I è stata sottoposta all’approvazione dell’Assemblea degli Azionisti in data 25 ottobre 2024. Si ricorda che, ai sensi dell’art. 123 -
ter, comma 3 -
bis, del TUF, la Sezione I della Relazione sulla politica in
4 materia di remunerazione e sui compensi corrisposti deve essere sottoposta al voto dei soci almeno ogni tre anni ovvero in occasione di modifiche della Politica di remunerazione. Inoltre, ai sensi dell’art. 123 -
ter,
comma 3
-
ter, del TUF, salvo diversa previsione statutaria, la deliberazione assembleare ha carattere vincolante. Lo Statuto sociale di Danieli non prevede deroghe a tale principio e, pertanto, il voto dell’Assemblea risulta vincolante per la Società.
La Sezione I riportata
nella presente Relazione
, che
illustra la politica in materia di remunerazione di Danieli che è e
sarà adottata
nel triennio 2024/25, 2025/26 e 2026/27 in materia di remunerazione dei componenti il Consiglio di Amministrazione, dei dirigenti con responsabilità strategiche e dei componenti dell’organo di controllo, fermo restando
per quest’ultimo
quanto previsto dall’art. 2402 del codice civile ,
come anticipato
poc’anzi,
è già stata sottoposta al voto vincolante dell’Assemblea dei soci in data 2 5
ottobre
202 4
, che l’ha approvata a maggioranza (Azionisti presenti:
87,41
% del capitale sociale; Azionisti favorevoli
presenti:

%; Azionisti contrari presenti:
6,76
%) e, non avendo subito modifiche nel corso dell’ultimo
esercizio,
quest’anno non viene sottoposta al voto dell’Assemblea dei soci, ma viene comunque riportata per
pronto
riferimento.
Si ricorda, altresì, che la Sezione I descrive
i principi alla base
della Politica sulla remunerazione , le finalità generali perseguite, gli organi coinvolti nonché le procedure utilizzate per l’adozione e l’attuazione di tale politica, ai sensi dell’art.
123 -
ter ,

Nello specifico, la P olitica sulla remunerazione per il triennio 2024/25, 2025/26 e 2026/27 si pone quali obiettivi quelli di:

illustrare il suo contributo alla strategia aziendale e al perseguimento della creazione di valore sostenibile nel medio -
lungo termine;

illustrare le caratteristiche del nuovo piano di incentivazione variabile di breve e lungo termine ed introdurre obiettivi di performance sia finanziari che ESG (Environmental, Social e
Governance)

a llineare il sistema delle retribuzioni alle esigenze del mercato in un orizzonte di medio -
lungo
periodo;

g arantire la competitività delle società con adeguate politiche retributive;
-
t rattenere ed attrarre risorse con elevata professionalità per garantire lo sviluppo della Società.

2.1.1 La

La P
olitica sulla remunerazione tiene conto dell’impegno e dei ruoli di tutti gli Amministratori
e
introduce
significative novità rispetto alle precedenti. In particolare questo si evince in un aumento degli emolumenti a
favore d
i tutti gli
Amministratori
,
mentre
nelle politiche precedenti veniva prevalentemente valorizzato il ruolo
del Presidente
e questo
cambiamento è
in linea con le aspettative degli azionisti, degli stakeholders e dei
Proxy Advisor
.
Si premette che non sono stati nominati Direttori Generali e che gli unici Dirigenti con Responsabilità
Strategiche
della Società sono gli Ammin i
stratori
Esecutivi
destinatari di deleghe gestionali e/o
che
ricoprono
incarichi direttivi nella Società, come definiti nel paragrafo 2.1.2 della Presente Relazione .
Di seguito sono descritte le procedure adottate e che saranno adottate ai fini dell’attuazione della Politica di remunerazione approvata dall’Assemblea il 25 ottobre 2024, applicabile agli esercizi 2024/2025 e 2025/2026 e confermata anche per l’esercizio 2026/2027.
2.1.2
Remunerazione degli Amministratori
Il compenso complessivo spettante ai componenti del Consiglio di amministrazione è determinato dall’Assemblea degli Azionisti, mentre la relativa ripartizione tra gli amministratori è deliberata dal Consiglio di amministrazione nel rispetto dei principi e dei criteri stabiliti dalla Politica di remunerazione di seguito illustrata.
Al riguardo, si segnala che la proposta sottoposta all’Assemblea degli Azionisti del 25 ottobre 2024, chiamata a nominare il Consiglio di amministrazione per il triennio 2025 -
2027 e presentata dall’azionista di maggioranza Sind International S.r.l., prevedeva la determinazione di un compenso complessivo annuo per il Consiglio di amministrazione fino a un massimo di Euro 800.000,00.
Gli Amministratori della Società si suddividono nelle categorie di seguito definite:

: gli amministratori non esecutivi che non intrattengono, né hanno di recente intrattenuto, neppure indirettamente, con la Società o con soggetti legati a quest’ultima, relazioni tali da condizionarne l’attuale autonomia di giudizio.

: gli amministratori che sono destinatari di deleghe gestionali e/o ricoprono incarichi direttivi nella Società o in una società controllata avente rilevanza strategica, o nella Società controllante quando l’incarico riguardi anche la S ocietà.

è soggetta a valutazione sulla base di obiettivi condivisi con piani personali a cadenza triennale ( Management by Objectives) e
si basa sul raggiungimento di obiettivi

finanziari, di sviluppo dell’attività aziendale e su determinati criteri ESG (Environmental, Social e Governance) (d’ora in avanti “Obiettivi”) e
complessivamente
non supera
il 30% della Retribuzione complessiva.
Gli Obiettivi connessi alla Parte Variabile della Remunerazione sono predeterminati, misurabili e sono volti a incentivare il perseguimento e raggiungimento dei risultati. Nello specifico, di seguito vengono illustrate le componenti della Parte Variabile, suddivis a in una quota a
breve e
d una quota a
medio

lungo periodo e i relativi Obiettivi da raggiungere per l’ottenimento della stessa.
Per breve periodo si intende l’anno finanziario preso in considerazione, che per Danieli è il periodo compreso dal 1 luglio al 30 giugno dell’anno solare successivo (d’ora in avanti “Breve Periodo”).
Per medio

lungo periodo si intende il triennio finanziario preso in considerazione , che per Danieli è il periodo compreso dal 1 luglio al 30 giugno del terzo anno solare successivo

Si precisa che nei primi due anni del piano triennale di remunerazione personale solo il 70% del

Remunerazione dell’

10 Per quanto all’organo di controllo, ai sensi dell’art. 2402 del codice civile, la remunerazione
viene
deliberata
dall’Assemblea dei soci .
Il compenso erogato ai Sindaci effettivi è composto da un’unica componente fissa e non sono previsti gettoni di presenza, rimborsi spese,
benefit
o altre componenti di natura differente. Tale compenso tiene conto dell’impegno di ciascun Sindaco per l’attività di controllo e per la partecipazione alle riunioni consiliari e dei

Al riguardo, si segnala che la proposta sottoposta all’Assemblea degli Azionisti del 25 ottobre 2024, chiamata a nominare il Collegio Sindacale per il triennio 2025 -
2027 e presentata dall’azionista di maggioranza Sind International S.r.l., prevedeva un compenso annuo pari a Euro 60.000,00 per il Presidente del Collegio Sindacale e pari a Euro 40.000,00 per ciascun Sindaco effettivo.

L’organo amministrativo non ha ravvisato l’esigenza di istituire il Comitato per le Remunerazioni, ne’ di far ricorso ad esperti indipendenti per la predisposizione di una politica di remunerazione.

Nel caso in cui si manifestino cessazioni dalla carica, dimissioni, licenziamenti o risoluzioni anticipate del rapporto di lavoro, non sono riconosciute specifiche indennità a favore degli amministratori o dei dirigenti, salvo quanto derivante dall’applicazione del Contratto Collettivo Nazionale per i Dirigenti d’Azienda.

dirigenti oltre a quelle obbligatorie o indicate dal Contratto Collettivo Nazionale dei Dirigenti d’Azienda, ad eccezione di una selettiva copertura per il caso di morte e/o invalidità permanente da infortunio, della copertura assicurativa per responsabilità civile verso terzi “D&O” (Director & Officer) e delle assicurazioni contro i rischi nelle trasferte di lavoro.
Per la definizione della politica retributiva della società non viene fatto riferimento alcuno alle politiche di altri soggetti.
2.2
Le finalità e i principi generali della Politica in materia di remunerazione
2.2.1
Le finalità della Politica in materia di remunerazione
La Politica
sulla
Remunerazione è volta ad attrarre e motivare risorse professionali qualificate per il perseguimento degli obiettivi della Società e del Gruppo Danieli, nonché ad incentivare la permanenza di tali risorse e, dunque, la stabilità del loro rapporto professionale con la Società.
Nell’ottica di accrescere il valore della Società in maniera sostenibile, la Politica di Remunerazione si prefigge peraltro di allineare quanto più possibile gli interessi del
Management
con quelli di medio -
lungo
periodo degli Azionisti e degli Stakeholder .
La Danieli considera le politiche di remunerazione un importante strumento a supporto della realizzazione della strategia aziendale, al perseguimento degli interessi a lungo termine e alla propria sostenibilità nel tempo.
La Politica
di
Remunerazione, come approvata dall’Assemblea dei soci, costituisce il perimetro esclusivo entro il quale vengono assicurati, ricorrendone le condizioni, i relativi trattamenti a favore del Management coinvolto.
Eventuali deroghe alla Politica di Remunerazione
12 La medesima Politica va inserita nell’attuale contesto societario, aziendale, regolamentare e normativo nonché economico e di business e, pertanto, come previsto dall’art. 123 -
ter, comma 3 del TUF, potrà essere derogata temporaneamente dalla Società in presenza di circostanze
eccezionali
e semprechè ciò sia necessario ai fini del perseguimento degli interessi a lungo termine della Società o per assicurare a quest’ultima la capacità di stare sul mercato.
La predetta deroga potrà essere deliberata dal Consiglio di amministrazione
con l’eventuale supporto della Direzione delle Risorse Umane , previo parere favorevole del Collegio sindacale.

Nei casi di deroga alla Politica di Remunerazione, la Società
applicherà la Procedura “Operazioni con Parti
Correlate”
adottata dalla Società, pro -
tempore vigente, anche se ricorra
una fattispecie di esenzione.

I principi della Politica in materia di remunerazione
La politica di remunerazione di Danieli si ispira ai seguenti principi:
a) equità: valorizzazione delle conoscenze e della professionalità delle risorse nonché di riconoscimento dei ruoli e responsabilità attribuiti, dei risultati conseguiti e della qualità dell’apporto professionale reso;
b) sostenibilità: coerenza dei trattamenti remunerativi complessivamente riconosciuti con le prioritarie esigenze di mantenimento nel tempo dell’equilibrio economico -
finanziario
della Società;
c) proporzionalità
: coerenza ed adeguatezza di remunerazioni e compensi con il ruolo ricoperto, la complessità delle funzioni assegnate e delle relative responsabilità, nonché con le competenze e le capacità dimostrate, ferme il rispetto dei contratti collettivi nazionali ed aziendali ove applicabili;
d) competitività
: equilibrio e coerenza dei livelli retributivi rispetto al mercato di riferimento per cariche similari e ruoli di analogo livello di responsabilità e complessità;
e) meritocrazia
: valorizzazione coerente dei risultati ottenuti in base ai comportamenti posti in essere per il
relativo raggiungimento;
f) trasparenza
: riconoscimento degli incentivi connessi alla remunerazione variabile a valle di un puntuale processo di verifica dei risultati effettivamente conseguiti, effettuato anche attraverso l’ausilio di strutture deputate all’analisi circa la correttezza e coerenza dei dati e delle metodologie utilizzate per il calcolo dei suddetti incentivi.

INTRODUCTION
The Danieli Group is a world leader in the manufacture and sale of plants for the steelmaking industry (Plant Making) and one of the major producers of special steels in Europe (Steel Making) (hereinafter referred to as “Danieli Group” or the “Group”).
3 Innovation and the ability to create value are the hallmarks of the Group, backed up by solid economic and financial indicators and confirmed by the results of the financial year that has just ended.
The purpose of this document is to present the remuneration policy adopted and its relationship with the Group's business to all the Company's Stakeholders in a transparent and comprehensive manner, in order to strengthen the dialogue with the market.
In the financial year ended 30 June 2026, the Group’s financial results remained solid both in terms of profitability with EBITDA of over 439 million

The financial year ended 30 June 2026 was an important year for the Company both for its operating results and for the sustainability path of the Group.
In relation to the Group's sustainability path, starting from this year, the Sustainability Report has been prepared in accordance with the Corporate Sustainability Reporting Directive (CSRD), following the European Sustainability Reporting Standards (ESRS) issued by EFRAG (European Financial Reporting Advisory Group).
This Report is mainly aimed at providing a better understanding of the remuneration structure reserved for the Directors, some of whom are also Executives with Strategic Responsibilities, the Auditing Body and Group employees.

1.1) Notes and Regulatory Framework
On 25 September 2026, the Board of Directors of the parent company Danieli & C. Officine Meccaniche S.p.A. (hereinafter referred to as “Danieli” or the “Company”) approved this Report on Remuneration drawn up in compliance with current legal and regulatory requirements: art. 123 -
ter of Legislative Decree 58 of 24 February 1998 (Consolidated Law on Finance or “TUF”), art. 84 -
quater, Annex 3, Schedule 7 -
bis and 7 -
ter,
currently in force, of the Consob Issuers’ Regulation, and art. 2389 of the Civil Code as amended. The aim of this Report is to make the forms of remuneration transparent and to simplify their implementation.
The Report is divided into two sections, specifically:
Section I was submitted to the Shareholders' Meeting for approval on 25 October 2024. It should be noted that, pursuant to Article 123 -
ter, paragraph 3 -
bis, of the Consolidated Law on Finance (TUF), Section I of the Report on the Remuneration Policy and Fees Paid must be submitted to the shareholders for a vote at least every three years or whenever amendments are made to the Remuneration Policy. Furthermore, pursuant to
Article 123
-
ter, paragraph 3 -
ter, of the Italian Consolidated Law on Finance (TUF), unless otherwise provided for in the by -
laws, the shareholders' resolution shall be binding. Danieli’s by -
laws do not provide for any derogation from this principle and, therefore, the
Shareholders'
vote is binding on the Company.
4 Section I of this Report, concerning Danieli’s remuneration policy of the members of the Board of Directors, the executives with strategic responsibilities and the members of the auditing body, that is and will be adopted during the three -
year period 2024/25, 2025/26 and 2026/27, without prejudice to the provisions of art. 2402 of the Italian Civil Code, as mentioned above, has already been submitted to the binding vote of the Shareholders on 25 October 2024, who approved it by majority (Shareholders present: 87.41% of share capital; 93.21% of Shareholders voted in favour; 6.76% of Shareholders voted against), and, since it was not modified during the last fi
nancial
year, it will not be subject to the vote of the Shareholders this year, but it is indicated for reference.
It should be noted also that Section I describes the principles underlying the remuneration policy, the general aims pursued, the bodies involved, as well as the procedures for the adoption and implementation of such policy, pursuant to art. 123 -
ter ,
paragraphs 3
-
bis and 3 -
ter of the Consolidated Law on Finance (TUF).
Specifically, the Remuneration Policy for the three -
year period 2024/25, 2025/26 and 2026/27 aims to:
-
illustrate its contribution to corporate strategy and the pursuit of sustainable value creation in the
medium
-
long term;
-
explain the features of the new short -
term and long -
term variable incentive plan and introduce both financial and ESG (Environmental, Social e Governance) performance targets;
-
align the remuneration system with market requirements in the medium -
long term;
-
ensure the company’s competitiveness through suitable remuneration policies;
-
attract and keep highly professional resources to ensure the Company’s growth.
Section II, on the other hand, is subject to the annual advisory and non -
binding vote of the Shareholders, pursuant to art. 123 -
ter, paragraph 6 of TUF,
and
is divided into two parts: the first part describes the single elements making up the fees paid during the year to each member of the administrative and auditing bodies and to the executives with strategic responsibilities, verifying their consistency with the policy adopted in this respect by the Company and its subsidiaries; the second part analytically shows all the payments made to these individuals for whatever reason or purpose by the company and its subsidiaries and affiliates during the year in question (2025/2026).
Finally, the last table (art. 84 -
quater, Annex 3A -
Schedule 7

ter of the Consob Issuers’ Regulation) shows the number of shares held -
in the Company and its subsidiaries -
by the members of the administrative and auditing boards and by the executives with strategic responsibilities, as well as by subjects closely related to them, with reference to the fi

The adoption of a Remuneration Policy exonerates the Company form applying the provisions of the Consob Regulation and of the Internal Regulations on transactions with related parties, regarding the remuneration of directors vested with particular responsibilities and executives with strategic responsibilities, if any.
The outcome of the
Shareholders’
vote will be made public in the manner specified in current regulations.

2. SECTION I
2.1. Remuneration Policy and Procedures Used to Adopt and Implement the Policy
2.1.1 Remuneration Policy
The Remuneration Policy that the Board of Directors submitted to the Shareholders’ Meeting on 25 October 2024 is the result of a joint activity involving the Human Resources Department, the Chairman Mr.
Alessandro Brussi, the Vice Chairwoman Mrs. Camilla Benedetti and the Chief Executive Officer Mr.
Giacomo Mareschi Danieli.
The Remuneration Policy takes into account the commitment and roles of all Directors and introduces significant changes compared to the previous ones. In particular, this is reflected in an increase in remuneration for all Directors -
whereas emphasis in previous policies was mainly on the role of the
Chairman
-
and this change is in line with the expectations of
shareholders
, stakeholders and Proxy Advisors.
It should be noted that no General Managers have been appointed and that the Company’s only Executives with Strategic Responsibilities are the Executives Directors holding management mandates and/or positions in the Company, as defined in Section 2.1.2 of this Report.
The procedures adopted and to be adopted for the implementation of the Remuneration Policy approved by the Shareholders' Meeting on 25 October 2024, applicable to the 2024/2025 and 2025/2026 financial years and also confirmed for the 2026/2027 financial year, are described below.
2.1.2 Remuneration of Directors
The total remuneration for the Directors is determined by the Shareholders, and the Board of Directors establishes how this remuneration is to be distributed in compliance with the principles and criteria established by the Remuneration Policy illustrated below.
In this regard, it should be noted that the proposal for the Shareholders’ Meeting of 25 October 2024, which is called to appoint the new Board of Directors, submitted by the majority shareholder Sind International s.r.l.
for the three -
year period 2025 -
2027, provides for a total annual remuneration for the Board of Directors of up to 800,000.00 euro.
The Directors of the Company are divided into the categories defined below:

Independent Directors
: non
-
executive directors who do not have, nor have they recently had, even indirectly, any relations with the Company or persons linked to the latter, such as to condition their current independence of judgement.
-
Executive Directors
: directors who are delegated management powers and/or hold executive positions in the Company or in a subsidiary with strategic importance, or in the Parent Company when the position also concerns the Company.
-
Executives with Strategic Responsibilities : in the event that the Executive Directors are delegated management powers and also hold executive positions in the Company or in subsidiaries of the Group, having an employment relationship with them.
It should be noted that all Directors, both independent and Executive, receive a fixed remuneration portion for being members of the Board of Directors (hereinafter “Fixed Remuneration”) and that only Executive Directors who have an employment relationship with the Parent Company Danieli & C. S.p.A. or with subsidiaries of Danieli Group and are Executives with Strategic Responsibilities, have a fixed part and a variable part (hereinafter “Variable Part”) within the remuneration deriving from the employment relationship (hereinafter “Remuneration”). The Remuneration as a whole is therefore in addition to the Fixed Remuneration received as a fee for the office of Director.
a) Remuneration of Independent Directors and Executive Directors
As for the remuneration of Independent Directors, it is commensurate with the commitment required in relation to participation in board meetings and in the Board Committees established pursuant to the by -
laws.
The remuneration of Executive Directors, but without executive powers, is commensurate with the commitment required in relation to attending Board meetings only, which is therefore expected to be lower than that of Independent Directors.
b) Remuneration of Executive Directors: Chairman, Vice Chairman, Chief Executive Officer and Directors without role but with executive powers
The remuneration structure for Executive Directors with a role and any executive powers is balanced between several fixed components, linked to the possible role and powers.
Fixed Remuneration
The fixed component for all Directors shall be commensurate with the commitment required, depending on whether they are Independent Directors or Executive Directors, and with reference to the Executive Directors also with respect to any role (e.g. Chairman, Vice Chairman and Chief Executive Officer), any management powers and the resulting responsibilities.
For the sake of clarity, a summary of the different categories of Fixed Remuneration and an explanation of the various elements that compose it for each category of Directors is given below:
a) Fixed Remuneration for Independent Directors: Fee Y
b) Fixed Remuneration for all Executive Directors: Fee X
8 c) Fixed Remuneration for Executive Directors with management powers and/or in executive positions (Executives with Strategic Responsibilities): Fee X (paid to all Executive Directors) + Fee Z (for the role and for being recipients of management powers).
Specifically, the various fees for the Directors' remuneration are as follows:
Fee Y: portion of the remuneration that will be paid to the Independent Directors on account of the greater commitment that will be required of them to participate in board proceedings and meetings of the Board Committees, established pursuant to the by -
laws;
Fee X: portion of the remuneration that will be paid to the Executive Directors on account of the commitment that will be required of them to participate in Board proceedings;
Fee Z: portion of the remuneration that will be paid to the Executive Directors in the event that they hold a position withing the Board of Directors (by way of example, the roles of Chairman, Vice Chairman, Chief Executive Officer) and are the recipients of executive powers and resulting responsibilities.
Variable Part
As mentioned in the introduction to this section, only Executive Directors, who are Executives with Strategic Responsibilities and therefore have an employment relationship with the Parent Company Danieli & C. S.p.A.
or with Danieli Group’s subsidiaries, have a Variable Part in their Remuneration.
The variable component of Remuneration is subject to evaluation on the basis of objectives shared with personal plans every three years (“Management by Objectives”) and is based on the achievement of
economic
-
financial objectives, business development objectives and specific ESG (Environmental, Social and Governance) criteria (hereinafter referred to as “Objectives”) and in total does not exceed 30% of the total Remuneration.
The Objectives related to the Variable Part of Remuneration are predetermined, measurable and are designed to incentivize the pursuit and achievement of results. More specifically, the components of the Variable Part, divided into a short -
term and medium -
to -
long
-
term portion, and the related Objectives to be achieved are illustrated below.
Short term means the financial year taken into consideration, which for Danieli is the period from 1 July to 30 June of the following calendar year (hereinafter referred to as “Short Term”).
Medium to long term means the three -
year financial period taken into consideration, which for Danieli is the period from 1 July to 30 June of the third successive calendar year (hereinafter referred to as “Medium to Long Term”).
It should be noted that in the first two years of the three -
year personal remuneration plan, only 70% of the annual Variable Part will be paid in the Short Term, while the remaining 30% will be suspended and paid in the Long Term, at the end of the three -
year period (together with 100% of the third -
year portion).

Short Term
The Objectives to be achieved during each financial year for the Variable Part of the Short -
Term
Remuneration are linked:
-
40% to the Group’s EBITDA and Operating Income performance;
-
40% to the Order Intake of the period;
-
20% to the performance of certain ESG parameters (more precisely related to the Company’s Environmental Impact), such as Scope 3 Emissions and Taxonomy (in proportion to their improvement/worsening compared to the data recorded during the previous financial year).
The Variable Part of the Remuneration deriving from the employment relationship of the Executive Directors, who are also Executives with Strategic Responsibilities, relating to the Short Term, shall only be paid following a process of verification by the Human Resources Department of the results achieved and the Objectives actually attained, which shall take place at the end of each financial year. The extent to which the EBITDA, Operating Income, Order Intake and Operating Cash Flow parameters of the financial year under consideration improve will be assessed on the basis of the Company’s general financial performance compared to the results of the previous financial year.
Medium to Long Term
The Variable Part of the Medium to Long Term is 30% of the Variable Portion of the previous two financial years (as indicated above) and will be paid only during the course of the employment contract and on the basis of the overall Objectives achieved at the end of each financial three -
year period (the current three -
year
period under consideration ended on 30 June 2028): such Residual Variable Part (Medium to Long Term) may be increased up to 50% based on the assessments of the Human Resources Department on the improvements in the Order Backlog and Net Financial Position in the last financial year of the three -
year
financial period.
The Variable Part of the Remuneration deriving from the employment relationship of the Executive Directors, who are also Executives with Strategic Responsibilities, relating to the Medium to Long Term, shall only be paid following a process of verification by the Human Resources Department of the results achieved and the Objectives actually attained, which shall take place at the end of each three -
year financial period.
Corrective Actions
The Board of Directors did not deem it necessary to provide for ex -
post
adjustment
mechanisms for
remuneration already fully paid (malus or variable remuneration clawback).
2.1.3 Remuneration of the Auditing Body
As for the Board of Statutory Auditors, pursuant to art. 2402 of the Italian Civil Code, the remuneration is decided by the Shareholders’ Meeting.
10 The remuneration paid to the Statutory Auditors consists of a single fixed component and the are no attendance fees, reimbursement of expenses, benefits, or other components of a different nature. This remuneration takes into account each Auditor’s commitment to control activities and participation in Board meetings and in meetings of Board Committees.
In this regard, it should be noted that the proposal for the Shareholders’ Meeting of 25 October 2024, which is called to appoint the new Board of Auditors, submitted by the majority shareholder Sind International s.r.l.
for the three -
year period 2025 -
2027, provides for a remuneration for Chairman of the Board of Auditors of 60,000.00 euro and 40,000.00 euro for each statutory member.
2.1.4 General Information
The Board of Directors did not deem it necessary to set up a Remuneration Committee or to avail itself of independent experts to draw up a remuneration policy.
With regard to the remuneration of employees, it is in line with the market and the relevant legislative provisions, and with regard to the possible awarding of monetary bonuses to executives, the decision lies with the Chairman, the Chief Executive Officer, with the assistance of the Human Resources Department, which are based on the principle of meritocracy with the aim of rewarding both the commitment and the results achieved by the persons concerned.
There are no changes with respect to the past with regard to the remuneration of personnel holding positions of greater responsibility, which is subject to evaluation on the basis of objectives shared every three years with personal plans (“Management by Objectives” of a financial nature but also with objectives to be achieved in the area of sustainability, such as, for example, the development of plants for the production of steel without CO2 emissions) and a work plan, both of which are subject to periodic review to verify their alignment with the market situation and the remuneration policy implemented by other companies of comparable size and operating in the same sector. Any variable component of the aforementioned remuneration (fixed exclusively by short -
term decisions) does not exceed 30% of the remuneration deriving from the employment relationship and is related to the results achieved (overall of the Company or individual of each product line of the Company). The awarding of any bonuses for special commitments or achievements is decided by the Chairman, the Chief Executive Officer, with the assistance of the Human Resources Department.
In general, the Company’s current staff remuneration makes use of management development methods in application of the Hoshin methodology, aimed at bringing out the qualities and potential of each individual.
The variable component of management remuneration, as well as for personnel holding positions of greater responsibility, is also related to the achievements of set objectives (overall of the company and/or individual of each product line) compared to the assigned budget values.
There is no remuneration policy that provides for non -
monetary benefits.
No provision is made for incentive plans based on shares or other financial instruments in favour of Directors (including executive directors) or of employees with executive position.
11 There are no vesting periods or deferred payment mechanisms or ex post correction mechanisms; there are no clauses to keep financial instruments in the portfolio after they have been purchased by directors or executives.
There are no collective agreements or erga omnes practices requiring that executives who have ceased to hold office automatically receive fees in exchange for non -
competition or other commitments.
In the event of termination of office, resignation, dismissal or early termination of employment, no specific indemnity shall be paid to director or executives, except for that arising from the application of the National Collective Employment Agreement for Industry Executives.
Other than the mandatory coverage or the coverage specified in the National Employment Agreement for Industry Executives, there is no additional insurance, social security or pension coverage for Directors and executives, with the exception of insurance to cover accidents resulting in death and/or permanent disability, the “D&O” (Directors & Officers) professional liability insurance and insurance against business travel risks.
No reference whatsoever is made to the policies of others in determining the company’s remuneration policy.
2.2 General Purposes and Principles of the Remuneration Policy
2.2.1 Purposes of the Remuneration Policy
The Remuneration Policy aims to attract and motivate qualified professional resources to pursue the goals of the Company and the Danieli Group, as well as incentivizing these resources to remain with the Company and thus ensuring a stable professional relationship with the Company.
In order to enhance the Company’s value in a sustainable manner, the Remuneration Policy also aims at aligning as much as possible the Management’s interests with the medium -
long term interests of Shareholders and Stakeholders.
Danieli considers the remuneration policies to be an important tool in implementing corporate strategy,
pursuing long
-
term interests and ensuring its own sustainability over time.
The Remuneration Policy, as approved by the Shareholders, is the only perimeter which encompasses the remuneration of the Management figures in question, if the necessary conditions are in place.
Exceptions to the Remuneration Policy
This Policy has to be considered in the current corporate, company, regulatory and legislative context, as well as in terms of economics and business; therefore, pursuant to art. 123 -
ter, paragraph 3 of TUF, in the event of exceptional circumstances, the Company may temporarily make an exception to the policy, provided that this is necessary in order to pursue the Company’s long -
term interests or to ensure its ability to remain on the market.
12 The aforementioned exception may be decided by the Board of Directors with the possible support of the Human Resources Department, subject to the favourable opinion of the Board of Statutory Auditors.
By way of example but not limited to, exceptional reasons that might lead the Company to deviate from the Policy might lie in attracting new strategic resources from outside the Company or in retaining internal resources or in
recognizing
particular individual or group achievements of particular importance to the Company.
Any exceptions will be disclosed and justified in the subsequent Remuneration Policy together with the reasons why the Company has made such an exception.
In cases of exception to the Remuneration Policy, the Company will apply the “Related Party Transactions” Procedure adopted by the Company, pro -
tempore in force, even if an exemption case exists.
2.2.2 Principles of the Remuneration Policy
Danieli’s remuneration policy is based on the following principles:
a) fairness:
valorisation
of knowledge and professionalism of human resources, as well as recognition of the roles and responsibilities assigned to them, the results they achieve and the quality of their professional
contribution;
b) sustainability: consistency of overall remuneration with the primary requirements of maintaining the
Company’s economic

financial stability over time;
c) proportionality: consistency and adequacy of remunerations and fees with the position held, complexity of the assigned duties and related responsibilities, as well as with the proven skills and capabilities, without prejudice to the national and company employment agreements, if applicable;
d) competitiveness: balance and consistency of remuneration levels in relation to the reference market for similar offices and roles with similar levels of responsibility and complexity;
e) meritocracy: consistent
valorisation
of results obtained on the basis of the behaviour put in place to
achieve them;
f) transparency: incentive pay related to variable remuneration as a result of an accurate process to verify the results that are actually achieved, including through the use of units which
analyse
the accuracy and consistency of the data and methods used to calculate the above -
mentioned incentive pay.

3. SECTION II
FIRST PART: Remuneration Elements and Benchmark Indicators
Board of Directors
Fees
The fixed component of remuneration of members of management bodies was determined by the Shareholders during the meeting held on 25 October 2024, and set at a total amount of 800,000 euro,
to be
distributed among the members of the Board, including the fees for special responsibilities to be determined independently by the Board of Directors.
As mentioned in paragraph 2.1.2 of this Report, only Executive Directors, who are Executives with Strategic Responsibilities and therefore have an employment relationship with the Parent Company Danieli & C. S.p.A. or with Danieli Group’s subsidiaries, have a Variable Part within the remuneration deriving from the employment relationship.
Remuneration
Fixed Remuneration
The Board of Directors that met on 25 October 2024, in compliance with the Remuneration Policy approved by the Shareholders’ Meeting on the same date (ref. above paragraph 2.1.2 “Fixed Remuneration”), made the following resolutions:

for each Independent Director, a gross yearly remuneration of 45,000.00 euro (Fee Y)

for all Executive Directors, a gross yearly remuneration of 15,000.00 euro (Fee X)

for the Executive Directors with management powers and/or in executive positions (Executives with Strategic Responsibilities), the following amounts (Fee Z):
for the Chairman of the Board of Directors and the Vice Chairwoman, a gross yearly remuneration of 100,000.00 euro each;
for the Chief Executive Officer, Mr. Giacomo Mareschi Danieli, a gross yearly remuneration of 200,000.00 euro, and for the Co -
Chief Executive Officer, Mr. Rolando Paolone, a gross yearly remuneration of 150,000.00 euro;
For the sake of clarity, it should be noted that the Executive Directors with management powers and/or in executive positions also receive the remuneration paid to the Executive Directors (Fee X).
No additional remuneration is paid to the Directors who are members of the Executive Committee and of the Risk and Sustainability Committee.
It is hereby specified that the total amount of fees paid to the Executive Directors with and without management powers and/or in executive positions also includes the Remuneration, the remuneration for
14 being employed as executives with Danieli Group, which has a Fixed Part and a Variable Part, described in detail below.
Variable Part
The Variable Part of Remuneration (deriving from the employment relationship of Executive Directors, who are also Executives with Strategic Responsibilities) amounts to a maximum of 30% of total Remuneration: of which 70% is Short Term and 30% is Medium to Long Term.
The Short
-
Term component of the Variable Part of Remuneration was paid following a verification process by the Human Resources Department of the results achieved and the Objectives actually attained, which took place at the end of the financial year. The trend of the EBITDA, Operating Income, Order Intake and Operating Cash Flow parameters of the financial year under consideration improve were assessed on the basis of the Company’s general financial performance compared to the results of the previous financial year.
The variable component of Medium -
Long Term Remuneration has not yet been paid, as its vesting is subject to verification of the achievement of the relevant Objectives at the end of the three -
year period from 1 July 2025 to 30 June 2028, which is currently ongoing.
Please refer to Table 1 of the Second Part of this Report for the representation of the individual items of remuneration paid to the Directors and, in compliance with the provisions of Annex 3A -
Schedule 7

bis of
the Consob Regulation (paragraph 1.1, Section II, Part One), it is deemed appropriate to omit the detailed indication of the Objectives achieved by the Executive Directors, who are also the Executives with Strategic Responsibilities for the Variable Part of the Remuneration in order to protect the confidentiality of commercially sensitive and classified information that would be prejudicial to the Company if disclosed.
Extra Bonuses
The Board of Directors did not pay any extra bonuses to the Chief Executive Officers.
Non -
Monetary Benefits
An insurance policy has been taken out to cover accidents resulting in death and/or permanent disability for members of the Board of Directors, as well as a “D&O” (Directors & Officers) professional liability insurance policy.
Cessation of Office or Termination of Employment
Notwithstanding the provisions of the national collective bargaining system (National Collective Employment Agreement for the Metalworking and Mechanical Engineering Industry, and National Collective Employment Agreement for Industry Executives), Danieli has not entered into any collective agreements or implemented company practices that provide for additional fees in case of cessation of office, termination of employment or dismissal without just cause.
The amount of fees is proportional to the person’s seniority within the company and the position they hold.
15 Executives with Strategic Responsibilities
As already mentioned, in addition to the Executive Directors to whom management powers are delegated and/or who hold executive positions, in the Company there are no other Executives with Strategic Responsibilities as defined in the Consob Regulation.
It should be noted that the remuneration of the Company’s executives is in line with market rates, and is subject to assessment based on shared objectives with personal plans every three years (“Management by Objectives” of a financial nature, but also with objectives to be achieved in the area of sustainability, such as the development of plants for the production of steel without CO 2
emissions); any variable component of the aforementioned remuneration (fixed exclusively by short -
term decisions) is correlated to the results obtained (overall company results or those of individual product lines, compared to budget values) and does not exceed 30% of remuneration. The awarding of any additional bonuses for special commitments or achievements is decided by the Chairman, the Chief Executive Officer, with the assistance of the Human Resources Department.

On 28 October 2025, the Shareholders’ Meeting resolved to express a favorable opinion on the Second Section of the Report, with the majority of votes exercisable at the Meeting voting in favor.
