Sin dal 2010 i l Consiglio di Amministrazione della Società,
dopo aver
effettuat
o
l’
analisi
del
proprio sistema di
governance,
ha assunto la decisione di non proseguire nel
l’adesione al
Codice di
Corporate Governance
delle Società Quotate elaborato dal Comitato per la Corporate Governance costituito -
nell’attuale
configurazione
-
ad opera delle Associazioni di imprese (ABI, ANIA, Assonime, Confindustria) e di investitori professionali (Assogestioni) e da Borsa Italiana S.p.A.
,
sostanzialmente per rispondere
all’esigenza di
fruire
di
una struttura
essenziale
e dinamica
in
funzione del mercato in cui
la società
opera, rafforzando l’efficienza con un Governo Societario accentrato n egli amministratori operativi e
affidando il ruolo di sorveglianza, controllo e as sistenza a quelli non operativi
e al collegio sindacale .
Altre considerazioni che ,

Il Gruppo 3M lo incarica alla realizzazione di HW e SW per l’elettronica di controllo delle sviluppatrici automatiche di Raggi X per applicazioni medicali.

Partecipa alla progettazione di numerosi impianti e processi industriali e automazione navale, fra cui la propulsione e la stabilizzazione dinamica della SSCV Micoperi 7000, i tubifici Seamless di Siderca in Argentina e Tamsa in Messico, il tandem mill a freddo di Isfahan, in Iran, il sistema di alimentazione e propulsione per i sottomarini della Marina Militare Sud Koreana presso la Korea Takoma Marine Industries.
Matura importanti esperienze nella progettazione dei primi inverter a corrente impressa per motori asincroni in bassa tensione con potenza fino a 1MW.

Laureata in Economia Aziendale presso l’Università Luigi Bocconi con il massimo dei voti (110 summa Cum laude) e MBA -
double degree in Indiana University (Fulbright Scholar) e INSEAD, Lorenza Morandini vanta un’esperienza di oltre 30 anni alla guida di operations e aziende industriali di diverse dimensioni e complessità, sempre con un forte focus in ambito economico -
finanziario, sia in Italia che a livello internazionale.
Esperienza professionale:
Inizia la sua carriera in Bestfoods, e successivamente entra BCG (The Boston Consulting Group) sino a ricoprire il ruolo di Head of Supply Chain Practice, poi svolge il ruolo di Group Service Marketing Director presso Indesit Company, di CEO e General Manager di Service Candy Hoover e di Trade Marketing Director presso Poste Italiane.
Madrelingua italiana e inglese, è inoltre Professore Aggiunto presso la Luiss Business School e presso Luiss Guido Carli, dove insegna “Data Driven Management” e “International Operations” presso il Dipartimento di AI and Decision Making Science. In Angels4Women, associazione di Business Angel con focus sull’imprenditoria femminile innovativa, é stata la Founding Managing Director e successivamente Consigliera fino al 2024.

Nello specifico
il Comitato
supporta il Consiglio di Amministrazione e il Collegio Sindacale attraverso un’attività istruttoria, in esito alla quale formula valutazioni e/o pareri, in particolare nell’ambito della gestione dei rischi e delle politiche di sostenibilità volte ad assicurare la creazione di valore nel tempo, nonchè del monitoraggio delle iniziative internazionali in materia di sostenibilità e la partecipazione ad esse della Società, volta a consolidare la reputazione aziendale sul fronte internazionale.
Il Comitato relaziona il Consiglio periodicamente o almeno una volta all’anno entro il 31 dicembre.
Alle riunioni possono partecipare i componenti del Collegio sindacale. Su invito del Presidente del Comitato, a singole riunioni possono assistere il Presidente del Consiglio di Amministrazione e/o l’Amministratore Delegato, nonché altri amministratori. Inoltre, su invito del Presidente del Comitato, con riferimento ai singoli punti all’ordine del giorno, possono partecipare esponenti della struttura della Società competenti per materia.

Nello specifico, il Comitato si è occupato di valutare ed assistere il Consiglio di amministrazione in merito ai rischi aziendali ed al processo che ha portato alla redazione della Relazione consolidata di sostenibilità, soprattutto alla luce delle novità normative . Il Comitato ha anche incontrato il Collegio sindacale e la società di revisione Deloitte & Touche S.p.A.

Politiche in materia di diversità applicate in relazione alla composizione degli organi di amministrazione, gestione e controllo.
In ottemperanza a quanto previsto dall’art. 10 del d.lgs. 254/2016 e dall’art. 123 -
bis, comma 2, lettera d -
bis)
del TUF, vengono di seguito illustrate le politiche
applicate
dalla DANIELI in relazione alla composizione degli organi di amministrazione, gestione e controllo
in materia di diversità di genere, di età e di percorso formativo e professionale .
In materia di diversità di genere
La composizione degli organi di amministrazione, gestione e controllo rispettano le disposizioni di legge dettate dalla legge 120/2011 e della Delibera Consob n. 18098 del 2012. DANIELI ha
introdotto specifiche
previsioni nel proprio Statuto volte a garantire un’equilibrata presenza e rappresentanza dei generi all’interno
degli organi

In particolare, il Consiglio di amministrazione provvede a tenere conto della suddetta previsione sia

8. Politiche in materia di utilizzo e monitoraggio dei sistemi di intelligenza artificiale e in materia di gestione e monitoraggio dei rischi informatici e di sicurezza cibernetica
8.1 Politiche in materia di utilizzo e monitoraggio dei sistemi di intelligenza artificiale
Danieli ha adottato una specifica politica in materia di utilizzo e monitoraggio dei sistemi di intelligenza artificiale (Artificial Intelligence Policy for the Use of IT Applications at Danieli), approvata nel 2025, volta a disciplinare l'utilizzo dei sistemi di intelligenza artificiale all'interno del Gruppo, promuovendo l'innovazione tecnologica nel rispetto dei principi di sicurezza, affidabilità, trasparenza, tutela del patrimonio informativo aziendale e conformità normativa. La Policy, coerente con il Regolamento (UE) 2024/1689 (AI Act), il Regolamento (UE) 2016/679 (GDPR) e la normativa in materia di proprietà intellettuale, prevede che l'adozione di ogni soluzione di intelligenza artificiale sia preventivamente sottoposta a un processo di valutazione di conformità condotto dalla funzione ICT (Information and Communication Technology) , con il coinvolgimento delle funzioni Compliance, Legal e Risorse Umane ove necessario. Tale valutazione riguarda, tra l'altro, la finalità del sistema, la relativa classificazione del rischio, le misure di sicurezza adottate, le modalità di gestione dei dati, la tutela della proprietà intellettuale e il rispetto dei requisiti previsti dall'AI Act. Tutti i sistemi di intelligenza artificiale utilizzati sono censiti e monitorati in un apposito registro aziendale. La Policy attribuisce inoltre particolare rilevanza al principio della supervisione umana, prevedendo che i contenuti e gli output generati dai sistemi di intelligenza artificiale siano sempre verificati e validati da soggetti adeguatamente formati, che rimangono responsabili del corretto utilizzo degli strumenti e
26 della verifica dei risultati prima della loro diffusione o impiego nei processi aziendali. L'utilizzo degli strumenti di intelligenza artificiale è consentito esclusivamente mediante applicazioni autorizzate dalla funzione ICT e nel rispetto di specifiche regole sulla riservatezza, sicurezza e protezione dei dati. Sono infine previsti controlli periodici sull'osservanza della Policy, attività di formazione e sensibilizzazione del personale, nonchè specifici canali di segnalazione per eventuali violazioni.
8.2 Politiche di gestione e monitoraggio dei rischi informatici e di sicurezza cibernetica
Danieli ha adottato una specifica procedura di gestione del rischio informatico (Cybersecurity Risk Management Procedure) finalizzata all'identificazione, analisi, valutazione, trattamento e monitoraggio continuo dei rischi che possono compromettere la riservatezza, l'integrità e la disponibilità delle informazioni, dei sistemi e dei servizi ICT del Gruppo. Il modello di gestione dei rischi informatici è integrato nei processi di governance e decisionali aziendali ed è allineato ai principali standard e riferimenti normativi applicabili, tra cui ISO 31000, ISO/IEC 27001, la Direttiva (UE) 2022/2555, cd. NIS2 , il General Data Protection Regulation e l'AI Act. La procedura prevede un processo strutturato articolato nelle fasi di Business Impact Analysis, identificazione dei rischi, analisi e valutazione del rischio, definizione delle misure di trattamento e attività di monitoraggio e riesame periodico. Nell'ambito di tale processo vengono censiti gli asset ICT critici, valutate le minacce e le vulnerabilità applicabili, mantenuto un apposito registro dei rischi (Risk Register) e definiti piani di mitigazione proporzionati al livello di rischio residuo. L'attività di supervisione coinvolge il Consiglio di Amministrazione, il top management, il Chief Information Officer (CIO), il Group Chief Information Security Officer (CISO) e le funzioni ICT competenti, secondo ruoli e responsabilità formalizzati. Il monitoraggio avviene mediante controlli continuativi, analisi delle vulnerabilità, verifiche di efficacia delle misure di sicurezza, audit di conformità e riesami periodici ovvero straordinari in caso di incidenti significativi, mutamenti del contesto di rischio o introduzione di nuove tecnologie, servizi ICT o dipendenze critiche da terze parti. In tale ambito, i rischi derivanti dall'integrazione di nuove tecnologie negli assetti amministrativi, organizzativi e contabili sono sottoposti a preventiva valutazione e successivo monitoraggio nell'ambito del processo di ICT Risk Management, al fine di garantire adeguati livelli di resilienza operativa, continuità aziendale e conformità normativa.

Controllo
e Rischi
Dal 27 settembre 2010, in seguito all’emanazione del D.Lgs. 39/2010, il Collegio Sindacale ha assunto le
funzioni d

e la Revisione Contabile ”, con il compito di vigilare –
fra l’altro

sull’efficacia del sistema di controllo interno e di gestione dei rischi.
Nell’ambito dei propri compiti istituzionali previsti dalle attuali normative

Collegio Sindacale valuta il corretto utilizzo dei principi contabili e la loro omogeneità ai fini della redazione del bilancio consolidato;
esprime pareri e formula proposte su specifici aspetti inerenti l’ identificazione dei princi pali rischi aziendali,
nonché
la progettazione, realizzazione e gestione del sistema di Controllo I
nterno;
vigila sull’efficacia del processo di revisione contabile ; in tale ambito
valuta
ndo
il piano di lavoro per la revisione ed i risultati esposti
nella relazione
della Società di Revisione
e nella lettera di suggerimenti
da quest’ultima prodotta .
Non sono state previste esclusioni dal campo di operatività del Collegio Sindacale.
11 .
Sistema di controllo interno e di gestione dei rischi
Il Consiglio di Amministrazione ha definito le linee di indirizzo del sistema di controllo interno e di gestione dei rischi (di seguito il “Sistema”), comprendente un sistema di procedure tese allo svolgimento di una corretta ed efficiente gestione, nonché alla prevenzione e gestione (per quanto possibile) dei rischi di natura finanziaria e operativa a danno della Società o delle società controllate, con l’obiettivo di:

assicurare la capacità di identificare, prevenire, gestire e monitorare rischi di natura finanziaria ed operativa, nonché frodi a danno della Società;
-
accertare, per ognuna delle aree operative, l’adeguatezza dei processi e delle procedure al fine di assicurare la conformità alle direttive ed agli indirizzi aziendali;

garantire la salvaguardia del patrimonio aziendale;
-
garantire il rispetto della normativa vigente.

garantire l’attendibilità, l’accuratezza, l’affidabilità e la tempestività dell’informativa finanziaria
Il Consiglio di Amministrazione persegue il rafforzamento del sistema di controllo interno e di gestione dei rischi finalizzato, da un lato, a garantire efficienza nei processi aziendali e, dall’altro, a prevenire abusi a danno della Società e dei suoi azionisti, con l‘adozione di criteri di trasparenza e legalità.
Il Consiglio di Amministrazione ha demandato al Presidente il compito di stabilire le linee essenziali del Sistema, nell’ambito del perimetro di indirizzo definito dal Consiglio.
Al Presidente competono inoltre:

l’adattamento di tale sistema alla dinamica delle condizioni operative e del panorama legislativo e
regolamentare; nonché
-
la nomina dei soggetti incaricati di svolgere all’interno della Società le varie attività inerenti al Controllo Interno.

Compliance
A far data dal 26 settembre 2025 il Consiglio di Amministrazione ha nominato il dott. Pietro Pisanelli Group Compliance e Internal Audit Director (per la divisione Plant making) su proposta del Presidente di Danieli & C. Officine Meccaniche S.p.A.
-
con parere favorevole del Collegio Sindacale (nella veste di Comitato per il Controllo Interno).
Il Group Compliance e Internal Audit Director non è responsabile di alcuna area operativa ed ha autonomi poteri di gestione, ispezione e controllo. Egli opera in piena indipendenza rispetto alle attività oggetto di verifica e si coordina, per gli aspetti di propria competenza, con gli Amministratori Delegati e con il Collegio Sindacale, assicurando le informazioni dovute al Consiglio di Amministrazione, al Dirigente Preposto alla redazione dei documenti contabili e all’Organismo di Vigilanza.
Compliance
La Funzione Compliance è diretta dal Group Compliance e Internal Audit Director, che svolge il ruolo di Group Chief Compliance Officer e presidia il framework del Gruppo, promuovendo il rispetto delle disposizioni normative applicabili, delle regole interne e dei principi etici cui il Gruppo Danieli si ispira.
La Funzione supporta il management nell'identificazione, valutazione e gestione dei rischi di compliance, contribuendo alla diffusione di una cultura aziendale improntata all'integrità, alla trasparenza e alla responsabilità. In tale ambito, assicura il monitoraggio dell'evoluzione del contesto normativo di riferimento e supporta l'adeguamento delle procedure, delle policy e dei processi aziendali alle principali novità legislative e regolamentari.
Il Group Compliance Officer coordina i referenti locali delle società controllate appartenenti alla divisione Plant making al fine di favorire l’adozione di programmi di compliance aderenti agli standard di Gruppo e coordinare l’implementazione delle direttive emanate dalla Capogruppo e promuovere un efficace sistema di controllo sui rischi di compliance.
Per il periodo 2025/2026 la Funzione di Compliance ha:
continuato con la divulgazione all’interno del Gruppo, mediante sessioni di formazione online, del “Codice Etico del Gruppo Danieli”, della “Policy Anticorruzione del Gruppo Danieli”, della “Policy in materia di Conflitti di Interesse” e della “Policy Wistleblowing del Gruppo Danieli”;
proseguito la promozione e l’implementazione, anche mediante sessioni di formazione, della Policy di Gruppo in materia di sanzioni internazionali e restrizioni al commercio (trade controls), finalizzata ad (i) esprimere l’impegno continuo del Gruppo Danieli nel conformarsi alle normative vigenti in tale ambito e (ii) a delineare il processo che il Gruppo ha adottato per assicurare la conformità ai regimi sanzionatori applicabili nei Paesi in cui opera;
promosso la divulgazione della “Policy per la tutela e la gestione dei segreti commerciali e delle informazioni confidenziali”, attraverso specifiche iniziative di formazione on line;
28 supportato la Capogruppo e le società controllate nella predisposizione e revisione della normativa interna e nell’organizzazione di attività formative in materia di anticorruzione, trade compliance e regimi sanzionatori
internazionali;
continuato il presidio del framework normativo interno, assicurandone l'aggiornamento, la diffusione e la corretta applicazione all'interno del Gruppo.
Internal Audit
La Funzione Internal Audit opera sulla base del mandato approvato dal Consiglio di Amministrazione, nel quale sono definiti finalità, autorità, responsabilità e ambito di operatività della Funzione stessa.
La Funzione è diretta dal Group Compliance e Internal Audit Director che svolge il ruolo di Global Chief Audit Executive per la divisione Plant Making del Gruppo Danieli ed è responsabile di assicurare lo svolgimento di attività indipendenti e obiettive di assurance e advisory finalizzate a valutare e contribuire al miglioramento dell'efficacia dei processi di governance, risk management e controllo interno.
L’obiettivo della Funzione Internal Audit è fornire una valutazione indipendente sull'adeguatezza e sull'efficacia del Sistema di Controllo Interno e Gestione dei Rischi, dei processi di governance e dei principali processi aziendali della Capogruppo e delle società controllate.
La Funzione Internal Audit svolge attività indipendenti ed obiettive di assurance e advisory, volte a supportare il Consiglio di Amministrazione, il Collegio Sindacale, gli Amministratori Delegati, gli altri organi di controllo e il management nel conseguimento degli obiettivi aziendali attraverso un approccio sistematico e disciplinato, , contribuendo alla tutela del patrimonio aziendale, all’affidabilità delle informazioni, alla conformità normativa e al miglioramento continuo dei processi operativi.
Le attività della Funzione Internal Audit sono descritte annualmente all’interno del Piano di Audit condiviso e concordato con il Collegio Sindacale. Il Piano è definito secondo un approccio risk based, previa consultazione anche con gli Amministratori Delegati, il Dirigente Preposto alla redazione dei documenti contabili e l’Organismo di Vigilanza.
La Funzione Internal Audit dispone di pieno, libero e tempestivo accesso a dati, informazioni, documenti, sistemi, persone e beni aziendali necessari allo svolgimento delle attività di audit, nel rispetto dei principi di riservatezza, integrità e protezione delle informazioni trattate.
Attraverso la propria attività di reporting, la Funzione Internal Audit fornisce agli organi di governance una valutazione indipendente sul livello di presidio dei rischi aziendali e sullo stato di attuazione delle azioni correttive concordate con il management. In particolare, periodicamente la Funzione Internal Audit
predispone:
report contenenti le risultanze delle verifiche svolte, le valutazioni sui rischi rilevati, le eventuali carenze del Sistema di Controllo Interno e Gestione dei Rischi e le relative azioni correttive concordate col management;
tali report vengono condivisi con gli organi di goverrnance e controllo competenti;
relazioni su eventi di particolare rilevanza, tempestivamente trasmesse al Collegio Sindacale e agli Amministratori Delegati e, ove opportuno, al top management interessato, all’Organismo di Vigilanza e al Dirigente Preposto alla redazione dei documenti contabili societari.
Per il periodo 2025/2026 il Piano di audit triennale, così come approvato dal Consiglio di Amministrazione del 14 maggio 2024, ha previsto attività di audit di natura operativa su taluni processi presso la controllante e le società controllate italiane ed estere.
La Funzione di Internal Audit ha, inoltre, fornito supporto all’Organismo di Vigilanza della Capogruppo nello svolgimento di specifiche attività di verifica relative all’attuazione e all’efficacia del Modello 231.
Le risultanze delle attività svolte dalla Funzione di Internal Audit sono state riepilogate all’interno di specifici report e condivise con le Funzioni aziendali coinvolte, con le quali sono stati in aggiunta definiti, ove necessari, piani di azione finalizzati al superamento delle criticità rilevate e al complessivo miglioramento del sistema di controllo interno e di gestione dei rischi.
La Funzione Internal Audit svolge inoltre attività di follow -
up finalizzate a verificare l'effettiva attuazione e l'efficacia delle azioni correttive concordate con il management.

Presidio per i controlli ex l
. 262/2005
Ai sensi e per gli
effetti della
l . 262/2005, in
DANIELI
opera un presidio di vigilanza sulle funzioni aziendali, finalizzato a verificare l’osservanza delle procedure aziendali relative alla redazione delle scritture contabili.
Nello specifico, ogni anno il presidio di vigilanza pianifica ed esegue una serie di controlli utilizzando i
29 seguenti tre metodi, che possono essere addottati individualmente o in forma combinata tra loro, a seconda del caso preso in esame:
1. indagine probatoria (intervista dell’addetto in merito alla procedura);
2. osservazioni (affiancamento dell’addetto durante l’esecuzione delle operazioni oggetto di controllo);
3. esame dei documenti raccolti a seguito del test.
Il presidio di vigilanza utilizza il software “Tesi GRC” per registrare e monitorare nel tempo l’esito dei test.
Al pari di quanto avviene in altre imprese italiane operanti nel settore dell’impiantistica industriale, il presidio riporta al Dirigente Preposto alla redazione delle scritture contabili.
Annualmente il Collegio Sindacale chiede evidenza dei risultati sui controlli effettuati.

Organismo di Vigilanza
Ai sensi e per gli effetti del d.lgs. 231/2001, sin dal 2005 la Società ha adottato un Modello di Organizzazione, Gestione e Controllo.
L ’Organismo di Vigilanza (OdV), deputato a vigilare sull’aggiornamento e l’osservanza del modello, è composto dal dott. Giuseppe Alessio Vernì, Presidente, dall’avv. Gianluca Buoro e dal dott. Pietro Pisanelli.
Nel corso del periodo, considerando le attività svolte fino a giugno 2026, sono state svolte le seguenti
principali attività:

Preamble
In 2010, after examining its governance system, the company’s Board of Directors decided not to continue to adhere to the Corporate Governance Code for Listed Companies issued by the Corporate Governance
Committee established
-
in its current configuration -
by Associations of companies (ABI, ANIA, Assonime, Confindustria) and of professional investors (Assogestioni) and by the Italian Stock Exchange “Borsa Italiana S.p.A.” This decision was due primarily to the need to have a basic, dynamic structure that is better suited to the market in which the company operates, to enhance efficiency by assigning the task of Corporate Governance to the executive directors, and to entrust the monitoring, control and assistance functions to the non -
executive directors and to the board of statutory auditors. Other considerations that at the time influenced this decision were:
-
the existence of a majority shareholder that (at the time) was represented by a Chairman who was also Chief Executive Officer;
-
a Board of Directors composed of five members (at the time), only one of which was independent;
-
the absence of internal committees on the board of directors with the exception of the Executive
Committee
-
which at the time was made up of 3 executive directors -
and which meets only in unscheduled cases when urgent decisions need to be made.
The Board of Directors, which today has changed from the past with the introduction of a greater number of independent directors and varied competencies, confirms its status of non -
adherence to the Code, leaving
the duties
–
which would theoretically be assigned to the internal committees, except for risks and sustainability, which are entrusted to a specially established committee –
under the coordination of its Chairman (who is also responsible for company operations) and of two Chief Executive Officers. However, in sharing the spirit of transparency and fairness that characterizes the provisions of the Self -
Regulatory Code,
the Board of Directors has drawn up this report on Corporate Governance, which summarizes the practices the company actually follows, in accordance with current legislation and regulations.

1.
Issuer’s Profile
The Group, whose parent company is Danieli & C. Officine Meccaniche S.p.A. (hereinafter referred to as DANIELI or the Company), has its main operating companies in Italy, the United States, The Netherlands, Germany, Sweden, the United Kingdom, France, Spain, India, Thailand, China, Vietnam, Austria and Japan.
It designs, manufactures and installs machines and plants for the metallurgical industry –
including “turnkey”
plants
–
using technologies and products which cover the entire production cycle, from ore processing to finished steel products in a wide range of types and sizes.
Specifically, DANIELI, with more than 90% of its sales in foreign markets, employs about 2,401 people (10,088 for the Group)
and is one
of the top three companies in the world for both the manufacture and the design of plants and machines for the metallurgical industry; it places particular emphasis on the concepts of sustainability (“SustSteel”) and “Recycling” of steel in the field of EAF -
based minimills; it is second in the world in the manufacture of plants for the production of flat products, and, finally, world leader in the manufacture of plants for the production of long products.
The Danieli Group is also directly involved in the making of long steel products, through Acciaierie Bertoli Safau S.p.A. (ABS) in Italy and ABS Sisak d.o.o. in Croatia (special steels for the following industries:
automotive, heavy equipment, mechanical engineering, energy and petroleum).
DANIELI has implemented a Governance and Internal Control System to deal with complex business situations both domestically and internationally, in the interest of the stakeholders and the communities in which the company operates,
The company encourages compliance with standards of efficiency and safety, and demands commitment, responsibility and adherence to these principles at all levels of its organization.
DANIELI’s personnel is required to comply with the national and supranational laws and regulations in force in Italy and abroad, particularly observing the transparency and the ethical principle according to which the belief of acting for the benefit of the company cannot in any way justify
behaviour
that is in conflict with these binding laws and regulations.
DANIELI has adopted a traditional administration and control system and is therefore governed by a Board of Directors, whose Chief Executive Officer 1
also represents the majority shareholder (Sind International s.r.l.).

The corporate by -
laws do not provide for any employee shareholding programs.

except those provided for by law.

Increased Voting Rights
On 28 October 2020, the Shareholders approved the modification of art. 7 of the corporate by -
laws and the implementation of an increased voting right mechanism where each ordinary share grants a double vote (so, two votes for each share) in the event that the following conditions are met:
a) the share has been held by the same individual, by virtue of a right in rem legitimating the exercise of the voting right (full ownership with voting right or bare ownership or beneficial interest with voting right) for a continuous period of at least 24 months;
b) the recurrence of the requirement under letter a) is certified by the permanent registration, for a period of at least 24 months, in the special list created specifically for the purpose and governed by this article.
On 5 June 2023, the increase in voting rights in respect of n. 27,681,459 ordinary shares, and, on 4 March 2026, the increase in voting rights in respect of n. 250,877 ordinary shares became effective, in accordance with art. 127 -
quinquies of TUF and in application of the provisions of the by -
laws and of the Regulations on Increased Voting Rights.

Powers to Increase Share Capital and Authorizations to Purchase Own Shares up to 30 June

Pursuant to art. 2443 of the Civil Code, the Board of Directors has the power to increase the share capital, either all at once or gradually, up to a total maximum amount of euro 100,000,000, through the issue of ordinary and/or savings shares to be allocated free of charge to the assignees and/or to be offered as a payment option, with the right to set aside a portion of the shares being issued -
within the limits of the law -
for the directors and employees of the company and/or its subsidiaries. Pursuant to art. 2420 ter of the Civil Code, the Board of Directors also has the power to issue bonds –
including convertible bonds –
up to a maximum amount of 150,000,000 euro.
These powers were renewed for an additional five -
year term by the shareholders during the extraordinary meeting held on 28 October 2025.
As far as own shares are concerned, for the year ended 30 June 2026, the Company held a portfolio of 4,511,571 ordinary shares amounting to 11.03% of ordinary share capital, and 5,220,254 savings shares amounting to 12.91% of savings share capital.
During the shareholders’ meeting held on 28 October 2025, the Board of Directors was authorized to purchase and sell the company’s ordinary and savings shares in compliance with current regulations and according to the board’s prudent assessment, under the following conditions:
a) except in very unusual cases, the purchase and sale of shares are subject to a Board of Directors' resolution and must fall within the limits allowed by the current pro tempore rules; they must take place in
8 regulated markets based on their quotations in these markets, according to the terms agreed with the market management company allowing compliance with the principle of equal treatment of shareholders pursuant to art. 132 of TUF;
b) considering the number of ordinary and savings shares currently in the portfolio and any shares in the portfolio of subsidiaries, under no circumstances shall the value of the shares exceed one fifth of the share capital, without prejudice to the provisions of Article 2357, paragraph 3, of the Italian Civil Code;
c) the authorization will be valid until the shareholders' meeting to approve the financial statements for the year ended 30 June 2026, and in any case not after 30 November 2026;
d) the minimum and maximum purchase prices for both categories of shares will be set at a unit price between +20% and -
20% of the official stock exchange price on the day preceding the one on which the transaction takes place;
e) the sale price of the shares in item d) and of those currently in the portfolio shall not be less than their stock exchange value at the time of the sale.

Although it is controlled by another company (Sind International S.p.A.), the Company is not subject to management and coordination by this company pursuant to art. 2497 and subsequent articles of the Civil Code; it is in fact DANIELI which manages and coordinates its direct and indirect subsidiaries. Board of Directors
4.1
Appointment and Replacement
The company boards were appointed during the shareholders’ meeting of 25 October 2024, taking into account the provisions of Law n. 120 of 12 July 2011, which introduced the concept of gender balance.
Their term in office will naturally expire with the closing of the financial statements for the year ending 30 June 2027.

Each shareholder is allowed to submit one list.

The lists must contain a number of progressively listed candidates, which cannot exceed the maximum number of members to be elected; they must also indicate which directors possess the independence requirements established by law and the by -
laws. If the names of at least three candidates are submitted, the number of candidates of the gender that is inferior in number on the list must comply with the minimum quota established by current legislation on gender balance.

Each candidate can only appear on one list, under penalty of being declared ineligible.
At least one of the members of the Board of Directors, or two if the Board is made up of more than 7 members, must possess the requirements of independence established by law for auditors as per art. 148, paragraph 3 of TUF.
Furthermore, pursuant to art. 147 -
quinquies of TUF, individuals performing administrative and managerial duties must possess the same good standing as the members of the boards of auditors, in compliance with the Regulation issued by the Ministry of Justice pursuant to art. 148, paragraph 4 of TUF, under penalty of forfeiting their position.
Together with each list, which must indicate the name of the proposing shareholders and the total amount of shares they hold, the following documents must be submitted, or the list will not be accepted:

One of the members of the Board of Directors is from the list of minority shareholders which obtained the largest number of votes and that is not in any way connected, not even indirectly, with shareholders who have submitted or voted for the list which received the highest number of votes.
Each shareholder has the right to vote for only one list.
Depending on the number of members decided by the shareholders and in numerical order, the candidates on the list which receives the highest number of votes will be elected, with the exception of one, who will be the first candidate elected in numerical order from the list that received the second highest number of votes.
If the procedure described above does not comply with the law on gender balance, instead of the last candidate of the gender that is superior in number on the list of the majority shareholder, the next candidate elected will be of the gender that is inferior in number from the same list.
If only one or no list is submitted, and to appoint the directors required to complete the Board of Directors, the shareholders will deliberate by relative majority, provided this is in compliance with the law on gender balance.
The directors will hold office for three years; they can be re -
elected and their term in office will expire on the date of the meeting called to approve the annual report for the last financial year in which they were in office.
In the case of resignation, revocation or dismissal of the majority of directors appointed to office, the entire board will be dismissed.
If during the year one or more directors pass away, the board will temporarily replace them by passing a resolution approved by the Board of Statutory Auditors, provided that the majority continues to be made up of directors appointed by the shareholders as per art. 2386 of the Civil Code, and provided that the law on gender balance is complied with.

Succession Plans
The Company does not have a specific succession plan in the case of early replacement of an executive director; the Board of Directors will be asked to make a decision on this matter.
As regards the corporate organization on the whole, an outline of management figures prepared by the Department of Human Resources provides, for each “key” role, figures of a suitable professional level, who at any time would be able to take on the role of the executive to be replaced. Moreover, the Department of Human Resources has adopted new methods to apply to personnel recruitment, facilitating the identification and enrichment of specialized professionals within the company, undertaking to increase the continuous training of personnel through periodical verification of performance, thus ensuring excellent levels of competence.

The Board of Directors complies with the ex lege requirement of gender balance. Its executive directors include key figures within the Group, who have earned respect by holding more and more important positions with increasing degrees of responsibility; coming from different educational backgrounds, they are able to increase efficiency for the purpose of running the company businesses in a profitable manner.
Generational factors have also been taken into account, bringing in younger Board members -
together with
more experienced figures –
who have a less traditional and more innovative vision. The Board also includes three independent directors, two with a university background and the other from the field of domestic and
11 international consulting on commercial and managerial matters.
Thanks to the contribution of the independent directors, the Board feels it possesses effective tools to successfully face the challenges that await the company in the future.

Danieli’s executive directors received their professional training within the Danieli Group, gradually acquiring greater skills in the field of business in which the company and its subsidiaries operate; they attend the frequent meetings called by the Chairman who also promotes numerous initiatives (events, congresses, management training courses, etc.) in order to enhance corporate dynamics, their evolution, the regulatory framework and corporate ethics. The independent directors may also take part in these initiatives.
4.3
Function of the Board of Directors
During the year ended 30 June 2026, the Board of Directors met five times.
The average duration of the meetings was about two hours.
For the current year (2025/26), considering that the requirement to publish pre -
approved interim reports has been repealed, two meetings have been scheduled to approve the financial data, one of which was held on 25 September 2026; however, the Board feels it should meet regularly also to examine the interim financial data and in any case any time the Chairman deems it necessary.
The Chairman of the Board of Directors will make sure that all the Directors and Auditors receive the information and documentation needed for informed decision -
making, sufficiently in advance. If the items on the agenda require particular explanations or details, executives from the Parent Company or from Group companies as well as department managers may also be invited to attend the meetings, after having been given sufficient advance notice.
Rarely during the meetings are topics discussed without having first provided the pertinent information.
The Board of Directors examines and approves the strategic, industrial and financial plans of the company and the Group, and ensures they are implemented; it is also responsible for setting up a Corporate Governance system for Danieli and for organizing the Group under the Parent Company.
The Board of Directors assesses the suitability of the general organizational, administrative and accounting structure of the company set up by the executives, with particular reference to the internal control and risk management system. Major transactions reported by the Head of Internal Audit are examined by the Board of Statutory Auditors, the Independent Directors or the Supervisory Committee, as the case may be.
In performing the control and coordination of the subsidiary companies’ operations, the Board of Directors also assesses the suitability of the organizational, administrative and general accounting systems set up by the Executive Directors of the subsidiaries, with particular reference to the Internal Control and risk management system. The results produced by the organizational, administrative and accounting structure are then verified in practice by the monitoring bodies and the Supervisory Committee –

The Board examines the general performance of operations by considering the information provided by the delegated bodies and by periodically comparing actual and planned results, with the possibility of requesting additional information or clarifications in order to properly evaluate the facts submitted to the board for discussion.
According to the Code for Transactions with Related Parties (approved by the Board of Directors on November 12, 2010, subsequently modified on November 14, 2012 and updated in the light of the amendments of the Consob Regulation on December 10, 2020, adopted with Resolution no. 17221 dated March 12, 2010) the Board of Directors is responsible for first examining and approving:

the most significant transactions of the Company and its subsidiaries, if these transactions have considerable strategic, economic, capital and financial importance for the company;
-
transactions of the Company and its subsidiaries
in which one or more directors has an interest, either for himself or on behalf of third parties.
To this end, the Code, in line with the Consob regulation for the sector, states that transactions with related parties must be recorded and divided into transactions involving small amounts -
setting a threshold of 0.5
million euro

and into minor and major transactions, determining for the latter specific identification parameters.
All extraordinary financial transactions are explained to the Directors by the Chairman and examined and commented on in detail at each meeting of the Board of Directors.
The shareholders have not authorized any exceptions to the non -
competition clause for directors, either for themselves or for third parties, pursuant to art. 2390 of the civil code.
Self
-
assessment
At the end of each financial year, the Board of Directors assesses the size, composition and operation of the Board and the Executive Committee; this assessment is based on the Directors’ replies to a questionnaire sent to them sufficiently in advance. The questionnaire is reformulated annually taking into consideration numerous aspects such as the composition of the Board, the professional characteristics of the directors and how long they have been in office.
The replies are collected anonymously by the Department of Corporate Affairs and examined and commented on by the Independent Directors; for the year that just ended, the Board assessed its merits after the Board of Statutory Auditors also expressed its opinion.
In conclusion, the assessment of the suitability, efficiency and operation of the board was positive for fiscal 2025/2026 as well.
4.4
Delegated Bodies
Executive Directors
Of the ten directors in office until 30 June 2026, four have executive powers, namely:

the Chairman and Head of Administration and Finance, Mr. Alessandro Brussi, who is responsible for the Company’s accounting, administration and finance; in operations that are financially binding for the company, his signature is required together with the signature of other directors and/or attorneys if the limits prudentially established by the Board of Directors are exceeded;

the Vice Chairwoman, Ms. Camilla Benedetti, who may act as signatory or representative of the company if the Chairman is absent or unable to act. Ms. Benedetti has also been given sufficient powers as head of the Human Resources Department and co -

the Chief Executive Officers, Mr. Giacomo Mareschi and Mr. Rolando Paolone, who have been given the same wide -
ranging powers for all commercial and plant -
related activities, with major transactions to be concluded with the joint signature of other directors.
Chairman of the Board of Directors
The Chairman is mostly responsible for running the Company and for developing company and Group strategies.
All the powers of the Board of Directors have been conferred on the Chairman, with the exception of those that cannot be delegated by law, and those concerning safety and environmental protection; this is, however, without prejudice to the obligation of reporting to the Board of Directors.
The Company by -
laws assign signing power and company representation on legal and other matters to the Chairman of the Board of Directors, and to the Vice Chairwoman if the former is absent or unable to act.
Nonetheless, decisions by the company boards are preferred whenever possible.
Executive Committee
The Executive Committee has all the powers of the Board of Directors, with the exception of those that cannot be delegated by law or by the corporate by -
laws, and is obligated to report its decisions to the Board of Directors at the first subsequent meeting.
It is composed of three members: the Chairman, Mr. Alessandro Brussi, Mr. Rolando Paolone and Mr.
Giacomo Mareschi Danieli.
The Executive Committee meets to deal with operating emergencies; the members of the Board of Legal Auditors are always invited to attend these meetings.
Only one meeting was held during the year ended 30 June 2026.
Reporting to the Board
The executive directors report to the Board of Directors on the most significant transactions carried out or to be carried out by virtue of their powers.
4.5
Independent Directors
Of the ten members of the Board of Directors in office until 30 June 2026, Ms. Cecilia Metra, Ms. Lorenza Morandini and Ms. Barbara Falcomer possess the requirements of independence –
as regards the company, the directors and the management of the company –
specified in art. 148, paragraph 3 of the Consolidated Law on Finance. The existence of the above -
mentioned prerequisites was examined and confirmed by the Board of Directors, and declared by the concerned parties during their appointment by the shareholders on 25 October 2024.
Moreover, the Board of Statutory Auditors, which ensures that the rules of corporate governance are properly implemented, has also verified that the criteria and procedures used by the Board of Directors to assess the independence of its members were properly applied, and has confirmed that the Independent Directors possess these requirements.
The independent directors regularly take part in board activities, and during the year they also met as independent directors; they also invite other directors to attend these meetings.
The purpose of these meetings is to deal with the issues concerning the challenges that the company must or can face in the future to maintain and consolidate its position on the international market. Moreover, during the meetings, the documents, procedures and processes to be discussed by the Board of Directors (previous or imminent) are examined, in order to debate or delve into matters that concern the company, thus also allowing the Independent Directors to fully understand them.
The Independent Directors meet as often as is considered necessary to perform their duties, as no meeting schedule is drawn up for each fiscal year.

are also part of the Risk and Sustainability Internal Board Committee.
5.
Handling of Corporate Information
Dealing with corporate information is the responsibility of the Chairman.
Relations with financial analysts and institutional investors are coordinated by the Chairman through the “Investor Relations” department.
Press releases concerning resolutions approving the half -
yearly and yearly results, as well as any extraordinary transactions, are generally first submitted to the Board of Directors for approval.
Pursuant to art. 115 -
bis of the TUF, on 1 April 2006, the Company set up a “List of people with access to Inside Information”, which is periodically updated.
Following the coming into force on 1 July 2016, of the European MAR (EU regulation n. 596/2014), during
the 2015

16 year the company drew up and adopted a “Procedure on keeping a list of people with access to inside information”, in the format specified in Implementing Regulation (EU) 2016/347 (ITS 347), for the purpose of monitoring the dissemination of sensitive news before it is made public, and to prevent the crimes stated in Legislative Decree 231/2001 from being committed. During the 2019/20 tax year, this Procedure was changed to the “Procedure to Manage Relevant and Inside Information”.
The list is divided into sections (one for each piece of Inside Information) and contains only details on individuals with access to the specific Inside Information on the list (“Single Section”).

Risk and Sustainability Committee
In addition to the Executive Committee, on 14 December 2022 the Board of Directors appointed the Risk and Sustainability Committee, whose members were renewed by the Board of Directors on 25 October 2024.

Specifically, the Committee supports the Board of Directors and the Board of Statutory Auditors through preliminary analyses, as a result of which it formulates assessments and/or opinions, particularly in the area of risk management and sustainability policies aimed at ensuring the creation of value over time, as well as monitoring international sustainability initiatives and the Company's participation in them, aimed at consolidating the Company's international reputation. The Committee reports to the Board periodically or at least once a year by 31 December.
The members of the Board of Statutory Auditors may attend the meetings. At the invitation of the Chairman of the Committee, the Chairman of the Board of Directors and/or the C.E.O., as well as other Directors may attend individual meetings. In addition, at the invitation of the Chairman of the Committee, with reference to individual items on the agenda, representatives of the Company structure competent for the subject -
matter
may attend the meetings.
During the financial year 2025/26, the Committee met five times and in the performance of its functions it had access to the information and corporate functions necessary for the performance of its duties and may also avail itself of expert advisors in accordance with the budget approved by the Board of Directors.
Specifically, the Committee has been responsible for evaluating and assisting the Board of Directors with regard to corporate risks and the process leading to the drafting of the Consolidated Sustainability Report, particularly in light of regulatory developments. The Committee also met with the Board of Statutory Auditors and the auditing firm Deloitte & Touche S.p.A.
As regards the remuneration of directors vested with particular responsibilities, the Independent Directors will make proposals that are in line with market practices, and the decisions are then made collectively with the approval of the Board of Statutory Auditors.
Also as regards the appointments and the policies concerning the demographic composition of corporate boards, it is the entire Board of Directors that makes the decisions of the Appointments Committee, currently not established. The opinion of the Independent Directors and of the Board of Statutory Auditors is given ample consideration.
The duties of the Appointments Committee and the Remuneration Committee are therefore the responsibility of the entire Board of Directors under the coordination of the Chairman.
7.
Policies applied in relation to the composition of administrative, management and supervisory boards.
Pursuant to art. 10 of Legislative Decree 254/2016 and art. 123 -

The composition of the board of directors, management and supervisory boards complies with the legal provisions of law 120/2011 and Consob resolution 18098 of 2012. DANIELI has introduced specific dispositions to its by -
laws to ensure a balanced presence and representation of genders on company boards.

Training and professional background
The academic background of company board members is primarily in the fields of economics and engineering. These specializations are in line with DANIELI’S business.
DANIELI encourages and promotes continuous training and education on topics that have major significance for the Group, through the Induction Program training sessions (ref. Paragraph 4.2 of this report), and during the meetings of the Board of directors.
After examining the above facts, it is clear that on the company boards there is a mixture of professions, experience and points of view that are capable of comprehending the needs of the current and future operations of the Company and the Group, the risks, nature and complexity of the company and of the segment in which it operates, as well as the opportunities to seize in the medium -

8. Policies on the use and monitoring of artificial intelligence systems and on the management and monitoring of IT and cybersecurity risks
8.1 Policy on the use and monitoring of artific i al intelligence systems
Danieli has adopted a specific policy on the use and monitoring of artificial intelligence systems (Artificial Intelligence Policy for the Use of IT Applications at Danieli), approved in 2025. This is aimed at governing the use of artificial intelligence systems within the Group, while promoting technological innovation in accordance with the principles of security, reliability, transparency, protection of corporate information assets, and regulatory compliance. The Policy is in accordance with Regulation (EU) 2024/1689 (AI Act), Regulation (EU) 2016/679 (GDPR), and the legislation concerning intellectual property, and provides that the implementation of any artificial intelligence solution must undergo a prior conformity assessment process carried out by the ICT (Information and Communication Technology) function, involving Compliance, Legal and Human Resources functions where necessary. Such assessment concerns, among other aspects, the purpose of the system, the related risk classification, the security measures adopted, data management methods, intellectual property protection and compliance with the requirements set out in the AI Act. All artificial intelligence systems used are recorded in and monitored through a dedicated company register. The Policy also places particular emphasis to the principle of human oversight, requiring that any contents and outputs generated by artificial intelligenc e
systems always be checked and validated by adequately trained personnel, who remain responsible for the proper use of such tools and for verifying the results before they are disclosed or used in company processes. The use of artificial intelligence tools is allowed exclusively through applications authorized by the ICT function and in compliance with specific rules relating to confidentiality, security and data protection. The Policy further provides for periodic controls of compliance, training and awareness -
raising activities for personnel, as well as specific reporting channels for any breaches.
8.2 Policy on the management and monitoring of IT and cybersecurity risks
Danieli has adopted a specific Cybersecurity Risk Management Procedure aimed at identifying, analysing, assessing, treating and
continuously
monitoring risks that may compromise the confidentiality, integrity and availability of the Group’s information, ICT systems and services. The cybersecurity risk management framework is integrated into the Company’s governance and decision -
making processed and is aligned with the main applicable standards and regulatory requirements, including ISO 31000, ISO/IEC 27001, Directive (EU) 2022/2555 (NIS2), the General Data Protection Regulation and the AI Act. The procedure establishes a structured process consisting of the following phases: Business Impact Analysis, risk identification, risk
26 analysis and assessment, definition of risk treatment measures, and monitoring and periodic review activities. As part of this process, critical ICT assets are recorded, applicable threats and vulnerabilities are assessed, a dedicated Risk Register is maintained, and
mitigation
plans proportionate to the level of residual risk are defined. The oversight process involves the Board of Directors, top management, the Chief Information Officer (CIO), the Group Chief Information Security Officer (CISO), and the competent ICT functions, in accordance with formally defined roles and
responsibilities
. Monitoring is carried out through continuous controls, vulnerability analysis, verification of the effectiveness of security measures, conformity audits, and periodic or extraordinary reviews in the event of significant incidents, changes in the risk context, or the introduction of new technologies, ICT services or critical third -
party dependencies. In this context, risks resulting from the integration of new technologies into the Company’s administrative, organizational and accounting structures are subject to prior assessment and subsequent monitoring within the ICT Risk Management process, in order to ensure suitable levels of operational resilience, business continuity and regulatory compliance.

10. Control and Risks
As of 27 September 2010, following the issuing of Legislative Decree 39/2010, the Board of Statutory Auditors has taken on the role of “Internal Control and Auditing Committee”, for the purpose of monitoring –
among other things -
the effectiveness of the internal control and risk management system.
Within the scope of its institutional responsibilities as specified in current legislation, the Board of Statutory Auditors ensures that the accounting standards are applied properly and that they are homogeneous for the purposes of drawing up the consolidated financial statements; it expresses opinions and makes proposals on specific aspects concerning the company’s main risks, as well as on the organization, execution and management of the Internal Control system; it monitors the effectiveness of the auditing process; it assesses the work plan for auditing and the results shown in the external auditor’s report and in the letter of suggestions submitted by the latter.
No exclusions from the operating scope of the Board of Statutory Auditors have been envisaged.
11.
Internal Control and Risk Management System
The Board of Directors has set out the guidelines of the internal control and risk management system (hereinafter the “System”), including a system of procedures to ensure proper, efficient management, as well as to prevent and manage (as much as possible) risks of a financial and operational nature, which could be detrimental to either the Company or its subsidiaries, for the purpose of:
-
identifying, preventing, managing and monitoring risks of a financial and operational nature, including fraud, which could be detrimental to the Company;
-
ascertaining, for each operating area, the suitability of the processes and procedures in order to ensure compliance with company directives and guidelines;
-
ensuring that company assets are safeguarded;
-
ensuring compliance with current legislation;
-
ensuring trustworthiness, thoroughness, reliability and promptness in financial reporting.
The Board of Directors continues to strengthen the internal control and risk management system to ensure, on the one hand, that company processes run efficiently, and on the other hand, to prevent abuses that are detrimental to the company and its shareholders, by adopting criteria of transparency and legality.
The Board of Directors has assigned to the Chairman and CEO the task of establishing the essential points of the System within the scope of the guidelines established by the Board.
The Chairman is also responsible for:

adapting this system to the operating conditions and to the legislative and regulatory framework; and

appointing the officers in charge of carrying out Internal Control activities within the Company.

11.1 Internal Audit and Compliance Function
On 26 September 2025, the Board of Directors appointed Mr. Pietro Pisanelli as Group Compliance and Internal Audit Director (for the plantmaking division) on a proposal by the Chairman of Danieli & C. Officine
Meccaniche S.p.A

with the approval of the Board of Statutory Auditors (as Internal Control and Auditing Committee).
The Group Compliance and Internal Audit Director is not responsible for any operating area and has autonomous management, inspection and control powers. He operates in full independence from the activities subject to review and coordinates, within the scope of his responsibilities, with the Chief Executive Officers and the Board of Statutory Auditors, providing the information due to the Board of Directors, the Officer in charge of preparing the accounting documents and the Supervisory Committee.
Compliance
The Compliance Function is managed by the Group Compliance and Internal Audit Director, who serves as Group Chief Compliance Officer and oversees the Group’s framework, promoting compliance with applicable regulatory provisions, internal rules and the ethic principles on which Danieli Group is based.
The Function supports management in identifying, assessing and managing compliance risks, fostering a corporate culture based on integrity, transparency and responsibility. In this context, the Function monitors developments in the relevant regulatory framework and supports the alignment of corporate procedures, policies and processes with major legislative and regulatory changes.
The Group Compliance Officer coordinates the local contacts of the subsidiaries belonging to the plantmaking division in order to foster the adoption of compliance programs that adhere to the Group’s standards, coordinate the implementation of directives issued by the Parent Company, and promote an effective compliance risk control system.
For the period 2025/2026, the Compliance Function has:
continued with the dissemination within the Group, through online training sessions, of the “Danieli Group Code of Ethics”, of the “Danieli Group Anticorruption Policy”, of the “Policy concerning conflicts of interests” and of the “Danieli Group Whistleblowing Policy”;
continued the promotion and implementation, also by means of training sessions, of the Group Policy concerning international sanctions and trade controls, the purpose of which is (i) to express the ongoing commitment of the Danieli Group to comply with current regulations in this regard and (ii) to outline the process that the Group has adopted in order to ensure compliance with the sanctions systems in force in the countries in which it operates;
promoted the dissemination of the “Policy for the protection and management of trade secrets and confidential information” through specific online training initiatives;
supported the Parent Company and subsidiaries in drafting and revising internal rules and organizing training courses on anti -
corruption, trade compliance and international sanctions regimes;
continued to oversee the internal regulatory framework, ensuring its updating, dissemination and proper implementation within the Group;
Internal Audit
The Internal Audit Function operates on the basis of a mandate approved by the Board of Directors which establishes the objectives, authorities, responsibilities and scope of operation of the Internal Audit Function.
The Function is managed by the Group Compliance and Internal Audit Director, who serves as Global Chief Audit Executive for the Danieli Group’s Plant Making division and is responsible for ensuring the performance of independent and objective assurance and advisory activities aimed at assessing and contributing to the improvement of effective governance, risk management and internal control processes.
28 The main goal of the Internal Audit Function is to provide an independent assessment on the adequacy and effectiveness of the Internal Control and Risk Management System, of the governance processes and of the main corporate processes of the Parent Company and its subsidiaries.
The Internal Audit Function performs independent and objective assurance and advisory activities aimed at supporting the Board of Directors, the Board of Statutory Auditors, the Chief Executive Officers, the other auditing bodies and the management in achieving the company targets through a systematic and disciplined approach, while contributing to the safeguarding of company assets, the reliability of information, regulatory compliance and the continuous improvement of operational processes.
The activities of the Internal Audit Function are described annually within the Audit Plan shared and agreed upon with the Board of Statutory Auditors. The Audit Plan is defined according to a risk -
based approach after consultation also with the Chief Executive Officers, the Officer in charge of preparing the accounting documents and the Supervisory Committee.
The Internal Audit Function has full, free and timely access to company data, information, documents, systems, people and assets necessary to perform audit activities in compliance with the
principles
of confidentiality, integrity and protection of the information handled.
Through its reporting activity, the Internal Audit Function provides the governance bodies with an independent assessment of the effectiveness of the Company’s risk oversight and the status of implementation of the corrective actions agreed upon with management. In particular, the Internal Audit Function periodically prepares:
reports containing the results of the audits performed, assessments of identified risks, any shortcomings of the Internal Control and Risk Management System and the related corrective actions agreed upon with management. Such reports are shared with the competent governance and auditing bodies;
reports on events of particular importance. These reports are promptly transmitted to the Board of Statutory Auditors and the Chief Executive Officers and, where appropriate, to the top management concerned, to the Supervisory Body and to the Manager in charge of preparing the corporate accounting documents.
For the period 2025/2026, the three -
year audit plan, as approved by the Board of Directors on 14 May 2024, provided for audits of an operational nature on certain processes at the parent company and the Italian and foreign subsidiaries.
Moreover, the Internal Audit Function provided support to the Supervisory Committee of the Parent Company in carrying out specific control activities with respect to the implementation and effectiveness of Model 231.
The results of the activities carried out by the Internal Audit Function were summarized in specific reports and shared with the corporate Functions involved with which, where necessary, Action Plans were also defined to address the issues identified and improve the overall Internal Control and Risk Management System.
Dedicated follow
-
up activities are carried out by the Internal Audit Function in order to verify the actual implementation and effectiveness of the corrective actions agreed with management.
11.2
Monitoring Body as per Law 262/2005
Pursuant to Law 262/2005, DANIELI has set up a body to monitor corporate functions and ensure compliance with the company procedures used to prepare the book entries. Specifically, each year the monitoring body plans and carries out a series of controls using the following three methods, which can be adopted individually or jointly, depending on the case:
1. probative investigation (interview with the person in charge of the procedure);
2. observation (work shadowing of the person as he/she performs the operations being monitored);
3. examination of the documents gathered after the test.
The monitoring body uses “Tesi GRC” software to record and monitor test results over time.
Like other Italian companies operating in the field of industrial plant making, the monitoring body reports to the Officer in charge of preparing the book entries.
On a yearly basis, the Board of Statutory Auditors asks for proof of the results of the tests that are carried out.
11.3
Supervisory Committee
29 Pursuant to and for the purposes of Legislative Decree 231/2001, since 2005 the Company has adopted an Organization, Management and Control Model.
The Supervisory Committee -
in charge of supervising the updating and compliance with the model –
is composed up of Mr. Giuseppe Alessio Vernì, Chairman, Mr. Gianluca Buoro and Mr. Pietro Pisanelli.
During the period, considering the activities carried out until June 2026, the following main activities were
performed:

11.4
External Auditing Company
The external auditing company in charge of financial auditing for the nine years from 1 July 2019 to 30 June 2028, is Deloitte & Touche S.p.A., appointed by the shareholders during the meeting held on 26 October 2018.
Danieli felt that the shareholders should appoint the new auditing company one year in advance of the natural expiry of the previous auditing company’s mandate -

for an effective handover between the companies and to ensure the full independence of the new auditing company, as specified in current legislation on this matter.
Auditing is performed according to criteria of transparency and independence, the latter backed by an exchange of information between the auditing company and the Board of Statutory Auditors, which together draw up an auditing schedule; the Board of Statutory Auditors periodically receives information concerning any services other than auditing rendered to group companies, even if they are rendered by a firm belonging to its network, as well as a report on the activities performed and any reprehensible facts encountered (as per 153 TUF).
The fees paid to the external auditing company are those decided on October 28, 2020, by the shareholders;
only in the case of new purchases or sales can these fees be subject to review.
Group auditing fees for the fiscal year in question amount to Euro 1.223.000,00.
11.5
Officer in charge of preparing the company’s accounting documents
The Officer in charge of preparing the company’s accounting documents is Mr. Alessandro Brussi. He was appointed (in compliance with the corporate by -
laws) by the Board of Directors on 25 October 2012, and his appointment was reconfirmed when the company boards were renewed on 25 October 2024. This officer also holds the position of Chief Administrative and Financial Officer within the same company.
Alessandro Brussi possesses the professional qualifications specified in the by -
laws, namely:
-
he has a university degree in economics;
-
he has at least three years’ experience as a financial and accounting manager;
-
he possesses the requirements of good standing expected of directors.
The Board of Directors has resolved that this appointed officer be granted suitable powers and resources for the performance of his duties, which are clearly stated in the document “Operating Guidelines for the Officer in Charge of Preparing the Company’s Accounting Documents”.
30 This officer reports to the Board of Directors during board meetings; he also makes sure that information continues to reach the Board of Statutory Auditors and the External Auditing Company.
11.6
Coordination among officers of the Internal Control and Risk Management System
In accordance with art. 19 of Legislative Decree 39/ 2010, the Board of Statutory Auditors acts as Internal Control and Auditing Committee for the Company, and in this capacity checks and monitors the effectiveness of the Internal Control and Auditing System.
To this end, the Board of Statutory Auditors in particular:
-
is kept informed as to the activities of the Internal Audit Department, expressing an opinion on the yearly Internal Audit program;
-
can attend the meetings of the Supervisory Committee, on whose activities it is regularly updated;
-
periodically organizes meetings with the head of the Internal Audit department and with the Officer in charge of drawing up the company’s accounting documents, suggesting pinpointed audits, giving advice and assigning special tasks whenever necessary.
12.
Directors’ Interests and Transactions with Related Parties
Following the renewal of the company boards during the shareholders’ meeting of 25 October 2024, out of the ten members of the current Board of Directors, three possess the requirements of independence: since the conditions were met, the Committee for Related Party Transactions was appointed, comprising the Independent Directors Ms. Lorenza Morandini, Ms. Cecilia Metra and Ms. Barbara Falcomer.

During the 2025/2026 financial year the members of the company boards or representatives of Group companies did not carry out any significant transactions of an “atypical” nature with related parties (not even indirectly).
13.
Appointment of Statutory Auditors
The appointment of the Board of Statutory Auditors is governed by art. 22 of the company by -
laws.
The Board of Statutory Auditors is made up of three Standing Auditors and three Alternate Auditors and the genders are evenly balanced.
The Statutory Auditors are chosen from candidates who possess the requirements set forth in the applicable regulations, and particularly in Decree 162 of 30 March 2000, issued by the Ministry of Justice.
The Statutory Auditors must therefore possess the requirements of good standing and professionalism set forth in the applicable regulations, under penalty of being disqualified from holding office, and –
in order to evaluate their experience –
it is established that the sectors that are closely related to the company’s business are the production and sale of durable goods.
Their obligations, duties and length of term in office are those established by law.
By means of a written notification to the Chairman of the Board of Directors at least 40 days prior to the date set for the meeting, the Board of Statutory Auditors –
or at least two of the Auditors –
can call the meeting;
they also have the right –
following an advance notice of at least ten days –
to call a meeting of the Board of Directors or the Executive Committee.
Those who are found to be incompatible according to the law and those who hold other administration and control positions, which together exceed the limits allowed for corporate duties as established by the Consob Issuer Regulation, cannot be appointed as Auditors, and if elected will be required to resign.
Upon the appointment of the auditors the shareholders determine their yearly salary. They are also entitled to be reimbursed for the expenses they incur in the performance of their duties.
The Statutory Auditors are appointed from lists according to the procedure described below, for the purpose of ensuring that the minority shareholder can appoint one Standing Auditor and one Alternate Auditor.
31 Candidate lists must have two sections -
one for the appointment of the Standing Auditors and the other for the appointment of the Alternate Auditors -
and contain a number of candidates not greater than the number of members to be elected, listed in numerical order.
Each of the two sections on the lists –
with the exception of the lists with less than three candidates –
must
include at least one candidate of another gender.
Each candidate can only appear on one list, under penalty of being declared ineligible.
The shareholders entitled to submit a list are those who alone or together with other shareholders represent at least the percentage of ordinary share capital established by current regulatory provisions and stated in the meeting convocation notice.
The lists must be submitted at the registered offices of the company by the deadline specified in the regulations.
If by the deadline only one list has been submitted or only lists by shareholders who are affiliated to each other have been submitted, additional lists can be submitted up to the third day following this date, and the minimum shareholding percentage specified in the convocation notice will be reduced to half.
In order to submit a list, the ownership of the shareholding must be proven according to the procedures set forth in current regulations, provided that this is done by the date set for the publication of the lists by the company.
The lists can also be submitted via remote means of communication, according to the procedures stated in the convocation notice for the shareholders’ meeting.
Together with each list, which must indicate the names of the shareholders, the following documents have to be submitted, under penalty of being disqualified:

a statement from the shareholders, other than those who alone or jointly hold a controlling interest or relative majority, declaring that no relationships of affiliation exist between the former and the latter, as per
art. 144
-
quinquies of the Consob Issuer Regulation;
-
the statements in which each candidate accepts his/her candidacy, listing their personal and professional characteristics, certifying, under their own responsibility, the non -
existence of reasons of ineligibility, disqualification and/or incompatibility, and the existence of the requirements of good standing and professionalism prescribed in current regulations, the requirements of independence as required by law (art.
148, paragraph 3 of the Consolidated Law on Finance) as well as information on administrative and control positions the candidates hold in other companies.
Each shareholder may only participate in the presentation of one list; in case of violation, no account will be taken of the support of the shareholder to any of the lists.
Each shareholder has the right to vote for only one list.
The elected Standing Auditors will be the first two candidates on the list which obtains the highest number of votes, and the first candidate on the list with the second highest number of votes; the latter will be the Chairman.

If the above -
mentioned procedure does not comply with the law on gender balance, instead of electing the last candidate of the gender that is superior in number on the list of the majority shareholder, the elected candidate will be the next one on the same list, of the gender that is inferior in number.
In case of death, waiver or disqualification of a Standing Auditor, he/she will be replaced by the first candidate on the same list as the Auditor to be replaced, unless another alternate auditor has to be selected from the same list for the purpose of balancing the genders.
If the gender quota is still not filled, a meeting of the shareholders must be called as soon as possible to ensure that the composition of the Board of Statutory Auditors complies with the law on gender balance.
If only one or no list is submitted, and for the purpose of appointing the required Standing and Alternate Auditors for the Board of Statutory Auditors, the shareholders will decide by relative majority in observance of current regulations on gender balance.
If two or more lists submitted by the majority shareholder receive the same number of votes, the candidates on the majority list submitted by the shareholders with the largest shareholding will be elected.
If two or more lists –
other than the one which received the highest number of votes -
receive the same number of votes, the youngest candidates on the minority lists will be elected until all the positions to be assigned have been filled.
If only one list is submitted all the Auditors will be elected from this list.
The outgoing Auditors can be re -
elected.
32 The board of Statutory Auditors meets at least every 90 days, even in audio or videoconference, provided that all the participants can be identified and are able to follow the discussion, examine, receive and send documents and take part in real time in the discussion of the matters at hand.
The venue for the meeting of the Board of Statutory Auditors is considered to be wherever the Chairman of the board of Statutory Auditors is.

Composition and Operation of the Board of Statutory Auditors
The Board of Statutory Auditors -
made up of three Standing Auditors and three Alternate Auditors,
was appointed by the shareholders during the meeting held on 25 October 2024, taking into account the

year term will expire at the meeting called to approve the financial statements for the year ended 30 June 2027.

The majority shareholder proposed the following list of candidates: Vincenza Bellettini, Gaetano Terrin and Giuseppe Alessio Vernì as Standing Auditors, and Alessandro Ardiani, Marina Barbieri and Michela Giacchetto as Alternate Auditors, and was voted by 92.86% of those with voting rights; the minority shareholders submitted the following list of candidates: Davide Barbieri and Emanuela Rollino, which was voted by 6.73% of those with voting rights.
The Statutory Auditors possess the requirements of good standing and professionalism set forth in the applicable regulations and particularly in Decree 162 dated 30 March 2000, issued by the Ministry of Justice.
The Board of Statutory Auditors ascertained the independence of its members during the first meeting held following the appointments; during the year it also made sure that these requirements were maintained.

Ms. Vincenza Bellettini, Standing Auditor
Born in Fanano (MO) on 31 March 1954.

She is a practicing Certified Public Accountant in Bologna, with the firm “Studio di consulenza commerciale e tributaria, Dottori Commercialisti Associati”.

She has held and holds the positions of standing auditor and Chairman on Boards of Statutory Auditors of companies of various sizes, including in the banking sector.
She has held the position of trustee in bankruptcy.
She currently holds the position of standing auditor in a bank and other industrial companies.
Mr. Alessandro Ardiani, Alternate Auditor
Born in Udine, on 8 November 1959.
Graduated in Economics and Commerce in Trieste in July 1984, enrolled in the Register of Chartered Accountants since September 1988. From 1988 to 1991 integrated into the structure of a fellow chartered accountant from Udine with a professional collaboration relationship.
From 1991 to May 1995 in charge of the tax service of the Association of Industrialists of the province of Udine, carrying out the free professional activity in a complementary way. During this period he has gained particular experience in tax law and related litigation.
Since June 1995 he has been working as a chartered accountant in an associated form in Manzano.
From the same year 1995 registered in the register of Auditors established by Legislative Decree 88/92. The registration took place with D.M. 12/04/1995 published in G.U. n. 31bis of 21/04/1995 under no. 2036.
Since 1991 he has been a speaker at numerous conferences and seminars on tax accounting and corporate matters organized by the Industrial Association of Udine, the Industrial Association of Trieste and the Order of Chartered Accountants of Udine.
He held the position of Director of the Order of Chartered Accountants in the three -
year period 1997 -
1999,
during which period he was managing director for tax issues and relations with the Association of Chartered Accountants of Northeastern Italy.
He was a member of the Judging Commission of the State Qualification Exams to practice the profession of chartered accountant in the first and second session of the year 2000.
He has gained particular experience in the corporate field through the assumption of statutory auditors in boards of Italian companies belonging to corporate groups controlled by English and French parent companies, as well as in companies based in the region falling within the community category of "large companies”.

Ms. Marina Barbieri, Alternate Auditor
Born in Cittadella (PD) on 17 October 1976.
Degree in Economics and Business from the Faculty of Economics at Ca' Foscari University of Venice, specialised in “Economics and Legislation for Business” with a grade of 110/110.
She attended specialisation seminars in international tax law and completed a master's degree in tax law.
She is currently a partner in the firm Terrin & Associati and provides consulting services in the field of corporate taxation and assistance to small and medium sized businesses in the implementation and monitoring of economic and financial reporting and planning systems, support in relations with lenders, and assistance in accessing risk capital through listing on Euronext Growth Milan (formerly AIM).
She also holds trade union positions in industrial companies (including those listed on the EGM).
She has gained specific experience in consulting and assistance in the corporate and tax fields, mainly provided to corporations belonging to national and multinational groups operating in various sectors, with a particular specialisation in corporate taxation issues.
Ms. Emanuela Rollino, Alternate Auditor
Born in Genoa on 27 October 1978.
Degree in Business Economics and Legislation from the L. Bocconi University of Milan.
Registered with the Association of Certified Public Accountants of Milan and the Association of Legal Auditors since 2007.
She assists national and international clients in various sectors, specializing in corporate taxation; consulting on corporate matters and on the types of taxes applied to extraordinary transactions, including tax due diligence.
She has gained specific knowledge concerning tax disputes and their reduction: assistance in all phases of discussions with the tax authorities, also on tax audits by the revenue department and the Financial Police, as well as in all stages of the tax dispute and conciliation proceedings.
The Board of Statutory Auditors meets more frequently than every 90 days as required by law. During the reference year the Board met 15 times. The average duration of the meetings was about 3 hours.
If an Auditor is interested in a particular corporate transaction for himself or for third parties, he must promptly provide the other Auditors and the Chairman of the Board of Directors with exhaustive information as to the type, terms, origin and scope of his interest.
The Board of Statutory Auditors also monitored the independence of the auditing company, ensuring that it complies with the applicable regulations, in terms of both type and extent of the services other than auditing services rendered for the company or its subsidiaries by the same auditing company and the entities belonging to its network.

Shareholders’ Meetings (as per art. 123 -
bis, paragraph 2, letter c) of the Consolidated Law on

No additional operating mechanisms have been contemplated for the shareholders’ meetings, other than those additionally provided for in the applicable legislative provisions and regulations.
As for the powers of the shareholders, the corporate by -
laws state that the Board of Directors has the authority to make decisions –
pursuant to art. 2436 of the Civil Code –
on proposals relating to:

mergers in the cases specified in articles 2505 and 2505 bis of the Civil Code;

setting up or shutting down secondary offices;

reduction of capital in the case of withdrawal of a partner;

laws in observance of regulatory provisions;

bond issue, with the exception of bonds that can be converted into company shares (which remains the responsibility of the shareholders).

These regulations set out the conditions which during the meetings guarantee the right of each shareholder to take the floor on each of the matters on the agenda, to make observations and come up with proposals.
Those who intend to take the floor must submit a written request to the Chairman indicating the matter they wish to discuss; requests can be submitted after the items on the agenda have been read out and until the Chairman declares the discussion on the matter closed.

laws do not provide for voting by correspondence or by audiovisual means.
During the meeting, the board reports on both performed and scheduled activities, ensuring that the shareholders have the necessary information to make decisions with full knowledge of the facts.

Other Corporate Governance Practices
On 1 April 2006, the Board of Directors adopted its own Code of Conduct on Internal Dealings, initially for the purposes set forth in art. 114 of the Consolidated Law on Finance, transposing CONSOB resolution no.
15233 dated 29 November 2005, to regulate transactions involving the purchase, sale, subscription or swap of Danieli shares or their financial instruments, carried out by Relevant Persons and by Persons closely associated with them.
The provisions on this matter issued by Consob with resolution no. 18079 dated 20 January 2012 were then transposed into this document, which was revised by the Board of Directors on 14 May 2015.
With the entry into force throughout the European Union, with effect from 3 July 2016, of the Regulation of the European Parliament and of the Council of the European Union No. 596/2014 (MAR Regulation) of 16 April 2014, the Code has been revised in compliance with Article 19 of the same Regulation and the Delegated Regulations.
