Si rende noto che, a seguito del rilascio da parte della Banca d’Italia in data odierna delle autoriz-
zazioni regolamentari in ordine alla fusione per incorporazione (la “ Fusione ”) di Banca CF+ S.p.A.
(“Banca CF+ ”) in Banca Sistema S.p.A. (“ Banca Sistema” e, congiuntamente a Banca CF+, le “Società Partecipanti alla Fusione ”), l’avviso di convocazione dell’Assemblea straordinaria di Banca Sistema, convocata per il 12 ottobre 2026 per deliberare – tra l’altro - in ordine alla Fusione, le relazioni illustrative dei Consigli di Amministrazione delle Società Partecipanti alla Fusione sul primo punto all’ordine del giorno relativo all’approvazione della Fusione, nonché il progetto di fusione e l’ulteriore documentazione inerente alla Fusione sono disponibili presso la sede sociale di Banca Sistema, sul sito internet di Banca Sistema ( www.bancasistema.it ), nonché sul meccanismo di stoc-

SHARHOLDERS’ MEETING RESOLVING UPON THE MERGER BY ABSORPTION

Notice is hereby given that, following the release by the Bank of Italy as of today of the authorizations for the merger by absorption (the “ Merger ”) of Banca CF+ S.p.A. (“ Banca CF+”) into Banca Sistema S.p.A. (“ Banca Sistema” and, together with Banca CF+, the “Companies Participating in the Merger ”), the notice of call of the Extraordinary Shareholders’ Meeting of Banca Sistema, convened for 12th October 2026 to resolve – among others – upon the Merger, the reports of the Boards of Directors of the Companies Participating in the Merger on the first item on the agenda regarding the approval of the Merger, as well as the merger plan and the remaining documentation related to the Merger are available at Banca Sistema’s registered office, on Banca Sistema’s website (www.bancasistema.it ), as well as in the authorized storage mechanism “1info” (https://www.1info.it/PORTALE1INFO ).
