Il Consiglio di Amministrazione di OPT (OPTS:IM), piattaforma specializzata nella progettazione ed erogazione di Servizi Healthcare ad Alto Valore Aggiunto (HHVAS) in ambito clinico -organizzativo, ha approvato la relazione finanziaria semestrale al 30 giugno 2026, sottoposta volontariamente a revisione contabile limitata.
Davide Lucano , Amministratore Delegato di OPT: “I risultati del primo semestre 2026 confermano la solidità del modello operativo di OPT, con ricavi pari a 1,3 mln euro e un EBITDA di 0,3 mln euro, corrispondente a un margine operativo lordo del 22%. Un risultato che testimonia la capacità della Società di coniugare redditività ed efficienza operativa, attraverso un'attenta gestione dei costi e una costante ottimizzazione dei processi. Sul fronte patrimoniale e finanziario, il semestre si chiu de con un patrimonio netto di 3,1 milioni di euro e un indebitamento finanziario netto cash positive per 0,4 milioni di euro. Il rafforzamento patrimoniale e le risorse finanziarie derivanti dalla quotazione rappresentano una base importante per sostenere i nostri progetti di sviluppo e perseguire le opportunità di crescita.
Guardiamo con fiduci a alla seconda parte dell'esercizio, tenendo conto della fisiologica stagionalità del nostro modello di business, che prevede una maggiore concentrazione dei ricavi nel quarto trimestre. Le prospettive per il prosieguo dell'anno sono positive, grazie alle attività di sviluppo commerciale in corso e al progressivo consolidamento del nostro ruolo di partner strategico per le aziende farmaceutiche e le strutture sanitarie. La nostra strategia continuerà a fare leva sulla crescita organica, valorizzando le rela zioni con i clienti e ampliando le opportunità commerciali, e su acquisizioni mirate, con l'obiettivo di costruire un ecosistema integrato quotato di servizi
healthcare.”
Contesto di riferimento
La Società opera nel segmento dei Servizi Healthcare ad Alto Valore Aggiunto HHVAS. Questi servizi rientrano all’interno della spesa farmaceutica nazionale. Secondo i dati OsMed (rapporto nazionale «L’uso dei farmaci in Italia»), nel 2025 la spesa farmaceutica nazionale complessiva, pubblica e privata, ha raggiunto 39,3 miliardi di euro (+6% rispetto al 2024, 37,2 miliardi di euro). La spesa dal 2020 al 2025 è cresciuta del +29%, con un CAGR medio del 5,2%. Per il 2026 non sono disponibili dati definitivi ma le previsioni parlano di valori allineati a quelli dell’eserciz io 2025. Il fattore principale alla base di questa crescita è la prevalenza della componente pubblica, che contr ibuisce in maniera significativa all’aumento dei valori assoluti della spesa, oscillando tra il 68% e il 77% del totale negli anni considerati. La progressiva intensificazione dei trattamenti cronici e l’estensione della copertura terapeutica hanno determinato un aumento dei consumi complessivi. Un ruolo rilevante è inoltre svolto dalla introduzione di farmaci innovativi, che, pur rappresentando quote di mercato contenute in termini di volumi, incidono in modo significativo sulla spesa complessiva, soprattu tto a partire dal 2022. Complessivamente, i dati OsMed mostrano una spesa farmaceutica in aumento, guidata da fattori strutturali e dall’evoluzione del mix terapeutico, con una componente pubblica sempre predominante.
Nel 2025, dei 39,3 miliardi di euro di spesa farmaceutica complessiva, circa 28,4 miliardi risultano a carico del Servizio Sanitario Nazionale, mentre circa 10,7 miliardi sono riconducibili alla spesa sostenuta direttamente dai

cittadini. All’interno della componente pubblica, AIFA rileva circa 18,9 miliardi di euro di acquisti da parte delle strutture sanitarie pubbliche e circa 14,3 miliardi di euro di spesa farmaceutica territoriale pubblica.
Principali risultati economici al 30 giugno 20261
Nel 1H 2026 la Società ha realizzato Ricavi delle vendite pari a 1,3 mln euro, riconducibili a tutte le service line (con un peso di Clinical Governance Models & Quality Certification pari all’83%) . La performance conferma la solidità della domanda nei segmenti di riferimento e l’efficacia delle strategie commerciali e operative adottate. In particolare, i ricavi sono sostenuti dal rafforzamento della base clienti attraverso una consolidata partnership con i principali operatori del settore farmaceutico a livello globale, all’estensione dell’offerta di servizi, nonché da una progressiva ottimizzazione del processo di erogazione dei progetti. Al 1H 2026, l e service line Events & Conferences , Digital & PSP, Medical Writing incidono sui Ricavi delle vendite rispettivamente 9%, 5% e 3%.
Il Valore Aggiunto si attesta a 0,7 mln euro, con un’incidenza sui ricavi del 56%, evidenziando una buona marginalità aziendale e una buona efficienza operativa della Società.
L’EBITDA si attesta a 0, 3 mln euro, con un’incidenza sui ricavi parii al 22%. La marginalità registrata nel primo semestre costituisce un solido presupposto per il secondo semestre che, coerentemente con la stagionalità del mercato di riferimento, concentrerà la quota maggioritaria dei ricavi. Il margine riflette l’effetto combinato di più fattori: da un lato, il contenimento e la razionalizzazione dei costi fissi di struttura ; dall’altro, la Società persegue con continuità un percorso di ottimizzazione dei processi interni, volto a incrementare l’efficienza erogativa con l’obiettivo di migliorare l’efficienza dei processi di erogazione e di presidiare in modo strutturato l’incid enza dei costi variabili sui ricavi. Il costo del personale, strategico per la crescita della Società, è pari a 0,4 mln euro, con un’incidenza pari al 34% dei ricavi delle vendite . In particolare, nel corso del 2026 e degli esercizi precedenti, il management ha promosso un approccio strutturato di efficientamento della spesa operativa, accompagnato da un deciso rafforzamento degli investimenti nelle aree strategiche a supporto dell a crescita futura, quali la qualità dei servizi e le infrastrutture tecnologiche.
L’EBIT si è attestato a 12 migliaia di euro, a seguito di ammortamenti per 0, 3 mln euro (0,1 mln ascrivibili all’ammortamento dell’avviamento fusione inversa posta in essere nel corso del 2022 ).
Il Risultato ante imposte si è attestato a -4 migliaia di euro, dopo oneri finanziari pari a 16 migliaia di euro.
L’Utile Netto di periodo è pari a -59 migliaia di euro, dopo imposte per 56 migliaia di euro.
Principali risultati patrimoniali -finanziari al 30 giugno 2026
Il Capitale Immobilizzato è pari a 2,4 mln euro; l’incremento rispetto a 1,8 mln euro al 31 dicembre 2025 è principalmente dovuto alla capitalizzazione dei costi di quotazione , compensato parzialmente dall’effetto degli ammortamenti dell’avviamento, dei software e delle spese di costituzione.
Il Capitale Circolante Commerciale ammonta a 0,8 mln euro, invariato rispetto a 0,8 mln euro al 31 dicembre 2025, per effetto dell’andamento combinato dei crediti e dei debiti di natura commerciale , che aumentan o entrambi per effetto dell’aumento dei volumi di fatturato e del ciclo di fatturazione e incasso dei crediti, compensan do i rispettivi effetti sull’andamento del periodo.
Il Capitale Circolante Netto si attesta a 0,4 mln euro, rispetto a 0,4 mln euro al 31 dicembre 2025; l a dinamica riflette l’evoluzione della gestione del capitale circolante e la sostanziale stabilità delle attività e passività correnti.
Il Patrimonio Netto è pari a 3,1 mln euro, rispetto a 1,7 mln euro al 31 dicembre 2025; l’incremento è correlato all’aumento di capitale finalizzato in occasione della quotazione su Euronext Growth Milan.
L’Indebitamento Finanziario Netto è cash positive per 0,4 mln euro ; il miglioramento rispetto a 0,5 mln euro al 31 dicembre 2025 è riconducibile a lla liquidità ottenuta con la quotazione , al collocamento di un prestito obbligazionario non convertibile (mini -bond), emesso in data 29 aprile 2026, della durata di 5 anni e dell’importo di Euro 500.000,00 integralmente sottoscritto da Banca Mediocredito Trentino -Alto Adige S.p.A. e al flusso di cassa

della gestione operativa che ha permesso alla Società il regolare rimborso delle rate del finanziamento del periodo, nonché all’attenta gestione del capitale circolante.
Fatti di rilievo del semestre e successivi alla chiusura del periodo
In data 24 giugno 2026 le azioni ordinarie di OPT sono state ammesse alle negoziazioni sul mercato Euronext Growth Milan. Le negoziazioni sono iniziate il 26 giugno 2026 (codice alfanumerico OPTS, ISIN IT0005713646 ). Il controvalore complessivo delle risorse raccolte è stato pari a 2,0 mln euro, di cui 1,8 mln euro in aumento di capitale e 0,2 mln euro rivenienti dall’ integrale esercizio dell’opzione greenshoe in aumento di capitale. Il collocamento ha avuto ad oggetto 2.857.500 azioni, di cui 2.570.000 azioni di nuova emissione rivenienti dall’aumento di capitale e 287.500 azioni rivenienti d all’opzione greenshoe , esercitata integralmente in data 24 luglio 2026, ad un prezzo di offerta pari a 0,70 euro per azione.
In data 16 luglio 2026 la Società ha annunciato il proprio contributo allo sviluppo di NutriVita , l’applicazione digitale dedicata alla nutrizione nel percorso di cura oncologico. NutriVita è un progetto promosso dal Gruppo di Lavoro Inter societario “Nutrizione in Oncologia” coordinato da AIOM – Associazione Italiana di Oncologia Medica, con il supp orto di Fondazione Berlucchi e la collaborazione di SINPE – Società Italiana di Nutrizione Artificiale e Metabolismo, FAVO, SICO, ASAND, FNOPI, AIOM NURSE e AIRO.
In data 21 luglio 2026 la Società ha comunicato di aver supportato lo sviluppo del nuovo modello organizzativo promosso dall’ASL Salerno per portare sul territorio le terapie infusionali onco -ematologiche attraverso la rete delle Botteghe della Comunità e strumenti di telemedic ina.
Il 14 settembre 2026 la Società ha sottoscritto un contratto del valore di circa 138 mila euro per l’organizzazione di un evento scientifico nell’ambito dell’ematologia. Il contratto è relativo alla linea di business Events & Conferences e contribuirà ai ricavi dell’esercizio 2026.
Evoluzione prevedibile della gestione
Alla luce dei positivi risultati registrati nel corso del semestre e delle attività di sviluppo commerciale in corso, pur senza sciogliere tutte le riserve in merito a potenziali evoluzioni future critiche della situazione macroeconomica caratterizzata dai conflitti in corso, si prevede un positivo sviluppo del business anche per la seconda parte dell’esercizio 2026. Sulla base delle previsioni elaborate dalla Società per l’esercizio 2026 si stima una crescita del volume delle vendite e un risultato economico positivo. I risultati ottenuti nei primi mesi del 2026 confermano tali previsioni e, di conseguenza, le suddette aspettative. Le recenti tensioni internazionali non si ritiene possano avere impatti significativi sui volumi di vendita di OPT, considerato che il fatturato della Società è interamente realizzato entro i confini naz ionali. La strategia di OPT per i prossimi mesi si basa su una combinazione di crescita organica e acquisizioni mirate. Sul fronte organico, l’obiettivo è rafforzare il ruolo di partner strategico per aziende farmaceutiche e strutture sanitarie, valorizzan do le relazioni esistenti e ampliando il core business attraverso un’offerta integrata e continuativa. Questo permette di aumentare la penetrazione sui clienti attuali, il valore medio dei progetti e la stabilità nel tempo. Parallelamente, la Società punta a sviluppare nuove opportunità commerciali tramite una mappatura strutturata dei potenziali clienti e un accesso più diretto ai decisori delle Big Pharma, anche grazie al coinvolgimento di figure senior e al rafforzamento delle attività di marketing e com unicazione.
Un altro pilastro è lo sviluppo del capitale umano: OPT intende attrarre talenti qualificati, rafforzare la propria presenza presso università e community di settore e offrire percorsi di crescita e strumenti di incentivazione per competere con operatori p iù grandi.
Infine, OPT mira a crescere anche per linee esterne, aggregando realtà complementari e creando un ecosistema integrato di servizi healthcare nel panorama nazionale. L’obiettivo è offrire un modello “one -stop-shop” di alta qualità, basato su integrazione, innovazione e sinergie operative, posizionandosi come player di riferimento nel mercato italiano.

Added Services (HHVAS) in the clinical and organisational fields, has approved the half -yearly financial report as at 30 June 2026, which was voluntarily subject to a limited audit review.
Davide Lucano , CEO of OPT: “The results for the first half of 2026 confirm the strength of OPT’s operating model, with revenues of €1.3 million and EBITDA of €0.3 million, corresponding to an EBITDA margin of 22%. This result demonstrates the Company’s ability to combine profitabili ty and operating efficiency through careful cost management and continuous process optimisation . From a financial and equity standpoint, the first half of the year closed with Shareholders’ Equity of €3.1 million and Net Financial Indebtedness cash positive at €0.4 million. The strengthening of our equity and the financial resources raised through t he IPO provide an important foundation for supporting our development plans and pursuing growth opportunities.
We look forward to the second half of the year with confidence, while taking into account the natural seasonality of our business model, which entails a greater concentration of revenues in the fourth quarter. The outlook for the remainder of the year is positive, supported by ongoing business development activities and the progressive consolidation of our role as a strategic partner for pharmaceutical companies and healthcare facilities. Our strategy will continue to focus on organic growth, leveraging customer relationships and expanding commercial opportunities, as well as on targeted acquis itions, with the aim of building an integrated listed healthcare services ecosystem.”
Market Overview
The Company operates in the High Healthcare Value -Added Services (HHVAS) segment. These services fall within national pharmaceutical expenditure. According to OsMed data (the national report “The Use of Medicines in Italy” ), in 2025 total national pharmaceutical expenditure, both public and private, reached €39.3 billion (+6% compared to 2024, when it amounted to €37.2 billion). Expenditure increased by 29% between 2020 and 2025, with an average CAGR of 5.2%. No final data are available for 2026, but forecasts point to figures in line with those recorded in 2025.
The main factor underlying this growth is the predominance of the public component, which contributes significantly to the increase in absolute expenditure, accounting for between 68% and 77% of the total in the years considered.
The progressive intensific ation of chronic treatments and the expansion of therapeutic coverage have led to an increase in overall consumption. The introduction of innovative medicines has also played a significant role. Although they account for relatively small market shares in t erms of volumes, they have a considerable impact on overall expenditure, particularly since 2022. Overall, OsMed data show an increase in pharmaceutical expenditure, driven by structural factors and changes in the therapeutic mix, with the public component remaining predominant.
In 2025, of the €39.3 billion in total pharmaceutical expenditure, approximately €28.4 billion was borne by the National Health Service, while approximately €10.7 billion was attributable to expenditure directly incurred by

citizens. Within the public component, AIFA reports approximately €18.9 billion in purchases by public healthcare facilities and approximately €14.3 billion in public territorial pharmaceutical expenditure.
Key Economic Results as at 30 June 20262
In 1H 2026, the Company generated Revenue from Sales of €1.3 million, attributable to all service lines, with Clinical Governance Models & Quality Certification accounting for 83%. This performance confirms the strength of demand in the target segments and the effectiveness of the commercial and operational strategies adopted. In particular, revenues are supported by the strengthening of the customer base through established partnerships with leading global pharmaceutical companies, the expansion of the service offering and the progressive optimisation of project delivery processes. In 1H 2026, the Events & Conferences, Digital & PSP and Medical Writing service lines accounted for 9%, 5% and 3% of Revenue from Sales, respectively.
Value Added amounted to €0.7 million, representing 56% of revenues, highlighting the Company’s sound margins and operating efficiency.
EBITDA amounted to €0.3 million, representing 22% of revenues. The margin recorded in the first half of the year provides a solid basis for the second half, which, in line with the seasonality of the reference market, is expected to account for the majority of r evenues. The margin reflects the combined effect of several factors: on the one hand, the containment and rationalisation of fixed overhead costs; on the other, the Company’s ongoing efforts to optimise internal processes, aimed at increasing delivery efficiency and systematically monitoring the impact of variable costs on revenues. Personnel costs, which are strategic to the Company’s growth, amounted to €0.4 million, representing 34% of Revenue from Sa les. In particular, throughout 2026 and in previous financial years, management has pursued a structured approach to operating cost efficiency, alongside a significant increase in investments in strategic areas supporting future growth, such as service quality and technological infrast ructure.
EBIT amounted to €12 thousand, following depreciation and amortisation of €0.3 million (€0.1 million attributable to the amortisation of goodwill arising from the reverse merger carried out in 2022).
Profit Before Tax amounted to a loss of €4 thousand, after financial expenses of €16 thousand.
Net Loss for the Period amounted to €59 thousand, after income taxes of €56 thousand.
Key balance sheet and financial results as at 30 June 2026
Fixed Assets amounted to €2.4 million, up from €1.8 million as at 31 December 2025. The increase was mainly attributable to the capitalisation of listing costs, partially offset by the amortisation of goodwill, software and incorporation expenses.
Trade Working Capital amounted to €0.8 million, unchanged from €0.8 million as at 31 December 2025. This reflects the combined movements in trade receivables and payables, both of which increased as a result of higher sales volumes and the invoicing and collection cycle, offse tting their respective effects on the period’s performance.
Net Working Capital amounted to €0.4 million, compared to €0.4 million as at 31 December 2025. This reflects the evolution of working capital management and the substantial stability of current assets and liabilities.
Shareholders’ Equity amounted to €3.1 million, compared to €1.7 million as at 31 December 2025. The increase is attributable to the capital increase completed in connection with the listing on Euronext Growth Milan.
Net Financial Indebtedness was cash positive at €0.4 million. The improvement compared to €0.5 million as at 31 December 2025 is attributable to the liquidity raised through the IPO, the placement of a non -convertible bond (mini -
bond), issued on 29 April 2026, with a five -year term and a principal a mount of €500,000, fully subscribed by Banca Mediocredito Trentino-Alto Adige S.p.A., as well as cash flow generated by operating activities, which enabled the Company to regularly repay the instalments due during the period, and careful working capital management.

Significant events during and after the reporting period
On 24 June 2026 , OPT’s ordinary shares were admitted to trading on the Euronext Growth Milan market. Trading commenced on 26 June 2026 (ticker: OPTS; ISIN: IT0005713646). The total proceeds raised amounted to €2.0 million, of which €1.8 million derived from the capital i ncrease and €0.2 million from the full exercise of the greenshoe option in connection with the capital increase. The offering involved 2,857,500 shares, of which 2,570,000 newly issued shares resulting from the capital increase and 287,500 shares resulting from the greenshoe option, fully exercised on 24 July 2026, at an offering price of €0.70 per share.
On 16 July 2026 , the Company announced its contribution to the development of NutriVita, a digital application dedicated to nutrition in the oncology care pathway. NutriVita is a project promoted by the Inter -Society Working Group “Nutrition in Oncology”, coordinated by AIOM – Italian Association of Medical Oncology, with the support of Fondazione Berlucchi and in collaboration with SINPE – Italian Society of Artificial Nutri tion and Metabolism, FAVO, SICO, ASAND, FNOPI, AIOM NURSE and AIRO.
On 21 July 2026 , the Company announced that it had supported the development of the new organisational model promoted by ASL Salerno to provide territorial access to onco -haematological infusion therapies through the network of Community Hubs ( Botteghe della Comunità ) and telemedicine tools.
On 14 September 2026 , the Company signed a contract worth approximately €138 thousand for the organisation of a scientific event in the field of haematology. The contract relates to the Events & Conferences business line and will contribute to 2026 revenues.
Business Outlook
In light of the positive results recorded during the first half of the year and ongoing business development activities, and while remaining mindful of potential adverse future developments in the macroeconomic environment characterised by ongoing conflicts, the Company expects business to continue developing positively in the second half of 2026. Based on the Company’s forecasts for 2026, an increase in sales volumes and a positive economic result are expected. The results achieved in t he first months of 2026 confirm these forecasts and, consequently, the related expectations. Recent international tensions are not expected to have a significant impact on OPT’s sales volumes, considering that the Company’s revenues are generated entirely within Italy.
OPT’s strategy for the coming months is based on a combination of organic growth and targeted acquisitions. With regard to organic growth, the objective is to strengthen its role as a strategic partner for pharmaceutical companies and healthcare facilities, leveraging existing relationships and expanding its core business through an integrated and continuous service offering. This approach enables the Company to increase penetration among existing customers, the average value of projects and long -term stability. At the same time, the Company aims to develop new commercial opportunities through the structured mapping of potenti al customers and more direct access to decision -makers at Big Pharma companies, also through the involvement of senior professionals and the strengthening of marketing and communication activities.
Another key pillar is the development of human capital: OPT intends to attract qualified talent, strengthen its presence at universities and within industry communities, and offer career development opportunities and incentive schemes to compete with large r operators.
Finally, OPT also aims to grow through external expansion, aggregating complementary businesses and creating an integrated healthcare services ecosystem in the Italian market. The objective is to offer a high -quality “one -stop-shop” model based on integrat ion, innovation and operational synergies, positioning the Company as a leading player in the Italian market.
