SUBSEA SECTOR THROUGH THE ACQUISITION OF BUSINESS UNITS FROM
CNS INTERNATIONAL AND MASER MARINE SERVICES
TRANSACTION WITH A TOTAL VALUE OF APPROXIMATELY € 6.1 MILLION
THE IMMEDIATE INTEGRATION OF SPECIALIZED PERSONNEL, STRATEGIC ASSETS,
CERTIFICATIONS, AND ACTIVE COMMERCIAL CONTRACTS IS EXPECTED, STRENGTHENING
THE GROUP’S PRESENCE IN THE MAJOR INTERNATIONAL SUBSEA MARKETS
Naples, August 10th, 2026 – Next Geosolutions (“ NextGeo ” or the “ Company ”), one of the leading international players in marine geoscience and offshore construction support services for the energy sector and listed on Euronext Growth Milan market , announces that its subsidiary Rana Subsea S.p.A.
(“Rana ”) has completed the lease of the business units operating in the subsea sector of CNS International S.r.l. (“ CNS”) and Maser Marine Services S.r.l. (“ Maser ”) (the “ Transaction ”).
The Transaction represents a significant step forward in the execution of the Group’s growth strategy and will enable it to accelerate its development in the highly specialized subsea segment. The subsidiary Rana will immediately assume operational managem ent of the business units of CNS and Maser through a lease agreement, thereby enabling it to immediately benefit from the assets and operational and commercial activities covered by the Transaction.
Specifically, the scope of the Transaction includes existing commercial contracts onboard vessels operating in Qatar and Romania for major international clients and the resources required to execute such contracts, including specialized personnel, saturation facilities, underwater machinery and equipment, technical certifications and qualifications, trademarks and intangible assets, in addition to currently ongoing commercial offers and a 100% stake in the capital of CNS International LLC, a company headquartered in Azerbaijan.
The purchase of the business units is also expected to be completed in a subsequent phase by October 15, 2026, and the transfer of ownership of the same is expected to be completed by December 31, 2026.
The total consideration for the Transaction provides for a maximum net payment of € 6.1 million, to be paid in several installments by the end of 2026.
Thanks to the leasing of business units , the Group will be able to immediately enhance an operational platform that is already active and well -established in the international subsea market. The Transaction will, in fact, strengthen NextGeo's presence in geographic areas considered strategic for the development of the offshore business , including the Caspian Sea and the Middle East , leveraging established commercial relationships with leading international energy operators.
By integrating the operations of CNS and Maser, the Group will thus be able to expand its presence in markets characterized by high levels of investment in offshore energy infrastructure, further strengthening its competitive position and creating an even more integrated, diversified, and international industrial platform.
