(ticker MARE.MI), an engineering company whose shares are traded on Euronext Growth Milan and operating in Italy and abroad in innovation through enabling technologies (“Mare Group” or the “Company”), announces that, on 30 July 2026, the Company’s Board of Directors, meeting before a notary, resolved to partially exercise the delegated authority pursuant to Article 2443 of the Italian Civil Code granted by the Shareholders’ Meeting of 5 February 2026 (the “Delegated Authority”). In particular, the Board of Directors resolved upon a paid share capital increase, in divisible form, with exclusion of pre-emption rights pursuant to Article 2441, paragraph 5, of the Italian Civil Code, through the issue of a maximum of no. 2,000,000 ordinary shares, also in more than one tranche by 30 September 2026, for a total amount of Euro 10,000,000.00 including share premium, at a unit price of Euro 5.00 per share, reserved for subscription by Invitalia S.p.A. (“Invitalia”) and DVC2 S.r.l. (“DVC2”). The capital increase has been subscribed in equal parts by Invitalia, through the Cresci al Sud Fund, promoted by the Department for Cohesion Policies and for Southern Italy of the Presidency of the Council of Ministers and managed by Invitalia, and by DVC2, a special purpose vehicle wholly owned by Deep Value Club S.p.A. (“Deep Value Club”). Under the binding agreements, DVC2 has undertaken towards the Company not to dispose of the Mare Group shares deriving from the capital increase for a period of 90 days from the date on which they are credited to its securities deposit account (so-called lock-up undertakings). The transaction marks a further step in Mare Group’s growth path and is aimed at strengthening its capital structure through the contribution of new risk capital by leading investors, sharing a medium to long-term vision and the intention to support the development of the Company’s industrial platform. The new shares will be issued at a subscription price above the weighted average market prices of the last month and of the last three and six months, reflecting confidence in the Group’s growth prospects. The financial resources will be used to accelerate investments in proprietary platforms, in enabling technologies and in external growth transactions, consolidating Mare Group’s positioning as a reference player in the Aerospace & Defence, Industry, Transportation and Critical Infrastructure sectors, in line with the development strategy announced to the market on 20 July 2026.
