Alessandro Bernini, Amministratore Delegato di MAIRE, ha commentato: “Nel primo semestre del 2026, MAIRE ha dimostrato la propria capacità di generare una crescita resiliente , portando avanti l’esecuzione dei progetti in un contesto geopolitico complesso . L’esecuzione disciplinata dei progetti , la stretta collaborazione con i clienti e l’adozione di rotte alternativ e in Medio Oriente hanno garantito la continuità operativa. 8,4 miliardi di euro di nuovi contratti nei primi sette mesi dell’anno rafforzano la nostra fiducia nel raggiungere almeno 9 miliardi di euro di raccolta ordini nel 2026 , confermando il forte slancio commerciale dell’offerta integrata di MAIRE, che combina tecnologie proprietarie con capacità di ingegneria ed esecuzione di eccellenza . RISULTATI FINANZIARI CONSOLIDATI AL 30 GIUGNO 20266
I dati riportati dal Gruppo MAIRE al 30 giugno 2026 riflettono il consolidamento dello stato patrimoniale del Gruppo Ballestra e di ETEK. Nessun contributo al conto economico consolidato è stato rilevato nel periodo di riferimento.
I Ricavi ammontano a €3,7 miliardi , in aumento del 6,9%, grazie all’avanzamento costante dei progetti in corso di esecuzione.
L’EBITDA è pari a €266,2 milioni , in crescita del 14,7%, sostenuto dai maggiori ricavi e da una efficiente gestione dei costi di struttura . Il margine EBITDA è pari al 7,2%, con un incremento di 50 punti base , anche per il maggiore contributo dei servizi a più alto valore aggiunto generati da Nextchem .
Ammortamenti, svaluta zioni e accantonamenti ammontano complessivamente a €36,7 milioni , in aumento di €4,2 milioni , principalmente a seguito dell’entrata in esercizio di asset funzionali alla digitalizzazione dei processi industriali , della commercializzazione di nuovi brevetti e sviluppi tecnologici .
Il Risultato Operativo (EBIT) è pari a €229,5 milioni , in crescita del 14,9%, con un margine del 6,2%, in aumento di 40 punti base .
La gestione finanziaria esprime oneri netti per €3,2 milioni , in calo di €1,6 milioni, beneficiando di maggiori proventi consuntivati sulle giacenze di cassa , di minori interessi passivi sulla componente a tasso variabile del debito finanziario e di proventi legati alla rivalutazione di alcune partecipazioni.
L’Utile ante imposte è pari a €226,3 milioni , a fronte del quale sono state stimate imposte per un ammontare pari a €69,1 milioni . L’aliquota fiscale è pari al 30,5%, tenuto conto delle diverse giurisdizioni in cui sono state svolte le attività del Gruppo.
L’Utile netto è pari a €157,2 milioni , in crescita del 18,3%, con un ’incidenza sui ricavi del 4,3%, in aumento di 40 punti base . Il Risultato netto di Gruppo , al netto del risultato attribuibile agli azionisti di minoranza pari a € 19,3 milioni – principalmente riferito a Nextchem e ai progetti in joint venture – è pari a € 137,9 milioni, in crescita del l’8,8%.
Le Disponibilità Nette Adjusted5 al 30 giugno 2026 sono pari a €301,1 milioni , rispetto a €395,1 milioni al 31 dicembre 2025 , al netto degli investimenti per €204,0 milioni , della distribuzione di dividendi per € 194,4 milioni7 e degli acquisti di azioni proprie per € 81,1 milioni .
Gli investimenti per M&A , pari a € 165,9 milioni , comprendono l’acquisizion e del 100% d el Gruppo Ballestra e la quota upfront del 70% per l’acquisizione di ETEK, il corrispettivo versato per l’esercizio dell’opzione call sulla restante quota del 16,5% di Conser , il corrispettivo versato per l’acquisizione della restante quota del 15,0% di MyReplast e MyReplast Industries , nonché earn -out relativi alle acquisizioni di Conser e GasConTec e una componente di prezzo differita legata all’acquisizione di MyRemono. Gli investimenti organici , pari a €38,1 milioni , riguarda no principalmente lo sviluppo interno e lo scale -up delle tecnologie proprietarie, nonché progetti di innovazione digitale.
Il Patrimonio Netto Consolidato è pari a €649,6 milioni al 30 giugno 2026, rispetto a €773,8 milioni al 31 dicembre 202 5, principalmente a seguito della distribuzione dei dividendi e degli acquisti di azioni proprie a supporto dei piani di incentivazione del personale , parzialmente compensat i dall’utile del periodo .

Le Acquisizioni di Nuovi Ordini nel primo semestre 2026 sono state pari a €7,2 miliardi .
In particolare , le acquisizioni di nuovi ordini della business unit Sustainable Technology Solutions sono stat e pari a €556,9 milioni , comprensive del consolidamento del portafoglio ordini d el Gruppo Ballestra a seguito del completamento dell’acquisizione nel secondo trimestre . I principali progetti assegnati nel primo semestre alla business unit includono:
• due contratti di licenza e process design package in Cina basati su tecnologie proprietarie per nitrati e urea ;
• un contratto di licenza e process design package per la produzione di prodotti chimici specialty in Cina ;
• studi di fattibilità per due progetti di upcycling della plastica nell’Africa australe e nel Sud ‑Est
asiatico;
• un contratto di fornitura di apparecchiature proprietarie per il rafforzamento della capacità produttiva di un complesso industriale in Medio Oriente ;
5 • attività di ingegneria preliminare e fornitura di apparecchiature proprietarie per un impianto di SAF in Indonesia;
• un contratto di licenza , process design package e fornitura di servizi tecnici per produrre a nidride trimellitica in Cina;
• un contratto di licenza e process design package per un impianto urea -to-DEF in Virginia, USA;
• un contratto di licenza biomass -to-syngas per un impianto di SAF in Canada;
• un contratto di licenz a, process design package e fornitura di apparecchiature proprietarie per un impianto di urea di grandi dimensioni in Argentina.
Inoltre, Nextchem si è aggiudicata un contratto per la fornitura dell e licenz e, del process design package e del proprietary equipment per tre impianti di larg a scala destinati alla produzione di fertilizzanti azotati in Africa occidentale. Il contratto è soggetto alla decisione finale di investimento (Final Investment Decision), ad eccezione delle attività di ingegneria, già avviate e incluse nel portafoglio ordini .
La business unit Integrated E&C Solutions ha consuntivato nuovi ordini per €6,7 miliardi relativi a contratti di natura EPC nei segment i petrolchimic o e Oil & Gas, compres i progetti per l’ottimizzazione di impianti esistent i.

Per effetto de gli ordini acquisiti nel periodo , il Portafoglio Ord ini del Gruppo al 30 giugno 2026 raggiunge il valore di €16,3 miliardi , in aumento di € 3,5 miliardi rispetto alla fine del 2025 .
AGGIORNAMENTO SULLE ATTIVITÀ OPERATIVE IN MEDIO ORIENTE
Relativamente al le attività operative in Medio Oriente, dove alla fine di giugno erano impiegati circa 2.500 ingegneri e tecnici del Gruppo, la Società conferma che tutto il personale, inclusa la forza lavoro dei subappaltatori pari a circa 53.000 persone , opera nel rispetto dei protocolli di sicurezza applicabili e in costante coordinamento con i clienti.
Nel primo semestre dell’anno, l’ampia campagna di approvvigionamento condotta, in particolare nella parte finale del 2025, ha garantito la disponibilità di quantità sufficienti di materiali e apparecchiature chiave presso i cantieri dei progetti in fase di costruzione, mentre le attività di commissioning sono proseguite s ui progetti in fase di completamento. Di conseguenza, l’esecuzione dei progetti è avanzata compless ivamente senza interruzioni significative.
Al tempo stesso , al fine di salvaguardare la continuità operativ a nei mesi a venire , il Gruppo ha prontamente attivato un articolato insieme di misure di mitigazione, in stretto coordinamento con clienti, fornitori e partner logistici. Tali azioni hanno incluso la rapida riconfigurazione della logistica , consentendo di instradare attraverso rotte alternative via camion e via aerea tutti i materiali idonei al trasporto in container, mentre specifiche soluzioni locali stanno supportando il trasporto marittimo delle apparecchiature di grandi dimensioni . Il Gruppo sta inoltre documentando gli impatti derivanti dalle misure di mitigazione ai fini del riconoscimento contrattuale dei relativi costi.
6 Progetto Hail and Ghasha Il progetto Hail and Ghasha, assegnato a Tecnimont a ottobre del 2023 per $8,7 miliardi, ha raggiunto un avanzamento complessivo pari a circa il 75% alla fine di giugno 2026 , con le attività di ingegneria e di approvvigionamento prossime al completamento . Le attività di costruzione hanno raggiunto un avanzamento del 59%, sostenute dal sostanziale completamento delle principali opere civili e dal continuo progresso delle installazioni meccaniche ed elettriche , mentre l e operazioni di heavy lifting sono in fase di ultimazion e e le attività di piping e cablaggio proseguono in tutto il sito .
La disponibilità in cantiere di materiali e apparecchiature chiave ha sostenuto il continuo avanzamento delle attività di costruzione. In conseguenza della parziale operatività dello Stretto di Hormuz, il team di progetto ha inoltre attivato una serie di misure di mitigazione in stretta collaborazione con il cliente, tra cui il reindirizzamento di circa 600 spedizioni attraverso porti alternativi , e circa 1.500 container sono stati consegnati con successo al sito. Queste iniziative stanno consentendo alle attività di costruzione di proseguire senza impatti significativi .
ACQUISIZIONI DI ETEK E DEL GRUPPO BALLESTRA
Il 16 giugno 2026, Nextchem ha acquisito una partecipazione del 70% in ETEK, che detiene il 100% di SISEMTEK, per un corrispettivo complessivo pari a €11,1 milioni, di cui €5,0 milioni versati al closing . ETEK e SISEMTEK apportano una soluzione proprietaria integrata per il recupero di metalli preziosi e critici ad elevata purezza da flussi di rifiuti in continua crescita, quali apparecchiature elettroniche (e -waste), residui minerari, catalizzatori esaus ti, batterie e pannelli fotovoltaici.
Il 25 giugno 2026, Nextchem ha completato l’acquisizione dell’intero capitale sociale del Gruppo Ballestra (“Ballestra”) per un prezzo pari a €148,2 milion i. L’acquisizione amplia in modo significativo il portafoglio di Nextchem, estendendolo all’intera gamma dei fertilizzanti azoto -fosforo -potassio (NPK), alla chimica per i materiali strategici e la lavorazione dei metalli attraverso tecnologie per l’acido solforico e fosforico, nonché ai derivati del fluoro per le batterie agli ioni di litio e ai detergenti a base organica .
FATTI AVVENUTI DOPO LA CHIUSURA DEL PERIODO
Collocamento di un top -up pari a €115 milioni del finanziamento MAIRE Schuldschein
Sustainability -Linked
Il 14 luglio 2026, MAIRE ha completato con successo il collocamento del top -up da €115 milioni del finanziamento Schuldschein Sustainability -Linked, inizialmente collocato il 20 aprile 2026 per un importo di €185 milioni , portando l’ammontare complessivo del finanziamento a €300 milioni, in linea con l’opzione di incremento prevista al momento del lancio. Il finanziamento è composto da due tranche con scadenze a tre e cinque anni, e il pricing è collegato al raggiungimento di specifici obiettivi di decarbonizzazione. I proventi sono stati destinati principalmente al rimborso anticipato di linee di finanziamento esistenti.
Progetti assegnati a luglio 2026 Il 20 luglio 2026, MAIRE ha annuncia to che la sua controllata Tecnimont si è aggiudicata da Fértil Pampa S.A.U., società interamente controllata da Pampa Energía S.A., un contratto per un complesso di fertilizzanti di grandi dimensioni in Argentina . Lo scopo del lavoro di Tecnimont comprende le attività di ingegneria, approvvigionamento, commissioning e avviamento. Nextchem fornirà il licensing dell'urea e il process design package, oltre alle relative apparecchiature proprietarie e al reformer primario per la produzione di syngas . Il valore complessivo è pari a circa
7 €1,3 miliardi, di cui €140 milioni relativi al pacchetto tecnologico di Nextchem8. SACDE S.A., società leader argentina, si occuper à della costruzione. Il completamento è previsto in 41 mesi.
OUTLOOK
I risultati conseguiti nel primo semestre del 2026 dimostrano la resilienza del modello di business del Gruppo. L’avanzamento costante dei progetti, la robusta acquisizione di nuovi ordini e un portafoglio diversificato hanno consentito al Gruppo di registrare una solida performance finanziaria anche in un contesto operativo complesso.
Grazie a uno stretto coordinamento con clienti, fornitori e partner, il Gruppo ha preservato la continuità operativa dei propri progetti in Medio Oriente. Nell’assunto che la situazione attuale non subisca un significativo deterioramento, l ’avanzamento d i tali progetti nei mesi a venire sarà sostenuto dalle misure di mitigazione già implementate in accordo con i clienti .
Il Gruppo ha inoltre rafforzato in modo significativo la propria piattaforma tecnologica attraverso le acquisizioni di Ballestra ed ETEK. Oltre ad ampliare le capacità tecnologiche di Nextchem in segmenti ad elevata crescita, entrambe le società stanno già generando nuove opportunità commerciali e forn iranno un ulteriore supporto alla traiettoria di crescita di Nextchem nella seconda metà del 2026.
Alla luce di quanto sopra, nonché del crescente contributo dei progetti in corso in altre aree geografiche, quali Nord Africa e Asia Centrale, il Gruppo conferma la Guidance 2026, come comunicata al mercato il 4 marzo 2026 in occasione della presentazione del Piano Strategico 2026‑2035 .

CONSOLIDATED FINANCIAL RESULTS AS OF 30 JUNE 20266
MAIRE Group’s reported figures as of 30 June 2026 include the consolidation of Ballestra Group’s and ETEK’s assets and liabilities. No contribution to the consolidated income statement was recognized during the reporting period.
Revenues were €3.7 billion , up 6.9%, thanks to the consistent progress of projects under execution .
EBITDA was €266.2 million, up 14.7%, driven by higher revenues and the efficient management of overhead costs. EBITDA margin was 7.2%, up 50 basis points , also thanks to the stronger contribution from high er value -added services generated by Nextchem .
Amortization, Depreciation, Write -downs, and Provisions were € 36.7 million, up €4.2 million , mainly due to the start -up of assets for the digitalization of industrial processes , as well as the marketing of new patents and technological developments .
EBIT was €229.5 million, up 14.9%, with a margin of 6.2%, up 40 basis points .
Net financial charges , also including the result from investments, were €3.2 million, down €1.6 million, benefiting from higher financial income on cash deposits , lower interest expenses on financial debt ’s variable portion , and gains related to the revaluation of certain equity stakes .
Pre-tax Income was €226.3 million and the tax provision was € 69.1 million. The tax rate was 30.5%, reflecting the various jurisdictions in which the Group’s operations have been carried out.
Net Income was €157.2 million, up 18.3%, with a 4.3% margin , up 40 basis points . Group Net Income , after €19.3 million of result attributable to minority shareholders – mainly related to Nextchem and projects in joint venture – was € 137.9 million, up 8.8%.
Adjusted Net Cash5 as of 30 June 2026 was €301.1 million , compared to €395.1 million as of 31 December 202 5, net of capital expenditures of € 204.0 million , dividends of € 194.4 million7 and the share buy -back program of € 81.1 million .
M&A i nvestments for €165.9 million , were related to the acquisition s of the 100% of Ballestra Group and the upfront payment for the 70% of ETEK, the consideration paid for the exercise of the call option on the remaining 16.5% minority interest in Conser, the consideration paid on the remaining 15.0% minority interest in MyReplast and MyReplast Industries, as well as earn -outs related to the acquisition of Conser and GasConTec, and a deferred price component for the acquisition of MyRemono . Organic investments for €38.1 million , mainly included internal development and scale -
up of proprietary technologies , as well as digital innovation projects .
Consolidated Shareholders’ Equity as of 3 0 June 2026 was €649.6 million , compared to €773.8 million at 31 December 202 5, mainly reflecting the impact of dividend payments and treasury share s buybacks in support of the employee incentive plans , partially offset by the positive net result for the period .

Order Intake in the first half of 2026 was €7.2 billion .
In particular, the order intake of the Sustainable Technology Solutions business unit was €556.9 million , also including the consolidation of Ballestra Group’s order po rtfolio following the closing of the acquisition in the second quarter . The main projects awarded to this business unit in the first half
include:
• licensing and Process Design Package in China based on proprietary nitrates and u rea
technologies ;
• licensing and Process Design Package to produce specialty chemicals in China ;
• feasibility studies for two plastic upcycling projects in Southern Africa and South -East Asia;
• proprietary equipment supply aimed at enhancing the production capacity of an industrial complex in the Middle East ;
• early engineering and proprietary equipment supply for a SAF plant in Indonesia;
• licensing , Process Design Package and technical services to produce trimellitic anhydride in
China ;
• licensing and Process Design Package for a urea -to-DEF plant in Virginia, US ;
• licensing for biomass -to-syngas for a SAF plant in Canada ;
• licensing, Process Design Package and proprietary equipment supply for a large -scale urea plant in Argentina.
5 Furthermore, Nextchem has been awarded a licensing, Process Design Package and proprietary equipment contract for three large -scale plants for nitrogen fertilizers in West Africa . The contract is subject to a final investment decision, except for engineering activities, which have already started and have been included in the backlog.
The Integrated E&C Solutions business unit generated new orders for €6.7 billion , related to EPC contracts in the petrochemical and Oil & Gas segments , including project s for the optimization of existing facilities .

As a result of the order intake of the period, the Group's Backlog at 30 June 2026 reached €16.3 billion , up €3.5 billion compared to the end of 2025 .
UPDATE ON ON-SITE OPERATIONS IN THE MIDDLE EAST
With regard to operations across the Middle East , where approximately 2,500 Group engineers and technicians were deployed as of the end of June, the Company confirms that all personnel, including around 53,000 people within the subcontractors' workforce, are operating in compliance with applicable security protocols and in constant coordination with clients.
In the first half of the year, the extensive procurement campaign carried out, particularly in late 2025, ensured the availability of sufficient quantities of materials and key equipment at the sites of projects under construction, while commissioning activities continued across the remaining projects . As a result, project execution progressed largely without significant disruption.
At the same time, to preserve operational continuity in the coming months , the Group promptly activated a comprehensive set of mitigation measures in close coordination with clients, suppliers and logistics partners. These actions included the rapid reconfiguration of logistic routes, enabling all items suitable for cont ainer transport to be rerouted through alternative trucking and airfreight solutions, while dedicated local arrangements are supporting the maritime transport of oversized equipment. The Group is also documenting mitigation -related impacts for the appropriate contractual recognition of associated cost s.
Hail and Ghasha project The Hail and Ghasha project, awarded to Tecnimont in October 2023 for $8.7 billion, reached an overall progress of approximately 7 5% as of the end of June 2026 , with engineering and procurement activities nearing completion . Construction activities reached 59% progress, supported by the substantial completion of the main civil works and the continued advancement of mechanical and electrical installations, while heavy lifting operations are nearing completion and piping and cab ling activities continue across the site.
The availability of materials and key equipment at site supported the continued advancement of construction activities. Following the reduced operability of the Strait of Hormuz , the project team also activated a range of mitigation measures in close cooperation with the client , including the rerouting of around 600 shipments through alternative ports, and approximately 1,500 containers
6 were successfully delivered to site. These actions are enabling construction activities to continue without major disruption.
ACQUISITIONS OF ETEK AND BALLESTRA GROUP
On 1 6 June 2026, Nextchem acquired a 70% stake in ETEK , which holds 100% of SISEMTEK , for a total consideration of €1 1.1 million , of which €5.0 million paid upfront . ETEK and SISEMTEK bring an integrated proprietary solution to recover high-purity precious and critical metals from ever -
growing waste streams, such as electronic equipment (e -waste), mining tailings, spent catalysts, batteries and photovoltaic panels .
On 25 June 2026, Nextchem completed the acquisition of the entire share capital of Ballestra Group (“Ballestra ”) for a total considera tion paid of €148.2 million . The acquisition significantly enhances Nextchem’s portfolio across the full Nitrogen -Phosphorus -Potassium (NPK) fertilizer spectrum , the chemistry for strategic materials and metals processing with technologies for sul phuric and phosphoric acid, as well as fluorine derivatives for lithium -ion batteries , and bio -based detergents .
EVENTS AFTER THE CLOSE OF THE PERIOD
Placement of a €115 million top -up of MAIRE’s Sustainability -Linked Schuldschein loan On 14 July 2026, MAIRE successfully completed the €115 million top-up placement of the Sustainability -Linked Schuldschein Loan initially placed on 20 April 2026 for €185 million , bring ing the total amount of the loan to €300 million, in line with the upsize option envisaged at the time of launch. The loan is structured in two tranches with maturities of three and five years, and pricing is linked to the achievement of specific decarbonization targets. Contracts awarded in July 2026 On 20 July 2026, MAIRE announce d that its subsidiary Tecnimont has been awarded a contract by Fértil Pampa S.A.U., a wholly owned subsidiary of Pampa Energ ía S.A., for a large -scale fertilizer complex in Argentina . Tecnimont’s scope of work includes engineering, procurement, commissioning, and start -up activities. Nextchem will provide the urea licensing and process design package , as well as the associated proprietary equipment and primary reformer for syngas production. The total value is approximately €1.3 billion, of which €140 million related to Nextchem’s technology package8. SACDE S.A., a leading Argentinean company, will carry out the construction.
Completion is expected in 41 months.
OUT LOOK
The results delivered in the first half of 2026 demonstrate resilience of the Group’s business model.
Steady project execution, strong order intake and a diversified backlog enabled the Group to achieve a solid financial performance even in a complex operating environment.
Through close coordination with clients, suppliers and partners, the Group has preserved continuity across its projects in the Middle East . Assuming no significant deterioration of the current situation ,

7 the mitigation measures already implemented, together with the ongoing engagement with clients, are expected to sustain project execution in the coming months .
The Group has also significantly strengthened its technology platform through the acquisitions of Ballestra and ETEK. In addition to enhancing Nextchem’s technological capabilities in high -growth segments , both companies are already generating new commercial opportunities and will contribute further support to Nextchem’s growth trajectory in the second half of 2026 .
In light of the above and considering the increasing contribution from existing projects in other geographies , such as North Africa and Central Asia , the Group confirms its 2026 Guidance, as communicated to the market on 4 March 2026 in connection with the presentation of the 2026 -2035 Strategic Plan.
