Risultati economici e patrimoniali del primo semestre 2026 significativamente influenzati da componenti positiv i di natura straordinaria e non ricorrente , derivanti dagli effetti degli accordi definiti nell’ambito della Composizione Negoziata della Crisi.
Roma, 30 settembre 2026 – Mondo TV S.p.A. (“Mondo TV ” o la “ Società ”), società quotata su Euronext Milan, comunica che il Consiglio di Amministrazione, riunitosi in data odierna, ha esaminato e approvato la Relazione Finanziaria Semestrale Consolidata al 30 giugno 2026.
Il primo semestre 2026 si inserisce in una fase di significativa evoluzione della situazione economica, patrimoniale e finanziaria del Gruppo rispetto all'esercizio precedente, caratterizzata, da un lato, dagli effetti del percorso di risanamento intrapreso dalla Capogruppo e dal progressivo completamento delle iniziative di riequilibrio patrimoniale e finanziario e, dall'altro, dal permanere di condizioni di debolezza del mercato audiovisivo internazionale e, in particolare, del settore dell'animazione.
PRINCIPALI RISULTATI ECONOMICI CONSOLIDATI
Nel primo semestre 2026 i ricavi delle vendite e delle prestazioni del Gruppo sono pari a Euro 380 migliaia, rispetto a Euro 414 migliaia del corrispondente periodo dell'esercizio precedente.
Gli altri ricavi ammontano a Euro 3.799 migliaia, rispetto a Euro 785 migliaia nel primo semestre 2025, mentre le capitalizzazioni interne sono pari a Euro 214 migliaia, rispetto a Euro 127 migliaia del corrispondente periodo dell'esercizio precedente.
Il risultato operativo (EBIT) risulta positivo per Euro 2.354 migliaia, rispetto al risultato operativo negativo per Euro 598 migliaia registrato nel primo semestre 2025.
Il risultato netto consolidato è positivo per Euro 2.258 migliaia, rispetto alla perdita di Euro 748 migliaia del primo semestre 2025. Il risultato netto di competenza del Gruppo risulta positivo per Euro 2.518 migliaia, rispetto alla perdita di Euro 627 migliaia del corrispondente periodo dell'esercizio precedente, mentre il risultato di competenza delle interessenze di terzi è negativo per Euro 260 migliaia.
Il significativo miglioramento dei risultati economici rispetto al primo semestre 2025 deve tuttavia essere interpretato tenendo distinti gli effetti economici non ricorrenti derivanti dal percorso di risanamento dalla performance della gestione industriale e commerciale ordinaria.
In particolare, gli altri ricavi del semestre comprendono componenti positive di natura prevalentemente straordinaria e non ricorrente connesse agli stralci e alle rideterminazioni delle posizioni debitorie conseguenti agli accordi raggiunti nell'ambito della Composizione Negoziata della Crisi (“CNC”).
Tali componenti hanno contribuito in misura significativa al risultato positivo del semestre e non rappresentano, pertanto, elementi indicativi, di per sé, del conseguimento di una redditività ordinaria e stabile.
Sotto il profilo della gestione caratteristica, permane quale principale elemento di attenzione il livello dei ricavi, che continua a risentire della debolezza del mercato audiovisivo internazionale, della maggiore selettività degli operatori e dell'allungamento delle tempistiche di sviluppo delle produzioni e di finalizzazione delle trattative commerciali.
A tali elementi si contrappongono gli effetti delle iniziative di razionalizzazione e contenimento della struttura ordinaria dei costi poste in essere dalla Società, che continueranno ad essere perseguite anche in considerazione dell'attuale andamento dei ricavi.
SITUAZIONE PATRIMONIALE E FINANZIARIA CONSOLIDATA
Al 30 giugno 2026 il patrimonio netto di competenza del Gruppo risulta positivo per Euro 2.572 migliaia, rispetto al valore negativo di Euro 1.558 migliaia al 31 dicembre 2025, evidenziando un miglioramento pari a Euro 4.130 migliaia.
Tale evoluzione riflette principalmente il risultato positivo di competenza del Gruppo maturato nel semestre, significativamente influenzato dalle componenti positive non ricorrenti sopra richiamate, nonché gli effetti delle operazioni sul capitale intervenute nel periodo.
Il patrimonio netto consolidato complessivo, comprensivo delle interessenze di terzi, permane invece negativo per Euro 684 migliaia, pur evidenziando un significativo miglioramento rispetto al valore negativo di Euro 3.578 migliaia al 31 dicembre 2025. La differenza rispetto al patrimonio netto di competenza del Gruppo è riconducibile al patrimonio netto negativo attribuibile alle interessenze di terzi, pari a Euro 3.256 migliaia al 30 giugno 2026.
L'indebitamento finanziario netto consolidato al 30 giugno 2026 è pari a Euro 5.032 migliaia, rispetto a Euro 5.387 migliaia al 31 dicembre 2025, con un miglioramento complessivo pari a Euro 355 migliaia.
In particolare, l'indebitamento finanziario netto corrente si riduce da Euro 2.161 migliaia al 31 dicembre 2025 a Euro 882 migliaia al 30 giugno 2026, mentre l'indebitamento finanziario netto non corrente passa da Euro 3.226 migliaia a Euro 4.150 migliaia, riflettendo anche la rimodulazione delle scadenze dell'indebitamento conseguente agli accordi raggiunti nell'ambito del percorso di risanamento.
Le disponibilità liquide consolidate risultano pari a Euro 192 migliaia, sostanzialmente invariate rispetto al 31 dicembre 2025.
Nonostante il miglioramento registrato nella struttura patrimoniale e nella posizione finanziaria netta, permane pertanto una situazione di liquidità contenuta, che continua a richiedere un attento monitoraggio dei flussi di cassa, delle scadenze finanziarie e dei fabbisogni connessi all'ordinaria operatività e all'esecuzione degli accordi definiti nell'ambito del percorso di risanamento.
PRINCIPALI RISULTATI DELLA CAPOGRUPPO MONDO TV S.P.A.
Con riferimento alla Capogruppo Mondo TV S.p.A., il primo semestre 2026 si chiude con ricavi delle vendite e delle prestazioni pari a Euro 324 migliaia e altri ricavi pari a Euro 3.798 migliaia.
Il risultato operativo (EBIT) è positivo per Euro 2.575 migliaia, mentre il risultato netto del periodo è positivo per Euro 2.114 migliaia, rispetto alla perdita di Euro 2.630 migliaia registrata nel corrispondente periodo dell'esercizio precedente.
Al 30 giugno 2026 il patrimonio netto della Capogruppo risulta positivo per Euro 637 migliaia, rispetto al valore negativo di Euro 1.962 migliaia al 31 dicembre 2025.
L'indebitamento finanziario netto della Capogruppo è pari a Euro 4.466 migliaia, rispetto a Euro 4.532 migliaia al 31 dicembre 2025, mentre le disponibilità liquide risultano pari a Euro 161 migliaia.
Anche con riferimento alla Capogruppo, il significativo miglioramento economico e patrimoniale deve essere valutato tenendo conto della rilevante incidenza delle componenti positive non ricorrenti derivanti dal percorso di risanamento, nonché del permanere di un livello contenuto dei ricavi della gestione caratteristica.
Il miglioramento registrato rispetto alla chiusura dell'esercizio 2025 costituisce pertanto un elemento rilevante nell'evoluzione della situazione economica e patrimoniale della Capogruppo, ferma restando la necessità di valutarlo congiuntamente alla natura non ricorrente di una parte significativa dei risultati del semestre, al livello ancora contenuto della liquidità e alla necessità di proseguire nell'attuazione delle misure previste dal percorso di risanamento e rafforzamento finanziario.
CONCLUSIONE DELLA COMPOSIZIONE NEGOZIATA DELLA CRISI
Nel corso del primo semestre 2026 si è positivamente concluso il procedimento di Composizione Negoziata della Crisi intrapreso dalla Capogruppo, all'esito del percorso di negoziazione avviato con il ceto bancario, i creditori commerciali e l'Amministrazione finanziaria.
L'Esperto nominato nell'ambito della procedura ha depositato la propria relazione finale, dando atto della conclusione del procedimento.
La conclusione della CNC rappresenta un passaggio rilevante nel percorso di riequilibrio della Società e consente di dare progressiva esecuzione agli accordi raggiunti con i creditori e alla manovra finanziaria contemplata nel Piano di Risanamento.
La conclusione della fase negoziale non esaurisce tuttavia gli impegni connessi al percorso di risanamento, assumendo ora particolare rilevanza la puntuale esecuzione degli accordi raggiunti, il rispetto delle relative scadenze e la disponibilità delle risorse finanziarie necessarie alla loro attuazione.
ACCORDO CON L ’AGENZIA DELLE ENTRATE
Particolare rilevanza nell ’ambito del percorso di risanamento assume l ’accordo raggiunto con l ’Agenzia delle Entrate in relazione all ’esposizione tributaria della Capogruppo.
La proposta formulata ai sensi dell ’art. 23, comma 2 -bis, del Codice della Crisi d ’Impresa e dell ’Insolvenza è stata accolta dall ’Amministrazione finanziaria nel corso del primo semestre 2026.
Successivamente alla chiusura del semestre, in data 30 luglio 2026, Mondo TV S.p.A., l ’Agenzia delle Entrate e l’Agenzia delle Entrate -Riscossione hanno sottoscritto il relativo accordo, successivamente depositato presso il Tribunale di Roma ai fini dell ’emissione del decreto di autorizzazione alla sua esecuzione previsto dalla medesima disposizione.
Alla data odierna il procedimento finalizzato all ’emissione del predetto decreto risulta ancora pendente.
PARTNERSHIP CON HEMLOCK WEST
Nel corso del primo semestre 2026 la Società ha sottoscritto un accordo vincolante con Hemlock West LLC, partner finanziario e industriale canadese, finalizzato sia al supporto della manovra finanziaria prevista dal Piano di Risanamento sia allo sviluppo di nuove iniziative industriali e commerciali.
Sotto il profilo finanziario, Hemlock West ha assunto un impegno complessivo di investimento pari a Euro 1,5 milioni, destinato ad essere eseguito nell'ambito del programmato aumento di capitale della Società.
Sotto il profilo industriale, la partnership è finalizzata, tra l'altro, a favorire il rafforzamento della presenza commerciale nel mercato nordamericano, la valorizzazione della library e l'individuazione di nuove opportunità di business.
Alla data del 30 giugno 2026 le attività industriali e commerciali previste nell'ambito della partnership non risultavano ancora operative e, conseguentemente, i relativi potenziali benefici incrementali non risultavano ancora concretamente riflessi nei risultati economici del semestre.
AUMENTO DI CAPITALE E RAFFORZAMENTO PATRIMONIALE E FINANZIARIO
Successivamente alla chiusura del semestre, l'Assemblea Straordinaria degli Azionisti del 30 luglio 2026 ha attribuito al Consiglio di Amministrazione, ai sensi dell'art. 2443 del Codice Civile, la delega ad aumentare il capitale sociale, a pagamento e in via scindibile, in una o più volte e anche in più tranche, per un periodo di dodici mesi e per un importo massimo complessivo pari a Euro 6 milioni.
L'operazione si inserisce nel più ampio percorso di rafforzamento patrimoniale e finanziario della Società e risulta funzionale sia al reperimento delle risorse previste nell'ambito del Piano di Risanamento sia, per le eventuali risorse ulteriori, al sostegno del capitale circolante in primis e delle possibili iniziative di rilancio e sviluppo industriale e commerciale.
L'effettiva capacità dell'operazione di contribuire alla riduzione del rischio di liquidità e al rafforzamento della struttura finanziaria della Società dipenderà tuttavia dall'ammontare delle risorse effettivamente raccolte e dalla relativa tempistica di disponibilità.
ANDAMENTO DELLA GESTIONE E PROSPETTIVE
Nel corso del primo semestre 2026 l'andamento della gestione caratteristica è risultato inferiore alle previsioni formulate per il periodo, principalmente per effetto della persistente debolezza del mercato audiovisivo, dell'allungamento delle tempistiche delle trattative commerciali e del differimento temporale nell'avvio di alcune produzioni.
Tali dinamiche rendono maggiormente sfidante il conseguimento degli obiettivi economici originariamente previsti per l'esercizio 2026.
Il Gruppo prosegue tuttavia nello sviluppo della propria attività industriale e commerciale, facendo leva sulla propria library, sulle relazioni consolidate con broadcaster e partner nazionali e internazionali, sulle produzioni già acquisite e sulle nuove iniziative in corso di sviluppo e definizione.
Parallelamente, proseguiranno le azioni di razionalizzazione della struttura operativa e di contenimento dei costi, la cui rilevanza risulta accresciuta nell'attuale contesto di debolezza dei ricavi caratteristici.
CONTINUITÀ AZIENDALE E PRINCIPALI FATTORI DI RISCHIO
Nell'ambito dell'approvazione della Relazione Finanziaria Semestrale Consolidata al 30 giugno 2026, il Consiglio di Amministrazione ha specificamente esaminato gli elementi rilevanti ai fini della valutazione del presupposto della continuità aziendale, considerando, tra l'altro, la situazione economica, patrimoniale e finanziaria della Società e del Gruppo, le disponibilità liquide, la struttura e le scadenze dell'indebitamento, gli accordi definiti nell'ambito della CNC, le misure di contenimento dei costi, l'andamento e le prospettive dei ricavi, gli impegni di sostegno finanziario e patrimoniale e le proiezioni finanziarie predisposte con riferimento ai dodici mesi successivi alla data di approvazione della Relazione.
Tenuto conto degli elementi e delle assunzioni analiticamente illustrati nella Relazione Finanziaria Semestrale, il Consiglio di Amministrazione ha ritenuto appropriato l'utilizzo del presupposto della continuità aziendale nella redazione del bilancio consolidato semestrale abbreviato al 30 giugno 2026.
Permangono tuttavia fattori di rischio che richiedono un continuo e attento monitoraggio, con particolare riferimento all'andamento della gestione caratteristica e dei ricavi, alla liquidità e alla generazione dei flussi di cassa, al rispetto delle scadenze derivanti dagli accordi conclusi nell'ambito della CNC, all'effettiva disponibilità delle risorse finanziarie previste e all'esito dell'aumento di capitale.
In particolare, qualora l'attuale debolezza del mercato e livelli di ricavi inferiori alle attese dovessero protrarsi e si accompagnassero a una raccolta nell'ambito dell'aumento di capitale significativamente inferiore agli obiettivi e
all'impossibilità di reperire tempestivamente risorse finanziarie alternative, potrebbero determinarsi tensioni finanziarie suscettibili di incidere sulla capacità della Società di mantenere nel tempo condizioni di equilibrio economico -finanziario.
La Società continuerà pertanto a monitorare attentamente l'evoluzione di tali fattori e ad adottare, ove necessario, le misure ritenute opportune in funzione dell'effettivo andamento della gestione e della situazione finanziaria.
REVISIONE CONTABILE LIMITATA
La Relazione Finanziaria Semestrale Consolidata al 30 giugno 2026 è sottoposta a revisione contabile limitata da parte di Audirevi S.p.A.

The economic and equity results for the first half of 2026 were significantly affected by positive extraordinary and non-recurring items arising from the effects of the agreements reached within the framework of the Negotiated Crisis Settlement procedure.
Rome, September 30, 2026 – Mondo TV S.p.A. (“Mondo TV” or the “Company”), a company listed on Euronext Milan, announces that the Board of Directors, which met today, examined and approved the Consolidated Interim Financial Report as of June 30, 2026.
The first half of 2026 was marked by a significant evolution in the Group’s economic, equity and financial position compared with the previous financial year, characterised, on the one hand, by the effects of the restructuring process undertaken by the Parent Company and the progressive completion of the initiatives aimed at restoring its equity and financial balance and, on the other hand, by the continuing weakness of the international audiovisual market and, in particular, the animation sector.
KEY CONSOLIDATED ECONOMIC RESULTS
In the first half of 2026, the Group’s revenue from sales and services amounted to Euro 380 thousand , compared with Euro 414 thousand in the corresponding period of the previous financial year.
Other revenues amounted to Euro 3,799 thousand , compared with Euro 785 thousand in the first half of 2025, while internally generated assets amounted to Euro 214 thousand, compared with Euro 127 thousand in the corresponding period of the previous financial year.
The operating result (EBIT) was positive at Euro 2,354 thousand , compared with a negative operating result of Euro 598 thousand recorded in the first half of 2025.
The consolidated net result was positive at Euro 2,258 thousand , compared with a loss of Euro 748 thousand in the first half of 2025. The net result attributable to the Group was positive at Euro 2,518 thousand , compared with a loss of Euro 627 thousand in the corresponding period of the previous financial year, while the result attributable to non -
controlling interests was negative at Euro 260 thousand.
The significant improvement in economic results compared with the first half of 2025 should, however, be assessed by distinguishing the non -recurring economic effects arising from the restructuring process from the performance of the ordinary industrial and commercial operations.
In particular, other revenues for the period include positive items of a predominantly extraordinary and non -recurring nature related to the write -offs and remeasurement of debt positions resulting from the agreements reached within the framework of the Negotiated Crisis Settlement procedure (“CNC”) .
These items contributed significantly to the positive result for the period and therefore do not, in themselves, represent indicators of the achievement of ordinary and sustainable profitability.
With regard to the core business , the level of revenues remains the main area requiring attention, continuing to be affected by the weakness of the international audiovisual market, the increased selectivity of market operators and longer lead times for the development of productions and the finalisation of commercial negotiations.
These factors are partially offset by the effects of the initiatives undertaken by the Company to rationalise and contain its ordinary cost structure, which will continue to be pursued also in light of the current revenue trend.
CONSOLIDATED EQUITY AND FINANCIAL POSITION
As of June 30, 2026, equity attributable to the Group was positive at Euro 2,572 thousand , compared with negative Euro 1,558 thousand as of December 31, 2025, representing an improvement of Euro 4,130 thousand.
This evolution mainly reflects the positive result attributable to the Group for the period, which was significantly affected by the positive non -recurring items referred to above, as well as the effects of the capital transactions carried out during the period.
Total consolidated equity , including non -controlling interests, remained negative at Euro 684 thousand , although showing a significant improvement compared with negative Euro 3,578 thousand as of December 31, 2025. The difference compared with equity attributable to the Group is due to the negative equity attributable to non -
controlling interests, amounting to Euro 3,256 thousand as of June 30, 2026.
Consolidated net financial debt as of June 30, 2026 amounted to Euro 5,032 thousand , compared with Euro 5,387 thousand as of December 31, 2025, representing an overall improvement of Euro 355 thousand.
In particular, current net financial debt decreased from Euro 2,161 thousand as of December 31, 2025 to Euro 882 thousand as of June 30, 2026, while non -current net financial debt increased from Euro 3,226 thousand to Euro 4,150 thousand, also reflecting the rescheduling of debt maturities resulting from the agreements reached as part of the restructuring process.
Consolidated cash and cash equivalents amounted to Euro 192 thousand , substantially unchanged compared with December 31, 2025.
Despite the improvement in the equity structure and net financial position, liquidity remains limited and continues to require careful monitoring of cash flows, financial maturities and the funding requirements associated with ordinary operations and the implementation of the agreements reached as part of the restructuring process.
KEY RESULTS OF THE PARENT COMPANY MONDO TV S.P.A.
With reference to the Parent Company Mondo TV S.p.A. , the first half of 2026 closed with revenue from sales and services of Euro 324 thousand and other revenues of Euro 3,798 thousand .
The operating result (EBIT) was positive at Euro 2,575 thousand , while the net result for the period was positive at Euro 2,114 thousand , compared with a loss of Euro 2,630 thousand recorded in the corresponding period of the previous financial year.
As of June 30, 2026, the Parent Company’s equity was positive at Euro 637 thousand , compared with negative Euro 1,962 thousand as of December 31, 2025.
The Parent Company’s net financial debt amounted to Euro 4,466 thousand , compared with Euro 4,532 thousand as of December 31, 2025, while cash and cash equivalents amounted to Euro 161 thousand.
Also with reference to the Parent Company, the significant improvement in economic and equity results should be assessed taking into account the material impact of positive non -recurring items arising from the restructuring process, as well as the continuing low level of revenues from the core business.
The improvement recorded compared with the end of the 2025 financial year therefore represents a relevant development in the Parent Company’s economic and equity position, while it should be considered together with the non-recurring nature of a significant portion of the results for the period, the still limited level of liquidity and the need to continue implementing the measures envisaged as part of the restructuring and financial strengthening process.
COMPLETION OF THE NEGOTIATED CRISIS SETTLEMENT PROCEDURE
During the first half of 2026, the Negotiated Crisis Settlement procedure undertaken by the Parent Company was successfully completed following the negotiation process carried out with the banking sector, trade creditors and the Tax Authorities.
The Expert appointed within the framework of the procedure filed his final report, acknowledging the completion of the procedure.
The completion of the CNC represents a relevant step in the Company’s rebalancing process and allows the progressive implementation of the agreements reached with creditors and of the financial measures contemplated in the Restructuring Plan.
The completion of the negotiation phase does not, however, exhaust the commitments associated with the restructuring process, and particular importance now attaches to the timely implementation of the agreements reached, compliance with the related deadlines and the availability of the financial resources required for their implementation.
AGREEMENT WITH THE ITALIAN TAX AUTHORITIES
The agreement reached with the Italian Tax Authorities in relation to the Parent Company’s tax exposure is of particular importance within the restructuring process.
The proposal submitted pursuant to Article 23, paragraph 2 -bis, of the Italian Crisis and Insolvency Code was accepted by the Tax Authorities during the first half of 2026.
Following the end of the reporting period, on July 30, 2026 , Mondo TV S.p.A., the Italian Revenue Agency and the Italian Revenue Collection Agency entered into the relevant agreement, which was subsequently filed with the Court of Rome for the purpose of obtaining the decree authorising its implementation pursuant to the same provision.
As of the date hereof, the proceedings for the issuance of the aforementioned decree are still pending.
PARTNERSHIP WITH HEMLOCK WEST
During the first half of 2026, the Company entered into a binding agreement with Hemlock West LLC , a Canadian financial and industrial partner, aimed both at supporting the financial measures envisaged under the Restructuring Plan and at developing new industrial and commercial initiatives.
From a financial perspective, Hemlock West has undertaken an overall investment commitment of Euro 1.5 million , to be made as part of the Company’s planned capital increase.
From an industrial perspective, the partnership is aimed, among other things, at strengthening the Company’s commercial presence in the North American market, enhancing the value of its library and identifying new business opportunities.
As of June 30, 2026, the industrial and commercial activities envisaged under the partnership were not yet operational and, consequently, the related potential incremental benefits were not yet reflected in the economic results for the period.
CAPITAL INCREASE AND EQUITY AND FINANCIAL STRENGTHENING
Following the end of the reporting period, the Extraordinary Shareholders’ Meeting held on July 30, 2026 granted the Board of Directors, pursuant to Article 2443 of the Italian Civil Code, the authority to increase the share capital, against payment and on a divisible basis, on one or more occasions and also in several tranches, for a period of twelve months and for a maximum aggregate amount of Euro 6 million .
The transaction forms part of the broader process aimed at strengthening the Company’s equity and financial position and is intended both to raise the resources envisaged under the Restructuring Plan and, as regards any additional resources, primarily to support working capital requirements and potential industrial and commercial relaunch and development initiatives.
However, the actual ability of the transaction to contribute to reducing liquidity risk and strengthening the Company’s financial structure will depend on the amount of funds actually raised and the timing of their availability .
BUSINESS PERFORMANCE AND OUTLOOK
During the first half of 2026, the performance of the core business was below the forecasts for the period, mainly as a result of the continuing weakness of the audiovisual market, longer lead times in commercial negotiations and the postponement of the start of certain productions.
These developments make the achievement of the economic targets originally envisaged for the 2026 financial year more challenging.
The Group nevertheless continues to develop its industrial and commercial activities, leveraging its library, its established relationships with national and international broadcasters and partners, productions already secured and new initiatives currently under development and negotiation.
At the same time, the Group will continue its initiatives aimed at rationalising its operating structure and containing costs, which have become increasingly important in the current environment of weak core -business revenues.
GOING CONCERN AND KEY RISK FACTORS
As part of the approval of the Consolidated Interim Financial Report as of June 30, 2026, the Board of Directors specifically assessed the relevant factors for the purpose of evaluating the going concern assumption , taking into account, among other things, the economic, equity and financial position of the Company and the Group, available liquidity, the structure and maturities of debt, the agreements reached within the framework of the CNC, cost -
containment measures, revenue performance and outlook, financial and equity support commitments, and the financial projections prepared for the twelve months following the date of approval of the Report.
Taking into account the factors and assumptions described in detail in the Interim Financial Report, the Board of Directors considered the use of the going concern assumption appropriate in preparing the condensed consolidated interim financial statements as of June 30, 2026.
However, certain risk factors remain and require continuous and careful monitoring, particularly with regard to the performance of the core business and revenues, liquidity and cash -flow generation, compliance with the deadlines arising from the agreements entered into within the framework of the CNC, the actual availability of the expected financial resources and the outcome of the capital increase.
In particular, should the current weakness of the market and revenue levels below expectations persist and be accompanied by proceeds from the capital increase significantly below the targets and an inability to obtain alternative financial resources on a timely basis, financial pressures could arise that may affect the Company’s ability to maintain economic and financial balance over time.
The Company will therefore continue to carefully monitor the development of these factors and, where necessary, adopt the measures deemed appropriate in light of the actual performance of the business and financial position.
