Pescarolo ed Uniti (CR), 23 settembre 2026 – Il Consiglio di Amministrazione di Lindbergh S.p.A ., gruppo attivo in Italia nel settore MRO (Maintenance Repair and Operations) per l’offerta di servizi, di logistica per le reti di assistenza tecnica , nel settore del Waste Management – Circular Economy e nel settore HVAC (Heating, Ventilation and Air Conditioning) ha esaminato e approvato in data odierna la relazione finanziaria semestrale consolidata al 30 giugno 202 6, sottoposta a revisione contabile limitata e ai sensi del Regolamento Emittenti Euronext Growth Milan .
I dati consolidati del Gruppo Lindbergh al 30 giugno 202 6 sono redatti secondo i principi contabili internazionali IAS/IFRS (come da delibera del 30 marzo 2022 sul passaggio ai principi contabili internazionali, cfr comunicato stampa in pari data ). Gli stessi sono confrontati con i dati consolidati del Gruppo al 30 giugno 2025 redatti anch’essi secondo i principi contabili internazionali IAS/IFRS.
Michele Corradi, Amministratore Delegato di Lindbergh S.p.A., commenta così i risultati: “ Carissimi azionisti, presentiamo i dati di un altro semestre in crescita rispetto all’anno precedente . Le marginalità, ancor più dei ricavi, ci indicano che stiamo lavorando giorno dopo giorno con i giusti obiettivi. Dopo un paio di anni complicati, finalmente torna a crescere organicamente anche la nostra Business Unit storica; il lavoro di riorganizzazione interna e di sviluppo commerciale sta portando risultati positivi. Procediamo quindi con fiducia, cercando come sempre di cogliere le opportunità più in linea con i nostri obiettivi di creazione di valore nel medio e lungo termine.”

Rispetto al primo semestre del 2025, si rileva una buona ripresa della crescita organica della BU Network & Warehouse Management (+7,6%), frutto sia di una buona ripresa della crescita dei nostri principali clienti storici, sia dell’avvio di servizi per nuovi clienti. Il dato è ancora più confortante in quanto, come previsto e comunicato, sono cessati tra marzo e aprile 2026 i servizi di trasporto inbound dal magazzino centrale in Germania del nostro più importante cliente, che ha avviato le operations da una piattaforma logistica in Italia.
La crescita importante dei ricavi della BU Waste/Circular Economy è dovuta principalmente al consolidamento dei clienti acquisiti a fine 2025 nell’ambito dell’acquisto delle attività e della gestione del deposito rifiuti di SDS Service. La crescita altrettanto decisa dell’HVAC è dovuta in gran parte al consolidamento delle nuove società acquisite nel corso del 2025 nel perimetro del Gruppo. Oltre ai ricavi, crescono più che proporzionalmente le marginalità, soprattutto nelle BU Network e HVAC, grazie all’aumento dei ricavi nel primo caso e all’efficientamento delle operations nel secondo. Leggermente in calo le marginalità della BU Waste/Circular Economy per effetto di una rimodulazione dei prezzi relativi al progetto CircularItalie e del consolidamento delle operations di SDS Service, ancora adesso in fase di ottimizzazione.
Cala l’indebitamento finanziario netto rispetto al 31/12/2025 ( -19%), risultato sia del rimborso dei debiti finanziari, sia della mancanza di operazioni straordinarie nel primo semestre 2026 .
FATTI RILEVANTI NEL CORSO DEL PRIMO SEMESTRE 202 6
In data 26 febbraio 2026 la società ha comunicato che il fondo americano Abdiel Capital è diventato un nuovo azionista significativo, superando la quota di partecipazione del 5% nel capitale di Lindbergh Spa.
In data 29 aprile 202 6 l’Assemblea ordinaria degli azionisti ha approvato il bilancio al 31 dicembre 202 5.
EVENTI SUCCESSIVI AL 30 GIUGNO 202 6
In data 2 luglio 202 6 la società ha comunicato di essere entrata a far parte dell’indice Intermonte Valore Italia un nuovo ETF a gestione attiva che investirà prevalentemente nel pool di aziende definito dall’Indice stesso.
In data 10 settembre 2026 la società ha comunicato che il socio Pibes Srl è sceso sotto la soglia del 25%, passando dal precedente 25,01% al 24,97%.

EVOLUZIONE PREVEDIBILE DELLA GESTIONE
Per il secondo semestre 2026 ci si aspetta una crescita in linea con quella del primo semestre per le Business Unit Network Management e Waste/ Circular Economy. Per la BU HVAC, come tutti gli anni, si dovrebbe registrare un incremento di fatturato dovuto agli andamenti stagionali, soprattutto nell’ultimo trimestre dell’anno. La crescita per linee esterne rima rrà un cardine della strategia di sviluppo, principalmente nella BU HVAC.
ALTRE DELIBERAZIONI DEL C ONSIGLIO DI AMMINISTRAZIONE
In ottemperanza alle disposizioni di cui all’art. 6 -bis del Regolamento Emittenti EGM, il Consiglio di Amministrazione della Società, in data odierna, ha provveduto a verificare e accertare la sussistenza dei requisiti di indipendenza in capo all’Amministr atore Carlo Alberto Carnevale Maffè, sulla base della procedura “Criteri quantitativi e qualitativi ai fini della valutazione dei requisiti di indipendenza”, adottata dalla Società in data 9 aprile 2024 e disponibile sul sito internet della Società www.lin dberghspa.it, nella sezione “Investitori/Documenti”.
Il Consiglio di Amministrazione ha inoltre approvato una nuova versione della Procedura di Internal Dealing, aggiornata al fine di recepire le intervenute modifiche normative. La suddetta procedura è disponibile sul sito internet della Società www.lindberg hspa.it, nella sezione “Investitori/Documenti”.
Infine , il Consiglio di Amministrazione ha dato mandato all’Amministratore Delegato Michele Corradi di procedere alla liquidazione volontaria della società Lindbergh France Sas.

Lindbergh è un Gruppo che offre servizi nei settori MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) ed Economia Circolare. Lindbergh opera attraverso tre Business Units: Network Management , per l'offerta di servizi di logistica e prodotti - dedicati alle aziende dotate di reti di tecnici manutentori itineranti - veicolati da un servizio di logistica notturna "a bordo veicolo". attraverso la controllata SMIT e grazie ad iniziative di m&a - il primo player italiano nell'industria del riscaldamento, raffrescamento e ventilazione. Circular Economy , per l'offerta di servizi complessi nell'ambito della gestione di rifiuti industriali con la finalità di identificare - attraverso supply chain virtuose – processi innovativi per la valorizzazione dei rifiuti e la produzione di materiali riciclati traccia ti. Con sede in Pescarolo ed Uniti (Cremona), Lindbergh è stata fondata nel 2006 da Marco Pomè (Presidente) e Michele Corradi (CEO), entrambi provenienti da esperienze di rilievo nell'ambito della logistica e dei servizi alle industrie. Pescarolo ed Uniti (CR), 23 September 202 6 – The Board of Directors of Lindbergh S.p.A ., a group active in the MRO (Maintenance Repair and Operations) sector in Italy offering services, logistics for technical assistance networks in the Waste Management – Circular Economy sector and HVAC (Heating, Ventilation and Air Conditioning) sector, t oday examined and approved the consolidated, half -yearly financial report as at 30 June 202 6, subjected to limited auditing, and pursuant to the Euronext Growth Milan Issuers Regulation.
The consolidated data of the Lindbergh Group as at 30 June 202 6 are drawn up applying the IAS/IFRS international accounting standards (as per resolution of 30 March 2022 on the application of international accounting standards, see press release of that date ). These data are compared to the consolidated data of the Group as at 30 June 202 5 also drawn up applying IAS/IFRS international accounting standards.
Michele Corradi, Chief Executive Officer of Lindbergh S.p.A., commented on the results as follows: “Dear shareholders, we present the figures for another half -year of growth compared to the previous year.
Profitability margins, even more than revenues, show us that we are working day by day toward the right objectives. After a couple of complicated year s, our historical Business Unit is finally growing organically once again; our internal reorganization work and commercial development are yielding positive results. Compared to the first half of 2025, there was a good recovery in organic growth for the Network & Warehouse Management BU (+7.6%), resulting both from a strong rebound in growth among our main historical clients and the launching of services for new client s. This figure is all the more encouraging given that, as anticipated and announced, inbound transport services from the central warehouse in Germany for our main client ceased between March and April 2026, as they initiated operations from a logistics platform in Italy. The significan t revenue growth in the Waste/Circular Economy BU is mainly attributable to the consolidation of clients acquired at the end of 2025 as part of the acquisition of SDS Service's operations and waste storage facility management. The similarly strong growth i n HVAC is largely due to the consolidation within the Group perimeter of the new companies acquired during 2025. In addition to revenues, margins grew more than proportionally, especially in the Network and HVAC BUs, thanks to increased revenues in the former case and operational efficiency gains in the latter. Margins in the Waste/Circular Economy BU declined slightly due to a price adjustment on the CircularItalie project and the consolidation of SDS Service operations, which are currently still being optimized. Net financial debt decreased compared to 12/31/2025 (-19%), reflecting both the repayment of financial liabilities and the absence of extraor dinary transactions in the first half of 2026.
IMPORTANT FACTS OCCURRING DURING THE FIRST HALF OF 202 6
On February 26, 2026, the company announced that the US fund Abdiel Capital became a new significant shareholder, exceeding the 5% holding threshold in the share capital of Lindbergh S.p.A.
On April 29, 2026, the Ordinary Shareholders' Meeting approved the financial statements as of December 31, 2025.
EVENTS SUBSEQUENT TO JUNE 30, 2026
On July 2, 2026, the company announced its inclusion in the Intermonte Valore Italia index, a new actively managed ETF that will primarily invest in the pool of companies defined by the Index itself.
On September 10, 2026, the company announced that the shareholder Pibes S.r.l. fell below the 25% threshold, moving from the previous 25.01% to 24.97%.

BUSINESS OUTLOOK
For the second half of 2026, growth is expected to be in line with the first half for the Network Management and Waste/Circular Economy Business Units. As in previous years, the HVAC BU is expected to report a revenue increase driven by seasonality, partic ularly in the final quarter of the year. Inorganic growth will remain a cornerstone of the development strategy, primarily within the HVAC BU.
OTHER RESOLUTIONS OF THE BOARD OF DIRECTORS
In compliance with the provisions of Art. 6 -bis of the EGM Issuer Regulations, the Board of Directors of the Company today verified and assessed that the Director Carlo Alberto Carnevale Maffè meets the independence requirements, based on the procedure “Qu antitative and qualitative criteria for assessing independence requirements”, adopted by the Company on April 9, 2024, and available on the Company's website www.lindberghspa.it, in the “Investors/Documents” section.
Furthermore, the Board of Directors approved a new version of the Internal Dealing Procedure, updated to reflect the recent regulatory changes. The aforementioned procedure is available on the Company's website www.lindberghspa.it, in the “Investors/Docume nts” section.
Finally, the Board of Directors mandated CEO Michele Corradi to proceed with the voluntary liquidation of the company Lindbergh France Sas

Lindbergh is an Italy -based Group primarily engaged in providing services for MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) and Circular Economy segments. Lindbergh operates through three different business units: Network Management , aimed at providing logistics services and products – delivered by an “on board” night logistic service – to Field Service Engineers; HVAC , aimed at building – through m&a initiatives carried out by the controlled company SMIT – the first national player in Italy in the segment; Circular Economy , aimed at providing complex services for industrial waste management with the final scope to identify - through virtuous supply chains -
innovative processes for waste valorization and the production of traceable recycled materials.
