approva la Relazione finanziaria semestrale al 30 giugno 2026

Risultati finanziari – Nel primo semestre 2026 il margine operativo lordo è in aumento, pari a 295 milioni di euro contro i 271 milioni del periodo precedente, principalmente grazie al pieno contributo della nuova capacità in esercizio e alla maggiore ventosità riscontrata in Italia, UK e Francia, concentrata nel primo trimestre dell’anno . L’utile netto si attesta a 95 milioni di euro , rispetto agli 83 milioni del primo semestre 2025. Il secondo trimestre chiude con un margine operativo lordo di 129 milioni di euro , 127 milioni nel 2025, e un risultato netto di Gruppo di 34 milioni di euro in linea con il precedente periodo di riferimento.
Maggiore visibilità sulla crescita – Nel periodo è stato energizzato il parco eolico greenfield di Aukrug in Germania per 22 MW e sono stati integrati 73 MW di impianti eolici acquisiti nel Regno Unito ad inizio anno.
Nel semestre inoltre sono stati avviati e proseguiti i lavori di costruzi one di ulteriori 300 MW di impianti rinnovabili, di cui circa 200 MW di progetti eolici di repowering in Italia, Germania e Francia , 30 MW di greenfield in Francia e Germania , e 65 MW di ricostruzioni integrali di impianti solari in Italia, che beneficeranno di significativi incrementi di produzione in aggiunta dell’estensione del Conto Energia. L’entrata in esercizio di questi parchi è prevista in parte nel 2026 e in misura maggiore nel corso del 2027. La pipeline di progetti in sviluppo sta procedendo secondo gli obiettivi. Ad oggi sono stati inoltre autorizzati 330 MW di eolico, repowering e greenfield, in Italia, Francia, Germania e UK, e 240 MW di impianti BESS in Italia.
Route -to-market – Firmato accordo settennale con Statkraft per la fornitura di circa 800 GWh di energia rinnovabile prodotta da parchi ERG in Italia, già realizzati e in esercizio.
ESG – ERG si posiziona nel 5% dei Top Performer nell’S&P Global Sustainability Yearbook, MSCI afferma il rating AAA, ottenuto il quarto posto nell’“Identity Corporate Index 2026” (ICI), l’indice globale che analizza l’integrazione dei fattori ESG nelle strate gie aziendali. Nell’ambito dell’impegno per la promozione di un ambiente di lavoro inclusivo, confermata per il 2026 la Certificazione di Parità di Genere UNI/PdR 125:2022.
Guidance 2026 – Confermata la guidance 2026 con un EBITDA previsto compreso tra i 520 e i 590 milioni di euro, investimenti tra 330 e 380 milioni di euro e un indebitamento netto tra 1.950 e 2.050 milioni di euro.

2 Genova, 31 luglio 2026 – Il Consiglio di Amministrazione di ERG S.p.A. ha approvato oggi la Relazione finanziaria semestrale al 30 giugno 2026. I dati del secondo trimestre, non sottoposti ad approvazione da parte del Consiglio di Amministrazione e non soggetti a revisione cont abile, sono da intendersi pro -forma e vengono esposti per completezza e continuità di informazione.
Risultati finanziari consolidati
Paolo Merli, Amministratore Delegato di ERG ha commentato: “Siamo soddisfatti dei risultati positivi del periodo, sostenuti dal contributo dei nuovi asset entrati in esercizio , in particolare nel Regno Unito , e dalla gestione ottimale del nostro portafoglio. Nel semestre abbiamo infatti integrato con successo gli impianti eolici acquisiti ad inizio anno in Inghilterra nonché beneficiato del pieno contributo del parco eolico di Corlacky, sviluppato internamente, in Nord Irlanda con comp lessivi 120 MW in più di capacità installata in UK. Prosegue l’esecuzione della strategia di crescita del Gruppo: recentemente abbiamo messo in esercizio un parco greenfield in Germania per 22 MW e ora siamo focalizzati sulla costruzione di circa 300 MW, i n gran parte repowering eolico e revamping solare. Anche le nostre pipeline di progetti stanno avanzando positivamente, ad oggi disponiamo di circa 600 MW già autorizzati tra BESS e eolico , distribuiti nei nostri paesi core. Stiamo lavorando al piano industriale che contiamo di presentare alla comunità finanziaria nella prima parte del 2027, anche in attesa dei risultati delle aste FERX e MACSE in Italia previste entro la fine dell’anno. In questo contesto, confermiamo la solidità del nostro modello industriale e la guidance per il 2026”.
Variazione perimetro di business nel primo semestre 2026 Re-focus geografico per il Gruppo In conformità con le linee guida del Piano Industriale che prevedono un riposizionamento geografico, in data 20 gennaio 2026, ERG ha perfezionato l’accordo con OnPath Energy Midco Limited per l’acquisto di un gruppo di società di diritto inglese proprietar ie di sette impianti eolici onshore operativi nel nord dell’Inghilterra, per una capacità installata totale di 73 MW. In parallelo ERG ha ceduto a Nordetic AB, il 100% di ERG Sweden Holding AB, proprietaria di Furukraft AB, società titolare del parco eolic o di Furuby, situato in Svezia, con una capacità installata di 62 MW.
In considerazione di quanto sopra, i valori comparativi 2025 sono riesposti in applicazione del principio contabile IFRS 5 riclassificando i contributi del business svedese, ceduto in data 20 gennaio 2026, alla voce “Risultato netto delle attività cessate” .
Per la riconciliazione di tali valori si rimanda a quanto commentato nel capitolo “Indicatori alternativi di performance”.

3 limitazioni di rete, in un contesto generale di scarsa ventosità.
I ricavi netti unitari sono risultati lievemente superiori a quelli del periodo comparativo, beneficiando in particolare dei più alti ricavi unitari degli asset recentemente acquisiti nel Regno Unito.
Si segnala che durante il periodo sono state registrate mancate produzioni (114 GWh) per limitazioni di rete, in parte rimborsate ai sensi dei regolamenti vigenti nelle rispettive geografie.
Il margine operativo lordo adjusted , al netto degli special items, si attesta a 129 milioni, in lieve aumento rispetto ai 127 milioni registrati nel secondo trimestre 2025.
ITALIA
• Eolico (-5 milioni): margine operativo lordo pari a 46 milioni, in riduzione rispetto al secondo trimestre 2025 (51 milioni), per effetto dei minori prezzi di vendita legati a coperture a prezzi inferiori rispetto all’analogo periodo del 2025, a cui si aggiunge il decremento del prezzo dell’incentivo GRIN (50 Euro/MWh nel 2026, 55 Euro/MWh nel 2025 ), e delle minori produzioni che scontano maggiori limitazioni di rete. Le produzioni totali risultano pari a 538 GWh rispetto ai 556 GWh del medesimo periodo del 2025 .
• Solare ( -2 milioni): margine operativo lordo pari a 32 milioni, in lieve riduzione rispetto al secondo trimestre 2025 (34 milioni), principalmente per effetto dei minori prezzi catturati dovuti alle coperture fissate a prezzi inferiori. Le produzioni sono state pari a 97 GWh, circa in linea con il secondo trimestre 2025 (98 GWh). Le maggiori limitazioni di rete sono state sostanzialmente compensate dal contributo derivante dai parchi oggetto di revamping e repowering.
ESTERO
• Eolico (+7 milioni): margine operativo lordo pari a 47 milioni, in aumento rispetto al secondo trimestre 2025 (40 milioni) per effetto della capacità entrata in esercizio nel corso del 2025 e del 2026. Le produzioni totali risultano pari a 775 GWh in riduzione rispetto ai 781 GWh del medesimo periodo del 2025 per effetto della minore ventosità del periodo, nonostante il contributo dei nuovi asset entrati in esercizio per +58 GWh. Si segnala in positivo la forte performance del portafoglio UK (margine operativo lordo pari a 14 milioni, +9 milioni rispetto al 2025) principalmente grazie al contributo dei nuovi assets in UK (+6 milioni) in un contesto di migliore ventosità.
• Solare (+1 milione): margine operativo lordo pari a 8 milioni, in lieve aumento rispetto al secondo trimestre 2025 (7 milioni) principalmente per effetto del capacity market nel solare USA. Le produzioni sono state pari a 221 GWh nel secondo trimestre 2026 in riduzione rispetto ai 244 GWh del medesimo periodo 2025, principalmente dovuta alla partecipazione al mercato dei servizi ancillari in Spagna e ad alcuni fermi per prezzi negativi in Francia e USA .
Si segnala che il margine operativo lordo complessivo risente delle politiche di copertura dei prezzi dell’energia elettrica effettuate in linea con le risk policy del Gruppo.
Il risultato operativo netto adjusted è pari a 59 milioni (60 milioni nel secondo trimestre 2025). Gli ammortamenti sono stati pari a 70 milioni, in lieve aumento rispetto al 2025 (68 milioni) principalmente per il pieno contributo dei parchi acquisiti e sviluppati internamente (4 milioni), in parte compensato dal termine della vita utile di alcu ni parchi eolici (1 milione) e dal fermo programmato di alcuni impianti oggetto di repowering e revamping (1 milione).
Il risultato netto di Gruppo adjusted è pari a 34 milioni, in linea rispetto al secondo trimestre 2025.
Nel secondo trimestre 2026, gli investimenti sono stati pari a 54 milioni (28 milioni nel secondo trimestre 2025) e si riferiscono ad investimenti in immobilizzazioni materiali ed immateriali principalmente legati all’avanzamento delle attività di repowering, in linea con le tempistiche di piano, su parchi eolici in Italia, in Francia e Germania e alla costruzione di impianti greenfield in Germania e Francia . Parallelamente proseguono
4 le ordinarie attività di manutenzione finalizzate a incrementare ulteriormente l’efficienza e l’affidabilità degli impianti.
L’indebitamento finanziario netto ante IFRS 16 risulta pari a 1.939 milioni , in aumento rispetto al 31 marzo 2026 (1.812 milioni). La variazione riflette principalmente la distribuzione dei dividendi agli azionisti (147 milioni2), gli investimenti del trimestre (54 milioni), gli interessi passivi (12 milioni) e il pagamento delle imposte (4 milioni), al netto del positivo flusso di cassa operativo del trimestre (91 milioni3).
Primo semestre 2026 Nel primo semestre 2026 i ricavi adjusted sono pari a 409 milioni, in aumento rispetto al primo semestre 2025 (378 milioni), per effetto delle produzioni che sono state pari a 3,9 TWh in aumento rispetto al medesimo periodo del 2025 (3,6 TWh), seppur inferiori alle medie storiche di lungo termine, principalmente grazie al pieno contributo della nuova capacità in esercizio (+0,2 TWh) e alla maggiore ventosità riscontrata in Italia, UK e Francia, soprattutto nel primo trimestre dell’anno. I ricavi netti unitari sono risultati complessivamente in linea con il periodo comparativo, beneficiando anche del contributo dei nuovi assets.
Il margine operativo lordo adjusted , al netto degli special items, si attesta a 295 milioni, in aumento rispetto ai 271 milioni (+ 25 milioni, +9%) registrati nel primo semestre 2025.
ITALIA
• Eolico (+5 milioni): margine operativo lordo pari a 129 milioni, in aumento rispetto al primo semestre 2025 (124 milioni), grazie alla maggior ventosità riscontrata nel semestre in parte compensata dai minori prezzi di vendita dovuti a coperture a prezzi inferiori rispetto all’analogo periodo del 2025, cui si aggiunge il decremento del prezzo dell’incentivo GRIN (50 Euro/MWh nel 2026, 55 Euro/MWh nel 2025 ). Le produzioni totali risultano pari a 1.435 GWh, in aumento rispetto ai 1.300 GWh del medesimo periodo del 2025, nonostante alcuni fermi per le attività di repowering degli impianti ( -11 GWh) e limitazioni di rete superiore al semestre 2025.
• Solare ( -2 milioni): margine operativo lordo pari a 46 milioni, in diminuzione rispetto al primo semestre 2025 (48 milioni) principalmente per i minori prezzi catturati per effetto delle coperture fissate a prezzi inferiori in parte compensati dal contributo derivante dai parchi oggetto di revamping e repowering. Le produzioni sono state pari a 142 GWh, in aumento rispetto ai 1 40 GWh del primo semestre 2025 nonostante le limitazioni di rete del periodo.
ESTERO
• Eolico (+20 milioni): margine operativo lordo pari a 120 milioni, in aumento rispetto al primo semestre 2025 (100 milioni) per effetto della capacità entrata in esercizio nel corso del 2025 e nel primo semestre 2026 e della maggiore ventosità registrata in Regno Unito e Francia, in parte compensate dai minori prezzi catturati. Le produzioni totali risultano pari a 1.954 GWh in aumento rispetto ai 1.799 GWh del medesimo periodo del 2025 principalmente grazie al contributo dei nuovi asset entrati in esercizio per +171 GWh. In particolare, si segnala in positivo la forte performance del portafoglio UK (margine operativo lordo pari a 40 milioni, +25 milioni rispetto all’analogo periodo 2025) principalmente grazie al contributo dei nuovi assets (+17 milioni) e alla maggiore ventosità riscontrata. La performance del parco eolico in USA (224 MW) ha invece risentito significat ivamente nei primi mesi dell’anno di eventi climatici straordinari ( -5 milioni), con impatto sulla disponibilità dell’impianto, nonché di congestioni di rete che hanno penalizzato il prezzo di vendita.
• Solare (+0,2 milioni): margine operativo lordo pari a 9,6 milioni, in lieve aumento rispetto al primo semestre 2025 (9,3 milioni) principalmente per la partecipazione al capacity market in USA, nonostante le minori

5 produzioni in tutti i paesi ed i minori prezzi catturati principalmente in Spagna. Le produzioni sono state pari a 338 GWh nel primo semestre 2026 rispetto ai 379 GWh del medesimo periodo 2025 e risultano influenzate da fermi per prezzi negativi e dalla partecipazione al mercato dei servizi ancillari in Spagna . Si segnala che il margine operativo lordo complessivo risente delle politiche di copertura dei prezzi dell’energia elettrica effettuate in linea con le risk policy del Gruppo.

Il risultato operativo netto adjusted è pari a 154 milioni (134 milioni nel primo semestre 2025). Gli ammortamenti sono stati pari a 141 milioni, in aumento rispetto al primo semestre 2025 (136 milioni) per il pieno contributo dei parchi acquisiti e dei parchi sviluppati internamente nel corso degli ultimi dodici mesi (8 milioni), in parte compensato dal termine della vita utile di alcuni parchi eolici (2 milioni) e dal fermo programmat o di alcuni impianti oggetto di repowering e revamping (2 milioni).
Il risultato netto di Gruppo adjusted è pari a 95 milioni, in aumento rispetto al primo semestre 2025 (83 milioni) e riflette, oltre a quanto già commentato, i maggiori oneri finanziari per 5 milioni che risentono principalmente di minori proventi finanziari sulla liquidità investita e maggiori imposte per 4 milioni.
Il risultato netto di Gruppo è pari a 64 milioni (78 milioni nel primo semestre 2025) per le motivazioni già sopra commentate per i risultati operativi. Il risultato inoltre comprende la svalutazione degli asset solari oggetto di Revamping (25 milioni net tax ), oltreché gli special items.
Nel primo semestre 2026, gli investimenti sono stati pari a 203 milioni (143 milioni nel primo semestre 2025) e si riferiscono ad investimenti in immobilizzazioni materiali ed immateriali correlati all’acquisizione di un portafoglio eolico nel Regno Unito (73 MW) e all’avanzamento delle attività di repowering, in linea con le tempistiche di Piano, su parchi eolici in Italia, in Francia e Germania e alla costruzione di impianti greenfield in Germania e Francia . Parallelamente, proseguono le ordinarie attività di manutenzione finalizzate a incrementare ulteriormente l’efficienza e l’affidabilità degli Impianti.
L’indebitamento finanziario netto ante IFRS 16 risulta pari a 1.939 milioni , in aumento rispetto al 31 dicembre 2025 (1.882 milioni). La variazione riflette la distribuzione dei dividendi agli azionisti (149 milioni4), gli investimenti del periodo (87 milioni) , gli interessi passivi (27 milioni) e il pagamento delle imposte (6 milioni) al netto del positivo flusso di cassa operativo del semestre (254 milioni5). La variazione del periodo riflette inoltre gli effetti delle operazioni di re -focus geografico avvenute nel gennaio 2026 con riferimento alla cessione dell’asset svedese (cash -in 71 milioni) e all’acquisizione degli asset eolici nel nord dell’Inghilterra (cash -out 115 milioni).
L’indebitamento finanziario netto post IFRS 16 include inoltre la passività (ex IFRS 16) relativa all’attualizzazione dei pagamenti futuri dei canoni di locazione pari, al 30 giugno 2026, a 245 milioni in aumento rispetto al 31 dicembre 2025 (237 milioni). L’incremento del periodo della passività ex IF RS 16 è riconducibile principalmente all’effetto perimetro derivante dall’acquisizione degli asset eolici nel nord dell’Inghilterra (73 MW), solo in parte compensato dalla cessione dell’asset svedese, operazioni contestuali avvenute in data 20 gennaio 2026 .

ITALIA
Nel secondo trimestre 2026 la produzione di energia elettrica in Italia risulta pari a 635 GWh, di cui 538 GWh da fonte eolica e 97 GWh da impianti fotovoltaici, in lieve diminuzione rispetto al medesimo periodo del 2025 (654 GWh di cui 556 GWh da fonte eolica e 98 GWh da fonte solare), principalmente per effetto di una minore risorsa e dei fermi programmati di alcuni parchi oggetto di repowering.
Nel primo semestre 2026 la produzione di energia elettrica in Italia risulta pari a 1.577 GWh, di cui 1.435 GWh da fonte eolica e 142 GWh da impianti fotovoltaici, in aumento rispetto al medesimo periodo 2025 (1.440 GWh di cui 1.300 da fonte eolica e 140 GWh da fonte solare) per effetto della migliore ventosità , rispetto ad un semestre 2025 fortemente inferiore alle medie storiche , oltre al beneficio derivante dagli impianti oggetto di revamping nel fotovoltaico.
ESTERO
Nel secondo trimestre 2026 la produzione di energia elettrica all’estero risulta pari a 996 GWh di cui 775 GWh da fonte eolica e 221 GWh da impianti fotovoltaici), in lieve riduzione rispetto al medesimo periodo del 2025 (1.025 GWh di cui 781 GWh da fonte eolica e 224 da impianti fotovoltaici) in un contesto di vent osità inferiore alle medie storiche. La debole ventosità è stata in parte compensata dal contributo dei nuovi asset entrati in esercizio nel corso del 2025 e nella prima metà del 2026 principalmente in UK (+58 GWh).
Nel primo semestre 2026 la produzione di energia elettrica all’estero risulta pari a 2.292 GWh di cui 1.954 GWh da fonte eolica e 338 GWh da impianti fotovoltaici), in aumento rispetto al medesimo periodo del 2025 (2.178 GWh di cui 1.799 GWh da fonte eolica e 379 da impianti fotovoltaici), principalmente per effet to perimetro (+171 GWh eolico) in parte compensato dalla scarsa ventosità diffusa nelle varie geografie nonché dalla performance del parco eolico in USA (224 MW) che ha risentito significativamente di eventi climatici straordinari con impatto sulla disponi bilità dell’impianto.

2026 Italia Corporate Il Consiglio di Amministrazione di ERG S.p.A. ha approvato il Bilancio Consolidato Integrato 2025, le linee guida strategiche del Piano Industriale di lungo termine che sarà presentato tra la fine del 2026 e l’inizio del 2027, la relazione sul governo soci etario e gli assetti proprietari al 31 dicembre 2025 .

2026 Italia Corporate L’Assemblea ordinaria degli Azionisti di ERG S.p.A. ha approvato il Bilancio di esercizio al 31 dicembre 2025, ha deliberato il pagamento di 1 Euro per azione, ha confermato Paolo Arlandini quale Consigliere di Amministrazione, ha conferito a PricewaterhouseCoopers S.p.A. l’incarico di revisione legale dei conti per gli esercizi 2027 -2035 e di attestazione della conformità della rendicontazione consolidata di sos tenibilità per gli esercizi 2027 -2029. Il Consiglio di Amministrazione di ERG S.p.A., riunitosi a conclusione dei lavori dell’ Assemblea, ha confermato il Consigliere non esecutivo Paolo Arlandini nella carica di componente del Comitato Strategico .

2026 Italia Corporate L’agenzia di rating Fitch ha confermato per ERG S.p.A. un Long Term Issuer Default Rating (IDR) di BBB - stable outlook ed un senior unsecured rating BBB -.

2026 Italia Corporate ERG si è posizionata quarta nell’“Identity Corporate Index 2026” (ICI), l’indice che analizza l’integrazione dei fattori ESG nelle strategie aziendali. Nell’edizione 2026 sono state prese in esame oltre 100 società italiane ed ERG ha ottenuto la prima posi zione fra le società mid size , la seconda nella categoria "Energia e Utility” e la quarta nel ranking assoluto.

2026 Italia Corporate ERG, attraverso la propria controllata ERG Power Generation S.p.A., ha sottoscritto con Statkraft, il più grande produttore di energia rinnovabile in Europa, un Power Purchase Agreement (PPA) di natura finanziaria e con profilo “pay as produced” della dura ta di 7 anni, a partire dal 1° gennaio 2027. Il contratto prevede la fornitura di circa 118 GWh/anno di energia elettrica e di un volume equivalente di Garanzie Di Origine prodotte dagli impianti eolici di ERG nel Sud Italia, già realizzati e in esercizio.
23 luglio
2026 Germania Wind ERG ha completato la costruzione ed energizzato il parco eolico di Aukrug, situato nel Nord della Germani a con una capacità installata complessiva di 22,4 MW ed una produzione annua stimata di circa 50 GWh. L’impianto beneficia di un CfD ventennale, in linea con la strategia di stabilizzazione dei ricavi perseguita dal Gruppo.
Evoluzione prevedibile della gestione Il contesto in cui opera il Gruppo è caratterizzato da una forte volatilità sia dei volumi di produzione – influenzati dalla disponibilità di vento e irraggiamento – sia dei prezzi di mercato. A ciò si aggiunge un quadro regolatorio in continua evoluzione e segnato da elementi di incertezza, in un clima di crescente pressione politica sui costi dell’energia, anche in seguito alle tensioni in Medio Oriente. In Italia, il “Decreto Bollette 2026” è stato convertito in legge (Legge n°49 del 10 aprile) e introdu ce una serie di norme finalizzate a ridurre il costo dell’energia elettrica per famiglie ed imprese. Tra queste il decreto prevede stimoli al mercato PPA, riforma della disciplina delle richieste di connessione oltre che meccanismi di rimborso di quote del prezzo del gas utilizzato per la generazione termoelettrica. Questi ultimi, di impatto sul prezzo dell’elettricità sui mercati all’ingrosso, saranno da attuarsi attraverso l’adozione di provvedimenti che dovranno essere definiti dall’ARERA nei prossimi mesi con efficacia a partire dal 2027. Il meccanismo determina implicitamente un vantaggio competitivo per la generazione termoelettrica a gas, attenuando il segnale economico a favore del la transizione verso le fonti rinnovabili. Anche per questa ragione l’intera legge risulta attualmente al vaglio della Commissione Europea, per valutarne la compatibilità con le linee guida sugli aiuti di stato dell’Unione.
A partire dal secondo trimestre 2026 lo scenario prezzi delle commodity e dei prezzi dell’elettricità risulta in calo rispetto a quanto registrato nell’analogo periodo 2025, complice la crisi geopolitica tra Israele, Stati Uniti e Iran che ha inciso profon damente sui flussi di prodotti petroliferi e gas naturale a livello globale. In termini di risorsa naturale la produzione dei primi mesi del 2026 è in riduzione alle nostre aspettative ma superiore all’analogo periodo del 2025 caratterizzato da una ventosi tà eccezionalmente scarsa.
ERG per mitigare la volatilità dei prezzi di mercato in linea con le migliori pratiche del settore e la propria consolidata politica di rischio, ha effettuato negli ultimi anni vendite a termine, principalmente attraverso contratti di fornitura di lungo te rmine a prezzo fisso (cosiddetti PPA ) e contratti a termine anche mediante strumenti finanziari derivati. Tali coperture, quando effettuate con una logica di portafoglio dall’Energy Management di Gruppo per mezzo di ERG Power Generation S.p.A., vengono gestionalmente allocate alle varie soci età di progetto, proprietarie delle Unità di Produzione (UP). Il criterio allocativo delle coperture segue un meccanismo a cascata che, con la logica di mitigazione dei rischi connessi, ha il seguente ordine di priorità:
1. energia elettrica prodotta dalle UP che risultano essere prive di meccanismo di incentivazione e quindi interamente esposta al rischio di volatilità del prezzo di mercato;
2. energia elettrica prodotta dalle UP che sono oggetto di tariffe di tipo “Feed in Premium”, ovvero meccanismi che prevedono un incentivo che si aggiunge al prezzo di mercato;
3. le eventuali coperture residue sono infine attribuite ai quantitativi di energia elettrica soggetti a meccanismi di incentivazione per differenza, quali le tariffe incentivanti ex “certificati verdi” (GRIN).
Non sono invece previste coperture per tutte le produzioni che risultano oggetto di meccanismi di incentivazione per differenza a due vie.
9 Si riporta di seguito la prevedibile evoluzione dei principali indicatori di performance nel 2026 rispetto al 2025 che non includono eventuali effetti regolatori sopra citati.
ITALIA
Il margine operativo lordo del Wind è atteso sostanzialmente in linea grazie ai maggiori volumi attesi nell’anno confrontati con un 2025 caratterizzato da eccezionale scarsa ventosità registrata anche nella seconda parte dell’anno. Tale effetto, tuttavia, si stima sia in gran parte compensato dai minori prezzi catturati sulle coperture a termine oltre al minor valore dell’incentivo GRIN (50 €/MWh nel 2026 rispetto ai 55 €/MWh del 2025) su un montante di volumi in riduzione per effetto della progressiva uscita di alcuni impianti dal regime incentivato.
Il margine operativo lordo del Solare è previsto sostanzialmente in linea rispetto al 2025.
Si stima per il 2026 un margine operativo lordo Wind & Solar Italia sostanzialmente in linea rispetto al 2025 .
ESTERO
Il margine operativo lordo Wind è previsto in aumento rispetto al 2025 principalmente per effetto delle maggiori produzioni rispetto alla minore ventosità diffusa registrata nel corso del 2025, dal perimetro derivante dal re -focus geografico con l’acquisto di 73 MW in UK e la vendita di 62 MW in Svezia, dal pieno contributo di un parco Greenfield entrato in esercizio in UK nel secondo semestre 2025 (47 MW); dal contributo di un parco Greenfield in Germania (+22 MW) entrato in esercizio a luglio, e dai primi contributi di un parco repowering in Francia (+23 MW di nuova capacità) previsto in esercizio nel terzo trimestre 2026.
Il margine operativo lordo Solare è previsto in aumento rispetto al 2025 principalmente per effetto del miglior irraggiamento atteso in parte compensato da prezzi catturati inferiori in Spagna per effetto di uno scenario di mercato in riduzione.
Il margine operativo lordo Wind & Solar all’estero è atteso in aumento rispetto al 2025.
GUIDANCE 2026
Per l’esercizio 2026, a livello di Gruppo, si stima un margine operativo lordo nell’intervallo compreso tra 520 e 590 milioni di euro . Gli investimenti risultano in un range compreso tra 330 e 380 milioni di euro (235 milioni nel 2025) ed includono principalmente la recente acquisizione in UK , gli impianti già entrati in esercizio nel 2026, e la costruzione dei parchi previsti in esercizio tra il 2026 e il 2028 rispettivamente per 23 MW nel 2026, 246 MW nel 2027 e 25 MW nel 2028. Tali investimenti non includono la cessione di 62 MW in Svezia.
L’indebitamento finanziario netto adjusted a fine 2026 è atteso nel range tra 1.950 e 2.050 milioni di euro (1.882 milioni a fine 2025), inclusivo degli investimenti sopra citati e della distribuzione del dividendo ordinario di 1 Euro per azione.

Situazione Patrimoniale
Lo stato patrimoniale riclassificato raggruppa i valori attivi e passivi dello schema di Bilancio, utilizzato nella redazione della relazione finanziaria annuale, evidenziando gli impieghi di risorse nel capitale immobilizzato e in quello circolante e le relative fonti di finanziamento. Per la definizione degli indicatori delle grandezze utilizzate nello Stato Patrimoniale Riclassificato si rimanda a quanto indicato nella successiva sezione Indicatori Alternativi di Performance.
Si ricorda che, in applicazione del principio contabile IFRS 5, il contributo patrimoniale del parco eolico situato in Svezia e ceduto in data 20 gennaio 2026 6, è stato riclassificato nel periodo comparativo alla voce “Capitale investito netto attività cessate”.
L’indebitamento finanziario netto, per il 2025, include il contributo dell’asset eolico svedese e viene indicato nella duplice misura “ante IFRS 16”, escludendo la passività legata all’applicazione dell’IFRS 16 e “post IFRS 16”, includendo la suddetta pass ività.

INDICATORI ALTERNATIVI DI PERFORMANCE
Definizioni
In data 3 dicembre 2015 la Consob ha emesso la Comunicazione n. 92543/15, che recepisce le Linee Guida riguardanti l’utilizzo e la presentazione di Indicatori Alternativi di Performance nell’ambito di informazioni finanziarie regolamentate, emanate in data 5 ottobre 2015 dall’Autorità Europea degli Strumenti finanziari e dei Mercati (ESMA). Le Linee Guida, che hanno aggiornato la Raccomand azione del CESR sugli indicatori alternativi di performance (CESR/05 – 178b), hanno la finalità di promuovere l’utilità e la trasparenza degli indicatori alternativi per migliorare la loro comparabilità, affidabilità e capacità di comprensione. Nel presente documento sono utilizzati alcuni Indicatori Alternativi di Performance (IAP) che sono differenti dagli indicatori finanziari espressamente previsti dai principi contabili internazionali IAS/IFRS adottati dal Gruppo. Tali indicatori alternativi sono utilizzati dal Gruppo al fine di agevolare la comunicazione delle informazioni sui risultati dei business nonché sull’indebitamento finanziario netto. Si precisa infine che al fine di facilit are la comprensione dell’andamento gestionale dei business i risultati economici sono esposti con l’esclusione delle componenti reddituali significative aventi natura non usuale (special items): tali risultati sono indicati con la definizione “Risultati adjusted ”.
Poiché la composizione di tali indicatori non è regolamentata dai principi contabili di riferimento, la metodologia di determ inazione di tali misure applicata dal Gruppo potrebbe non essere omogenea con quella adottata da altri operatori e pertanto non pie namente comparabile.
Di seguito sono indicate le definizioni degli IAP utilizzati dal Gruppo nonché una riconciliazione con le voci degli schemi d i bilancio adottati.
I Ricavi adjusted sono i ricavi, come indicati negli schemi di Bilancio , con l’esclusione delle componenti reddituali significative aventi natura non usuale (special items).
Il Margine operativo lordo è un indicatore della performance operativa calcolato sommando al Risultato Operativo Netto gli “Ammortamenti e svalutazioni”. Il Margine Operativo Lordo è indicato esplicitamente come subtotale negli schemi di Bilancio.
Il Margine operativo lordo adjusted è il margine operativo lordo, come sopra definito , con l’esclusione delle componenti reddituali significative aventi natura non usuale (special items).
Il Risultato operativo netto adjusted è il risultato operativo netto, indicato esplicitamente come subtotale negli schemi di Bilancio, con l’esclusione delle componenti reddituali significative aventi natura non usuale (special items).
L’EBITDA Margin è un indicatore della performance operativa calcolato rapportando il Margine operativo lordo adjusted e i Ricavi della gestione caratteristica di ogni singolo business.
Il Tax rate adjusted è calcolato rapportando i valori adjusted delle imposte e dell’utile ante imposte.
Il Risultato netto attività continue non include il risultato delle attività in corso di cessione/cedute riclassificate alla riga “Risultato netto attività cedute”.
Il Risultato netto attività continue adjusted è il Risultato netto attività continue con l’esclusione delle componenti reddituali significative aventi natura non usuale (special items), al netto dei relativi effetti fiscali.
Il Risultato netto di Gruppo adjusted è il Risultato netto attività continue adjusted con l’esclusione del risultato degli azionisti terzi.
Gli Investimenti sono ottenuti dalla somma degli investimenti in immobilizzazioni materiali e immateriali, con l’inclusione delle operazioni di Merger & Acquisition e non inclusivi dei Right of Use assets.
Il Capitale circolante operativo netto è definito dalla somma di Rimanenze, Crediti commerciali e Debiti commerciali.
Il Capitale investito netto è determinato dalla somma algebrica del Capitale Immobilizzato (comprensivo del Right of Use Assets), del Capitale circolante operativo netto, delle passività relative al Trattamento di fine rapporto, delle Altre attività e delle Altre passività.
L’Indebitamento finanziario netto rappresenta un indicatore della struttura finanziaria ed è determinato conformemente alle linee guida ESMA 32 -382-1138 ( Guidelines on Prospectus disclosures ) ed il Richiamo di attenzione Consob n. 5/2021, comprendendo inoltre la quota non corrente di attività relative agli strumenti finanziari derivati.
Per maggiore chiarezza, l’indebitamento finanziario netto viene indicato nella duplice misura «ante IFRS 16», escludendo la passività legata all’applicazione dell’IFRS 16, e «post IFRS 16», includendo la suddetta passività.
La leva finanziaria ante IFRS 16 è calcolata rapportando l’indebitamento finanziario netto ante IFRS 16 e il capitale investito netto, non inclusivo dei Right of Use assets .
Gli special item includono componenti reddituali significative aventi natura non usuale. Tra queste sono considerati:
• proventi ed oneri legati ad eventi il cui accadimento risulta non ricorrente, ovvero quelle operazioni o fatti che non si ripetono frequentemente nel consueto
svolgimento dell’attività;
• proventi ed oneri legati ad eventi non caratteristici della normale attività del business, quali gli oneri di ristrutturazione e ambientali;
• plusvalenze e minusvalenze legate alla dismissione di
asset;
• le svalutazioni significative rilevate sugli asset a esito degli impairment test ;
• i proventi ed i relativi reversal rilevati in applicazione dell’IFRS 9 in relazione alle operazioni di ristrutturazione dei finanziamenti in essere.

Financial results - During the first half of 2026, EBITDA rose to EUR 295 million, compared with EUR 271 million in the previous period, mainly due to the full contribution of the new capacity now in operation and higher wind speeds experienced in Italy, the UK and France, which we re concentrated in the first quarter of the year.
Net profit amounted to EUR 95 million, compared with EUR 83 million in the first half of 2025. The second quarter closed with an EBITDA of EUR 129 million, compared to EUR 127 million in 2025, and a Group n et profit of EUR 34 million, in line with the previous reporting period.
Greater visibility on growth - During the period, the 22 MW greenfield wind farm at Aukrug in Germany was commissioned and the 73 MW of wind farms acquired in the UK at the start of the year were integrated. During the half -year, construction work also commenced and continued on approximately 300 MW of additional renewable energy plants, comprising around 200 MW of wind repowering projects in Italy, Germany and France, 30 MW of greenfield in France and Germany and 65 MW of complete refurbishments of solar plants in Italy, which will benefit from significant increases in production as well as the extension of the Energy Account. These wind farms are expected to come into operation partially in 2026 and to a greater ex tent in 2027. The pipeline of projects under development is progressing according to objectives. To date, a further 330 MW of wind power, comprising both repowering and greenfield projects, has been authorised in Italy, France, Germany and the UK, along wi th 240 MW of BESS facilities in Italy.
Route -to-market - A seven -year agreement has been signed with Statkraft for the supply of approximately 800 GWh of renewable energy generated by ERG's wind farms in Italy, already built and in operation.
ESG - ERG ranks among the 5% Top P erformers in the S&P Global Sustainability Yearbook, MSCI has reaffirmed its AAA rating and the company has secured fourth place in the 'Identity Corporate Index 2026' (ICI), the global index that analyses the integration of ESG factors into corporate stra tegies. As part of the commitment to promote an inclusive work environment, the UNI/PdR 125:2022 Gender Equality Certification was confirmed for 2026.
2026 Guidance - The 2026 guidance is confirmed, with an expected EBITDA of between EUR 520 million and EUR 590 million, investments of between EUR 330 million and EUR 380 million and net financial debt of between EUR 1,950 million and EUR 2,050 million.

Genoa, 31 July 2026 – The Board of Directors of ERG S.p.A. has today approved the interim financial report at 30 June 2026. The second quarter figures, not submitted for approval by the Board of Directors and not subject to audit, are to be considered pro -forma and are provided for the sake of completeness and continuity of information.
Consolidated financial results
Paolo Merli, Chief Executive Officer of ERG, commented : “We are pleased with the positive results for the period, underpinned by the contribution of the new assets that came into operations, especially in the United Kingdom , and by the effective management of our portfolio . In fact, during the semester we successfully integrated the wind farms acquired at the beginning of the year in England and benefited from the full contribution of the Corlacky wind farm, developed internally in Northern Ireland , totalling an additional 120 MW installed capacity in the UK . The Group's growth strategy execution continues. We recently commissioned a 22 MW greenfield farm in Germany and are now focused on the construction of around 300 MW, mostly wind repowering and solar revamping projects. Our project pipelines are also progressing well; to date, we have around 600 MW already authorised across BESS and wind projects, spread across our core countries. We are working on the business plan that we intend to present to the financial community in the first part of 2027, whilst also awaiting the results of the FERX and MACSE auctions in Italy, which we expect by the end of this year. In this context, we can confirm the strength of our business model and our guidance for 2026.”

3 In accordance with the guidelines of the Business Plan, which provide for geographical repositioning, on 20 January 2026, ERG finalised the agreement with OnPath Energy Midco Limited for the acquisition of a group of British companies that own seven onshor e wind farms operating in the north of England, with a total installed capacity of 73 MW. In parallel, ERG sold to Nordetic AB, 100% of ERG Sweden Holding AB, owner of Furukraft AB, the company that owns the Furuby wind farm, located in Sweden, with an installed capacity of 62 MW. In light of the above, the 2025 comparative figures have been restated in accordance with IFRS 5, by reclassifying the contribution of the Swedish business, disposed of on 20 January 2026, to the line “Net Profit (loss) from discontinued operations” . For the reconciliation of these amount s, please refer to the section “Alternative performance indicators”.
Comments on the performance for the period Second quarter 2026 In the second quarter of 2026, adjusted revenue amounted to EUR 179 million, in line with the second quarter of 2025 (EUR 179 million), despite slightly lower generation (1.63 TWh compared with 1.68 TWh). This was despite the full contribution from the capacity brought into operation between 2025 and 2 026, mainly due to increased grid curtailment in an environment of generally weak wind resource. Net unit revenue was slightly higher than in the comparative period, benefiting in particular from the higher unit revenues generated by the assets recently acquired in the UK. It should be noted that, during the period, 114 GWh of lost generation was recorded due to grid curtailment, which was partially compensated in accordance with the regulations in force in the respective jurisdictions.
Adjusted Gross operating profit , net of special items, amounted to EUR 129 million, up slightly compared with the EUR 127 million recorded in the second quarter of 2025.
ITALY
• Wind (EUR -5 millio n): gross operating profit amounted to EUR 46 million, down from EUR 51 million in the second quarter of 2025, mainly due to lower realised selling prices resulting from hedging contracts entered into at lower prices than in the corresponding period of 2025, together with the reduction in the GRIN incentive price (EUR 50/MWh in 2026 versus EUR 55/MWh in 2025) and lower generation resulting from increased grid curtailment. Total generation amounted to 538 GWh compared to 556 GWh in the same period of 2025.
• Solar (EUR -2 million) : gross operating profit amounted to EUR 32 million, down slightly from EUR 34 million in the second quarter of 2025, mainly due to lower realised prices resulting from hedging contracts entered into at lower prices. Generation amounted to 97 GWh, broadly in line with the second quarter of 2025 (98 GWh). The impact of increased grid curtailment was substantially offset by the contribution from the wind farms that underwent revamping and repowering.
ABROAD
• Wind (EUR +7 millio n): gross operating profit amounted to EUR 47 million, an increase compared with the second quarter of 2025 (EUR 40 million), driven by capacity that came into operation during 2025 and 2026.
Total generation stood at 775 GWh, down from 781 GWh in the same p eriod of 2025 due to lower wind speeds during the period, despite the contribution of new assets that came online, adding 58 GWh. The strong performance of the UK portfolio is worth highlighting, with gross operating profit of EUR 14 million (up EUR 9 mill ion compared with 2025), driven mainly by the contribution from the new UK assets (EUR 6 million) in a more favourable wind resource environment.
• Solar (EUR +1 million) : gross operating profit of EUR 8 million, up slightly compared to the second quarter of 2025 (EUR 7 million) mainly due to the capacity market in the US solar sector. Generation totalled 221 GWh in the second quarter of 2026, down from 244 GWh in the same period of 2025, primarily due to participation in the ancillary services market in Spain and production curtailments resulting from negative electricity prices in France and the United States.

Adjusted operating profit amounted to EUR 59 million (EUR 60 million in the second quarter of 2025).
Depreciation and amortisation totalled EUR 70 million, slightly higher than in 2025 (EUR 68 million), mainly reflecting the full contribution from acquired and internally developed wind farms (EUR 4 million), partly offset by the end of the useful life of certain wind farms (EUR 1 million) and planned outages at assets undergoing repowering and revamping (EUR 1 million).
The adjusted net profit attributable to the owners of the parent was EUR 34 million, in line with the second quarter of 2025.
In the second quarter of 2026, capital expenditure amounted to EUR 54 million (EUR 28 million in the second quarter of 2025) and related to investments in property, plant and equipment and intangible assets , primarily in connection with the progress of repowering works, in line with the objectives of the Business Plan , on wind farms in Italy, France and Germany, and the construction of greenfield plants in Germany and France . At the same time, routine maintenance activities continued with the aim of further improving the efficiency and reliability of the plants.
The net financial indebtedness before IFRS 16 totalled EUR 1,939 million , an increase compared to 31 March 2026 (EUR 1,812 million). The change mainly reflects the distribution of dividends to shareholders (EUR 147 million2), investments during the quarter (EUR 54 million), interest expense (EUR 12 million) and tax payments (EUR 4 million), net of the positive operating cash flow for the quarter (EUR 91 million3).
First half 2026 In the first half of 2026, adjusted revenue amounted to EUR 409 million, up from EUR 378 million in the first half of 2025, reflecting generation of 3.9 TWh compared with 3.6 TWh in the same period of 2025. Although still below long -term historical averages, generation benefited primarily from the full contribution of the new capacity brought into operation (0.2 TWh) and stronger wind resource in Italy, the UK and France, particularly during the first quarter of the year. Overall, net unit revenue was in line with the comparative period, also benefi ting from the contribution of the new assets.
Adjusted gross operating profit , excluding special items, amounted to EUR 295 million, up from EUR 271 million in the first half of 2025 (EUR + 25 million, +9%).
ITALY
• Wind (EUR +5 million): gross operating profit amounted to EUR 129 million, up on the first half of 2025 (EUR 124 million), thanks to higher wind speeds during the half -year, partly offset by lower selling prices due to hedging at lower prices compared with the same period in 2025, compounded by the reduction in the GRIN incentive rate (50 EUR/M Wh in 2026, 55 EUR/MWh in 2025). Total generation amounted to 1,435 GWh, up from 1,300 GWh in the same period of 2025, despite temporary shutdowns for repowering activities at certain plants (11 GWh) and higher grid curtailment than in the first half of 20 25.
• Solar (EUR -2 million): gross operating profit amounted to EUR 46 million, down from EUR 48 million in the first half of 2025, mainly due to lower realised prices resulting from hedging contracts entered into at lower prices, partly offset by the contribution from parks undergoing revamping and repowering. Generation amounted to 142 GWh, up from 140 GWh in the first half of 2025, despite the grid curtailment experienced

ABROAD
• Wind (EUR +20 million): gross operating profit amounted to EUR 120 million, up from EUR 100 million in the first half of 2025, driven by the capacity commissioned during 2025 and the first half of 2026, as well as stronger wind resource in the UK and France, partly offset by lower realised prices. Total output amounted to 1,954 GWh, up from 1,799 GWh in the same per iod of 2025, mainly driven by the contribution of new assets that came into operation (+171 GWh). In particular, the UK portfolio delivered a strong performance, with gross operating profit of EUR 40 million, up EUR 25 million on the corresponding period of 2025, mainly thanks to the contribution from new assets (EUR +17 million) and stronger wind resource.
The performance of the wind farm in the United States (224 MW) was significantly affected in the first few months of the year by exceptional weather eve nts (EUR -5 million), which impacted plant availability, as well as by grid congestion that adversely affected realised selling prices.
• Solar (EUR +0.2 million): gross operating profit amounted to EUR 9.6 million, slightly up from EUR 9.3 million in the first half of 2025, mainly driven by participation in the capacity market in the US, despite lower generation across all countries and lower realised prices, primarily in Spain. Generation totalled 338 GWh in the first half of 2026, compared with 379 GWh in the corresponding period of 2025, reflecting shutdowns during periods of negative electricity prices and participation in the ancillary services market in Spain.
It should be noted that the overall gross operating profit (loss) is impacted by the electricity price hedging policies implemented in line with the Group's risk policies.
Adjusted operating profit amounted to EUR 154 million (EUR 134 million in the first half of 2025). Depreciation and amortisation amounted to EUR 141 million, up from EUR 136 million in the first half of 2025, reflecting the full contribution from parks acquired and developed internally over the last twelve months (EUR 8 million), partly offset by certain wind farms reaching the end of their useful lives (EUR 2 million) and planned outages at certain p lants undergoing repowering and revamping (EUR 2 million).
The adjusted profit attributable to owners of the parent was EUR 95 million, up from EUR 83 million in the first half of 2025, and reflects, in addition to the points already mentioned, higher financial expense of EUR 5 million — mainly due to lower financial income on invested cash — and higher taxes of EUR 4 million.
Profit attributable to the owners of the parent amounted to EUR 64 million (EUR 78 million in the first half of 2025), reflecting the operating performance factors discussed above. The result also includes the impairment of the solar assets undergoing revamping (EUR 25 million net of tax), as well as s pecial items.
In the first half of 2026, capital expenditure amounted to EUR 203 million (EUR 143 million in the first half of 2025) and related to investments in property, plant and equipment and intangible assets, linked to the acquisition of a wind farm portfolio in the United Kingdom (73 MW) and the progress of repowering works, in line with the objectives of the Business Plan , on wind farms in Italy, France and Germany, and the construction of greenfield plants in Germany and France . At the same time, routine maintenance activities continued with the aim of further improving the efficiency and reliability of the plants.
The net financial indebtedness before IFRS 16 totalled EUR 1,939 million , an increase compared to 31 December 2025 (EUR 1,882 million). The change reflects the distribution of dividends to shareholders (EUR 149 million4), investments during the period (EUR 87 million), interest expense (EUR 27 million) and tax payments (EUR 6 million), net of the positive operating cash flow for the half year (EUR 254 million5). The change in the period also reflects the effects of the geographical refocusing carried out in January 2026,

Net financial indebtedness after IFRS 16 also includes the liability (under IFRS 16) relating to the discounting of future lease payments, which stood at EUR 245 million at 30 June 2026, an increase compared with 31 December 2025 (EUR 237 million). The increase of the period in the liability under IFRS 16 is primarily attributable to the change in scope resulting from the acquisition of wind farm assets in the north of England (73 MW), only partly offset by the disposal of the Swedish asset; these transactions took place on 20 January 2026.
Electricity output
ITALY
During the second quarter of 2026 , electricity generation in Italy amounted to 635 GWh, comprising 538 GWh from wind power and 97 GWh from photovoltaic plants. This represents a slight decrease compared with the same period in 2025 (654 GWh, of which 556 GWh was generated from wind power and 98 GWh from solar power), mainly due to lower wind resource availability and planned outages at certain wind farms undergoing repowering.
In the first half of 2026 , electricity generation in Italy amounted to 1,577 GWh, of which 1,435 GWh from wind sources and 142 GWh from photovoltaic systems, an increase compared to the same period of 2025 (1,440 GWh of which 1,300 GWh from wind sources and 140 GWh from solar sources), due to higher wind resource compared with a first half of 2025 which was below historical averages, as well as the benefit deriving from photovoltaic plants subject to revamping.
ABROAD
During the second quarter of 2026, electricity generation abroad amounted to 996 GWh (775 GWh from wind power and 221 GWh from solar PV plants), slightly down compared to the same period of 2025 (1,025 GWh, of which 781 GWh from wind power and 224 GWh from solar PV plants) in a context of wind conditions below historical averages. The weak wind resource was partly offset by the contribution of new assets commissioned during 2025 and in the first half of 2026, mainly in the UK (+58 GWh).
In the first half of 2026 , electricity generation abroad amounted to 2,292 GWh (1,954 GWh from wind power and 338 GWh from solar PV plants), up compared to the same period of 2025 (2,178 GWh, of which 1,799 GWh from wind power and 379 GWh from solar PV plants), mainly due to the scope effect (+171 GWh fr om wind power), partly offset by weak wind conditions across the various geographies, as well as by the performance of the US wind farm (224 MW), which was significantly affected by extraordinary weather events impacting plant availability.

Nordics Wind ERG, through its subsidiary ERG UK Holding Ltd, acquired from OnPath Energy Midco Limited 100% of a group of UK companies owning seven operational onshore wind farms in Northern England, with a total installed capacity of 73 MW. The enterprise value of the transaction amounts to approximately GBP 97 million. At the same time, through its subsidiary ERG Power Generation S.p.A., ERG sold to Nordetic AB, 100% of ERG Sweden Holding AB, owner of Furukraft AB, the company that owns the Furuby wind farm, located i n Sweden, with an installed capacity of 62 MW.

2026 Italy Corporate The ERG Group ranked first in the Corporate Knights 2026 “Global 100 most sustainable corporations in the world” global ranking, which assessed over 8,000 listed companies. ERG was awarded absolute leadership for reaching 100% of sustainable revenue and investments, as well as for its sustainability strategy to which the company remuneration policy is also linked.

2026 Italy Corporate Through its subsidiary ERG Power Generation S.p.A., ERG has entered into a seven -year pay -as-produced financial Power Purchase Agreement (PPA) with Statkraft, Europe's largest renewable energy producer, effective from 1 January 2027. The agreement provides for the supply of approximately 118 GWh per year of electricity, together with an equivalent volume of Guarantees of Origin, generated by ERG's existing operational wind farms in Southern Italy.

2026 Germany Wind ERG completed construction and energised the Aukrug wind farm in northern Germany, which has a total installed capacity of 22.4 MW and estimated annual generation of approximately 50 GWh. The wind farm benefits from a 20 -year CfD, in line with the Group's strategy of stabilising revenue.

Business outlook
The environment in which the Group operates is characterised by strong volatility both in production volumes — influenced by the availability of wind and solar irradiation — and in market prices. This is compounded by a regulatory landscape that continues to evolve and remains marked by uncertainty, against a backdrop of growing political pressure over energy costs, further intensified by the tensions in the Middle East. In Italy, the 2026 Bills Decree was converted into law (Italian Law no. 49 of 10 April) and introduced a package of measures aimed at reducing electricity costs for households and businesses. These include measures to stimulate the PPA market, reforms to the rules governing grid connection applications, and mechanisms to reimburse part of th e cost of the gas used for thermal power generation. The latter measures, which will affect wholesale electricity prices, are to be implemented through measures to be defined by ARERA over the coming months and will take effect from 2027 onwards. The mecha nism implicitly confers a competitive advantage on gas -
fired thermal generation, thereby weakening the economic incentive to transition towards renewable energy sources. For this reason, the legislation is currently under review by the European Commission to assess its compatibility with the European Union's State aid guidelines.
From the second quarter of 2026 onwards, commodity and electricity prices declined compared with the corresponding period in 2025, following the geopolitical crisis involving Israel, the United States and Iran, which had a profound impact on global oil pro duct and natural gas flows. In terms of natural resources, production in the first few months of 2026 is lower than we had expected but higher than the same period in 2025, which was characterised by exceptionally low wind levels.
In order to mitigate market price volatility in line with best industry practices and its own established risk policy, ERG has in recent years carried out forward sales, mainly through long -term fixed -price supply contracts (known as PPAs) and forward cont racts, including through derivative financial instruments. These hedges, when carried out with a portfolio approach by the Group's Energy Management through ERG Power Generation S.p.A., are allocated from a management standpoint to the various project comp anies, which own the Production Units (PUs). The hedge allocation criterion follows a cascade mechanism which, with the idea of mitigating the associated risks, has the following order of priority:
1. electricity produced by PUs that do not have an incentive mechanism and are therefore fully exposed to the risk of market price volatility;
2. electricity produced by PUs that are subject to “Feed in Premium” tariffs, or mechanisms that provide for an incentive that is added to the market price;
3. any residual hedges are finally attributed to the quantities of electricity subject to for -difference incentive mechanisms, such as the former “green certificate” incentive tariffs (GRIN).
However, no hedges are envisaged for generation subject to two -way for -difference incentive mechanisms.
The expected outlook for the main performance indicators in 2026 compared to 2025, excluding any regulatory effects mentioned above, is as follows.
ITALY
Wind gross operating profit (loss) is expected to remain broadly in line with the previous year , supported by higher generation volumes compared with 2025, which was characterised by exceptionally low wind resource, including during the second half of the year. However, this effect is expected to be largely offset by lower prices achieved under forw ard hedging arrangements, together with the lower value of the GRIN incentive (EUR 50/MWh in 2026 compared with EUR 55/MWh in 2025), applied to a declining volume of generation as a result of the gradual expiry of the incentive scheme for certain plants.
Solar gross operating profit (loss) is expected to be substantially in line with 2025.
Gross operating profit (loss) for Wind & Solar Italy in 2026 is estimated to be substantially in line with 2025.

ABROAD
Gross operating profit (loss) for Wind is expected to increase compared to 2025 mainly due to higher output compared to the lower widespread wind speeds recorded in 2025, the scope deriving from the geographical re-focus with the purchase of 73 MW in the UK and the sale of 62 MW in Sweden, from the full contribution of a Greenfield wind farm in the UK in the second half of 2025 (47 MW) and the contribution of a Greenfield wind farm in Germany (+22 MW), which came on stream in July, and from the i nitial contributions of a repowering project in France (+23 MW of new capacity), which is expected to come on stream in the third quarter of 2026.
Gross operating profit (loss) for Solar is expected to increase compared to 2025, mainly due to the expected better irradiation, partly offset by lower captured prices in Spain due to a decreasing market scenario.
Gross operating profit (loss) for Wind & Solar abroad is expected to see an increase compared to 2025.
2026 GUIDANCE
For the year 2026, at Group level, gross operating profit is estimated in the range between EUR 520 million and EUR 590 million.
Capital expenditure is expected to be in the range of EUR 330 million to EUR 380 million (EUR 235 million in 2025) and mainly comprises the recent acquisition in the UK , assets that have already came into opera tion in 2026 and the construction of the wind farms scheduled to be commissioned between 2026 and 2028, representing 23 MW in 2026, 246 MW in 2027 and 25 MW in 2028. These investments do not include the sale of 62 MW in Sweden.
Adjusted net financial indebtedness at the end of 2026 is expected to be in the range between EUR 1,950 million and EUR 2,050 million (EUR 1,882 million at the end of 2025), including the above -mentioned investments and the distribution of the ordinary div idend of EUR 1 per share.

ALTERNATIVE PERFORMANCE INDICATORS
Definitions
On 3 December 2015, CONSOB issued Communication no. 92543/15, which transposes the Guidelines regarding the use and presentation of Alternative Performance Indicators in the context of regulated financial information, issued on 5 October 201 5 by the Europe an Securities and Markets Authority (ESMA). The Guidelines, which updated the CESR Recommendation on Alternative Performance Indicators (CESR/05 – 178b), aim to promote the usefulness and transparency of alternative performance indicators so as to improve their comparability, reliability and comprehensibility.
Some of the Alternative Performance Indicators (APIs) used in this document are different from the financial indicators expre ssly provided for by the IAS/IFRS adopted by the Group. These alternative indicators are used by the Group in order to facilitate the communication of information on its business performance as well as its net financial indebtedness.
It should also be noted that, in order to facilitate understanding of the performance of the businesses , the income statement is presented exclu ding significant income statement items of a non-recurring nature (special items) and including, also for the comparative period, the results of the Swedish asset disposed of on 20 January 2026, the figures of which have been reclassified to the line “ Profit (loss) from discontinued operations” : such results are referred to as “Adjusted results ”. Since the composition of these indicators is not regulated by the applicable accounting standards, the method used by the Group to determine these indicators may not be consistent with the method used by other operators and so these might not be fully c omparable.
Definitions of the APIs used by the Group and a reconciliation with the captions of the Condensed Interim Consolidated Financial Statements are as follows.
Adjusted revenue is revenue, as indicated in the Condensed Interim Consolidated Financial Statements , with the exclusion of significant income components of an exceptional nature (special items).
Gross operating profit (loss) is an indicator of operating performance calculated by adding “Amortisation, depreciation and impairment losses of non -current assets” to the Operating profit (loss). Gross operating profit (loss) is explicitly indicated as a subtotal in the Condensed Interim Consolidated financial statements.
Adjusted gross operating profit ( loss) is the gross operating profit (loss) , as defined above , with the exclusion of significant income components of an exceptional nature (special items).
Adjusted operating profit (loss) is the operating profit (loss) , explicitly indicated as a subtotal in the Condensed Interim Consolidated financial statements, with the exclusion of significant income components of an exceptional nature (special items).
EBITDA margin is an indicator of the operating performance calculated by comparing the adjusted gross operating profit (loss) to the Revenue from sales and services of each individual business segment.
The Adjusted tax rate is calculated by comparing the adjusted amounts of taxes and profit before taxes.
Profit (loss) from continuing operations does not include the figures for assets held for sale/discontinued operations, reclassified under the item “Profit (loss) from discontinued operations”.
Adjusted Profit (loss) from continuing operations is the profit from continuing operations, with the exclusion of significant income components of an exceptional nature (special items), net of the related tax effects.
Adjusted profit (loss) attributable to owners of the parent is the adjusted profit (loss) from continuing operations with the exclusion of the profit attributable to non -controlling interests.
Capital expenditure is the sum of capital expenditure in property, plant and equipment and intangible assets, with the inclusion of Mergers & Acquisitions and not including Right -of-Use assets.
Net operating working capital is the sum of inventories, trade receivables and trade payables.
Net invested capital is the sum of Non -current assets (including Right -of-Use Assets), Net operating working capital, Liabilities related to Post -employment benefits, Other assets and Other liabilities.
Net financial indebtedness is an indicator of the financial structure and is determined in accordance with ESMA Guidelines 32-382-1138 (Guidelines on Prospectus disclosures) and CONSOB Warning Notice no. 5/2021, also including the portion of non -
current assets relative to derivativ e financial instruments.
For greater clarity, net financial indebtedness is indicated in the dual measure “before IFRS 16”, excluding the liabilities linked to the application of IFRS 16, and “after IFRS 16”, including the aforementioned liabilities.
Financial leverage before IFRS 16 is calculated by comparing the net financial indebtedness before IFRS 16 with the net invested capital, not including Right -of-Use assets.
Special items include significant special income components of an exceptional nature. These include:
• income and expense connected to events whose occurrence is non -recurring, i.e. those transactions or events that do not frequently re -occur over the normal course of business;
• income and expense related to events that are not typical of normal business activities, such as restructuring and environmental costs;
• gains and losses on disposal of assets;
• significant impairment losses recognised on assets following impairment tests;
• income and the associated reversals recognised in application of IFRS 9, in relation to the restructuring of loans in place.
