IEG E AMBER CAPITAL ANNUNCIANO LA COMPLETA COPERTURA
DELL’OFFERTA DA PARTE DEL MERCATO.
Rimini, 7 ottobre 2026 - Facendo seguito al comunicato stampa diffuso in data 6 ottobre 2026, Italian Exhibition Group S.p.A. (“IEG” o la “Società”) (per Euronext Milan: IEG) società leader in Italia nell’organizzazione di eventi fieristici internazionali e quotata su Euronext Milan, mercato regolamentato organizzato e gestito da Borsa Italiana S.p.A. e Amber Capital Italia SGR S.p.A. (“ Amber Capital ”), annunciano il successo dell'offerta azionaria volta ad aumentare il flottante e la liquidità.
I Joint bookrunners hanno ricevuto ordini per un numero di azioni superiore a quello dell’offerta iniziale;
nell’assegnazione si è prestata particolare attenzione alla qualità degli investitori, limitando così il collocamento a 1.059.784 azioni. Le azioni collocate rappresentano il 3,4% del capitale sociale dell’Emittente, di cui complessive n.
145.389 azioni detenute in portafoglio da IEG e complessive n. 914.395 azioni IEG detenute da Amber Capital in qualità di gestore di Amber Italia Exhibition Opportunity (AIEO) (l’“ Operazione ”).
Le azioni vendute sono state collocate a un prezzo per azione di Euro 13,26, per un controvalore lordo complessivo di Euro 14.052.735,84, di cui (i) Euro 1.827.858,14 riferibili a IEG per la vendita di n. 145.389 azioni proprie e (ii) Euro 12.124.877,70 riferibili ad Amber Capital per la vendita di n. 914.395 azioni.
A seguito del completamento dell’Operazione, IEG deterrà complessivamente n. 173.611 azioni proprie, pari al 0,6% del capitale sociale; mentre, Amber Capital in qualità di gestore di fondi e veicoli, per il tramite delle n. 3.170.386 azioni detenute dal fondo Amber Italia Exhibition Opportunity (AIEO) e delle n. 74.511 azioni detenute da Ucits Sicav/Amber Equity Fund, deterrà complessivamente n. 2.330.502 azioni IEG, pari al 7,6% del capitale sociale di IEG e al 4,3% dei diritti di voto.
2 L’Operazione ha consentito di incrementare il flottante di IEG del 3,4% del capitale sociale, in linea con l’obiettivo di ampliare la base azionaria e di incrementare la liquidità delle azioni IEG.
L’Operazione, come già comunicato nel comunicato stampa del 6 ottobre 2026, è stata effettuata tramite una procedura di accelerated bookbuilding riservata a investitori qualificati al di fuori degli Stati Uniti d'America, in conformità alle disposizioni del Regulation S ai sensi del U.S. Securities Act del 1933, come successivamente modificato (il “ Securities Act”), e, negli Stati Uniti, esclusivamente a qualified institutional buyers (“QIBs”) ai sensi della Rule 144A del Securities Act, con esclusione, in particolare, di Canada, Giappone e Australia; e a investitori qualificati all'interno dello Spazio Economico Europeo, in virtù delle esenzioni dall'obbligo di pubblicazione di un prospetto ai sensi dell'articolo 1, paragrafo 4, lettere (a) e (b) del Regolamento (UE) 2017/1129 del Parlamento europeo e del Consiglio del 14 giugno 2017, come successivamente modificato.
Il regolamento dell’Operazione ( i.e. consegna delle azioni e pagamento del corrispettivo) avverrà in data 9 ottobre 2026.
Cantor Fitzgerald Ireland Limited e TP ICAP Midcap hanno agito in qualità di Joint Global Coordinators e Joint Bookrunners in relazione all’Operazione.
Gianni & Origoni ha agito in qualità di legale italiano dell’operazione, mentre Moore Van Allen ha agito in qualità di legale statunitense dei Joint Global Coordinators e Joint Bookrunners ; CDR Communication ha affiancato la Società in qualità di IR advisor.
Nell’ambito dell’Operazione e coerentemente con la prassi di mercato per collocamenti di questa natura, IEG e Amber Capital hanno assunto nei confronti dei Joint Global Coordinators un impegno a non disporre delle ulteriori azioni IEG dalle stesse detenute per un periodo di 12 mesi dalla data di regolamento dell’Operazione, salvo consenso espresso di Cantor Fitzgerald Ireland Limited e TP ICAP Midcap (il “ Lock Up”). Si precisa che il Lock Up non si applica alle n. 74.511 azioni detenute da Alpha Ucits Sicav/Amber Equity Fund.
