Gruppo Hera : approvati i risultati del primo semestre 2026 La relazione semestrale consolidata al 30 giugno evidenzia utili in crescita del 16% e un incremento degli investimenti del 56% superior e ai valori del periodo precedente .
Confermata la solidità operativa e finanziaria e raggiunti, già a metà anno, gli obiettivi dell’intero 2026 per quanto riguarda la crescita per linee esterne. I risultati raggiunti a fine giugno consentiranno alla multiutility di potenziare ulteriormente nel secondo semestre le proprie infrastrutture e cogliere nuove opportunità di sviluppo .

Il Consiglio di Amministrazione del Gruppo Hera, presieduto da l Presidente Esecutivo Cristian Fabbri, ha approvato oggi i risultati consolidati al 30 giugno 2026 , che mostrano una performance strutturale positiva, con marginalità e utile netto in aumento rispetto allo stesso periodo dell'anno precedente. Una crescita ancora più significativa in un confronto omogeneo con il 2025.
I risultati conseguiti evidenziano la capacità del Gruppo Hera di operare con efficacia anche in un contesto macroeconomico e geopolitico caratterizzato da elementi di incertezza. Il protrarsi delle tensioni internazionali e la volatilità dei mercati energetici non hanno infatti inciso sulla gestione operativa, che registra un miglioramento dei margini industriali e dei risultati economici rispetto al primo semestre 2025, confermando la solidità del modello di business e la costante generazione di valore.
La strategia industriale del gruppo, basata sul bilanciamento tra attività regolate e a libero mercato, si conferma un elemento chiave per affrontare le sfide attese per il prosieguo del 2026. La diversificazione dei business e la capacità di cogliere tempestivamente le opportunità offerte dal mercato consentono di proseguire gli obiettivi di crescita industriale e di sostenibilità definiti dal Piano i ndustriale, confermando la solidità e la flessibilità del modello di business del Gruppo.
Con riferimento alle opportunità di crescita per linee esterne, nel corso del 2026 la multiutility ha ulteriormente rafforzato la sua presenza soprattutto nel settore ambiente, attraverso le acquisizioni del gruppo Sostelia, uno dei principali operatori italiani specializzato nelle tecnologie e nei servizi per il trattamento delle acque industriali e civili, e del controllo della società Servizi Ecologici Ambientali (SEA), attiva nella gestione di una piattaforma polifunzionale di stoccaggio e trattamento di rifiuti speciali.

Cristian Fabbri, Presidente Esecutivo del Gruppo Hera, ha dichiarato:
“I risultati conseguiti dal Gruppo Hera al 30 giugno 2026 confermano il forte impulso alla crescita impresso dal Piano industriale. L’aumento del margine operativo lordo superiore al 7%, in un confronto omogeneo con il primo semestre del 2025, è sostenuto da tutte le filiere ed evidenzia la solidità del portafoglio di business, pur in un contesto esterno complesso. L’accelerazione degli investimenti, che hanno superato i 650 milioni di euro, in aumento di oltre il 50% rispetto al 2025, testimonia la capacità del Gruppo di proseguire nel percorso di crescita per linee esterne e di sviluppare le infrastrutture, come testimoniato anche dal 65% del MOL generato dalle filiere infrastrutturali, di cui il 44% regolato. La significativa crescita degli investimenti di sviluppo, che negli ultimi 18 mesi superano gli 800 milioni di euro, è solo parzialmente riflessa nei risultati conseguiti nel primo semestre e costituisce una riserva di valore a supporto della crescita futura. L’aumento degli utili, in linea con le stime degli analisti ante addizionale Irap, e il ritorno sul capitale investito al 9, 4% evidenziano la costante attenzione alla creazione di valore.”
Orazio Iacono, Amministratore Delegato del Gruppo Hera, ha dichiarato:
Nel primo semestre 2026 il Gruppo ha conseguito risultati economico- finanziari in ulteriore miglioramento rispetto al corrispondente periodo del 2025, nonostante un contesto macroeconomico caratterizzato da persistenti elementi di incertezza. L'utile netto di pertinenza degli Azionisti adjusted si è attestato a 227, 6 milioni di euro, in crescita del 15,8% rispetto al dato omogeneo del primo semestre 2025. Tale andamento conferma la capacità del Gruppo di convertire la crescita operativa in redditività netta. L'intensificazione degli investimenti, sia organici e sia per le M&A di Sostelia e SEA, è stata supportata dalla solida generazione di cassa operativa, superiore ai 700 milioni di euro nel primo semestre 2026. La solidità della struttura patrimoniale è confermata da un rapporto indebitamento finanziario netto/MOL pari a 2,75x, valore che incorpora anche gli effetti della distribuzione annuale dei dividendi e che evidenzia ampio spazio per finanziare ulteriori opportunità di crescita.”
Nuova vista per filiere di business Coerentemente alla rappresentazione utilizzata per il Piano industriale e in un'ottica di continuo miglioramento informativo verso gli investitori e gli stakeholder, a partire dalla relazione finanziaria relativa al primo semestre 2026 è stata introdotta l ’analisi dei risultati per filiere di business (Reti, Energia, Ambiente e Altri Servizi) , in alternativa alla rappresentazione storica basata sulle aree d’attività (Gas, Energia Elettrica, Ciclo Idrico, Ambiente e Altri Servizi).
Ricavi adjusted a 6,5 miliardi di euro I ricavi adjusted del primo semestre si attestano a 6. 494,6 milioni di euro, rispetto ai 6.645,0 milioni al 30 giugno 2025, principalmente per la riduzione dei volumi nei mercati di ultima istanza e Consip.
Margine operativo lordo (MOL) adjusted in crescita del 7,5% Il margine operativo lordo adjusted al 30 giugno 2026 si attesta a 715, 5 milioni di euro, in aumento del 7,5% rispetto al primo semestre 2025 adjusted, grazie al contributo di tutte le filiere. Il 65% del MOL adjusted è generato dalle due filiere infras trutturali reti ed ambiente.
Risultato operativo netto adjusted in crescita Il risultato operativo netto adjusted al 30 giugno 2026 sale a 386,5 milioni di euro , e registra una crescita del 14,7% se confrontato con il valore adjusted dell’esercizio 2025. Tale risultato è dovuto a una diminuzione degli accantonamenti che compensa i maggiori ammortamenti legat i alla crescita infrastrutturale.

Utile netto di pertinenza degli Azionisti adjusted in aumento del 15,8% Nonostante l’incremento del tax rate , pari al 29,5% rispetto al 29% del primo semestre 2025 per l’incremento dell’Irap nel biennio 2026- 2027 definito nel Decreto Bollette , l’utile netto adjusted al 30 giugno 202 6 sale a 245,8 milioni di euro, in crescita del 13,5%. Parimenti cresce anche l’ utile netto di pertinenza degli Azionisti del Gruppo adjusted, pari a 227,6 milioni di euro (+15,8%), rispetto al risultato adjusted del primo semestre 2025 . Al netto dell’addizionale Irap, l’utile netto adjusted di pertinenza degli Azionisti si attest erebbe a 232 milioni, in linea con il consensus degli analisti. Tutti i risultati confermano ancora una volta la creazione di valore per tutti gli stakeholder , perfettamente in linea con le attese del Piano industriale.
Investimenti in crescita del 56% e ulteriore rafforzamento della solidità del Gruppo Anche dal punto di vista degli investimenti, il G ruppo Hera consuntiva una crescita importante rispetto all'anno precedente, a conferma dell'impegno a espandere le infrastrutture e a rafforzare la resilienza degli asset gestiti e nel promuovere l'evoluzione tecnologica a supporto della transizione green e digitale.
In particolare , gli investimenti operativi del primo semestre 2026, al lordo dei contributi in conto capitale, sono saliti a 510,5 milioni di euro (+23,3%) rispetto ai 414 milioni al 30 giugno 2025 .
Agli investimenti operativi si aggiungono investimenti per M&A relativi a Sostelia e SEA per 142 m ilioni di euro.
Nel primo semestre gli investimenti operativi più quelli destinati alle M&A, pari a 652,5 milioni di euro complessivi, risultano in crescita del 56% rispetto ai 417 milioni dell’analogo periodo 2025. Anche considerando solo gli investimenti di sviluppo è stata realizzata un’importante accelerazione: sono aumentati di 2,6 volte, attestandosi a 362 milioni di euro, rispetto a quelli del semestre omologo del 2025 pari a 137 milioni. Un impegno perfettamente coerente con la strategia delineata nel Piano industriale, che riflette la capacità di realiz zare gli investimenti ed ha consentito di accelerare lo sviluppo nel primo semestre.
Al 30 giugno 2026 il ROI adjusted si attesta al 9,4 % e il ROE adjusted al 10,9% nonostante gli investimenti di sviluppo non abbiano ancora contribuito pienamente ai risultati dell’anno.
L’indebitamento finanziario netto si attesta a 4.248,6 milioni di euro, in aumento rispetto ai 3.944,4 milioni al 31 dicembre 2025, con un rapporto debito netto/MOL pari a 2,75x, a conferma della solidità e flessibilità finanziaria della multiutility che potrà continuare a cogliere ulteriori opportunità di crescita, sia organica che per linee esterne.
Sostenibilità: i n crescita il MOL a valore condiviso, che arriva a sfiorare il 60% del totale In questi primi sei mesi dell’anno il margine operativo lordo a valore condiviso, riferito alle attività di business in grado di rispondere anche agli obiettivi dell’Agenda Globale, è salito a 435 milioni di euro, pari al 59,9% del MOL complessivo in cresc ita di un punto percentuale rispetto all’analogo periodo 2025.
Il Gruppo Hera ha continuato a lavorare intensamente per coniugare le proprie strategie di crescita con la generazione di valore nel medio e lungo termine, come confermato dai numerosi traguardi raggiunti:
dall’inclusione del titolo Hera nel FTSE4Good Index Series per il settimo anno consecutivo, per l’impegno attivo per uno sviluppo sostenibile, al primo posto nell’ESG Identity Corporate Index 2026, ottenuto per l’integrazione dei fattori ESG nella propria strategia, governance e cultura aziendale.
Reti
Il margine operativo lordo della filiera reti – che comprende il ciclo idrico integrato, la distribuzione gas , energia elettrica e il teleriscaldamento – si attesta a 284,9 milioni di euro in crescita del 5,8% rispetto al primo semestre 2025 adjusted, per effetto di una crescita organica in tutti i servizi a rete gestiti, grazie agli adeguamenti tariffari legati al riconoscimento di RAB, inflazione e al recepimento delle tariffe definitive 2024 in materia di energia elettrica. Nello specifico, si rilevano i principali scostamenti nel ciclo idrico, con un incremento di 5,2 milioni, seguito dalla distribuzione energia elettrica con un miglioramento della marginalità di 5, 0 milioni e la distribuzione gas con un aumento di 4,1 milioni .

Nel primo semestre dell’esercizio 2026 gli investimenti lordi nella filiera reti ammontano a 336,6 milioni di euro, in crescita del 24,8% rispetto all’anno precedente. I contributi in conto capitale, pari a 48,9 milioni di euro, sono in aumento rispetto all’anno precedente e comprendono 33,7 milioni relativi a progetti che accedono ai fondi del PNRR. Gli investimenti sono riferiti principalmente a estensioni, bonifiche e potenziamenti di reti e impianti di distribuzione, oltre agli adeguamenti normativi riguardanti la sostituzione massiva dei contatori e l’ambito depurativo e fognario del ciclo idrico integrato.
Tra gli investimenti più significativi si evidenziano la realizzazione del nuovo potabilizzatore di Bubano (BO) al servizio di 13 comuni del Ravennate e dell’Imolese, finalizzato ad aumentare la riserva idrica disponibile, a garantire una maggiore flessibilità operativa e a rispondere alle esigenze di svilupp o del territorio, e la prosecuzione del Piano di Salvaguardia della Balneazione di Rimini, con la realizzazione di due nuove vasche di laminazione e prima pioggia a Bellariva e a Rivazzurra. Come già accaduto a Piazzale Kennedy, anche in questo caso le opere idrauliche diventeranno una vera e propria occasione di rigenerazione urbana con la successiva realizzazione di due belvedere sopra i nuovi impianti. In evidenza anche l’adeguamento e potenziamento del depuratore di Ravenna e la realizzazione del nuovo impianto p ower -to-gas presso il depuratore Idar di Bologna. Si è conclusa inoltre con successo la sperimentazione a Castelfranco Emilia (MO) relativa al l’immissione nella rete di distribuzione cittadina di miscele di metano ed idrogeno in percentuali progressive fino al 10%. A Trieste sono terminate le opere relative alla smart grid, riconosciuta come best practice a livello nazionale sul fronte della flessibilità della rete. Lato teleriscaldamento i principali investimenti hanno riguardato Bologna (interconnessione di quattro sistemi di teleriscaldamento, oggi fisicamente distinti , con contestuale estensione della rete per massimizzare il recupero di calore dal termovalorizzatore), Ferrara (raddoppio della produzione di calore dalla fonte geotermica e l’espansione della rete in zone urbane attualmente non servite) e Forlì (con il co llegamento di tre sistemi di teleriscaldamento e la posa di una nuova rete principale per incrementare il calore recuperato dal termovalorizzatore).
Nell’area delle reti sono stati effettuati oltre 520 milioni di euro di investimenti già operativi che non hanno ancora contribuito alla formazione dei risultati essendo in attesa della fine del periodo di ‘time l ag’ previsto dalla regolazione transitoria.
Il contributo della filiera reti al MOL adjusted di Gruppo è pari al 39, 8%.
Energia
Il margine operativo lordo adjusted della filiera energia – che comprende la vendita di gas naturale e di energia elettrica, i servizi energia, la produzione di energia e l’illuminazione pubblica – si attesta a 236, 9 milioni di euro in crescita del 15,3% rispetto al primo semestre 2025 adjusted. L’incremento è sostenuto da tutte le aree di business della filiera, dalle attività di vendita, all'intermediazione, ai servizi a valore aggiunto e alle attività di efficienza energetica ed alle marginalità rinvenienti dal segmento Servizio a Tutele Graduali ( STG).
Gli investimenti lordi nella filiera energia sono stati pari a 55, 4 milioni di euro , in aumento del 7,2% rispetto al primo semestre 2025 in crescita . L’incremento deriva principalmente dagli investimenti in impianti di produzione di energia elettrica, con soluzioni impiantistiche che privilegiano la loro realizzazione presso i centri di consumo. In un’ottica di costante attenzione alle esigenze dei propri clienti, in parallelo al potenziamento dei canali di contatto digitali, è proseguito nel primo semestre il percorso di rafforzamento della presenza fisica sui territori serviti con il restyling di sportelli prioritari come quello di Forlì e le aperture di nuovi sportelli.
Nel primo semestre è stata inoltre completata la realizzazione delle due Hydrogen Valley di Trieste e Modena, che produrranno a regime oltre 620 tonnellate l’anno di idrogeno verde contribuendo alla decarbonizzazione delle aziende e, più in generale, dei territori di riferimento e, allo stesso tempo, alla riqualificazione di aree dismesse.
Per quanto riguarda l’illuminazione pubblica, nel primo semestre è cresciuta la percentuale dei punti luce che utilizzano lampade a led, arrivata a sfiorare il 70% del totale, a conferma della costante attenzione del Gruppo per una gestione sempre più efficiente e sostenibile dell’illuminazione pubblica.
Il contributo della filiera energia al MOL adjusted di Gruppo è pari al 3 3,1%.

Ambiente
Il margine operativo lordo della filiera ambiente –che include i servizi di raccolta, trattamento e recupero dei rifiuti – sale a 178,6 milioni di euro rispetto ai 175,5 milioni del primo semestre 2025. Oltre al positivo contributo derivante dalle variazioni di perimetro, con l’integrazione del Gruppo Sostelia e SEA, il risultato ha beneficiato delle attività di trattamento e recupero per i maggiori volumi venduti di Aliplast, delle buone performance di ACR Reggiani nelle attività di bonifica e dei maggiori volumi di energia elettrica ceduta dai termovalorizzatori .
Tutte queste attività hanno permesso di più che compensare la riduzione del prezzo medio unitario dell’energia elettrica rispetto allo stesso periodo dell'anno precedente e i minori contributi della discarica di Feronia per un fermo amministrativo già concluso. Nel servizio di igiene urbana si segnalano maggiori margini, legati principalmente agli adeguamenti inflattivi , alle maggiori efficienze e ai maggiori servizi integrativi richiesti negli ambiti di gara.
Gli investimenti lordi della filiera ambiente ammontano a 111,4 milioni di euro, in aumento del 27,3% rispetto al primo semestre 2025, e riguardano soprattutto interventi di manutenzione e potenziamento degli impianti di trattamento, recupero e attrezzature di raccolta rifiuti.
In particolare, circa 80 milioni sono stati investiti nel potenziamento degli impianti di trattamento e recupero:
tra gli interventi più significativi si segnalano la prosecuzione in linea con la programmazione della realizzazione della quarta linea del termovalorizzatore di Padova e il completamento a Modena di un impiant o all’avanguardia per il riciclo di plastiche rigide XLPE e PP, parzialmente finanziato da fondi PNRR, che sarà inaugurato nel secondo semestre 2026.
Grazie all’impianto di Modena e ad altri progetti in corso di realizzazione - come il nuovo impianto per il riciclo PE-LD a Borgolavezzaro (Novara) che sarà completato nel 2027 e l’acquis izione del 70% della newco Kronos Polymer Polska, per cui è già stato siglato un accordo vincolante con il closing previsto entro fine 2026 -
saranno ulteriormente potenziate le sinergie industriali già esistenti all'interno del Gruppo Hera e la controllata Aliplast potrà incrementare la flessibilità di riciclo, arrivando a raddoppiare la propria capacità.
A livello di Gruppo, grazie ai progetti in corso di finalizzazione, la capacità di trattamento e recupero rifiuti sarà incrementata di oltre 240.000 tonnellate complessive entro la fine del 2026.
Nel settore dell’igiene urbana, il Gruppo Hera nel primo semestre 2026 ha ulteriormente migliorato qualità e quantità della raccolta differenziata, arrivando al 76,8%, rispetto al 75,3% al 30 giugno 2025.
Il contributo della filiera ambiente al MOL adjusted di Gruppo è pari al 2 5%.
Altri servizi
Il margine operativo lordo della filiera altri servizi – che include le telecomunicazioni e altri servizi minori – si attesta a 15,2 milioni di euro stabile rispetto al primo semestre 2025.
Il contributo della filiera altri servizi al MOL adjusted di Gruppo è pari al 2,1%.

Hera Group: H1 2026 results approved The Consolidated Half -Year Financial Report as at 30 June reports a 16% increase in net profit and a 56% rise in investments, higher than in the previous period . The operational and financial soundness has been confirmed and the targets for the current year with regard to external growth have already been achieved in the first half . The results achieved at the end of June will enable the multi -utility to further enhance its infrastructure in the second half of the year and seize new development opportunities.

The Hera Group's Board of Directors, chaired by Executive Chairman Cristian Fabbri, today approved the consolidated results as at 30 June 2026, which show a positive structural performance, with margins and net profit up compared to the same period of the previous year. The growth is even more significant if the results are compared with the first half of 2025 adjusted .
The results achieved highlight the Hera Group's ability to operate effectively even in a macroeconomic and geopolitical environment characterised by elements of uncertainty. The continuation of international tensions and the volatility of the energy market s did not affect operations, which recorded an improvement in gross margins and operating profit or loss compared to the first half of 2025, confirming the solidity of the business model and the constant generation of value.
The group’s business strategy, based on a balance between regulated and free -market activities, remains a key element for addressing the challenges anticipated for the remainder of 2026. The diversification of businesses and the ability to promptly seize t he opportunities offered by the market make it possible to pursue the industrial growth and sustainability objectives defined by the Business Plan, confirming the solidity and flexibility of the Group's business model.
With reference to growth opportunities through M&A , during 2026 the multi -utility further strengthened its presence, especially in waste management, through the acquisitions of the Sostelia Group, one of Italy's leading operators specialising in industrial and civil water treatment technologies and servic es, and of control of Servizi Ecologici Ambientali (SEA), which operates a multifunctional special waste storage and treatment facility located in Camerata Picena (Ancona).

"The results achieved by the Hera Group as at 30 June 2026 confirm the strong impetus for growth provided by the Business Plan. The more than 7% increase in EBITDA on a like -for-like basis compared with the first half of 2025, is supported by all business lines and highlights the strength of the business portfolio, despite a complex external environment . The acceleration in investments, which exceeded 650 million euro, up by more than 50% compared to 2025, testifies to the Group’s ability to continue its path of external growth through M&A and infrastructu re development , as reflected by the fact that 65% of EBITDA is generated by infrastructure businesses, 44% of which are regulated . The significant increase in development capex , which exceeded 800 million euro over the last 1 8 months , is only partially reflected in the results achieved in the first half of the year and constitutes a visible reserve of value to support future growth. The increase in net profit, in line with analysts' estimates before the IRAP surcharge, and the 9.4% return on invested capital highlight the Group's consistent focus on value creation. ”

“In the first half of 2026, the Group achieved further improved economic and financial results compared to the corresponding period in 2025, despite a macroeconomic environment characterised by persistent elements of uncertainty. Net profit attributable to shareholders amounted to 227.6 million euro, up 15.8% compared to the like-for-like figure for the first half of 2025. This trend confirms the Group's ability pursue growth and transferring it down to the bottom line of the P&L . The acceleration of investments, both organic and for the M&A of Sostelia and SEA, was supported by the solid operating cash flow s, exceeding 700 million euro in the first half of 2026.
The strength of the capital structure is confirmed by a net financial position/EBITDA ratio of 2.75x, a figure that also incorporates the effects of the annual dividend recent distribution and shows ample room to fund further

New view by business line In line with the representation used for the Business Plan and with a view to continuously improving information for investors and stakeholders, starting with the financial report for the first half of 2026, an analysis of results by business line (Network s, Energy, Waste and Other Services) has been introduced as an alternative to the historical representation based on business areas (Gas, Electricity, Water Cycle, Waste and Other Services) giving a better accountability to our strategy .
Revenues adjusted at €6.5 billion Revenues for the first half of the year amounted to €6,494.6 million, compared to €6,645.0 euro as at 30 June 2025 , mainly due to the reduction in volumes in the last res ort markets and Consip.
EBITDA adjusted up 7.5% EBITDA as at 30 June 2026 stood at 7 15.5 million euro, up 7.5% compared with the first half of 2025 adjusted thanks to the contribution of all business areas. 65% of EBITDA adjusted is generated by the two infrastructure business areas, Networks and Waste.
EBIT adjusted rises EBIT as at 30 June 2026 rose to 386.5 million euro, recording double -digit growth (+ 14.7%) when compared with the adjusted value for 2025. This result is due to normalised provisions, which offset higher depreciation and amortisation related to infrastructure growth.

Despite the increase in the tax rate to 29.5%, compared with 29.0% in the first half of 2025, due to the increase in IRAP for the 2026 -2027 period introduced by the Bollette Decree, adjusted net profit as at 30 June 2026 rose to €245.8 million, up 13.5% . Likewise, adjusted net profit attributable to the Group's shareholders increased to €227.6 million (+15.8%), compared with the adjusted result for the first half of 2025. Excluding the IRAP surcharge, net profit attributable to the Group's shareholders adjusted would amount to €232 million, in line with analysts' consensus estimates . All these results once again confirm value creation for all stakeholders, fully in line with the expectations set out in the Business Plan.
Investments up 56% and further strengthening of the Group's solidity In terms of capital expenditures and investments, the Hera Group also recorded significant growth compared to the previous year, confirming its commitment to expanding infrastructure and strengthening the resilience of the assets under management, and to promoting technological evolution in s upport of the green and digital transition.
In particular, operating capital expenditures in the first half of 2026, including capital grants, rose to 510.5 million euro (+23.3%) compared to 414 million euro at 30 June 2025.
In addition to operating capital expenditures , there were investments for M&A relating to Sostelia and SEA amounting to 142 million euro.
In the first half of the year, operating capital expenditures plus those for M&A, amounting to a total of 652.5 million euro, were up 56% compared to 417 million euro in the same period of 2025. Even considering only development capital expenditures and M&A, a significant acceleration was achieved: they increased 2.6 -fold to 362 million euro, compared to 137 million euro in the same period of 2025 . This commitment is perfectly consistent with the strategy set out in the Business Plan, which reflects the strong execution and has enabled a relevant acceleration in the first half of the year.
As at 30 June 2026, ROI adjusted stood at 9. 4% and ROE adjusted at 10.9%, despite the fact that development investments have not yet fully contributed to the year’s results (due to regulatory “time lag”) .
The net financial position stood at 4,248.6 million euro, up from 3,944.4 million euro as at 31 December 2025, with a net debt/EBITDA ratio of 2.75x, confirming the financial strength and flexibility of the multi -utility, which will be able to continue to seize further growth opportunities, both organic and through M&A .
Sustainability: shared -value EBITDA is growing, reaching almost 60% of the total In the first six months of the year, shared -value EBITDA, relating to business activities that also contribute to the objectives of the Global Agenda, rose to 435 million euro, accounting for 59.9% of total EBITDA, up one percentage point compared with the same period in 2025.
The Hera Group has continued to work intensively to combine its growth strategies with the generation of value in the medium and long term, as confirmed by the numerous milestones achieved: from the inclusion of Hera’s stock in the FTSE4Good Index Series f or the seventh consecutive year, for its active commitment to sustainable development, to first place in the ESG Identity Corporate Index 2026, obtained for the integration of ESG factors into its strategy, governance and corporate culture.
Networks
EBITDA of the networks business line – which includes the integrated water service, gas and electricity distribution, and district heating – stands at 284.9 million euro, up 5.8% compared to the first half of 2025 adjusted, due to organic growth in all the network services managed, thanks to tariff adjustments linked to the recognition of the RAB, inflation and the implementation of the final 2024 electricity tariffs. Specifically, the main changes are noted in the water cycle, with an increase of 5.2 million, followed by electricity distribution with an improvement in margins of 5.0 million, and gas distribu tion with an increase of 4.1 million.

During the first half of 2026, gross investments in the networks business line amounted to 336.6 million euro, up 24.8% compared to the previous year. Capital grants, standing at 48.9 million euro, were up compared to the previous year and included 33.7 mi llion euro relating to projects accessing NRRP funds. Capital expenditures mainly went towards extensions, remediation and upgrading on distribution networks and plants, as well as regulatory adjustments for the large -scale meter replacement and in the purification and sewage sector of the integrated water service.
The most significant investments include the construction of the new Bubano (Bologna) water treatment plant serving 13 municipalities in the Ravenna and Imola areas, aimed at increasing the available water reserve, ensuring greater operational flexibility, and meeting the development needs of the area, and the continuation of the Rimini Bathing Safeguard Plan, with the construction of two new retention and first flush rainwater tanks in Bellariva and Rivazzurra . As was already the case in Piazzale Kennedy, the hydraulic works will also become a real opportunity for urban regeneration in this case, with the subsequent construction of two viewing platforms above the new facilities. Also note the upgrading and expa nsion of the Ravenna purification plant and the construction of the new power -to-gas plant at the IDAR purification plant in Bologna. The trial in Castelfranco Emilia (Modena) for the introduction of mixtures of methane and hydrogen in progressive percenta ges up to 10% into the city's distribution network was also successfully completed. In Trieste, the works related to the smart grid, recognised as a national best practice in terms of network flexibility, have been completed. On the district heating side, the main investments concerned Bologna (interconnection of four district heating systems, currently physically separate, with simultaneous extension of the network to maximise heat recovery from the waste -to-energy plant), Ferrara (doubling of heat product ion from the geothermal source and expansion of the network in currently unserved urban areas) and Forlì (with the connection of three district heating systems and the laying of a new main network to increase the amount of heat recovered from the waste -to-energy plant).
In the networks segment, over 520 million euro of investments have been made that are already operational but have not yet contributed to the results, pending the end of the 'time lag' period provided for by the t ariffs regulation.
The networks business line contributed 39. 8% of the Group’s adjusted EBITDA.
Energy
Adjusted EBITDA of the Energy business area – which includes the sale of natural gas and electricity, energy services, power generation and public lighting – amounted to €236.9 * million, up 15.3% compared with the adjusted first half of 2025. The increase was supported by all activities within the business , from sales and trading to value -added services, energy efficiency activities and the margins generated by the Gradual Protection Service (STG) segment.
Gross investments in the energy business line amounted to 55.4 million euro, up 7.2% compared with the first half of 2025. The increase derives mainly from investments in electricity generation plants, with plant solutions that favour their construction at consumption centres. With a view to constantly focusing on the needs of its customers, the process of strengthening the physical presence in the areas served continued in the first half of the year with the restyling of priority branches such as the one i n Forlì and the opening of new branches.
In the first half of the year, the construction of the two Hydrogen Valleys of Trieste and Modena was also almost completed. These will produce more than 620 tonnes of green hydrogen per year, contributing to the decarbonisation of companies and, more gene rally, of the reference territories and, at the same time, to the redevelopment of brownfield sites.
With regard to public lighting, the percentage of lighting points using LED lamps increased in the first half of the year, reaching almost 70% of the total, confirming the Group's constant focus on an increasingly efficient and sustainable management of public lighting.
The energy business line contributed 3 3.1% of the Group’s adjusted EBITDA.

Waste
EBITDA for the waste management business line – which includes waste collection, treatment and recovery services – amounted to 178.6 million euro, compared with 175.5 million euro in the first half of 2025. In addition to the positive contribution resultin g from changes in the scope of consolidation, with the integration of the Sostelia Group and SEA, the result benefited from treatment and recovery activities due to the higher volumes sold by Aliplast , the strong performance of ACR Reggiani in remediation activities, and the higher volumes of electricity sold by waste -to-energy plants. All these activities more than offset the reduction in the average unit market price compared to the same period of th e previous year and the lower contributions from the Feronia's landfill - now back to full operations - due to a temporary administrative shut -down that has now ended. In the urban waste service, higher margins were reported, mainly related to inflation adjustments, greater efficiencies and higher supplementary services required in the tender areas.
Capital expenditures in the waste management business line amounted to 111.4 million euro, up 27.3% compared with the H1 2025, and related to maintenance and upgrading works at waste treatment and recovery plants.
In particular, approximately 80 million were invested in the upgrading of treatment and recovery plants: among the most significant interventions are the continuation, in line with the schedule, of the construction of the fourth line at the Padua waste -to-energy plant and the completion in Modena of a state -of-the-art plant for the recycling of rigid plastics and PE reprocessing, partially financed by NRRP funds, which will be inaugurated in the second half of 2026.
Thanks to the Modena plant and other projects currently underway – such as the new PE -LD recycling plant in Borgolavezzaro (Novara), which will be completed in 2027, and the acquisition of 70% of the newco Kronos Polymer Polska, for which a binding agreeme nt has already been signed with the closing expected by the end of 2026 – the industrial synergies already existing within the Hera Group will be further strengthened, and the subsidiary Aliplast will be able to increase its recycling flexibility, doubling its capacity.
At Group level, thanks to the projects currently being finalised, the waste treatment and recovery capacity will be increased by more than 2 40,000 tonnes in total by the end of 2026.
In the urban waste collection activities , in the first half of 2026 the Hera Group further improved the quality and quantity of separate collection, reaching 76.8%, compared to 75.3% as at 30 June 2025.
The waste management business line contributed 25% of the Group’s adjusted EBITDA.
Other services
EBITDA for the other services business line – which includes telecommunications and other minor services – stood at 15.2 million euro, stable compared to the first half of 2025.
The other services business line contributed 2.1% of the Group’s adjusted EBITDA.
