Alla data del 31 agosto 2026 , la posizione finanziaria netta della Capogruppo Mondo TV S.p.A. evidenzia un indebitamento finanziario netto pari a Euro 4.622 migliaia , rispetto agli Euro 4.414 migliaia rilevati al 31 dicembre 2025, con un incremento complessivo dell'indebitamento finanziario netto pari a circa Euro 208 migliaia .
Nel corso dei primi otto mesi dell'esercizio la struttura della posizione finanziaria netta ha continuato a riflettere gli effetti delle operazioni di riequilibrio economico -finanziario realizzate nell'ambito del Piano di risanamento, nonché la progressiva attuazione degli accordi e delle iniziative conseguenti alla positiva conclusione della procedura di Composizione Negoziata della Crisi.
Le variazioni intervenute nel periodo risultano riconducibili prevalentemente alla normale evoluzione delle poste finanziarie, alla gestione della tesoreria, alla progressiva attuazione degli accordi di ristrutturazione e, con riferimento al mese di agosto, agli effetti derivanti dal nuovo assetto contrattuale definito con CLG Capital LLC, oltre che agli aggiornamenti della rappresentazione contabile di talune poste emersi nell'ambito delle attività di audit e di riconciliazione in corso.
In particolare, come più diffusamente illustrato nei successivi paragrafi, nell'ambito delle attività di verifica e riconciliazione della complessiva posizione nei confronti di CLG Capital LLC è stato azzerato il credito finanziario corrente precedentemente iscritto per circa Euro 71 migliaia , mediante regolazione in compensazione delle reciproche partite finanziarie maturate nell'ambito del rapporto contrattuale con la controparte.
Si precisa, inoltre, che i dati riportati nella presente informativa recepiscono gli aggiornamenti, gli affinamenti e le riclassificazioni contabili intervenuti nell'ambito delle attività di chiusura e delle procedure di revisione, tuttora in corso, connesse alla predisposizione della Relazione Finanziaria Semestrale al 30 giugno 2026. Per tale ragione, taluni dati, possono differire rispetto a quelli riportati nelle precedenti informative mensili, senza che tali differenze rappresentino necessariamente variazioni economico -finanziarie intervenute nel mese di agosto.
Andamento dell'indebitamento finanziario non corrente L'indebitamento finanziario non corrente si attesta a Euro 3.844 migliaia , rispetto agli Euro 2.565 migliaia rilevati al 31 dicembre 2025.
L'incremento rispetto alla chiusura dell'esercizio continua a riflettere prevalentemente la ridefinizione della struttura temporale dell'indebitamento bancario conseguente agli accordi raggiunti nell'ambito del percorso di riequilibrio finanziario e, in particolare, la ricomposizione delle relative scadenze derivante dagli accordi di natura non novativa intervenuti con il ceto bancario e dai connessi stralci delle componenti chirografarie non assistite da specifiche garanzie.
Rispetto al 31 luglio 2026 , i debiti finanziari non correnti verso banche risultano pari a Euro 2.907 migliaia , rispetto agli Euro 2.966 migliaia del mese precedente, evidenziando una riduzione di circa Euro 59 migliaia . Tale variazione non è riconducibile a una riduzione dell'esposizione finanziaria complessiva della Società, bensì alla naturale evoluzione della classificazione temporale dell'indebitamento conseguente all'approssimarsi dell'avvio dei nuovi piani di rimborso concordati con gli istituti di credito.
Poiché la maggior parte degli accordi prevede l'avvio dei relativi piani di rimborso a decorrere dai prossimi mesi, una quota delle esposizioni viene progressivamente riclassificata dalla componente non corrente a quella corrente in funzione dell'avvicinarsi delle rispettive scadenze, senza che tale fenomeno determini, di per sé, una modifica dell'indebitamento finanziario complessivo della Società. È la medesima dinamica già descritta nell'informativa di luglio.
Debiti per obbligazioni convertibili e rapporti con CLG Capital LLC I debiti per obbligazioni convertibili risultano pari a Euro 1.125 migliaia , invariati rispetto alla situazione al 31 luglio 2026. La relativa consistenza riflette la rappresentazione contabile della posizione alla data di riferimento della presente informativa, tenuto conto degli aggiornamenti intervenuti con riferimento ai rapporti contrattuali in essere con CLG Capital LLC.
Come già illustrato nella precedente informativa, il nuovo assetto contrattuale definito con CLG è finalizzato a ricondurre a una disciplina organica la complessiva posizione tra le parti, privilegiando, ove previsto, meccanismi di regolazione mediante strumenti di natura equity o equity -linked e coordinando eventualmente la definizione dell'esposizione con l'operazione di aumento di capitale programmata dalla Società. Il Second Addendum prevede, in particolare, in linea di principio, la conversione del capitale obbligazionario residuo di Euro 1,125 milioni in azioni emesse nell'ambito dell'aumento di capitale.
Nel corso del mese di agosto, nell'ambito delle attività di audit e della conseguente riconciliazione della complessiva posizione finanziaria nei confronti di CLG, è stata inoltre aggiornata la rappresentazione
contabile delle reciproche partite. In particolare, il credito finanziario corrente verso CLG, pari a circa Euro 71 migliaia al 31 luglio 2026, è stato integralmente azzerato, mediante compensazione con le competenze e gli interessi maturati nell'ambito dei rapporti contrattuali con la medesima controparte, portati in offset rispetto alla residua posizione debitoria di CLG nei confronti della Società.
Tale aggiornamento non ha determinato un corrispondente assorbimento di cassa nel mese , ma ha comportato l'azzeramento della voce relativa ai crediti finanziari correnti nella posizione finanziaria netta al 31 agosto 2026.
Nell'ambito del medesimo assetto contrattuale, nel corso del mese sono state inoltre erogate somme per circa Euro 80 migliaia a valere sulla nuova finanza prevista dall'accordo con CLG, strutturata sotto forma di finanziamento con rimborso bullet successivamente al completamento dell'aumento di capitale. Tale importo è conseguentemente ricompreso nella componente corrente dell'indebitamento finanziario. La previsione contrattuale complessiva di nuova finanza ammonta a Euro 250 migliaia.
Per una più compiuta rappresentazione dell'evoluzione dei rapporti contrattuali con CLG Capital LLC e delle relative pattuizioni, si rinvia a quanto illustrato nell'ultimo punto della presente informativa, dedicato all'evoluzione del prestito obbligazionario convertibile (PoC).
Componente corrente dell'indebitamento La componente corrente dell'indebitamento finanziario si attesta a Euro 901 migliaia , rispetto agli Euro 2.479 migliaia rilevati al 31 dicembre 2025.
La significativa riduzione rispetto alla chiusura dell'esercizio continua a riflettere gli effetti della ridefinizione della struttura delle passività finanziarie intervenuta nell'ambito del percorso di risanamento e conferma il permanere della ricomposizione temporale dell'indebitamento conseguente agli accordi intervenuti con il sistema bancario.
Rispetto al 31 luglio 2026 , quando la componente corrente dell'indebitamento risultava pari a Euro 729 migliaia, si rileva un incremento pari a circa Euro 171 migliaia . Tale variazione è riconducibile a componenti di diversa natura.
Da un lato, prosegue la progressiva riclassificazione di quote dell'indebitamento bancario dalla componente non corrente a quella corrente, conseguente all'approssimarsi delle scadenze previste dai nuovi piani di rimborso. Tale fenomeno costituisce esclusivamente una diversa distribuzione temporale delle esposizioni e non determina, di per sé, un incremento dell'indebitamento finanziario complessivo della Società.
Dall'altro lato, la componente corrente recepisce nel mese di agosto circa Euro 80 migliaia relativi al finanziamento bridge concesso da CLG Capital LLC nell'ambito del nuovo assetto contrattuale sopra descritto, nonché circa Euro 19 migliaia relativi alla posizione debitoria mensile nei confronti di American Express .
La componente relativa all'applicazione dell'IFRS 16 permane azzerata, in continuità con quanto già evidenziato nelle precedenti informative periodiche.
Liquidità complessiva
La liquidità complessiva, rappresentata al 31 agosto 2026 dalle disponibilità liquide, si attesta a Euro 122 migliaia , rispetto agli Euro 630 migliaia rilevati al 31 dicembre 2025 e agli Euro 181 migliaia esposti al 31 luglio 2026.
Le disponibilità liquide risultano pari a Euro 122 migliaia , rispetto a circa Euro 110 migliaia al 31 luglio 2026, evidenziando pertanto un incremento di circa Euro 12 migliaia nel mese .
La riduzione della liquidità complessiva rispetto al mese precedente, nonostante l'incremento delle disponibilità liquide, è invece interamente riconducibile all' azzeramento del credito finanziario corrente verso CLG , pari a circa Euro 71 migliaia al 31 luglio 2026, conseguente alla richiamata riconciliazione e compensazione delle reciproche partite finanziarie.
Tale variazione deve pertanto essere distinta dall'andamento della cassa: le disponibilità liquide effettive risultano infatti in aumento rispetto al 31 luglio 2026 , mentre la riduzione della liquidità complessivamente considerata ai fini della PFN deriva dalla diversa rappresentazione della posizione finanziaria verso CLG.
Nel complesso, la gestione della tesoreria permane costantemente monitorata dalla Società nell'ambito dell'attuazione del Piano e delle iniziative di rafforzamento patrimoniale in corso.
Attività finanziarie disponibili per la vendita Alla data del 31 agosto 2026 le attività finanziarie disponibili per la vendita risultano pari a Euro 188 migliaia e continuano a essere rappresentate dalla partecipazione detenuta in Mondo TV France S.A.
Il valore risulta invariato rispetto alla situazione al 31 luglio 2026 e riflette il fair value determinato secondo i principi contabili IAS/IFRS applicabili.
Tale valorizzazione ha natura esclusivamente contabile e non determina effetti sui flussi finanziari della Società né sulla relativa capacità di far fronte ai propri impegni finanziari.
L'asset continua a concorrere alla determinazione della posizione finanziaria netta della Società pur non configurandosi come risorsa immediatamente liquidabile, anche in considerazione della presenza del pegno costituito a favore dell'istituto finanziatore.
Aggiornamento sul percorso di riequilibrio finanziario Nel corso del mese di agosto la Società ha proseguito le attività previste dal Piano di risanamento e dal percorso di rafforzamento patrimoniale già comunicato al mercato, dando continuità alle iniziative conseguenti alla positiva conclusione della procedura di Composizione Negoziata della Crisi.
Sono proseguite, in particolare, le attività di formalizzazione e attuazione degli accordi con il ceto bancario e con gli altri creditori interessati dal Piano, nonché l'iter relativo all'accordo raggiunto con l'Agenzia delle Entrate.
Con riferimento a quest'ultimo, a seguito del deposito presso il Tribunale di Roma del ricorso previsto dall'art. 23, comma 2 -bis, del Codice della Crisi d'Impresa e dell'Insolvenza, alla data del 31 agosto 2026 risultava ancora pendente il procedimento finalizzato all'ottenimento del Decreto di autorizzazione all'esecuzione della transazione fiscale , cui è sospensivamente condizionata l'efficacia dell'accordo.
Parallelamente, nel mese di agosto la Società ha proseguito le attività propedeutiche all'aumento di capitale, operazione che assume rilevanza ai fini del rafforzamento patrimoniale e finanziario della Società e della definizione di alcune delle posizioni finanziarie descritte nella presente informativa, inclusa la complessiva esposizione nei confronti di CLG Capital LLC.
La Società prosegue pertanto nell'attuazione coordinata delle iniziative finanziarie, patrimoniali e industriali contemplate dal Piano, mantenendo quale obiettivo prioritario la progressiva normalizzazione della struttura finanziaria, la tutela della liquidità e il rafforzamento patrimoniale necessario a supportare la successiva fase di sviluppo industriale.
Conclusioni e confronto temporale Nel confronto con il 31 dicembre 2025 , la posizione finanziaria netta evidenzia un incremento dell'indebitamento finanziario netto pari a circa Euro 208 migliaia , passando da Euro 4.414 migliaia a Euro 4.622 migliaia.
Rispetto al 31 luglio 2026 , quando la posizione finanziaria netta risultava negativa per circa Euro 4.452 migliaia , si registra una variazione pari a circa Euro 171 migliaia .
La variazione mensile deve tuttavia essere letta considerando separatamente le diverse componenti che la determinano. Per circa Euro 71 migliaia , essa deriva dall'azzeramento del credito finanziario corrente verso CLG a seguito dell'aggiornamento e della compensazione delle reciproche partite nell'ambito delle attività di audit e di riconciliazione della posizione, senza corrispondente assorbimento di cassa . Per circa Euro 80 migliaia , la variazione è riconducibile alla nuova finanza erogata da CLG nell'ambito del finanziamento bridge con rimborso bullet e, per circa Euro 19 migliaia , alla posizione debitoria mensile verso American Express.
Tali componenti spiegano pertanto sostanzialmente per intero la variazione della posizione finanziaria netta rispetto al 31 luglio 2026. Al netto delle stesse, non emergono variazioni sostanziali della posizione finanziaria netta sottostante della Società rispetto al mese precedente.
La diversa distribuzione dell'indebitamento bancario tra componente corrente e non corrente riflette invece il progressivo avvicinamento delle scadenze previste dai piani di rimborso e costituisce un fenomeno di natura classificatoria che non incide, di per sé, sull'ammontare complessivo dell'esposizione finanziaria.
Nel complesso, la Società continua a monitorare con particolare attenzione l'evoluzione della propria posizione finanziaria e di tesoreria, mantenendo quale obiettivo prioritario la preservazione delle risorse finanziarie necessarie alla continuità operativa e all'attuazione delle iniziative industriali e patrimoniali previste dal Piano.

La posizione finanziaria netta corrente consolidata è negativa per Euro 1,2 milioni, rispetto a Euro 2,2 milioni al 31 dicembre 2025, evidenziando un miglioramento pari a circa Euro 1,0 milioni, principalmente riconducibile agli effetti degli accordi di riequilibrio finanziario perfezionati dalla Capogruppo nell'ambito della procedura di Composizione Negoziata della Crisi.
La posizione finanziaria netta non corrente è negativa per Euro 4,0 milioni, rispetto a Euro 3,2 milioni al 31 dicembre 2025. L'incremento dell'indebitamento non corrente riflette prevalentemente la ricomposizione della struttura temporale dell'indebitamento bancario conseguente agli accordi di ristrutturazione intervenuti nel corso del primo semestre 2026, ferma restando la progressiva riclassificazione di una quota delle passività finanziarie verso la componente corrente in prossimità dell'avvio dei nuovi piani di rimborso previsti dagli accordi con il ceto bancario.
L'esposizione complessiva del Gruppo verso il sistema bancario (corrente e non corrente) evidenzia un miglioramento pari a circa Euro 0,7 milioni rispetto al 31 dicembre 2025, quale effetto del completamento del percorso di riequilibrio finanziario della Capogruppo e della conseguente ridefinizione della struttura dell'indebitamento. Rispetto alla posizione finanziaria della Capogruppo, le differenze risultano riconducibili essenzialmente alla componente dell'indebitamento bancario corrente riferibile alla società controllata, mentre la restante struttura della posizione finanziaria consolidata risulta sostanzialmente allineata.
b) Le posizioni debitorie scadute della Società e del Gruppo ad essa facente capo, ripartite per natura (finanziaria, commerciale, tributaria, previdenziale e verso dipendenti) e le connesse eventuali iniziative di reazione dei creditori (solleciti, ingiunzioni, sospensioni nella fornitura ecc.)

Si richiama preliminarmente quanto precisato al precedente punto a) in merito agli aggiornamenti, affinamenti e riclassificazioni recepiti nell'ambito delle attività di chiusura contabile e delle procedure di revisione connesse alla predisposizione della Relazione Finanziaria Semestrale al 30 giugno 2026.
Alla data del 31 agosto 2026 , le posizioni debitorie scadute complessive di Mondo TV S.p.A. ammontano a circa Euro 604 migliaia , rispetto agli Euro 581 migliaia rilevati al 31 luglio 2026.
Nel confronto con il mese precedente, la consistenza complessiva dello scaduto evidenzia pertanto un incremento contenuto, pari a circa Euro 23 migliaia , riconducibile prevalentemente alla normale dinamica delle scadenze e dei pagamenti connessi alla gestione operativa ordinaria.
La variazione non evidenzia fenomeni di ricostituzione significativa delle esposizioni debitorie pregresse né elementi di discontinuità rispetto al quadro rappresentato nelle precedenti informative. Permangono, pertanto, livelli di scaduto significativamente inferiori rispetto a quelli esistenti prima dell'attuazione delle principali operazioni di ristrutturazione concluse nell'ambito della Composizione Negoziata della Crisi.
La distribuzione dello scaduto per anzianità continua inoltre a riflettere la presenza di una componente di più remota formazione, prevalentemente riconducibile a posizioni già esistenti e oggetto di regolazione, affiancata dalle normali esposizioni generate dalla gestione corrente.
1. Debiti commerciali I debiti commerciali scaduti al 31 agosto 2026 ammontano a circa Euro 377 migliaia , rispetto agli Euro 364 migliaia rilevati al 31 luglio 2026, evidenziando un incremento contenuto pari a circa Euro 13 migliaia .
La variazione registrata nel mese è riconducibile prevalentemente alla normale dinamica delle scadenze commerciali e dei relativi pagamenti e non evidenzia modifiche sostanziali rispetto alla situazione rappresentata al termine del mese precedente.
La componente riferita alle esposizioni di maggiore anzianità si attesta a circa Euro 234 migliaia , rispetto agli Euro 265 migliaia rilevati al 31 luglio 2026, evidenziando pertanto un'ulteriore riduzione della componente commerciale scaduta da oltre 120 giorni (a seguito dei regolari pagamenti intervenuti nel mese delle rate dei piani di rientro concordati durante il procedimento di CNC).
Le residue posizioni di più remota formazione continuano a essere costituite prevalentemente da partite già oggetto di specifica definizione, da posizioni in corso di regolazione ovvero da rapporti interessati dai fisiologici tempi tecnici necessari al completamento delle relative attività amministrative.
I rapporti con i fornitori continuano complessivamente a svolgersi con regolarità e non risultano intervenute sospensioni generalizzate nella fornitura di beni o servizi.
Come già rappresentato nelle precedenti informative periodiche, il debito verso la controllata Mondo TV France S.A. non è incluso nel perimetro dei debiti commerciali scaduti, tenuto conto degli accordi intercorsi tra le parti e della natura della relativa esposizione rispetto ai debiti verso fornitori terzi. La medesima impostazione era stata adottata nell'informativa al 31 luglio 2026.
2. Debiti tributari I debiti tributari scaduti si attestano a circa Euro 118 migliaia , rispetto agli Euro 109 migliaia rilevati al 31 luglio 2026, con un incremento contenuto pari a circa Euro 9 migliaia .
La variazione registrata nel periodo è prevalentemente riconducibile alla fisiologica maturazione delle ordinarie scadenze tributarie e ai relativi tempi tecnici di regolazione e non evidenzia, allo stato, elementi di particolare criticità.
L'andamento delle residue posizioni tributarie scadute deve essere valutato separatamente rispetto alla più ampia posizione oggetto dell'accordo di transazione fiscale raggiunto con l'Agenzia delle Entrate nell'ambito della procedura di Composizione Negoziata della Crisi.
Con riferimento a tale accordo, alla data del 31 agosto 2026 risultava pendente presso il Tribunale di Roma il procedimento finalizzato all'ottenimento del Decreto di autorizzazione all'esecuzione previsto dall'art. 23, comma 2 -bis, del Codice della Crisi d'Impresa e dell'Insolvenza, cui è sospensivamente condizionata l'efficacia della transazione.
3. Debiti previdenziali I debiti previdenziali scaduti ammontano a circa Euro 97 migliaia , rispetto agli Euro 96 migliaia rilevati al 31 luglio 2026, risultando pertanto sostanzialmente invariati rispetto al mese precedente.
La dinamica della posizione continua a riflettere prevalentemente la normale evoluzione delle scadenze contributive e il progressivo avanzamento temporale delle posizioni già esistenti.
La Società prosegue le attività necessarie alla regolarizzazione delle residue posizioni previdenziali scadute, senza che allo stato emergano elementi tali da incidere significativamente sul complessivo percorso di riequilibrio finanziario.
4. Debiti verso dipendenti I debiti verso dipendenti risultano pari a circa Euro 9 migliaia , invariati rispetto al mese precedente.
Tali importi continuano a riferirsi prevalentemente a partite residuali connesse a rapporti di lavoro cessati e non risultano arretrati retributivi significativi né contenziosi di rilievo.
5. Debiti finanziari I debiti finanziari scaduti risultano pari a circa Euro 2 migliaia , invariati rispetto al 31 luglio 2026.
La sostanziale assenza di esposizioni finanziarie scadute continua a riflettere gli effetti della ricomposizione della struttura dell'indebitamento conseguente agli accordi intervenuti con il sistema bancario nell'ambito del Piano di risanamento.
La situazione deve essere inoltre letta tenendo conto delle nuove scadenze previste dai piani di rimborso concordati con gli istituti finanziatori, la cui progressiva attuazione determinerà l'avvio dei relativi pagamenti secondo le tempistiche previste dai singoli accordi.
6. Iniziative dei creditori e contesto operativo Nel corso del mese di agosto non risultano intervenute nuove iniziative esecutive o cautelari di rilievo ulteriori rispetto alle fattispecie già rappresentate nelle precedenti informative, né risultano sospensioni generalizzate nella fornitura di beni o servizi riconducibili a situazioni di inadempimento della Società.
Con riferimento alla posizione nei confronti di Atlantyca S.p.A. , permane l'efficacia dell'accordo transattivo sottoscritto tra le parti a seguito delle interlocuzioni avviate successivamente al precedente ricorso per decreto ingiuntivo. L'accordo disciplina integralmente la posizione debitoria mediante un
piano di rientro articolato in più rate e ha consentito la definizione della controversia evitando il prosieguo del contenzioso.
Permane altresì l'attività di valutazione, con il supporto dei consulenti legali della Società, delle più opportune iniziative finalizzate alla tutela delle ragioni creditorie vantate nei confronti di MOPI , a seguito del rigetto intervenuto nel mese di maggio del ricorso cautelare promosso ai sensi dell'art. 700 c.p.c.
Al di fuori delle fattispecie sopra descritte, i rapporti con il restante ceto creditorio continuano a essere prevalentemente orientati all'attuazione degli accordi raggiunti nell'ambito del Piano di risanamento e al completamento delle residue attività amministrative e contrattuali conseguenti agli stessi.
Il contesto complessivo continua pertanto a evidenziare una sostanziale normalizzazione dei rapporti con i principali stakeholder finanziari, commerciali e istituzionali della Società.
Conclusioni e confronto temporale Nel confronto con il 31 luglio 2026 , le posizioni debitorie scadute passano da circa Euro 581 migliaia a Euro 604 migliaia , evidenziando un incremento complessivo contenuto pari a circa Euro 23 migliaia .
La variazione complessiva deriva dalla combinazione di dinamiche limitate tra le singole categorie di debito: i debiti commerciali passano da Euro 364 migliaia a Euro 377 migliaia ; i debiti tributari da Euro 109 migliaia a Euro 118 migliaia ; i debiti previdenziali risultano sostanzialmente stabili, passando da Euro 96 migliaia a Euro 97 migliaia ; i debiti finanziari rimangono invariati a Euro 2 migliaia e i debiti verso dipendenti rimangono invariati a Euro 9 migliaia .
L'incremento complessivo registrato nel mese risulta pertanto prevalentemente riconducibile alla normale dinamica delle scadenze commerciali, tributarie e dei relativi pagamenti e non evidenzia fenomeni di significativa ricostituzione delle esposizioni debitorie pregresse.
Assume inoltre rilievo la prosecuzione della riduzione della componente commerciale di maggiore anzianità, con le esposizioni scadute da oltre 120 giorni che passano da circa Euro 265 migliaia al 31 luglio 2026 a circa Euro 234 migliaia al 31 agosto 2026 . Nel complesso, la situazione al 31 agosto 2026 continua pertanto a risultare coerente con il percorso di progressiva normalizzazione dei rapporti con il ceto creditorio e con lo stato di attuazione degli accordi raggiunti nell'ambito del Piano di risanamento.

A livello di Gruppo, le posizioni debitorie scadute ulteriori rispetto a quelle della Capogruppo risultano riconducibili prevalentemente ai debiti commerciali delle società controllate e, in misura più contenuta, ai debiti verso dipendenti. Non si rilevano, invece, scostamenti significativi con riferimento alle esposizioni di natura finanziaria, tributaria e previdenziale, che risultano sostanzialmente allineate a quelle della Capogruppo.
c) Le principali variazioni intervenute nei rapporti verso Parti correlate di codesta Società e del Gruppo ad essa facente capo rispetto all’ultima relazione finanziaria annuale o semestrale approvata ex art. 154 -ter del TUF Per quanto concerne la situazione al 31 agosto 2026, non si evidenziano variazioni significative, né a livello di Capogruppo né a livello consolidato, nei rapporti con parti correlate rispetto a quanto rappresentato nell'ultima relazione finanziaria approvata al 31 dicembre 2025.
Le relative posizioni saranno oggetto di aggiornamento e di specifica rappresentazione nell'ambito della Relazione Finanziaria Semestrale al 30 giugno 2026, di prossima approvazione da parte del Consiglio di Amministrazione, prevista per il 30 settembre 2026.
d) L’eventuale mancato rispetto dei covenant e dei negative pledge e di ogni altra clausola dell’indebitamento del Gruppo comportanti limiti all’utilizzo delle risorse finanziarie con indicazione a data aggiornata del grado di rispetto di dette clausole.
Nell’ambito del percorso di riequilibrio economico -finanziario della Società e a seguito della conclusione della procedura di Composizione Negoziata della Crisi, sono stati sottoscritti gli accordi di ristrutturazione e riscadenziamento dell’indebitamento con l’ Agenzia delle Entrate e con gli istituti di credito interessati dal Piano di Risanamento, e di cui si dà pertanto conto quale evento intervenuto successivamente alla data di riferimento della presente informativa.
Con riferimento all’ accordo di transazione fiscale sottoscritto con l’ Agenzia delle Entrate , lo stesso non prevede covenant di natura finanziaria in senso stretto né specifiche clausole di negative pledge a carico della Società, ma contempla una serie di obblighi di pagamento, di regolarità fiscale e ulteriori impegni il cui rispetto assume rilevanza ai fini del mantenimento dell’accordo. Tra questi rientrano, in particolare, il rispetto del piano di pagamento previsto dalla transazione, il regolare assolvimento delle obbligazioni tributarie correnti, gli impegni relativi all’individuazione e alla trasformazione delle DTA eleggibili in crediti d’imposta e alla relativa compensazione, nonché la costituzione, da parte di Trilateral Land S.r.l.
quale terzo datore di ipoteca, di una garanzia ipotecaria di primo grado a favore dell’ Agenzia delle Entrate -Riscossione. L’accordo individua inoltre specifiche ipotesi di risoluzione, al verificarsi delle quali è previsto il ripristino dell’originaria posizione creditoria dell’ Amministrazione finanziaria, al netto delle somme eventualmente già corrisposte. L’efficacia della transazione fiscale è tuttavia sospensivamente condizionata all’emissione del Decreto di autorizzazione all’esecuzione da parte del Tribunale di Roma .
Alla data del 31 agosto 2026 tale provvedimento non risultava ancora intervenuto e, conseguentemente, gli obblighi connessi all’esecuzione della transazione non risultavano ancora pienamente operativi secondo le tempistiche previste dall’accordo.
Con riferimento all’ indebitamento bancario , gli accordi conclusi con gli istituti di credito italiani prevedono principalmente la rimodulazione delle originarie scadenze di rimborso, specifiche condizioni di efficacia e clausole risolutive connesse, tra l’altro, al mancato rispetto delle nuove scadenze di pagamento e al verificarsi degli ulteriori eventi individuati nella relativa documentazione contrattuale.
Tali accordi non prevedono, in linea generale, specifici covenant finanziari quantitativi. In parti colare, gli accordi con Banca Monte dei Paschi di Siena S.p.A. e Credito Emiliano S.p.A. subordinano la propria
efficacia all’avveramento delle rispettive condizioni sospensive, tra le quali figurano, con formulazioni e termini differenziati, l’adesione degli istituti di credito coinvolti e la conferma o approvazione delle garanzie da parte di Mediocredito Centrale.
L’accordo con Crédit Agricole Italia S.p.A. , perfezionato successivamente alla data di riferimento della presente informativa, non contempla parimenti specifici covenant finanziari quantitativi, ma prevede taluni impegni e limitazioni di natura finanziaria assimilabili a negative covenant e negative pledge, tra cui limitazioni all’assunzione di ulteriore indebitamento finanziario e alla costituzione di nuovi vincoli sui beni della Società, fatte salve le eccezioni contrattualmente previste, nonché la subordinazione del rimborso dei finanziamenti soci rispetto al rimborso dell’esposizione oggetto dell’accordo. L’efficacia dell’accordo è, inoltre, subordinata al concorrente avveramento delle condizioni sospensive ivi previste, tra le quali figura l’emissione da parte del Tribunale di Roma del decreto di autorizzazione all’esecuzione della transazione fiscale.
Diversamente, l’accordo concluso con Banca Raiffeisen Colline del Ceresio contempla specifici Parametri Finanziari (Covenant Finanziari) , il cui rispetto assume carattere essenziale ai sensi dell’accordo, oltre a specifici obblighi informativi e ulteriori impegni contrattuali, nonché meccanismi di cross -default ed eventi di default. La prima Data di Calcolo dei Covenant Finanziari è tuttavia prevista al 31 dicembre 2026 e, conseguentemente, alla data del 31 agosto 2026 non risultava ancora maturata alcuna scadenza contrattuale per la verifica dei predetti parametri. Anche l’efficacia dell’accordo Raiffeisen, fatta eccezione per le disposizioni espressamente indicate come immediatamente efficaci, è sospensivamente condizionata al concorrente avveramento delle condizioni previste contrattualmente, tra le quali figurano il decreto del Tribunale di Roma di autorizzazione della transazione fiscale, la sottoscrizione degli accordi con i Creditori Aderenti e il deposito della relazione finale dell’Esperto.
Alla data del 31 agosto 2026, sulla base delle verifiche effettuate dalla Società e tenuto conto dello stato di efficacia dei singoli accordi e delle relative date di verifica, non risultano intervenuti eventi di mancato rispetto di covenant finanziari, negative pledge o altre clausole dell’indebitamento tali da determinare eventi di default, decadenza dal beneficio del termine o analoghe conseguenze. Con specifico riferimento ai Covenant Finanziari previsti dall’accordo Raiffeisen, come sopra indicato, la relativa prima verifica è prevista a decorrere dal 31 dicembre 2026.
e) Lo stato di implementazione del Piano industriale con l’evidenziazione degli scostamenti dei dati consuntivi rispetto a quelli previsti Le informazioni riportate nel presente paragrafo sono elaborate sulla base dei dati gestionali e contabili attualmente disponibili alla Società e riflettono lo stato di avanzamento delle attività di chiusura contabile e di predisposizione della Relazione Finanziaria Semestrale al 30 giugno 2026, tuttora assoggettata alle relative attività di revisione.
I dati esposti rivestono pertanto carattere preliminare e potranno essere oggetto di aggiornamenti, affinamenti, riclassificazioni o variazioni nell'ambito del completamento del processo di predisposizione della Relazione Finanziaria Semestrale e delle connesse attività di audit, senza che ciò pregiudichi la rappresentazione delle principali dinamiche economiche e finanziarie illustrate nella presente informativa.
Le informazioni contenute nella presente comunicazione sono predisposte esclusivamente ai fini dell'adempimento degli obblighi informativi di cui all'art. 114 del D.Lgs. 58/1998 e non costituiscono né sostituiscono la Relazione Finanziaria Semestrale della Società, la cui approvazione da parte del Consiglio di Amministrazione è prevista per il 30 settembre 2026.
Alla data del 31 agosto 2026, lo stato di implementazione del Piano industriale evidenzia i seguenti risultati economici rispetto ai corrispondenti valori previsti dal budget progressivo.

Andamento dei ricavi di vendita e contesto di mercato I ricavi caratteristici rilevati al 31 agosto 2026 risultano pari a circa Euro 350 migliaia , rispetto a Euro 1.390 migliaia previsti dal budget progressivo, evidenziando uno scostamento negativo pari a circa Euro 1.040 migliaia . Il dato conferma pertanto il ritardo già evidenziato nelle precedenti informative rispetto alla dinamica dei ricavi prevista dal Piano per l'esercizio 2026.
Ai fini di una più puntuale interpretazione dello scostamento, appare tuttavia opportuno distinguere le due principali componenti sulle quali si fondano le previsioni dei ricavi caratteristici della Società , rappresentate, da un lato, dai ricavi derivanti dallo sfruttamento commerciale dei diritti relativi alla library esistente e, dall'altro, dai ricavi connessi alle nuove produzioni.
Il budget annuale 2026, complessivamente pari a Euro 2.085 migliaia , risulta infatti composto per Euro 1.255 migliaia da ricavi attesi dallo sfruttamento dei diritti relativi alla library esistente e per Euro 830 migliaia da ricavi connessi alle nuove produzioni, rispettivamente pari a circa il 60% e il 40% del totale dei ricavi caratteristici previsti per l'esercizio.
Con riferimento alle nuove produzioni , la minore contribuzione registrata nei primi otto mesi dell'esercizio rispetto alle previsioni è principalmente riconducibile allo slittamento temporale nell'avanzamento delle produzioni rispetto alla roadmap originariamente prevista , quantificabile in circa sei mesi, con conseguente differimento dei relativi stati di avanzamento e della correlata rilevazione contabile dei ricavi.
Lo scostamento registrato su tale componente deve pertanto essere letto prevalentemente come un differimento temporale della rilevazione dei ricavi attesi dalle produzioni in corso , piuttosto che come il venir meno, allo stato, dei relativi ricavi, fermo restando che il loro effettivo conseguimento e la relativa
tempistica di contabilizzazione dipenderanno dall'avanzamento delle singole produzioni e dal raggiungimento delle relative fasi di lavorazione.
Con riferimento alle nuove produzioni, potrebbe inoltre determinarsi un ulteriore contributo positivo derivante dai contributi richiesti al Ministero della Cultura (MIC) , in relazione ai quali la Società ha presentato le relative domande. L'eventuale riconoscimento di tali contributi resta subordinato all'esito delle procedure di valutazione da parte delle competenti autorità e rappresenterebbe pertanto un potenziale upside rispetto alle previsioni di budget . Prudenzialmente, tale eventuale beneficio non viene allo stato considerato ai fini della valutazione del possibile recupero dello scostamento registrato rispetto al budget.
Differente risulta la dinamica dei ricavi derivanti dallo sfruttamento commerciale della library esistente , per i quali il budget annuale 2026 prevede ricavi complessivi pari a Euro 1.255 migliaia e rispetto ai quali permane una performance inferiore alle previsioni formulate nel Piano.
La minore performance di tale componente continua a risentire del prolungato contesto di debolezza del mercato audiovisivo e, in particolare, del settore dell'animazione , caratterizzato da una maggiore selettività degli operatori, dalla contrazione degli investimenti da parte di broadcaster e piattaforme e da un generale allungamento dei tempi necessari per la finalizzazione delle trattative commerciali. Tali dinamiche hanno inciso sulla capacità della Società di trasformare le interlocuzioni commerciali in contratti formalizzati secondo la tempistica originariamente ipotizzata nel budget.
A tali elementi si è aggiunta, nel corso dei mesi estivi e in particolare nel mese di agosto, la fisiologica riduzione dell'operatività commerciale del mercato , che non ha consentito la formalizzazione di nuovi contratti di importo significativo tali da determinare un recupero dello scostamento progressivamente accumulato nei mesi precedenti.
Alla data della presente informativa, pertanto, la componente relativa allo sfruttamento della library continua a rappresentare l'area nella quale risulta maggiormente evidente la minore performance rispetto alle previsioni originarie , mentre la minore contribuzione delle nuove produzioni risulta prevalentemente riconducibile alla diversa tempistica di avanzamento e conseguente contabilizzazione delle stesse.
Nella valutazione prospettica della componente library occorre peraltro considerare che, alla data attuale, non risultano ancora concretamente riflessi nei ricavi gli eventuali effetti positivi derivanti dall'ingresso dei nuovi investitori e, in particolare, dalle potenziali sinergie commerciali con Hemlock West LLC.
In tale ambito, la Società individua possibili opportunità connesse, tra l'altro, a una progressiva estensione della propria presenza commerciale nei mercati nordamericani , alla valorizzazione della library attraverso ulteriori canali e controparti commerciali e alla maggiore diversificazione delle attività produttive e commerciali. Tali elementi rappresentano tuttavia, allo stato, opportunità di sviluppo potenziale , i cui eventuali effetti economici non risultano ancora incorporati nei dati consuntivi e la cui entità e tempistica non sono pertanto allo stato quantificabili.
Pur in presenza del significativo gap accumulato nella commercializzazione della library rispetto alle previsioni di budget, la Società mantiene inoltre un cauto orientamento positivo rispetto alle opportunità commerciali dell'ultimo trimestre dell'esercizio .
Nel corso dell'ultima parte dell'anno si concentrano infatti, seppure in un contesto di mercato caratterizzato da un numero e da un livello di attività inferiori rispetto agli esercizi precedenti, alcune delle principali fiere e occasioni di incontro tra gli operatori del settore audiovisivo, che storicamente rappresentano momenti rilevanti per lo sviluppo e la finalizzazione delle trattative commerciali.
La partecipazione a tali appuntamenti, unitamente alla prosecuzione delle interlocuzioni e delle trattative commerciali già in corso, potrebbe consentire un parziale recupero del ritardo accumulato nei primi otto mesi dell'esercizio nella commercializzazione della library.
Alla data attuale non sussistono tuttavia elementi sufficienti per quantificare l'entità di tale eventuale recupero.
Conseguentemente, pur permanendo opportunità commerciali nell'ultima parte dell'esercizio e potenziali elementi di sviluppo non ancora riflessi nei risultati consuntivi, il raggiungimento dell'obiettivo annuale relativo ai ricavi derivanti dallo sfruttamento della library permane, alla luce dell'andamento registrato sino al 31 agosto 2026, comunque sfidante .
Altri ricavi
Nei primi otto mesi del 2026 risultano contabilizzati altri ricavi per complessivi Euro 3.799 migliaia , invariati rispetto alla situazione al 31 luglio 2026 e non previsti nel budget originario.
Tale voce è riconducibile quasi integralmente a componenti di natura straordinaria e non ricorrente rilevate a seguito della positiva conclusione della procedura di Composizione Negoziata della Crisi e, in particolare, agli effetti economici derivanti dagli stralci e dalle rideterminazioni delle posizioni debitorie recepiti nella contabilità della Società in coerenza con gli accordi raggiunti nell'ambito del percorso di risanamento.
Nella voce risultano inclusi anche gli effetti contabili connessi all'accordo raggiunto con l'Agenzia delle Entrate.
Con riferimento a quanto indicato nella precedente informativa mensile, si precisa che il richiamo al “procedimento di omologazione” dell'accordo raggiunto con l'Agenzia delle Entrate costituiva un mero refuso terminologico. L'accordo transattivo concluso nell'ambito della Composizione Negoziata ai sensi dell'art. 23, comma 2 -bis, del Codice della Crisi d'Impresa e dell'Insolvenza è stato sottoscritto dalle parti e successivamente depositato presso il competente Tribunale, producendo effetti ai sensi della richiamata disposizione. Il giudice, verificata la regolarità della documentazione allegata e dell'accordo, ne autorizza l'esecuzione con decreto. Non si tratta pertanto di un procedimento di omologazione dell'accordo.
Le componenti contabilizzate tra gli altri ricavi presentano natura prevalentemente straordinaria e non devono pertanto essere considerate rappresentative della capacità ordinaria di generazione dei ricavi derivanti dall'attività industriale e commerciale della Società.
Per effetto di tali componenti, i ricavi complessivi al 31 agosto 2026 risultano pari a Euro 4.149 migliaia , rispetto a Euro 1.390 migliaia previsti dal budget progressivo, con uno scostamento positivo pari a Euro 2.759 migliaia .
Il dato complessivo deve tuttavia continuare a essere interpretato distinguendo chiaramente la componente straordinaria derivante dal percorso di risanamento dalla performance dell'attività caratteristica, che evidenzia invece il significativo scostamento negativo sopra descritto.
Capitalizzazione dei costi per serie animate Le capitalizzazioni relative ai costi sostenuti per la realizzazione delle serie animate ammontano a Euro 132 migliaia , rispetto a Euro 67 migliaia previsti dal budget progressivo, con uno scostamento positivo pari a Euro 65 migliaia .
Rispetto al 31 luglio 2026, quando risultavano pari a Euro 110 migliaia, si registra un incremento di circa Euro 22 migliaia , riconducibile alla prosecuzione delle attività produttive in corso e alla conseguente contabilizzazione dei costi aventi i requisiti per l'iscrizione tra le attività immateriali, in conformità ai principi contabili applicabili.
Il dato conferma pertanto la prosecuzione delle attività produttive nonostante il difficile contesto di mercato nel quale la Società si trova a operare.
Costi di struttura I costi di struttura sostenuti nei primi otto mesi del 2026 risultano complessivamente pari a Euro 1.279 migliaia , rispetto a Euro 818 migliaia previsti dal budget progressivo, evidenziando, sulla base del dato contabile complessivamente rilevato, uno scostamento pari a Euro 461 migliaia .
Ai fini di una più corretta lettura del confronto tra dato consuntivo e budget, occorre tuttavia considerare che l'ammontare complessivamente rilevato nel periodo comprende una quota particolarmente significativa di costi e oneri di natura straordinaria, non ricorrente o comunque non rappresentativa dell'ordinario livello dei costi di struttura della Società , in larga misura connessa alla conclusione della Composizione Negoziata della Crisi, alla definizione di pregresse posizioni contrattuali e fiscali/contributive nonché alle attività di audit e di assestamento contabile.
In particolare, nell'ambito dei complessivi Euro 1.279 migliaia risultano identificabili una serie di costi di natura non ricorrente (in larga parte già evidenziati ed argomentati nelle precedenti comunicazioni rese al mercato), tra i quali a titolo rappresentativo e non esaustivo:
- Success fee riconosciute agli advisor a seguito della positiva conclusione della CNC pari a circa
Euro 350k;
- Sopravvenienza passiva relativa alla posizione CLG, conseguente al venir meno degli effetti della precedente definizione transattiva a seguito delle contestazioni formulate dalla controparte pari ad Euro 250k;
- Ruoli e addebiti relativi a tributi e contributi riferibili ad esercizi precedenti, successivamente notificati dall'Agenzia delle Entrate -Riscossione e recepiti contabilmente nel periodo (circa Eur
50k)
- Integrazioni di costi rilevate a seguito delle attività di audit in corso e relative all'adeguamento, alla data del 30 giugno 2026, degli oneri differiti del personale, con particolare riferimento a ferie e permessi maturati e non goduti e alla quota di competenza maturata delle mensilità aggiuntive per circa Eur 30k Le componenti sopra individuate ammontano pertanto complessivamente a circa Euro 680 migliaia , pari a circa il 53% dei costi di struttura complessivamente contabilizzati nel periodo .
Pur tenendo conto della diversa natura delle singole poste – e, in particolare, del fatto che taluni assestamenti derivanti dalle attività di audit rappresentano comunque costi di competenza del periodo – la rappresentazione separata delle predette componenti consente di evidenziare più chiaramente l'andamento della struttura ordinaria dei costi aziendali .
Al netto delle componenti sopra evidenziate, il livello dei costi riconducibile alla gestione ordinaria risulterebbe infatti pari a circa Euro 600 migliaia , rispetto a Euro 818 migliaia previsti dal budget progressivo, con un differenziale favorevole di circa Euro 218 migliaia, pari a circa il 27% rispetto al dato di budget.
Tale andamento evidenzia gli effetti delle azioni di contenimento, razionalizzazione e progressiva riduzione dei costi ordinari poste in essere dalla Società nel corso dell'esercizio, anche in attuazione
degli indirizzi assunti dal Consiglio di Amministrazione e delle misure previste nell'ambito del percorso di risanamento.
Lo scostamento negativo evidenziato dal confronto meramente contabile tra Actual e Budget non appare pertanto riconducibile a un incremento strutturale della base dei costi ordinari della Società, risultando invece prevalentemente determinato dall'impatto di componenti straordinarie, non ricorrenti o derivanti da assestamenti intervenuti nel periodo.
EBITDA
L'EBITDA al 31 agosto 2026 risulta positivo per Euro 3.002 migliaia , rispetto al valore positivo di Euro 639 migliaia previsto dal budget progressivo, con uno scostamento favorevole pari a Euro 2.363 migliaia .
Il risultato continua tuttavia a beneficiare in misura determinante degli altri ricavi straordinari connessi al percorso di risanamento.
La lettura dell'EBITDA deve pertanto continuare a distinguere tra gli effetti economici non ricorrenti derivanti dalla ristrutturazione finanziaria e debitoria e l'andamento della gestione caratteristica, sulla quale incidono il significativo scostamento dei ricavi di vendita e il complesso scenario di mercato precedentemente descritto.
Rispetto al 31 luglio 2026, l'EBITDA passa da Euro 3.064 migliaia a Euro 3.002 migliaia , evidenziando una riduzione di circa Euro 62 migliaia , sostanzialmente riconducibile alla dinamica ordinaria del mese: a fronte di ricavi caratteristici rimasti invariati, le maggiori capitalizzazioni per circa Euro 22 migliaia hanno parzialmente compensato l'incremento dei costi di struttura per circa Euro 84 migliaia.
Ammortamenti e svalutazioni Gli ammortamenti e le svalutazioni complessivamente rilevati nel periodo ammontano a Euro 697 migliaia , rispetto a Euro 913 migliaia previsti dal budget progressivo, con un minore impatto negativo pari a circa Euro 216 migliaia .
Rispetto al 31 luglio 2026, quando risultavano complessivamente pari a Euro 524 migliaia, si registra un incremento pari a circa Euro 173 migliaia , sostanzialmente riconducibile agli ammortamenti delle attività immateriali.
La variazione riflette gli aggiornamenti e le correzioni apportati al calcolo degli ammortamenti sulla base dei rilievi emersi nell'ambito delle attività di audit attualmente in corso , recepiti nei dati gestionali utilizzati ai fini della presente informativa.
Anche a seguito di tali aggiornamenti, l'ammontare complessivo degli ammortamenti permane inferiore rispetto alle previsioni del budget progressivo.
Lo scostamento residuo rispetto al budget continua a essere riconducibile principalmente ai fattori già rappresentati nella precedente informativa. Da un lato, l'impairment della library rilevato in sede di chiusura dell'esercizio 2025 ha determinato una riduzione del valore contabile residuo delle opere audiovisive e, conseguentemente, della base ammortizzabile negli esercizi successivi. Dall'altro lato, il minore livello di investimenti realizzati nel corso dell'esercizio rispetto alle ipotesi assunte in sede di budget ha determinato una minore entrata in ammortamento di nuove produzioni audiovisive. EBIT
Per effetto delle dinamiche sopra rappresentate, l'EBIT al 31 agosto 2026 risulta positivo per Euro 2.305 migliaia , rispetto alla perdita di Euro 274 migliaia prevista dal budget progressivo, evidenziando uno scostamento favorevole pari a Euro 2.579 migliaia .
Rispetto al 31 luglio 2026, quando l'EBIT risultava pari a Euro 2.540 migliaia, si registra una riduzione di circa Euro 235 migliaia , sostanzialmente riconducibile alla riduzione dell'EBITDA per circa Euro 62 migliaia e ai maggiori ammortamenti contabilizzati per circa Euro 173 migliaia.
Anche tale risultato beneficia in misura significativa delle componenti positive straordinarie contabilizzate tra gli altri ricavi e deve conseguentemente essere valutato distinguendo tali effetti dall'andamento della gestione industriale e commerciale ordinaria.
Proventi e oneri finanziari I proventi e oneri finanziari presentano al 31 agosto 2026 un saldo negativo pari a Euro 466 migliaia , rispetto al saldo negativo di Euro 167 migliaia previsto dal budget progressivo, con un maggiore impatto negativo pari a circa Euro 299 migliaia .
Il confronto risulta tuttavia significativamente influenzato dalla svalutazione della partecipazione detenuta in Mondo TV France S.A., rilevata nel periodo per circa Euro 377 migliaia e classificata nell'ambito della gestione finanziaria. Tale componente rappresenta, da sola, circa l'81% dell'ammontare complessivamente rilevato nell'area finanziaria al 31 agosto 2026.
La svalutazione della partecipazione costituisce una rettifica di valore di natura patrimoniale e contabile e non determina un corrispondente assorbimento di cassa nel periodo. La sua rilevazione incide tuttavia sul risultato economico della Società e determina una parte preponderante dello scostamento evidenziato rispetto al budget progressivo.
Al netto della predetta svalutazione, le residue componenti nette dell'area finanziaria ammonterebbero a circa Euro 90 migliaia , rispetto a Euro 167 migliaia previsti dal budget progressivo.
Tale ammontare è riconducibile quasi integralmente agli aggiornamenti contabili effettuati nell'ambito delle attività di audit in corso.
In particolare, per circa Euro 70 migliaia , sono stati recepiti interessi e competenze maturati nell'ambito dei rapporti contrattuali con CLG Capital LLC . La rilevazione di tali componenti si inserisce nella complessiva attività di riconciliazione delle reciproche posizioni con la controparte e ha trovato corrispondente rappresentazione anche nella posizione finanziaria netta al 31 agosto 2026, attraverso l'azzeramento del credito finanziario corrente precedentemente iscritto nei confronti di CLG mediante compensazione delle relative partite.
Per ulteriori circa Euro 20 migliaia , la variazione deriva dalla chiusura di risconti attivi relativi a oneri finanziari sospesi nell'esercizio precedente, con conseguente imputazione degli stessi tra gli oneri finanziari del periodo.
Al netto di tali partite, considerate ai soli fini di una lettura gestionale dell'andamento rispetto al budget, il dato consuntivo dell'area finanziaria risulterebbe pertanto sostanzialmente nullo, a fronte di oneri pari a circa Euro 167 migliaia previsti dal budget progressivo, evidenziando uno scostamento favorevole prossimo al 100% rispetto alla previsione di periodo.
Risultato prima delle imposte e risultato netto Il risultato prima delle imposte e il risultato netto del periodo risultano positivi per Euro 1.839 migliaia , rispetto alla perdita di Euro 441 migliaia prevista dal budget progressivo, con uno scostamento favorevole pari a Euro 2.280 migliaia .
Rispetto al 31 luglio 2026, quando il risultato risultava positivo per Euro 2.166 migliaia, si registra una riduzione pari a circa Euro 327 migliaia .
La variazione risulta sostanzialmente riconciliabile con le dinamiche sopra illustrate e, in particolare, con la riduzione dell'EBITDA per circa Euro 62 migliaia, con l'incremento degli ammortamenti per circa Euro 173 migliaia e con i maggiori oneri finanziari netti per circa Euro 92 migliaia recepiti nel mese di agosto.
Il risultato complessivo continua comunque a beneficiare in misura significativa delle componenti straordinarie connesse alla conclusione della CNC e deve pertanto essere interpretato considerando separatamente gli effetti economici non ricorrenti derivanti dagli stralci e dalle rideterminazioni delle posizioni debitorie, i costi straordinari sostenuti nell'ambito del percorso di risanamento, gli effetti degli aggiornamenti e delle registrazioni derivanti dalle attività di chiusura e di audit e, infine, la performance della gestione industriale e commerciale ordinaria.
Valutazione complessiva sullo stato di implementazione del Piano Nel complesso, l'andamento economico della Società al 31 agosto 2026 presenta elementi tra loro differenziati , che richiedono una lettura delle risultanze consuntive non limitata al mero confronto tra i valori ACTUAL e quelli previsti dal budget progressivo, ma che tenga conto della natura delle singole componenti che hanno determinato gli scostamenti rilevati nel periodo.
Con riferimento ai ricavi caratteristici , permane uno scostamento significativo rispetto alle previsioni di budget, con ricavi consuntivi pari a circa Euro 350 migliaia , rispetto a Euro 1.390 migliaia previsti dal budget progressivo. Come sopra rappresentato, tale scostamento presenta tuttavia caratteristiche differenti nelle due principali componenti dei ricavi.
Per quanto riguarda le nuove produzioni , che nel budget annuale rappresentano Euro 830 migliaia dei complessivi Euro 2.085 migliaia di ricavi caratteristici previsti, la minore contribuzione registrata sino ad agosto risulta principalmente riconducibile allo slittamento temporale nell'avanzamento delle produzioni , con conseguente differimento della rilevazione dei relativi ricavi. A tale componente potrebbe inoltre aggiungersi l'eventuale riconoscimento dei contributi richiesti al MIC, che, ove riconosciuti, rappresenterebbero un potenziale upside rispetto alle previsioni di budget, prudenzialmente non considerato nella presente valutazione.
Più marcata risulta invece la minore performance relativa allo sfruttamento commerciale della library esistente , per la quale il budget annuale prevede ricavi pari a Euro 1.255 migliaia. Tale andamento continua a riflettere le difficoltà del mercato audiovisivo e dell'animazione già illustrate, nonché l'allungamento dei tempi delle trattative commerciali e la ridotta operatività del periodo estivo.
La Società ritiene che nell'ultima parte dell'esercizio possano permanere opportunità di parziale recupero del ritardo commerciale , anche in considerazione delle principali fiere e occasioni di incontro tra operatori concentrate nell'ultimo trimestre. Alla data attuale, inoltre, non risultano ancora riflessi nei dati consuntivi gli eventuali effetti derivanti dalle potenziali sinergie con i nuovi investitori, ivi incluse le opportunità connesse allo sviluppo nei mercati nordamericani e alla diversificazione delle attività produttive e commerciali. Tali elementi mantengono tuttavia natura potenziale e non risultano allo stato quantificabili. Conseguentemente, alla luce dell'andamento registrato sino al 31 agosto, il conseguimento dell'obiettivo annuale relativo alla componente library permane sfidante .
Una dinamica differente emerge dall'analisi dei costi di struttura . A fronte di costi complessivamente contabilizzati per Euro 1.279 migliaia, rispetto a Euro 818 migliaia previsti dal budget progressivo, circa Euro 680 migliaia , pari a circa il 53% del totale , risultano riconducibili alle componenti straordinarie, non ricorrenti o di assestamento sopra analiticamente illustrate, tra le quali assumono particolare rilevanza le success fee riconosciute agli advisor in conseguenza della positiva conclusione della CNC e la componente straordinaria relativa alla posizione CLG.
Al netto delle predette componenti e ai soli fini di una lettura gestionale dell'andamento della struttura ordinaria dei costi, il relativo ammontare risulterebbe pari a circa Euro 600 migliaia , inferiore di circa Euro 204 migliaia rispetto al budget progressivo, con uno scostamento favorevole di circa il 27% .
Tale andamento evidenzia pertanto come lo scostamento negativo risultante dal mero confronto tra il dato contabile ACT e il budget non sia riconducibile a un incremento strutturale della base dei costi ordinari . Al contrario, il dato depurato dalle componenti sopra individuate evidenzia gli effetti delle attività di contenimento, razionalizzazione e riduzione dei costi poste in essere dalla Società, anche in attuazione degli indirizzi assunti dal Consiglio di Amministrazione nell'ambito del percorso di risanamento.
Analoghe considerazioni devono essere svolte con riferimento alla gestione finanziaria , che presenta componenti negative complessivamente pari a circa Euro 466 migliaia, rispetto a Euro 167 migliaia previsti dal budget progressivo.
Tale scostamento risulta sostanzialmente riconducibile a componenti non ricorrenti o di assestamento , complessivamente quantificabili in circa Euro 467 migliaia e rappresentate principalmente dalla svalutazione della partecipazione in Mondo TV France S.A. per circa Euro 377 migliaia, da interessi e competenze relativi alla posizione CLG per circa Euro 70 migliaia e dalla chiusura di risconti attivi relativi a oneri finanziari rinviati dal precedente esercizio per circa Euro 20 migliaia.
Al netto di tali componenti e ai soli fini dell'analisi gestionale, il dato consuntivo dell'area finanziaria risulterebbe pertanto sostanzialmente nullo , rispetto a oneri pari a circa Euro 167 migliaia previsti dal budget progressivo, evidenziando uno scostamento favorevole prossimo al 100% rispetto alle previsioni di periodo . In particolare, la svalutazione della partecipazione in Mondo TV France rappresenta una rettifica di valore di natura contabile che non determina un corrispondente assorbimento di liquidità.
Alla luce di tali elementi, il risultato economico positivo rilevato al 31 agosto 2026, pur risultando significativamente influenzato dalle componenti positive non ricorrenti già illustrate e non potendo pertanto essere considerato integralmente rappresentativo della redditività ordinaria prospettica della Società, si accompagna a un andamento della struttura ordinaria dei costi e della gestione finanziaria che, una volta isolate le principali componenti straordinarie e di assestamento, risulta migliore rispetto alle corrispondenti previsioni di budget .
Permane, per contro, quale principale elemento di attenzione, l'andamento dei ricavi caratteristici , e in particolare della componente relativa allo sfruttamento commerciale della library, mentre per le nuove
produzioni lo scostamento registrato appare prevalentemente riconducibile alla diversa tempistica di avanzamento e conseguente rilevazione dei ricavi.
La valutazione dello stato di attuazione del Piano deve pertanto tenere congiuntamente conto, da un lato, del ritardo registrato sul fronte dei ricavi caratteristici e delle conseguenti incertezze circa la possibilità di conseguire integralmente gli obiettivi commerciali previsti per l'esercizio e, dall'altro, dei risultati conseguiti sul fronte del contenimento della struttura ordinaria dei costi, della limitata incidenza della gestione finanziaria ordinaria e dell'avanzamento delle principali iniziative previste nell'ambito del percorso di risanamento e di rafforzamento patrimoniale e finanziario della Società .
In tale contesto assume pertanto crescente rilevanza il completamento delle iniziative di rafforzamento patrimoniale e finanziario previste dalla Società e, in particolare, il buon esito dell'operazione di aumento di capitale deliberata dall'Assemblea.
Le risorse derivanti dall'aumento di capitale rivestono infatti un ruolo significativo non soltanto ai fini del rafforzamento patrimoniale della Società, ma anche ai fini del mantenimento degli equilibri finanziari previsti dal Piano di risanamento e della disponibilità delle risorse necessarie a sostenere l'attività industriale e commerciale nella fase di perdurante debolezza del mercato di riferimento.
La performance dell'aumento di capitale e l'effettivo ammontare delle risorse raccolte assumeranno pertanto rilevanza ai fini della valutazione prospettica della capacità della Società di proseguire nell'attuazione del Piano di risanamento e di sostenere il rilancio dell'attività industriale.
La Società continuerà conseguentemente a monitorare con particolare attenzione l'evoluzione dei ricavi caratteristici nell'ultima parte dell'esercizio; l'avanzamento delle produzioni in corso e, in particolare, del contratto “Grisù” con RAI; la conclusione delle trattative commerciali attualmente in essere; il mantenimento delle politiche di contenimento dei costi; l'attuazione degli accordi con il ceto creditorio;
l'evoluzione dell'iter relativo all'accordo con l'Agenzia delle Entrate; l'andamento e l'esito dell'operazione di aumento di capitale; nonché la conseguente disponibilità delle risorse finanziarie necessarie a supportare l'attuazione del Piano, al fine di verificare progressivamente l'evoluzione degli scostamenti rispetto alle previsioni del Piano e l'eventuale necessità di aggiornamento delle relative assunzioni.
La valutazione dei risultati del periodo e del relativo grado di avanzamento rispetto agli obiettivi del Piano sarà ulteriormente aggiornata alla luce del completamento delle attività di chiusura contabile e delle procedure di revisione connesse alla Relazione Finanziaria Semestrale al 30 giugno 2026, la cui approvazione da parte del Consiglio di Amministrazione è prevista per il 30 settembre 2026.

Si evidenzia come, per alcune conversioni, non siano state emesse contestualmente le relative azioni, in quanto è stato attivato il prestito titoli da parte di Mondo TV S.p.A. e della Sig.ra Giuliana Bertozzi, come previsto contrattualmente, mentre per talune altre conversioni l'emissione delle relative azioni è stata avviata nel rispetto dei limiti imposti dalla normativa vigente.
Con riferimento alla posizione in essere con CLG Capital LLC , si richiamano preliminarmente gli aggiornamenti nei rapporti contrattuali tra le parti già diffusamente illustrati nella precedente informativa mensile, che vengono di seguito riproposti e integrati alla luce degli sviluppi successivamente intervenuti.
Il rapporto con CLG trae origine dal Subscription Agreement relativo al prestito obbligazionario convertibile sottoscritto nel novembre 2023 e successivamente modificato mediante un primo addendum sottoscritto in data 9 giugno 2025 . Nell'ambito di tale primo accordo modificativo era stata prevista, tra l'altro, una definizione transattiva di talune posizioni reciproche, comprensiva di una parziale riduzione dell'esposizione debitoria della Società, subordinatamente al puntuale adempimento degli obblighi previsti a carico delle parti.
Nel corso del primo semestre 2026, anche in considerazione del complesso contesto finanziario nel quale la Società ha operato durante l'attuazione del percorso di risanamento, non è stato possibile completare nei termini originariamente previsti alcuni degli adempimenti contemplati dal precedente addendum, con particolare riferimento alle attività connesse all'emissione e alla consegna di nuove azioni a servizio delle conversioni effettuate.
In conseguenza di tali circostanze, nel corso del mese di giugno CLG ha contestato il mancato completamento di taluni obblighi contrattuali e ha fatto venir meno gli effetti della precedente definizione transattiva con riferimento alla componente oggetto di stralcio. Ciò ha comportato il ripristino della relativa esposizione debitoria e la conseguente rilevazione contabile dell'incremento del debito verso CLG, già recepito nella situazione economico -patrimoniale al 30 giugno 2026.
Il nuovo assetto contrattuale definito tra le parti nel mese di luglio prende atto dell'esistenza di una posizione complessiva ancora da regolare, comprendente il capitale obbligazionario non convertito e ulteriori componenti connesse alle pregresse operazioni di conversione, e disciplina le modalità attraverso le quali procedere alla progressiva sistemazione dei rapporti tra le parti, anche in coordinamento con l'operazione di aumento di capitale programmata dalla Società.
La nuova intesa deve pertanto essere letta principalmente sotto il profilo della sua ratio economico -
finanziaria , ossia quale strumento finalizzato a ricondurre a una disciplina organica la complessiva posizione tra la Società e CLG, evitando che le criticità originate dal mancato completamento di alcuni adempimenti previsti dal precedente accordo potessero evolvere in una situazione di default formalmente azionata dalla controparte e, conseguentemente, in un contenzioso suscettibile di determinare ulteriori costi, oneri e assorbimenti di liquidità.
In tale prospettiva, pur prevedendo condizioni economiche e contrattuali più onerose rispetto a quelle originariamente previste , il nuovo accordo presenta una propria ragionevolezza economico -finanziaria in quanto ha consentito alla Società di perseguire una definizione negoziale della posizione, di preservare per quanto possibile la liquidità aziendale e di ricondurre nell'ambito di un quadro contrattuale unitario le modalità di gestione dell'esposizione residua e delle pregresse operazioni di conversione.
Con particolare riferimento alla quota residua della quarta tranche del prestito non ancora convertita, è prevista in favore di CLG una compensation fee fino a un massimo del trentacinque per cento, da riconoscersi mediante attribuzione di azioni e senza pertanto comportare, ove tale meccanismo trovi attuazione secondo quanto previsto dagli accordi, un corrispondente esborso per cassa per la Società.
Analogamente, il nuovo assetto contempla la possibilità di regolare mediante strumenti di equity anche gli interessi pregressi maturati, perseguendo l'obiettivo di limitare l'assorbimento di risorse finanziarie liquide.
La struttura dell'operazione risulta infatti prevalentemente orientata all'utilizzo di strumenti di natura equity o equity -linked , anche con riferimento alla possibile conversione del capitale obbligazionario residuo nell'ambito dell'aumento di capitale. Il Second Addendum prevede, in particolare, che in linea di principio CLG possa procedere alla conversione del capitale obbligazionario residuo, pari a Euro 1,125 milioni, in azioni emesse nell'ambito dell'aumento di capitale programmato dalla Società . Tale previsione non configura pertanto, allo stato, un impegno irrevocabile di CLG alla conversione dell'intero importo, ma individua una delle modalità previste contrattualmente per la gestione e la possibile regolazione dell'esposizione residua.
La scelta di privilegiare, ove concretamente attuati, meccanismi di regolazione in equity risponde all'obiettivo di preservare le risorse finanziarie disponibili, evitando per quanto possibile un ulteriore assorbimento di cassa nella fase di attuazione del Piano di risanamento e di rafforzamento patrimoniale.
Risultati conseguiti attraverso il nuovo assetto negoziale A integrazione di quanto rappresentato nella precedente informativa, la Società evidenzia come il nuovo assetto negoziale, pur prevedendo le condizioni economiche e contrattuali più onerose sopra richiamate, abbia consentito di conseguire una serie di risultati rilevanti ai fini della definizione e progressiva normalizzazione dei rapporti con CLG .
In primo luogo, la definizione negoziale della posizione ha consentito di evitare l'avvio di un contenzioso conseguente alle contestazioni formulate da CLG a seguito del mancato completamento di taluni adempimenti previsti dal precedente accordo, con particolare riferimento alla mancata tempestiva emissione e consegna di parte delle azioni relative alle conversioni già effettuate.
In assenza della nuova intesa, la Società sarebbe rimasta esposta al rischio di iniziative giudiziali da parte della controparte aventi a oggetto la complessiva posizione creditoria vantata da CLG, comprensiva del capitale, degli interessi e delle ulteriori competenze maturate, nonché delle obbligazioni connesse alle azioni non ancora emesse a servizio delle conversioni effettuate, per una posizione complessivamente quantificabile nell'ordine di circa Euro 2 milioni . Ferma restando l'alea connaturata all'es ito di qualsiasi eventuale contenzioso, la definizione negoziale ha pertanto consentito di rimuovere un significativo
elemento di incertezza e di evitare i potenziali costi, oneri e assorbimenti finanziari connessi all'instaurazione di un procedimento giudiziale.
In secondo luogo, il nuovo accordo ha consentito di definire le modalità per il completamento dell'emissione e della consegna delle azioni dovute a servizio delle conversioni già effettuate, il cui mancato completamento nei termini previsti aveva rappresentato la principale fattispecie alla base delle contestazioni formulate dalla controparte.
A seguito delle emissioni e delle consegne nel frattempo intervenute e tenuto conto dell'ulteriore emissione prevista nel corso del mese di settembre 2026, risulterà completato il processo di attribuzione delle azioni a servizio delle conversioni pregresse. Il completamento di tale processo determina pertanto il venir meno della principale fattispecie di inadempimento che aveva originato le contestazioni di CLG, consentendo sotto tale profilo la regolarizzazione delle pregresse operazioni di conversione.
In terzo luogo, il nuovo accordo ha consentito di definire un quadro contrattuale per la gestione dell'esposizione residua relativa al prestito obbligazionario convertibile, il cui capitale non ancora convertito ammonta a Euro 1,125 milioni , unitamente agli interessi, ai rendimenti e alle ulteriori competenze contrattualmente previste.
Come sopra rappresentato, l'accordo contempla, in linea di principio , la possibilità che tali componenti siano regolate, in tutto o in parte secondo i meccanismi contrattualmente previsti, mediante strumenti di equity nell'ambito dell'operazione di aumento di capitale. L'eventuale attuazione di tale modalità consentirebbe di limitare il corrispondente assorbimento di cassa e di preservare le risorse finanziarie della Società nella fase di attuazione del Piano di risanamento, fermo restando che tale previsione non deve essere intesa quale impegno irrevocabile già assunto da CLG alla conversione dell'intera esposizione.
Infine, il nuovo assetto contrattuale ha confermato e rafforzato la possibilità per la Società di accedere alle ulteriori due tranche previste dal programma di prestito obbligazionario convertibile, per complessivi Euro 2 milioni .
Rispetto al precedente assetto, nel quale l'effettiva disponibilità delle ulteriori tranche risultava maggiormente rimessa alla valutazione della controparte, la nuova disciplina rende la relativa attivazione maggiormente nella disponibilità della Società, fermo restando il rispetto delle condizioni contrattualmente previste per la relativa erogazione . La previsione incrementa pertanto il grado di disponibilità potenziale di tale fonte di finanziamento rispetto al precedente quadro contrattuale, senza tuttavia configurarne l'erogazione come automatica o incondizionata.
Tale elemento rappresenta una potenziale fonte di flessibilità finanziaria aggiuntiva per la Società e assume rilievo anche rispetto alle previsioni del Piano di risanamento, nel quale l'apporto finanziario
atteso da tale fonte era stato prudenzialmente considerato per un ammontare pari a Euro 1 milione , inferiore quindi all'ammontare complessivo delle due ulteriori tranche contrattualmente previste.
Alla luce di quanto sopra, le condizioni economiche più onerose previste dal nuovo accordo devono essere considerate nel quadro della complessiva definizione negoziale raggiunta con CLG, che ha consentito di evitare l'evoluzione delle contestazioni contrattuali in un potenziale contenzioso, di completare il processo di regolarizzazione delle conversioni pregresse, di definire un quadro per la gestione dell'esposizione residua privilegiando, ove attuabili, modalità di regolazione mediante equity e di mantenere a disposizione della Società, subordinatamente alle condizioni previste dagli accordi, un'ulteriore potenziale fonte di nuova finanza.
Ulteriori sviluppi intervenuti nel periodo Nell'ambito dell'attuazione del nuovo assetto contrattuale è altresì proseguita l'erogazione della nuova finanza prevista dal Second Addendum, per un ammontare complessivo massimo di Euro 250 migliaia , finalizzata a supportare le esigenze finanziarie della Società nella fase antecedente al completamento dell'operazione di aumento di capitale.
Alla data del 31 agosto 2026, una prima quota di tale finanziamento, pari a circa Euro 80 migliaia , risulta già erogata e trova corrispondente rappresentazione nell'indebitamento finanziario corrente della Società. La relativa struttura prevede il rimborso secondo le modalità e le tempistiche definite contrattualmente, in coordinamento con il previsto completamento dell'operazione di rafforzamento patrimoniale.
Nel corso del mese di agosto sono state inoltre completate ulteriori attività di riconciliazione delle reciproche posizioni contabili con CLG . In tale ambito sono stati recepiti interessi e competenze maturati per circa Euro 71 migliaia , che sono stati compensati con il credito finanziario corrente precedentemente iscritto dalla Società nei confronti della controparte. Per effetto di tale compensazione, il predetto credito risulta azzerato al 31 agosto 2026, come già rappresentato nell'ambito dell'analisi della posizione finanziaria netta della Società.
Con riferimento, infine, al prestito titoli, successivamente alla data di riferimento della presente informativa, in data 4 settembre 2026 , nell'ambito del Master Share Lending Agreement sottoscritto in data 16 novembre 2023 tra Mondo TV S.p.A., la Sig.ra Giuliana Bertozzi e CLG Capital LLC e in attuazione delle previsioni del nuovo assetto contrattuale con CLG, sono state trasferite in prestito a favore di quest'ultima ulteriori n. 5.000.000 di azioni ordinarie Mondo TV .
Tale trasferimento costituisce una seconda tranche rispetto alle n. 5.000.000 di azioni già precedentemente trasferite in prestito e porta pertanto a n. 10.000.000 il numero complessivo di azioni ordinarie Mondo TV trasferite in prestito a CLG nell'ambito del predetto accordo.
Il ricorso al prestito titoli si inserisce nel complessivo meccanismo previsto dagli accordi con CLG per consentire la disponibilità delle azioni necessarie a servizio delle operazioni di conversione nei tempi contrattualmente previsti, nelle more del completamento delle attività societarie necessarie all'emissione delle relative azioni.
Nel complesso, la Società ritiene pertanto che il nuovo assetto negoziale con CLG, pur inserendosi in un contesto contrattuale più oneroso rispetto a quello originariamente previsto , abbia consentito di ricondurre entro un quadro negoziale definito le criticità precedentemente emerse nei rapporti tra le parti, di proseguire nel processo di regolarizzazione delle conversioni pregresse, di definire modalità di gestione dell'esposizione residua orientate, ove possibile, alla preservazione della liquidità aziendale e di mantenere accessibili ulteriori potenziali fonti di finanziamento a supporto dell'attuazione del Piano.
Resta fermo che l'esecuzione del piano di obbligazioni convertibili non standard comporta un effetto diluitivo certo, ma allo stato non quantificabile , sulle partecipazioni detenute dagli attuali azionisti della Società, la cui entità dipenderà, in particolare, dalla quota di capitale della Società eventualmente sottoscritta da CLG ad esito della conversione delle Obbligazioni.
Permane inoltre un rischio di potenziale effetto di deprezzamento del titolo nel corso dell'operazione in caso di vendita sul mercato azionario delle azioni ricevute in conversione da parte del sottoscrittore del prestito.

As of 31 August 2026 , the net financial position of the Parent Company, Mondo TV S.p.A., shows net financial indebtedness of Euro 4,622 thousand , compared with Euro 4,414 thousand as of 31 December 2025, representing an overall increase in net financial indebtedness of approximately Euro 208 thousand.
During the first eight months of the financial year, the structure of the net financial position continued to reflect the effects of the financial and economic rebalancing measures implemented as part of the Recovery Plan, as well as the progressive implementation of the agreements and initiatives resulting from the successful completion of the Negotiated Crisis Settlement Procedure.
The changes recorded during the period are mainly attributable to the ordinary evolution of financial items, treasury management, the progressive implementation of the restructuring agreements and, with reference to August, the effects arising from the new contractual framework agreed with CLG Capital LLC, as well as updates to the accounting presentation of certain items identified in the course of the ongoing audit and reconciliation activities.
In particular, as described in greater detail in the following paragraphs, as part of the review and reconciliation of the overall position with CLG Capital LLC, the current financial receivable previously recognised for approximately Euro 71 thousand was fully offset through the settlement by way of set -off of the reciprocal financial positions accrued under the contractual relationship with the counterparty.
It should also be noted that the figures set out in this disclosure reflect the accounting updates, refinements and reclassifications made as part of the closing activities and the audit procedures, which are still ongoing, in connection with the preparation of the Half -Year Financial Report as of 30 June 2026. Accordingly, certain figures may differ from those reported in previous monthly disclosures, without such differences necessarily representing economic or financial changes occurring during August.
Non -current financial indebtedness Non -current financial indebtedness amounted to Euro 3,844 thousand, compared with Euro 2,565 thousand as of 31 December 2025. Testo incollato The increase compared with the end of the previous financial year continues to mainly reflect the redefinition of the maturity profile of bank indebtedness resulting from the agreements reached as part of the financial rebalancing process and, in particular, the rescheduling of the relevant maturities arising from the non -novative agreements entered into with the lending banks and the related write -offs of unsecured portions not covered by specific guarantees.
Compared with 31 July 2026, non -current financial liabilities to banks amounted to Euro 2,907 thousand, compared with Euro 2,966 thousand in the previous month, representing a decrease of approximately Euro 59 thousand. This change is not attributable to a reduction in the Company's overall financial exposure, but rather to the natural evolution of the maturity classification of indebtedness as the commencement dates of the new repayment schedules agreed with the lending banks approach.
Since most of the agreements provide for the relevant repayment schedules to commence over the coming months, a portion of the exposures is progressively reclassified from non -current to current liabilities as the respective maturities approach, without such reclassification, in itself, resulting in any change in the Company's overall financial indebtedness. This is the same trend already described in the July disclosure.
Convertible bond liabilities and relationships with CLG Capital LLC Convertible bond liabilities amounted to Euro 1,125 thousand, unchanged compared with the position as of 31 July 2026. The amount reflects the accounting presentation of the position as of the reporting date, taking into account the updates relating to the contractual arrangements in place with CLG Capital LLC. Testo incollato As already described in the previous disclosure, the new contractual framework agreed with CLG is intended to bring the overall position between the parties within a comprehensive contractual framework, giving preference, where contemplated, to settlement mechanisms involving equity or equity -linked instruments and potentially coordinating the settlement of the exposure with the share capital increase planned by the Company. In particular, the Second Addendum provides, in principle, for the conversion of the outstanding bond principal of Euro 1.125 million into shares issued as part of the share capital increase.
During August, as part of the audit activities and the resulting reconciliation of the overall financial position with CLG, the accounting presentation of the reciprocal positions was also updated. In particular, the current financial receivable due from CLG, amounting to approximately Euro 71 thousand as of 31 July 2026, was fully eliminated by offsetting it against fees and interest accrued under the
contractual arrangements with the same counterparty, which were set off against CLG's residual indebtedness towards the Company.
This update did not result in a corresponding cash outflow during the month but led to the elimination of the current financial receivables item from the net financial position as of 31 August 2026.
Under the same contractual framework, approximately Euro 80 thousand of the new financing contemplated under the agreement with CLG was also disbursed during the month. Such financing is structured as a loan with bullet repayment following completion of the share capital increase.
Accordingly, this amount is included within current financial indebtedness. The total amount of new financing contemplated under the contractual arrangements is Euro 250 thousand.
For a more comprehensive description of the developments in the contractual relationship with CLG Capital LLC and the related provisions, reference should be made to the final section of this disclosure concerning the development of the convertible bond (PoC).
Current financial indebtedness Current financial indebtedness amounted to Euro 901 thousand, compared with Euro 2,479 thousand as of 31 December 2025. Testo incollato The significant reduction compared with the end of the previous financial year continues to reflect the effects of the redefinition of the structure of financial liabilities implemented as part of the restructuring process and confirms the continuing rescheduling of indebtedness resulting from the agreements entered into with the banking system.
Compared with 31 July 2026, when current financial indebtedness amounted to Euro 729 thousand, an increase of approximately Euro 171 thousand was recorded. This change is attributable to components of a different nature.
On the one hand, the progressive reclassification of portions of bank indebtedness from non -current to current liabilities continues as the maturities under the new repayment schedules approach. This represents solely a different allocation of the exposures by maturity and does not, in itself, result in an increase in the Company's overall financial indebtedness.
On the other hand, in August current financial indebtedness includes approximately Euro 80 thousand relating to the bridge financing granted by CLG Capital LLC under the new contractual framework described above, as well as approximately Euro 19 thousand relating to the monthly amount payable to American Express.
The component arising from the application of IFRS 16 remains nil, consistently with the position already reported in previous periodic disclosures.
Total liquidity
As of 31 August 2026, total liquidity, represented by cash and cash equivalents, amounted to Euro 122 thousand, compared with Euro 630 thousand as of 31 December 2025 and Euro 181 thousand reported as of 31 July 2026. Testo incollato Cash and cash equivalents amounted to Euro 122 thousand, compared with approximately Euro 110 thousand as of 31 July 2026, therefore representing an increase of approximately Euro 12 thousand during the month.
The decrease in total liquidity compared with the previous month, notwithstanding the increase in cash and cash equivalents, is instead entirely attributable to the elimination of the current financial receivable due from CLG, amounting to approximately Euro 71 thousand as of 31 July 2026, following the aforementioned reconciliation and offsetting of the reciprocal financial positions.
This change should therefore be distinguished from the movement in cash: actual cash and cash equivalents increased compared with 31 July 2026, whereas the decrease in total liquidity considered for net financial position purposes derives from the different presentation of the financial position with CLG.
Overall, the Company's treasury position continues to be closely monitored as part of the implementation of the Plan and the ongoing capital strengthening initiatives.
Financial assets available for sale As of 31 August 2026, financial assets available for sale amounted to Euro 188 thousand and continued to consist of the investment held in Mondo TV France S.A. Testo incollato The amount is unchanged compared with the position as of 31 July 2026 and reflects the fair value determined in accordance with the applicable IAS/IFRS accounting standards.
Such measurement is exclusively accounting in nature and has no impact on the Company's cash flows or on its ability to meet its financial obligations.
The asset continues to be included in the determination of the Company's net financial position, although it does not represent an immediately realisable resource, also taking into account the pledge granted in favour of the financing institution.
Update on the financial rebalancing process During August, the Company continued to implement the activities contemplated under the Recovery Plan and the capital strengthening process previously disclosed to the market, pursuing the initiatives resulting from the successful completion of the Negotiated Crisis Settlement Procedure. Testo incollato In particular, the Company continued the formalisation and implementation of the agreements with the lending banks and the other creditors involved in the Plan, as well as the process relating to the agreement reached with the Italian Revenue Agency.
With reference to the latter, following the filing with the Court of Rome of the application provided for under Article 23, paragraph 2 -bis, of the Italian Crisis and Insolvency Code, as of 31 August 2026 the proceedings aimed at obtaining the Decree authorising the implementation of the tax settlement , upon which the effectiveness of the agreement is subject to a condition precedent, were still pending.
At the same time, during August the Company continued the preparatory activities relating to the share capital increase, a transaction which is relevant to the Company's capital and financial strengthening and to the settlement of certain financial positions described in this disclosure, including the overall exposure towards CLG Capital LLC.
The Company is therefore continuing the coordinated implementation of the financial, capital and industrial initiatives contemplated under the Plan, maintaining as its primary objectives the progressive normalisation of its financial structure, the preservation of liquidity and the capital strengthening required to support the subsequent phase of industrial development.
Conclusions and period -on-period comparison Compared with 31 December 2025, the net financial position shows an increase in net financial indebtedness of approximately Euro 208 thousand, from Euro 4,414 thousand to Euro 4,622 thousand.

Compared with 31 July 2026, when the net financial position was negative for approximately Euro 4,452 thousand, a change of approximately Euro 171 thousand was recorded.
However, the monthly change should be analysed by separately considering the various components contributing to it. Approximately Euro 71 thousand relates to the elimination of the current financial receivable due from CLG following the update and offsetting of the reciprocal positions as part of the audit and reconciliation activities, without any corresponding cash outflow. Approximately Euro 80 thousand relates to the new financing provided by CLG under the bridge facility with bullet repayment, while approximately Euro 19 thousand relates to the monthly amount payable to American Express.
These components therefore substantially account for the entire change in the net financial position compared with 31 July 2026. Excluding these items, no material changes emerge in the Company's underlying net financial position compared with the previous month.
The different allocation of bank indebtedness between current and non -current liabilities instead reflects the approaching maturities under the repayment schedules and represents a classification -
related development which, in itself, has no impact on the overall amount of the Company's financial exposure.
Overall, the Company continues to closely monitor the development of its financial and treasury position, maintaining as a priority the preservation of the financial resources required to support business continuity and the implementation of the industrial and capital initiatives contemplated under the Plan.

The consolidated current net financial position is negative for Euro 1.2 million, compared with Euro 2.2 million as of 31 December 2025, representing an improvement of approximately Euro 1.0 million, mainly attributable to the effects of the financial rebalancing agreements entered into by the Parent Company as part of the Negotiated Crisis Settlement Procedure.
The non-current net financial position is negative for Euro 4.0 million, compared with Euro 3.2 million as of 31 December 2025. The increase in non -current indebtedness mainly reflects the rescheduling of the maturity profile of bank indebtedness resulting from the restructuring agreements entered into during the first half of 2026, while a portion of financial liabilities continues to be progressively reclassified to current liabilities as the commencement of the new repayment schedules provided for under the agreements with the lending banks approaches.
The Group's overall exposure to the banking system (current and non -current) shows an improvement of approximately Euro 0.7 million compared with 31 December 2025, as a result of the completion of the Parent Company's financial rebalancing process and the consequent redefinition of the structure of its indebtedness. Compared with the Parent Company's financial position, the differences are essentially attributable to the current bank indebtedness relating to the subsidiary, while the remaining structure of the consolidated financial position is substantially aligned.
b) The overdue debt positions of the Company and the Group to which it belongs, broken down by nature (financial, commercial, tax, social security and towards employees) and any related reaction initiatives by creditors (reminders, injunctions, suspensions in

Reference is preliminarily made to the clarifications set out under point a) above regarding the updates, refinements and reclassifications reflected as part of the accounting closing activities and the audit procedures connected with the preparation of the Half -Year Financial Report as of 30 June 2026.
As of 31 August 2026 , Mondo TV S.p.A.'s total overdue payables amounted to approximately Euro 604 thousand , compared with Euro 581 thousand as of 31 July 2026.
Compared with the previous month, total overdue payables therefore showed a limited increase of approximately Euro 23 thousand , mainly attributable to the ordinary pattern of maturities and payments associated with the Company's ordinary operations.
The change does not indicate any significant rebuilding of previously outstanding overdue exposures or any discontinuity compared with the situation described in previous disclosures. Accordingly, overdue amounts remain significantly below the levels existing prior to the implementation of the main restructuring transactions completed as part of the Negotiated Crisis Settlement Procedure.
The ageing profile of overdue payables also continues to reflect the presence of an older component, mainly attributable to pre -existing positions already subject to settlement arrangements, alongside the ordinary exposures generated by current operations.
1. Trade payables Overdue trade payables as of 31 August 2026 amounted to approximately Euro 377 thousand , compared with Euro 364 thousand as of 31 July 2026, representing a limited increase of approximately Euro 13 thousand .
The change recorded during the month is mainly attributable to the ordinary pattern of trade maturities and related payments and does not indicate any material change compared with the position reported at the end of the previous month.
The component relating to the oldest exposures amounted to approximately Euro 234 thousand , compared with Euro 265 thousand as of 31 July 2026, therefore showing a further reduction in trade payables overdue by more than 120 days (following the regular payments made during the month in respect of instalments under the repayment plans agreed during the Negotiated Crisis Settlement Procedure).
The remaining older positions continue to consist mainly of items already subject to specific settlement arrangements, positions currently being settled or relationships affected by the ordinary technical timeframes required to complete the relevant administrative procedures.
Overall, relationships with suppliers continue to be managed on a regular basis, and no generalised suspensions in the supply of goods or services have occurred.
As already reported in previous periodic disclosures, the payable to the subsidiary Mondo TV France S.A.
is not included within overdue trade payables, taking into account the agreements entered into between the parties and the nature of the relevant exposure compared with payables due to third -party suppliers. The same approach was adopted in the disclosure as of 31 July 2026.
2. Tax payables Overdue tax payables amounted to approximately Euro 118 thousand , compared with Euro 109 thousand as of 31 July 2026, representing a limited increase of approximately Euro 9 thousand .
The change recorded during the period is mainly attributable to the ordinary accrual of tax payment deadlines and the related technical settlement timeframes and, at present, does not indicate any elements of particular concern.
The trend in the remaining overdue tax positions should be assessed separately from the broader position covered by the tax settlement agreement reached with the Italian Revenue Agency as part of the Negotiated Crisis Settlement Procedure.
With reference to such agreement, as of 31 August 2026, proceedings were pending before the Court of Rome for the issuance of the Decree authorising the implementation of the tax settlement , pursuant to Article 23, paragraph 2 -bis, of the Italian Crisis and Insolvency Code, upon which the effectiveness of the settlement is subject to a condition precedent.
3. Social security payables Overdue social security payables amounted to approximately Euro 97 thousand , compared with Euro 96 thousand as of 31 July 2026, and therefore remained substantially unchanged compared with the previous month.
The trend in this position continues to mainly reflect the ordinary development of social security contribution deadlines and the progressive ageing of existing positions.
The Company continues to carry out the activities required to regularise the remaining overdue social security positions, with no elements currently emerging that would have a significant impact on the overall financial rebalancing process.
4. Payables to employees Payables to employees amounted to approximately Euro 9 thousand , unchanged compared with the previous month.
These amounts continue to mainly relate to residual items associated with terminated employment relationships, and there are no significant salary arrears or material disputes.
5. Financial payables Overdue financial payables amounted to approximately Euro 2 thousand , unchanged compared with 31 July 2026.
The substantial absence of overdue financial exposures continues to reflect the effects of the restructuring of the Company's indebtedness resulting from the agreements entered into with the banking system as part of the Recovery Plan.
The position should also be considered in light of the new maturities provided for under the repayment schedules agreed with the financing institutions, the progressive implementation of which will result in the commencement of the relevant payments in accordance with the timing established under each agreement.
6. Creditor actions and operating environment During August, no new material enforcement or precautionary actions were initiated , other than those already described in previous disclosures, nor were there any generalised suspensions in the supply of goods or services attributable to defaults by the Company.
With reference to the position with Atlantyca S.p.A. , the settlement agreement entered into between the parties following the discussions initiated after the previous application for a payment order remains in force. The agreement fully regulates the outstanding debt through a repayment plan comprising several instalments and has enabled the dispute to be settled without further litigation.
The Company also continues, with the support of its legal advisers, to assess the most appropriate actions to protect and enforce its claims against MOPI , following the rejection in May of the application for interim relief filed pursuant to Article 700 of the Italian Code of Civil Procedure.
Other than the matters described above, relationships with the remaining creditors continue to be mainly focused on the implementation of the agreements reached as part of the Recovery Plan and the completion of the remaining administrative and contractual activities arising therefrom.
Accordingly, the overall environment continues to show a substantial normalisation of relationships with the Company's main financial, commercial and institutional stakeholders.
Conclusions and period -on-period comparison Compared with 31 July 2026 , total overdue payables increased from approximately Euro 581 thousand to Euro 604 thousand , representing a limited overall increase of approximately Euro 23 thousand .
The overall change reflects a combination of limited movements across the individual categories of debt: trade payables increased from Euro 364 thousand to Euro 377 thousand ; tax payables increased from Euro 109 thousand to Euro 118 thousand ; social security payables remained substantially stable, increasing from Euro 96 thousand to Euro 97 thousand ; financial payables remained unchanged at Euro 2 thousand ; and payables to employees remained unchanged at Euro 9 thousand .
The overall increase recorded during the month is therefore mainly attributable to the ordinary pattern of trade and tax maturities and the related payments and does not indicate any significant rebuilding of previously outstanding overdue exposures.
Also relevant is the continued reduction in the oldest component of overdue trade payables, with exposures overdue by more than 120 days decreasing from approximately Euro 265 thousand as of 31 July 2026 to approximately Euro 234 thousand as of 31 August 2026 .
Overall, the position as of 31 August 2026 therefore continues to be consistent with the progressive normalisation of relationships with creditors and with the current stage of implementation of the agreements reached as part of the Recovery Plan.

At Group level , overdue payables in addition to those of the Parent Company are mainly attributable to trade payables of the subsidiaries and, to a lesser extent, to payables to employees . No significant differences are identified with respect to financial, tax and social security exposures , which are substantially aligned with those of the Parent Company.
c) The main changes in transactions with related parties of the Company and the Group it heads, compared to the most recent approved annual or semi -annual financial report pursuant to Article 154 -ter of the TUF
With regard to the position as of 31 August 2026 , no significant changes are identified, either at Parent Company or consolidated level , in transactions with related parties compared with those reported in the latest approved financial statements as of 31 December 2025 .
The relevant positions will be updated and specifically disclosed in the Half-Year Financial Report as of 30 June 2026 , which is expected to be approved shortly by the Board of Directors on 30 September 2026 .
d) Any failure to comply with covenants, negative pledges, or any other clauses of the Group’s indebtedness that limit the use of financial resources, with an updated indication of compliance status
As part of the Company’s financial and economic rebalancing process and following the completion of the Negotiated Crisis Settlement Procedure , agreements for the restructuring and rescheduling of indebtedness were entered into with the Italian Revenue Agency and with the lending institutions involved in the Recovery Plan . These agreements are therefore described herein as events occurring subsequent to the reporting date of this disclosure.
With reference to the tax settlement agreement entered into with the Italian Revenue Agency , the agreement does not provide for financial covenants in the strict sense or specific negative pledge clauses applicable to the Company, but includes a number of payment obligations, tax compliance requirements and other undertakings, compliance with which is relevant for the continued effectiveness of the agreement. These include, in particular, compliance with the payment schedule provided for under the settlement, the regular fulfilment of current tax obligations, the undertakings relating to the identification and conversion of eligible DTAs into tax credits and the related offsetting, as well as the granting, by Trilateral Land S.r.l. , as third -party mortgagor, of a first -ranking mortgage in favour of the Italian Revenue Agency – Collection Division . The agreement also identifies specific termination events, upon the occurrence of which the original receivable of the Tax Authorities would be reinstated, net of any amounts already paid.
The effectiveness of the tax settlement is, however, subject to the condition precedent of the issuance by the Court of Rome of the Decree authorising its implementation . As of 31 August 2026, such decree had not yet been issued and, consequently, the obligations relating to the implementation of the settlement were not yet fully effective in accordance with the timing provided for under the agreement.
With reference to bank indebtedness , the agreements entered into with the Italian lending institutions mainly provide for the rescheduling of the original repayment maturities, specific conditions for effectiveness and termination clauses connected, inter alia, with failure to comply with the new payment deadlines and the occurrence of other events identified in the relevant contractual documentation. As a general rule, these agreements do not provide for specific quantitative financial covenants. In particular, the agreements with Banca Monte dei Paschi di Siena S.p.A. and Credito Emiliano S.p.A. make their effectiveness subject to the fulfilment of the respective conditions precedent, which include, under different terms and formulations, the adherence of the lending institutions involved and the confirmation or approval of the guarantees by Mediocredito Centrale .
The agreement with Crédit Agricole Italia S.p.A. , entered into subsequent to the reporting date of this disclosure, likewise does not provide for specific quantitative financial covenants, but includes certain financial undertakings and restrictions comparable to negative covenants and negative pledge provisions, including restrictions on the incurrence of additional financial indebtedness and on the creation of new encumbrances over the Company’s assets, subject to the exceptions contractually provided for, as well as the subordination of the repayment of shareholder loans to the repayment of the exposure covered by the agreement. The effectiveness of the agreement is also subject to the concurrent fulfilment of the conditions precedent set forth therein, including the issuance by the Court of Rome of the decree authorising the implementation of the tax settlement.
By contrast, the agreement entered into with Banca Raiffeisen Colline del Ceresio provides for specific Financial Parameters (Financial Covenants) , compliance with which constitutes an essential requirement under the agreement, together with specific information obligations and other contractual undertakings, as well as cross -default mechanisms and events of default. However, the first Financial Covenant Calculation Date is scheduled for 31 December 2026 and, consequently, as of 31 August 2026 no contractual deadline for testing such parameters had yet occurred.
The effectiveness of the Raiffeisen agreement, with the exception of those provisions expressly identified as being immediately effective, is also subject to the concurrent fulfilment of the conditions precedent provided for under the agreement, including the issuance by the Court of Rome of the decree authorising the tax settlement, the execution of the agreements with the Adhering Creditors and the filing of the Expert’s final report.
As of 31 August 2026, based on the checks carried out by the Company and taking into account the effectiveness status of each agreement and the relevant testing dates, no breaches of financial covenants, negative pledge provisions or other indebtedness -related clauses had occurred that would give rise to events of default, acceleration or similar consequences . With specific reference to the Financial Covenants provided for under the Raiffeisen agreement, as indicated above, the first testing date is scheduled for 31 December 2026 .
e) Status of the implementation of the Industrial Plan, highlighting variances between actual and forecast data
The information set out in this paragraph has been prepared on the basis of the management and accounting data currently available to the Company and reflects the progress made in the accounting closing activities and in the preparation of the Half -Year Financial Report as of 30 June 2026 , which is still subject to the relevant audit procedures.
Accordingly, the figures presented are preliminary in nature and may be subject to updates, refinements, reclassifications or changes as part of the completion of the preparation process for the Half-Year Financial Report and the related audit activities, without prejudice to the presentation of the main economic and financial trends described in this disclosure.

Sales Revenue Performance and Market Environment Core revenues recorded as of 31 August 2026 amounted to approximately Euro 350 thousand , compared with Euro 1,390 thousand provided for in the cumulative budget, resulting in a negative variance of approximately Euro 1,040 thousand . The figure therefore confirms the delay already highlighted in previous disclosures compared with the revenue trend contemplated under the Plan for the 2026 financial year.
For a more accurate interpretation of the variance, however, it is appropriate to distinguish between the two main components underlying the Company’s core revenue forecasts , namely, on the one hand, revenues from the commercial exploitation of rights relating to the existing library and, on the other hand, revenues associated with new productions.
The overall 2026 annual budget of Euro 2,085 thousand is in fact composed of Euro 1,255 thousand of expected revenues from the exploitation of rights relating to the existing library and Euro 830 thousand of revenues associated with new productions, representing approximately 60% and 40% , respectively, of total core revenues forecast for the financial year.
With reference to new productions , the lower contribution recorded during the first eight months of the financial year compared with forecasts is mainly attributable to the delay in the progress of productions compared with the roadmap originally envisaged , estimated at approximately six months, with the consequent postponement of the relevant stages of completion and the related accounting recognition of revenues.
The variance recorded for this component should therefore be interpreted primarily as a timing deferral in the recognition of expected revenues from productions currently underway , rather than, at present, as the loss of such revenues, it being understood that their actual achievement and the timing of their accounting recognition will depend on the progress of each production and the achievement of the relevant production milestones.
With reference to new productions, a further positive contribution could also arise from the grants applied for from the Italian Ministry of Culture (MIC) , in respect of which the Company has submitted the relevant applications. Any award of such grants remains subject to the outcome of the assessment procedures carried out by the competent authorities and would therefore represent a potential upside compared with budget forecasts . As a matter of prudence, such potential benefit is not currently taken into account in assessing the possible recovery of the variance against budget.
The trend in revenues from the commercial exploitation of the existing library is different , with the 2026 annual budget providing for total revenues of Euro 1,255 thousand , against which performance continues to remain below the forecasts set out in the Plan.
The lower performance of this component continues to be affected by the prolonged weakness of the audiovisual market and, in particular, the animation sector , characterised by greater selectivity among market operators, reduced investment by broadcasters and platforms, and a general lengthening of the time required to finalise commercial negotiations. These dynamics have affected the Company’s ability to convert commercial discussions into executed contracts within the timeframe originally assumed in the budget.
These factors were compounded during the summer months, and particularly in August, by the seasonal slowdown in commercial activity in the market , which did not allow the execution of new contracts of a significant amount sufficient to offset the variance progressively accumulated during the preceding months.
Accordingly, as of the date of this disclosure, the library exploitation component continues to represent the area in which the underperformance compared with the original forecasts is most evident , while the lower contribution from new productions is mainly attributable to the different timing of their progress and consequent accounting recognition.
In the prospective assessment of the library component, it should also be considered that, as of the current date, any potential positive effects arising from the entry of the new investors and, in particular, from potential commercial synergies with Hemlock West LLC have not yet been concretely reflected in revenues.
In this context, the Company identifies potential opportunities associated, inter alia, with the progressive expansion of its commercial presence in North American markets , the exploitation of the library through additional channels and commercial counterparties, and greater diversification of its production and commercial activities. At present, however, these elements represent potential development opportunities , the possible economic effects of which have not yet been reflected in actual results and whose amount and timing therefore cannot currently be quantified.
Notwithstanding the significant gap accumulated in the commercial exploitation of the library compared with budget forecasts, the Company also maintains a cautiously positive outlook regarding commercial opportunities during the final quarter of the financial year .
Indeed, the latter part of the year includes some of the main trade fairs and opportunities for meetings among audiovisual industry operators which, although taking place in a market environment
characterised by fewer events and lower activity levels compared with previous years, have historically represented important opportunities for developing and finalising commercial negotiations.
Participation in these events, together with the continuation of ongoing commercial discussions and negotiations, could allow for a partial recovery of the delay accumulated during the first eight months of the financial year in the commercial exploitation of the library.
As of the current date, however, there is insufficient evidence to quantify the extent of any such recovery.
Accordingly, notwithstanding the commercial opportunities that remain during the latter part of the financial year and potential development factors not yet reflected in actual results, achievement of the annual revenue target relating to the exploitation of the library remains challenging in light of the performance recorded through 31 August 2026 .
Other Revenues
During the first eight months of 2026, other revenues totalling Euro 3,799 thousand were recognised, unchanged compared with the position as of 31 July 2026 and not contemplated in the original budget.
This item is almost entirely attributable to extraordinary and non -recurring components recognised following the successful completion of the Negotiated Crisis Settlement Procedure and, in particular, to the economic effects arising from the write -offs and remeasurement of debt positions recognised in the Company’s accounts consistently with the agreements reached as part of the restructuring process.
The item also includes the accounting effects associated with the agreement reached with the Italian Revenue Agency.
With reference to the statement made in the previous monthly disclosure, it should be clarified that the reference to the “approval proceedings” in respect of the agreement reached with the Italian Revenue Agency was merely a terminological error. The settlement agreement entered into as part of the Negotiated Crisis Settlement Procedure pursuant to Article 23, paragraph 2 -bis, of the Italian Crisis and Insolvency Code was executed by the parties and subsequently filed with the competent Court, producing effects pursuant to the aforementioned provision. Having verified the regularity of the documentation attached and of the agreement, the judge authorises its implementation by decree.
Accordingly, this does not constitute a court approval proceeding in respect of the agreement.
The components recognised under other revenues are predominantly extraordinary in nature and should therefore not be considered representative of the Company’s ordinary ability to generate revenues from its industrial and commercial activities.
As a result of these components, total revenues as of 31 August 2026 amounted to Euro 4,149 thousand , compared with Euro 1,390 thousand provided for in the cumulative budget, representing a positive variance of Euro 2,759 thousand .
The overall figure should, however, continue to be interpreted by clearly distinguishing the extraordinary component arising from the restructuring process from the performance of the Company’s core operations, which instead show the significant negative variance described above.
Capitalisation of Animated Series Production Costs Capitalised costs relating to the production of animated series amounted to Euro 132 thousand , compared with Euro 67 thousand provided for in the cumulative budget, resulting in a positive variance of Euro 65 thousand .
Compared with 31 July 2026, when they amounted to Euro 110 thousand, an increase of approximately Euro 22 thousand was recorded, attributable to the continuation of ongoing production activities and the consequent recognition of costs meeting the criteria for capitalisation as intangible assets in accordance with the applicable accounting standards.
The figure therefore confirms the continuation of production activities notwithstanding the challenging market environment in which the Company operates.
Overhead Costs
Overhead costs incurred during the first eight months of 2026 amounted to Euro 1,279 thousand , compared with Euro 818 thousand provided for in the cumulative budget, resulting, based on the overall accounting figure recognised, in a variance of Euro 461 thousand .
For a more appropriate interpretation of the comparison between actual figures and budget, however, it should be considered that the total amount recognised during the period includes a particularly significant portion of extraordinary, non -recurring costs and charges or, in any event, items not representative of the Company’s ordinary level of overhead costs , largely connected with the completion of the Negotiated Crisis Settlement Procedure, the settlement of previous contractual, tax and social security positions, as well as audit activities and accounting adjustments.
In particular, within the total amount of Euro 1,279 thousand, a number of non -recurring costs can be identified (most of which have already been highlighted and discussed in previous disclosures to the market), including, by way of illustration and without limitation:
• success fees paid to advisers following the successful completion of the Negotiated Crisis Settlement Procedure, amounting to approximately Euro 350 thousand ;
• an extraordinary expense relating to the CLG position, arising from the termination of the effects of the previous settlement arrangement following the objections raised by the counterparty, amounting to Euro 250 thousand ;
• tax and social security assessments and charges relating to previous financial years, subsequently notified by the Italian Revenue Agency – Collection Division and recognised in the accounts during the period, amounting to approximately Euro 50 thousand ; and • additional costs recognised following the ongoing audit activities in connection with the adjustment, as of 30 June 2026, of deferred personnel costs, with particular reference to accrued and unused holidays and leave and the accrued portion of additional monthly salary payments, amounting to approximately Euro 30 thousand .
The components identified above therefore amount in aggregate to approximately Euro 680 thousand , representing approximately 53% of the total overhead costs recognised during the period .
While taking into account the different nature of the individual items – and, in particular, the fact that certain adjustments arising from the audit activities nevertheless represent costs attributable to the period – the separate presentation of these components provides a clearer view of the trend in the Company’s ordinary cost structure .
Excluding the components highlighted above, costs attributable to ordinary operations would in fact amount to approximately Euro 600 thousand , compared with Euro 818 thousand provided for in the cumulative budget, representing a favourable variance of approximately Euro 218 thousand, or approximately 27% , compared with the budget figure.
This trend reflects the effects of the cost containment, rationalisation and progressive reduction measures relating to ordinary costs implemented by the Company during the financial year, also in implementation of the guidelines adopted by the Board of Directors and the measures contemplated as part of the restructuring process.
Accordingly, the negative variance resulting from a purely accounting comparison between Actual and Budget does not appear to be attributable to a structural increase in the Company’s ordinary cost base, but is instead mainly determined by the impact of extraordinary, non -recurring components or adjustments recognised during the period.
EBITDA
EBITDA as of 31 August 2026 was positive at Euro 3,002 thousand , compared with the positive amount of Euro 639 thousand provided for in the cumulative budget, resulting in a favourable variance of Euro 2,363 thousand .
However, the result continues to benefit to a significant extent from the extraordinary other revenues associated with the restructuring process.
Accordingly, EBITDA should continue to be assessed by distinguishing between the non -recurring economic effects arising from the financial and debt restructuring and the performance of core
operations, which are affected by the significant variance in sales revenues and the challenging market environment described above.
Compared with 31 July 2026, EBITDA decreased from Euro 3,064 thousand to Euro 3,002 thousand , representing a reduction of approximately Euro 62 thousand , substantially attributable to the ordinary dynamics of the month: with core revenues remaining unchanged, higher capitalised costs of approximately Euro 22 thousand partially offset the increase in overhead costs of approximately Euro 84 thousand.
Depreciation, Amortisation and Impairment Depreciation, amortisation and impairment charges recognised during the period amounted to Euro 697 thousand , compared with Euro 913 thousand provided for in the cumulative budget, resulting in a lower negative impact of approximately Euro 216 thousand .
Compared with 31 July 2026, when they amounted in aggregate to Euro 524 thousand, an increase of approximately Euro 173 thousand was recorded, substantially attributable to the amortisation of intangible assets.
The change reflects the updates and corrections made to the calculation of amortisation based on the findings arising from the audit activities currently underway , which have been incorporated into the management figures used for the purposes of this disclosure.
Even following these updates, the overall amount of depreciation and amortisation remains below the cumulative budget forecasts.
The residual variance against budget continues to be mainly attributable to the factors already described in the previous disclosure. On the one hand, the impairment of the library recognised as part of the 2025 year -end closing process resulted in a reduction in the residual carrying amount of the audiovisual works and, consequently, in the amortisable base for subsequent financial years. On the other hand, the lower level of investments made during the financial year compared with the assumptions underlying the budget resulted in fewer new audiovisual productions entering the amortisation cycle.
The relevant figures may be further refined as part of the completion of the preparation and audit activities relating to the Half -Year Financial Report as of 30 June 2026.
EBIT
As a result of the trends described above, EBIT as of 31 August 2026 was positive at Euro 2,305 thousand , compared with the loss of Euro 274 thousand provided for in the cumulative budget, resulting in a favourable variance of Euro 2,579 thousand .
Compared with 31 July 2026, when EBIT amounted to Euro 2,540 thousand, a decrease of approximately Euro 235 thousand was recorded, substantially attributable to the reduction in EBITDA of approximately Euro 62 thousand and the higher depreciation and amortisation charges recognised for approximately Euro 173 thousand.
This result also benefits significantly from the extraordinary positive components recognised under other revenues and should therefore be assessed by distinguishing such effects from the performance of the Company’s ordinary industrial and commercial operations.
Financial Income and Expenses Financial income and expenses showed a negative balance of Euro 466 thousand as of 31 August 2026, compared with the negative balance of Euro 167 thousand provided for in the cumulative budget, resulting in an additional negative impact of approximately Euro 299 thousand .
The comparison is, however, significantly affected by the impairment of the investment held in Mondo TV France S.A. , recognised during the period for approximately Euro 377 thousand and classified within financial income and expenses. This component alone represents approximately 81% of the total amount recognised within the financial area as of 31 August 2026.
The impairment of the investment represents an accounting and valuation adjustment and does not result in a corresponding cash outflow during the period. Its recognition nevertheless affects the
Company’s profit or loss and accounts for the predominant portion of the variance against the cumulative budget.
Excluding such impairment, the remaining net components of the financial area would amount to approximately Euro 90 thousand , compared with Euro 167 thousand provided for in the cumulative budget.
This amount is almost entirely attributable to accounting updates made as part of the ongoing audit activities.
In particular, approximately Euro 70 thousand relates to interest and fees accrued under the contractual arrangements with CLG Capital LLC . The recognition of these components forms part of the overall reconciliation of the reciprocal positions with the counterparty and is also reflected in the net financial position as of 31 August 2026, through the elimination of the current financial receivable previously recognised towards CLG by way of offsetting the relevant positions.
A further approximately Euro 20 thousand relates to the reversal of prepaid expenses relating to financial charges deferred from the previous financial year, with the consequent recognition of such amounts as financial expenses for the period.
Excluding these items, solely for the purposes of a management analysis of performance against budget, the actual financial result would therefore be substantially nil, compared with expenses of approximately Euro 167 thousand provided for in the cumulative budget, representing a favourable variance of close to 100% compared with the forecast for the period .
Profit Before Tax and Net Profit Profit before tax and net profit for the period were positive at Euro 1,839 thousand , compared with the loss of Euro 441 thousand provided for in the cumulative budget, resulting in a favourable variance of Euro 2,280 thousand .
Compared with 31 July 2026, when the result was positive at Euro 2,166 thousand, a decrease of approximately Euro 327 thousand was recorded.
The change can substantially be reconciled with the trends described above and, in particular, with the decrease in EBITDA of approximately Euro 62 thousand, the increase in depreciation and amortisation of approximately Euro 173 thousand and the higher net financial expenses of approximately Euro 92 thousand recognised during August.
The overall result nevertheless continues to benefit significantly from the extraordinary components associated with the completion of the Negotiated Crisis Settlement Procedure and should therefore be interpreted by separately considering the non -recurring economic effects arising from the write -offs and remeasurement of debt positions, the extraordinary costs incurred as part of the restructuring process, the effects of updates and entries arising from the closing and audit activities and, finally, the performance of the Company’s ordinary industrial and commercial operations.
Overall Assessment of the Implementation Status of the Plan Overall, the Company’s financial performance as of 31 August 2026 presents a number of different elements , requiring the actual results to be assessed not merely by comparing ACTUAL figures with the cumulative budget, but also by taking into account the nature of the individual components that gave rise to the variances recorded during the period.
With reference to core revenues , a significant variance against budget forecasts remains, with actual revenues amounting to approximately Euro 350 thousand , compared with Euro 1,390 thousand provided for in the cumulative budget. As described above, however, this variance has different characteristics across the two main revenue components.
With regard to new productions , which account for Euro 830 thousand of the total Euro 2,085 thousand of core revenues contemplated in the annual budget, the lower contribution recorded through August is mainly attributable to the delay in the progress of productions , with the consequent deferral of the recognition of the related revenues. This component could also benefit from the potential award of the grants applied for from the MIC, which, if awarded, would represent a potential upside compared with budget forecasts and have prudently not been taken into account in this assessment.
By contrast, the underperformance relating to the commercial exploitation of the existing library is more pronounced, with the annual budget providing for revenues of Euro 1,255 thousand. This trend continues to reflect the difficulties affecting the audiovisual and animation markets described above, as well as the longer timeframe required for commercial negotiations and the reduced level of activity during the summer period.
The Company believes that opportunities may remain during the latter part of the financial year for a partial recovery of the commercial delay , also taking into account the main trade fairs and opportunities for meetings among industry operators concentrated in the final quarter. Furthermore, as of the current date, actual results do not yet reflect any potential effects arising from synergies with the new investors, including opportunities associated with expansion into North American markets and the diversification of production and commercial activities. These factors nevertheless remain potential in nature and cannot currently be quantified. Accordingly, in light of the performance recorded through 31 August, achievement of the annual target relating to the library component remains challenging .
A different trend emerges from the analysis of overhead costs . Against total costs recognised of Euro 1,279 thousand, compared with Euro 818 thousand provided for in the cumulative budget, approximately Euro 680 thousand , representing approximately 53% of the total , is attributable to the extraordinary, non -recurring or adjustment components analysed in detail above, among which the success fees paid to advisers following the successful completion of the Negotiated Crisis Settlement Procedure and the extraordinary component relating to the CLG position are particularly significant.
Excluding these components, and solely for the purposes of a management assessment of the ordinary cost structure, the relevant amount would be approximately Euro 600 thousand , approximately Euro 204 thousand below the cumulative budget, representing a favourable variance of approximately 27% .
This trend therefore indicates that the negative variance resulting from a simple comparison between the accounting ACT figure and the budget is not attributable to a structural increase in the ordinary cost base . On the contrary, after excluding the components identified above, the figures reflect the effects of the cost containment, rationalisation and reduction measures implemented by the Company, also in accordance with the guidelines adopted by the Board of Directors as part of the restructuring process.
Similar considerations apply to the financial result , which shows total negative components of approximately Euro 466 thousand, compared with Euro 167 thousand provided for in the cumulative budget.
This variance is substantially attributable to non-recurring or adjustment components , amounting in aggregate to approximately Euro 467 thousand and mainly consisting of the impairment of the investment in Mondo TV France S.A. for approximately Euro 377 thousand, interest and fees relating to the CLG position for approximately Euro 70 thousand and the reversal of prepaid expenses relating to financial charges deferred from the previous financial year for approximately Euro 20 thousand.
Excluding these components and solely for management analysis purposes, the actual financial result would therefore be substantially nil , compared with expenses of approximately Euro 167 thousand provided for in the cumulative budget, representing a favourable variance of close to 100% compared with the forecast for the period . In particular, the impairment of the investment in Mondo TV France represents an accounting valuation adjustment that does not result in a corresponding cash outflow.
In light of these factors, the positive financial result recorded as of 31 August 2026, although significantly influenced by the non -recurring positive components described above and therefore not capable of being considered fully representative of the Company’s prospective ordinary profitability, is accompanied by a trend in the ordinary cost structure and financial result which, once the main extraordinary and adjustment components are isolated, is better than the corresponding budget forecasts .
By contrast, the main area requiring attention remains the performance of core revenues , and in particular the component relating to the commercial exploitation of the library, whereas the variance recorded for new productions appears to be mainly attributable to the different timing of production progress and the consequent recognition of revenues.
The assessment of the implementation status of the Plan must therefore jointly take into account, on the one hand, the delay recorded in core revenues and the resulting uncertainties regarding the possibility of fully achieving the commercial targets set for the financial year and, on the other hand, the results achieved in containing the ordinary cost structure, the limited impact of ordinary financial expenses and the progress made in the principal initiatives contemplated as part of the Company’s restructuring and capital and financial strengthening process .
In this context, completion of the capital and financial strengthening initiatives planned by the Company and, in particular, the successful completion of the share capital increase approved by the Shareholders’ Meeting are therefore becoming increasingly important.
The resources generated by the share capital increase play a significant role not only in strengthening the Company’s capital structure, but also in maintaining the financial balances contemplated under the Recovery Plan and ensuring the availability of the resources required to support industrial and commercial activities during the continuing period of weakness in the relevant market.
The performance of the share capital increase and the actual amount of resources raised will therefore be relevant to the prospective assessment of the Company’s ability to continue implementing the Recovery Plan and support the relaunch of its industrial activities.
Accordingly, the Company will continue to closely monitor the development of core revenues during the latter part of the financial year; the progress of ongoing productions and, in particular, the “Grisù” agreement with RAI ; the completion of commercial negotiations currently underway; the continuation of cost containment policies; the implementation of agreements with creditors; developments in the process relating to the agreement with the Italian Revenue Agency; the progress and outcome of the share capital increase; and the resulting availability of the financial resources required to support implementation of the Plan, in order to progressively assess the development of variances against the Plan forecasts and any need to update the related assumptions.
The assessment of the results for the period and the related degree of progress against the objectives of the Plan will be further updated in light of the completion of the accounting closing activities and the audit procedures connected with the Hal f-Year Financial Report as of 30 June 2026, which is expected to be approved by the Board of Directors on 30 September 2026 .
f) Summary of information relating to the non -standard convertible bond plan in favor of CLG

At the Shareholders' Meeting held on December 11, 2023, the Company approved a non -standard convertible bond plan in favor of CLG Capital, with a maximum total amount of €7.5 million, divided into multiple tranches. As of the date of this report, the status of the operation is as follows:

It should be noted that, for certain conversions, the relevant shares were not issued at the same time, as the share lending arrangements provided for under the contractual documentation were activated by Mondo TV S.p.A. and Ms. Giuliana Bertozzi, while for certain other conversions the issuance of the relevant shares was initiated in compliance with the limits imposed by applicable regulations.
With reference to the existing position with CLG Capital LLC , reference is preliminarily made to the updates concerning the contractual relationships between the parties already extensively described in the previous monthly disclosure, which are set out again below and supplemented in light of subsequent developments.
The relationship with CLG originates from the Subscription Agreement relating to the convertible bond entered into in November 2023 and subsequently amended by means of a first addendum executed on 9 June 2025 . Such first amendment agreement provided, inter alia, for the settlement of certain reciprocal positions, including a partial reduction of the Company’s debt exposure, subject to the timely fulfilment of the obligations imposed on the parties.
During the first half of 2026, also in view of the complex financial environment in which the Company operated while implementing the restructuring process, it was not possible to complete, within the originally envisaged timeframe, certain obligations contemplated under the previous addendum, with particular reference to the activities relating to the issuance and delivery of new shares to service the conversions already carried out.
As a consequence of these circumstances, during June CLG challenged the failure to complete certain contractual obligations and terminated the effects of the previous settlement arrangement with respect to the component that had been subject to write -off. This resulted in the reinstatement of the relevant debt exposure and the consequent accounting recognition of the increase in the amount payable to CLG, which had already been reflected in the statement of financial position and income statement as of 30 June 2026.
The new contractual framework agreed between the parties in July acknowledges the existence of an overall position still to be settled, comprising the unconverted bond principal and additional components relating to previous conversion transactions, and governs the procedures through which the relationships between the parties are to be progressively settled, also in coordination with the share capital increase planned by the Company.
The new agreement should therefore be considered primarily in terms of its economic and financial rationale , namely as an instrument intended to bring the overall position between the Company and CLG within a comprehensive contractual framework, preventing the issues arising from the failure to complete certain obligations contemplated under the previous agreement from developing into a default formally enforced by the counterparty and, consequently, into litigation potentially resulting in additional costs, charges and cash outflows.
From this perspective, although providing for economic and contractual terms that are more onerous than those originally contemplated , the new agreement has its own economic and financial rationale, as it enabled the Company to pursue a negotiated settlement of the position, preserve corporate liquidity to the extent possible and bring the arrangements for managing the residual exposure and previous conversion transactions within a single contractual framework.
With specific reference to the residual portion of the fourth tranche of the bond that has not yet been converted, CLG is entitled to a compensation fee of up to a maximum of thirty -five per cent, to be settled through the allocation of shares and therefore, should such mechanism be implemented in accordance with the agreements, without a corresponding cash outflow for the Company. Similarly, the new framework provides for the possibility of settling accrued interest relating to prior periods through equity instruments, with the objective of limiting the use of liquid financial resources.
Indeed, the structure of the transaction is predominantly oriented towards the use of equity or equity -
linked instruments , including with respect to the potential conversion of the residual bond principal as part of the share capital increase. In particular, the Second Addendum provides that in principle CLG may convert the residual bond principal, amounting to Euro 1.125 million, into shares issued as part of the share capital increase planned by the Company . Accordingly, at present, this provision does not constitute an irrevocable commitment by CLG to convert the entire amount, but identifies one of the contractually contemplated methods for managing and potentially settling the residual exposure.
The preference for equity settlement mechanisms, where actually implemented, is intended to preserve available financial resources, avoiding, to the extent possible, further cash absorption during the implementation of the Recovery Plan and the capital strengthening process.
Results Achieved Through the New Contractual Framework Further to the information provided in the previous disclosure, the Company notes that the new contractual framework, although providing for the more onerous economic and contractual terms referred to above, has enabled a number of significant results to be achieved for the purposes of the settlement and progressive normalisation of relations with CLG .
Firstly, the negotiated settlement of the position made it possible to avoid the commencement of litigation following the objections raised by CLG as a result of the failure to complete certain obligations contemplated under the previous agreement, with particular reference to the failure to timely issue and deliver part of the shares relating to conversions already carried out.
In the absence of the new agreement, the Company would have remained exposed to the risk of legal action by the counterparty in respect of the overall receivable claimed by CLG, including principal, interest and additional accrued fees, as well as obligations relating to shares not yet issued to service conversions already carried out, for an overall position estimated at approximately Euro 2 million .
Without prejudice to the uncertainty inherently associated with the outcome of any potential litigation, the negotiated settlement therefore made it possible to remove a significant element of uncertainty and avoid the potential costs, charges and financial outflows associated with the commencement of legal proceedings.
Secondly, the new agreement made it possible to define the procedures for completing the issuance and delivery of the shares due to service conversions already carried out, the failure to complete which within the required timeframe had constituted the principal basis for the objections raised by the counterparty.
Following the issuances and deliveries completed in the meantime and taking into account the additional issuance scheduled during September 2026, the process of allocating shares to service previous conversions will be completed. Completion of this process therefore eliminates the principal event of non -compliance that had given rise to CLG’s objections, thereby allowing the regularisation of previous conversion transactions.
Thirdly, the new agreement established a contractual framework for managing the residual exposure relating to the convertible bond, the unconverted principal amount of which is Euro 1.125 million , together with interest, returns and other amounts contractually provided for.
As described above, the agreement provides, in principle , for the possibility that these components may be settled, in whole or in part in accordance with the mechanisms contractually provided for, through equity instruments as part of the share capital increase. The possible implementation of such settlement method would limit the corresponding cash absorption and preserve the Company’s financial resources during the implementation of the Recovery Plan, it being understood that this provision should not be interpreted as an irrevocable commitment already undertaken by CLG to convert the entire exposure.
Finally, the new contractual framework confirmed and strengthened the Company’s ability to access the two additional tranches contemplated under the convertible bond programme, for an aggregate amount of Euro 2 million .
Compared with the previous framework, under which the effective availability of the additional tranches was more dependent on the counterparty’s assessment, the new arrangements place their activation to a greater extent within the Company’s control, subject in any event to compliance with the contractual conditions applicable to their disbursement . The provision therefore increases the degree of potential availability of this source of financing compared with the previous contractual framework, without, however, making its disbursement automatic or unconditional.
This represents a potential source of additional financial flexibility for the Company and is also relevant in relation to the assumptions underlying the Recovery Plan, under which the expected financial contribution from this source had prudently been assumed at Euro 1 million , therefore lower than the aggregate amount of the two additional tranches contractually contemplated.
In light of the above, the more onerous economic terms provided for under the new agreement should be considered within the context of the overall negotiated settlement reached with CLG, which made it possible to prevent the contractual disputes from developing into potential litigation, complete the process of regularising previous conversions, establish a framework for managing the residual exposure by giving preference, where feasible, to equity settlement mechanisms, and maintain available to the Company, subject to the conditions contemplated under the agreements, an additional potential source of new financing.
Further Developments During the Period As part of the implementation of the new contractual framework, the disbursement of the new financing contemplated under the Second Addendum, for an aggregate maximum amount of Euro 250 thousand , also continued, with the purpose of supporting the Company’s financial requirements during the period preceding completion of the share capital increase.
As of 31 August 2026, an initial portion of such financing, amounting to approximately Euro 80 thousand , had already been disbursed and is correspondingly reflected in the Company’s current financial indebtedness. The relevant structure provides for repayment in accordance with the contractually agreed procedures and timing, in coordination with the planned completion of the capital strengthening transaction.
During August, further activities relating to the reconciliation of the reciprocal accounting positions with CLG were also completed. In this context, accrued interest and fees amounting to approximately Euro 71 thousand were recognised and offset against the current financial receivable previously recognised by the Company towards the counterparty. As a result of such offsetting, the aforementioned receivable was reduced to zero as of 31 August 2026, as already reflected in the analysis of the Company’s net financial position.
Finally, with reference to the share lending arrangements, subsequent to the reporting date of this disclosure, on 4 September 2026 , pursuant to the Master Share Lending Agreement entered into on 16 November 2023 among Mondo TV S.p.A., Ms. Giuliana Bertozzi and CLG Capital LLC, and in implementation of the provisions of the new contractual framework with CLG, an additional 5,000,000 ordinary shares of Mondo TV were transferred on loan to CLG.
Such transfer represents a second tranche in addition to the 5,000,000 shares previously transferred on loan and therefore brings the total number of Mondo TV ordinary shares transferred on loan to CLG under the aforementioned agreement to 10,000,000 shares .
The use of share lending arrangements forms part of the overall mechanism contemplated under the agreements with CLG to ensure the availability of the shares required to service conversion transactions within the contractually agreed timeframe, pending completion of the corporate actions required for the issuance of the relevant shares.
Overall, the Company therefore believes that the new contractual framework with CLG, although forming part of a contractual arrangement that is more onerous than originally contemplated , has made it possible to bring the issues previously arising in the relationship between the parties within a defined negotiated framework, continue the process of regularising previous conversions, establish
arrangements for managing the residual exposure aimed, where possible, at preserving the Company’s liquidity, and maintain access to further potential sources of financing in support of the implementation of the Plan.
It remains understood that implementation of the non -standard convertible bond plan entails a certain dilutive effect, which cannot currently be quantified , on the interests held by the Company’s existing shareholders, the extent of which will depend, in particular, on the portion of the Company’s share capital that may ultimately be subscribed by CLG following conversion of the Bonds.
There also remains a risk of a potential adverse effect on the share price during the transaction in the event that the subscriber to the bond sells on the market the shares received upon conversion.
It should be noted that, in respect of certain conversions, the corresponding shares were not issued simultaneously, as the share lending arrangements provided for under the relevant contractual documentation were activated by Mondo TV S.p.A. and Giuliana Bertozzi, while, in respect of certain other conversions, the issuance of the relevant shares is currently being implemented in compliance with the limits imposed by applicable laws and regulations.
With reference to the position with CLG Capital LLC , during July 2026 certain developments occurred in the contractual arrangements between the parties, as described below.
The relationship with CLG originates from the Subscription Agreement relating to the convertible bond entered into in November 2023 and subsequently amended by a first addendum executed on 9 June 2025 . Under such first amendment agreement, the parties provided, inter alia, for a settlement of certain reciprocal positions, including a partial reduction of the Company’s outstanding indebtedness, subject to the timely fulfilment of the obligations undertaken by the parties.
During the first half of 2026, also in light of the complex financial environment in which the Company operated while implementing its restructuring process, it was not possible to complete, within the originally agreed timeframe, certain obligations contemplated under the previous addendum, particularly those relating to the issuance and delivery of new shares.
As a consequence of these circumstances, during June CLG challenged the failure to complete certain contractual obligations and caused the effects of the previous settlement arrangement to cease with respect to the amount that had been subject to the write -off. This resulted in the reinstatement of the related indebtedness and the consequent accounting recognition of the increase in the amount due to CLG, which had already been reflected in the Company’s financial position and results as of 30 June 2026.
The new contractual framework agreed between the parties in July acknowledges the existence of an overall outstanding position still to be settled, comprising the unconverted bond principal and additional components relating to previous conversion transactions. The agreement expressly provides for a structured settlement of such position in connection with the implementation of the Company’s share capital increase.
The new agreement should therefore be assessed primarily in terms of its economic and financial rationale , namely as an instrument aimed at bringing the overall position between the Company and CLG within a comprehensive contractual framework, thereby preventing the issues arising from the failure to complete certain obligations under the previous agreement from developing into a formal event of default enforced by the counterparty and, consequently, into litigation that could result in additional costs, charges and cash absorption.
From this perspective, although the agreement provides for economic terms that reflect the changed negotiating context and cannot be regarded as particularly favourable to the Company, it has its own economic rationale, as it enables the Company to pursue a negotiated settlement of the position while preserving, to the extent possible, its available liquidity (in particular, with reference to the outstanding portion of the fourth tranche of the bond that has not yet been converted, CLG is entitled to a comp ensation fee of up to thirty -five per cent, to be settled exclusively through the allocation of shares,
without therefore requiring any cash outflow by the Company; similarly, all accrued interest relating to prior periods will be settled entirely in equity, resulting in a significant benefit in terms of preserving the Company’s liquidity and, at the same time, having a positive effect on the Company’s capital structure, as the relevant amounts will be settled through equity instruments rather than cash resources).
The structure of the transaction is in fact predominantly based on the use of equity or equity -linked instruments , including through the contemplated conversion of the outstanding bond principal in connection with the share capital increase, thereby reducing the need for immediate cash outflows. In particular, the Second Addendum provides that CLG will, in principle, convert the outstanding bond principal of Euro 1.125 million into shares issued as part of the share capital increase planned by the Company.
The decision to favour equity -based settlement mechanisms is consistent with the objective of preserving the financial resources available to the Company, avoiding further cash absorption during the implementation of the Recovery Plan and the capital strengthening process.
As part of the overall agreement, new financing totalling Euro 250 thousand is also contemplated, structured in the form of bond financing with a bullet repayment following completion of the share capital increase. This component is likewise intended to support the Company’s financing requirements during the period preceding the implementation of the capital strengthening transaction, deferring repayment to a subsequent stage and thereby limiting the immediate impact on cash flows.
Overall, the Company believes that the new contractual framework agreed with CLG, although entered into in a contractual context that is more burdensome than originally contemplated, represents a reasonable solution in the Company’s interest, as it makes it possible to avoid the risk of acceleration of liabilities and litigation, preserve the Company’s liquidity and coordinate the settlement of the outstanding exposure with the broader capital and financial strengthening process.
It should be recalled that the implementation of the non -standard convertible bond plan entails a certain dilutive effect, which cannot currently be quantified, on the shareholdings held by the Company’s existing shareholders.
Such dilutive effect will depend, in particular, on the portion of the Company’s share capital actually subscribed by CLG following the conversion of the Bonds.
There is also a risk of a potential downward effect on the share price during the transaction in the event that the subscriber of the bond sells on the market the shares received upon conversion.
