1 Creactives Group: approvazione delle modifiche al Regolamento del bond non convertibile “CREG – 7% 2024 – 2026 ”, ora denominato “CREG – 6% 2024 – 2027”
Verona, 28 luglio 2026. Creactives Group S.p.A. (“Creactives ” o “Società ”) (ISIN IT0005408593 - ticker: CREG ), società internazionale e PMI Innovativa fiscalmente ammissibile , quotata su Euronext Growth Milan – Segmento Professionale (“Euronext Growth Milan Pro ”), che sviluppa tecnologie di intelligenza artificiale nel campo della Supply Chain, rende noto che l’Assemblea degli obbligazionisti in forma totalitaria e il Consiglio di Amministrazione , riunitisi in data odierna , hanno deliberato le seguenti modifiche – rispetto a quanto già comunicato in data 19 luglio 2024 – al Regolamento del prestito obbligazionario non convertibile “CREG – 7% 2024 – 2026” , ora denominato “CREG – 6% 2024 – 2027” (“Prestito ”):
- durata : fino al 31 dicembre 2027 (“Data di Scadenza ”).
- Data di Pagamento Straordinaria : 31 luglio 2026.
- Data di Pagamento : la Data di Pagamento Straordinaria e la Data di Scadenza .
- tasso di interess e/cedole :
• tasso fisso nominale annuo lordo pari al 7% calcolato sul valore nominale non ancora rimborsato dei Titoli dalla data di emissione alla prima data di pagamento (31 luglio 2025) ;
• tasso fisso nominale annuo lordo pari al 7% calcolato sul valore nominale non ancora rimborsato dei Titoli dalla prima data di pagamento (31 luglio 2025) alla Data di Pagamento Straordinaria (31 luglio 2026);
• tasso fisso nominale annuo lordo pari al 6% calcolato sul valore nominale non ancora rimborsato dei Titoli dalla Data di Pagamento Straordinaria sino alla Data di Scadenza.
- rimborso : fatte salve le ipotesi di rimborso anticipato, il rimborso avverrà alla Data di Scadenza unitamente alla cedola interessi maturata per il relativo periodo di interessi.

Si ricorda che il Consiglio di Amministrazione aveva deliberato in data 19 luglio 2024 , ai sensi di quanto previsto dallo Statuto sociale e per gli effetti degli articoli 2410 e seguenti del Codice Civile, l’emissione, in una o più tranche, del Prestito fino a un massimo di Euro 1.000.000,00 rappresentato da 40 obbligazioni di nominali Euro 25.000,00 cadauna (“ Obbligazioni ”).
Alla data odierna sono state sottoscritte complessivamente 20 obbligazioni per un ammontare complessivo pari a Euro 500.000,00. Si ricorda inoltre che alla prima data di pagamento sono stati corrisposti interessi lordi per Euro 35.000,00 , lo stesso importo verrà corrisposto alla Data di Pagamento Straordinaria .

1 Creactives Group: approval of amendments to the Regulations for the non-convertible bond “CREG – 7% 2024 – 2026” , now named “CREG – 6% 2024 – 2027”
Verona, July 28, 2026 . Creactives Group S.p.A. (“Creactives ” or the “ Company ”) (ISIN IT0005408593 - ticker: CREG ), an international company and fiscally eligible Innovative SME, listed on Euronext Growth Milan – Professional Segment (“Euronext Growth Milan Pro ”), that develops Artificial Intelligence technologies to address real -life business problems in the Supply Chain , announces that the Bondholders ’ Meeting, in its entirety, and the Board of Directors, convened today, have approved the following amendments – as compared to what was previously announced on July 19, 2024 – to the Regulations governing the non -convertible bond issue “CREG – 7% 2024 – 2026” , now named “CREG – 6% 2024 – 2027” (“Loan ”):
- Term : until December 31, 2027 ( “Maturity Date ”).
- Extraordinary Payment Date : July 31, 2026 .
- Payment Date : the Extraordinary Payment Date and the Maturity Date .
- interest rate/coupons :
• a gross annual nominal fixed rate of 7% calculated on the outstanding face value of the Securities from the issue date to the first payment date (July 31, 2025) ;
• a gross annual nominal fixed rate of 7% calculated on the outstanding face value of the Securities from the first payment date (July 31, 2025) to the Extraordinary Payment Date (July 31, 2026);
• a gross annual fixed nominal interest rate of 6% calculated on the outstanding face value of the Securities from the Extraordinary Payment Date t o the Maturity Date .
- redemption : subject to early redemption scenarios, redemption will occur on the Maturity Date together with the interest coupon accrued for the relevant interest period .

Please note that on July 19, 2024, the Board of Directors resolved, in accordance with the provisions of the Bylaws and for t he purposes of Articles 2410 et seq. of the Civil Code, to issue, in one or more tranches, the Loan up to a maximum of Euro 1.000.000,00, consisting of 40 bonds with a par value of Euro 25.000,00 each (“ Securities ”).
To date, a total of 20 bonds have been subscribed for a total amount of Euro 500.000,00 . Please also note that gross interest in the amount of Euro 35.000,00 was paid on the first payment date; the same amount will be paid on the Extraordinary Payment Date.
