CHANGE IN THE INDEPENDENCE STATUS OF A DIRECTOR
The Board of Directors, at its meeting held today, acknowledged that, with effect from July 25, 2026, Ms. Giovanna Luisa Maria Redaelli no longer meets the independence requirement set out in Article 13(c) of Italian Ministerial Decree No. 169/2020 having served for more than nine of the previous twelve years as an independent director of the Group's Italian insurance subsidiaries (Mediolanum Vita S.p.A. and Mediolanum Assicurazioni S.p.A.).
The loss of Ms. Redaelli's independence status does not result in her ceasing to hold office as a Director, as the number of independent Directors currently serving on the Board (9 out of 13) remains above the minimum required under the applicable regulati ons. Furthermore, Ms. Redaelli will continue to serve as a member of the Nomination and Governance Committee, as the composition of the Committee remains fully compliant with the applicable regulatory and self-regulatory provisions.
