CLARIFICATION REGARDING RECENT MEDIA COVERAGE
Marina di Carrara, Carrara, 2 4 July 2026 - The Italian Sea Group S.p.A. (“TISG ” or the “Company ”), a global operator in the luxury yachting industry , with reference to certain recent press reports and further to what has already been officially announced and disclosed in recent weeks, confirms that, as part of the initiatives envisaged under its restructuring plan, it is evaluating the enhancement and potential disposal of the La Spezia Shipyard.
In this regard, discussions are currently underway, with the support of financial advisor Meti Corporate Finance, with potential interested parties. At present, no binding agreement has been executed, nor have any exclusive negotiations been initiated.
Any potential disposal transaction will be subject to the authorization of the competent Judicial Authority, as required under the applicable regulations governing the pending proceedings pursuant to Article 44 of the Italian Code of Business Crisis and In solvency (CCII), and will be carried out with the objective of maximizing the value of the assets in the best interests of the Company and its stakeholders.
The Company also announces that it has received the results of the independent forensic investigation conducted by KPMG, which was appointed on March 2, 2026. The findings have been submitted to the Board of Directors, the Board of Statutory Auditors, and the competent Authorities for their respective assessments.
The Company will continue to provide the market with timely updates on the developments of the proceedings, in compliance with the applicable regulations.
