Campobasso, 29 settembre 2026 – Il Consiglio di Amministrazione di Energy Time S.p.A. (“Energy Time ” o la “Società”), attiva nel settore delle energie rinnovabili nel ruolo di D-EPC-OM (Development, Engineering, Procurement, Construction, Operation & Maintenance), si è riunito in data odierna e ha approvato la relazione finanziaria semestrale consolidata al 30 giugno 2026, volontariamente sottoposta a revisione contabile limitata.

PRINCIPALI RISULTATI CONSOLIDATI AL 30 GIUGNO 2026
Il primo semestre 2026 evidenzia una crescita significativa su tutti gli indicatori economici, confermando il percorso di sviluppo intrapreso e l’efficacia delle azioni adottate dal management.
Il Valore della Produzione è pari a €11,5 milioni , registrando un balzo del +82,3% rispetto a €6,3 milioni realizzati nel primo semestre 2025, di cui €3,0 milioni di “Variazioni delle rimanenze di prodotti in corso di lavorazione, semilavorati e finiti” legati alle commesse di impianti fotovoltaici in corso di realizzazione (€-0,4 milioni nel primo semestre 2025) ed €8,2 milioni di Ricavi delle vendite, in crescita del 28% rispetto a €6,4 milioni del primi semestre 2025.
Si incrementa in modo più rilevante la redditività con l’ EBITDA che si attesta a €1,8 milioni, in crescita del +368% rispetto al primo semestre 2025 (€0,4 milioni), con un EBITDA margin che sale al 15,6% rispetto al 6,1% del primo semestre 2025, quale risultato della scalabilità del business e l’efficienza nella gestione delle commesse. In occasione della semestrale 2025 si era fatto notare come si fosse assistito ad una inversione di tendenza rispetto allo stesso periodo del 2024, che lo vedeva negativo (-12% ed €-0,59 milioni) con una percentuale di crescita molto elevata e sostanzialmente sovrapponibile sia al 2025/2024 sia al 2024/2023 (+166,3% 2024vs2023 rispetto a +166,2% 30 giugno 2025 vs 30 giugno 2024), a dimostrazione che non si trattava di fattori esogeni ma di una migliore organizzazione aziendale e razionalizzazione delle risorse e dei costi.
Si ricorda inoltre che il business del Gruppo presenta una storica stagionalità, caratterizzata da una maggiore concentrazione delle attività nella seconda parte dell’esercizio, in coerenza con le dinamiche operative e di avanzamento delle commesse.
Dopo ammortamenti e svalutazioni pari a €0,2 milioni (€0,1 milioni al 30 giugno 2025) si registra un EBIT pari a €1,6 milioni, in crescita del +452% rispetto a € 0,3 milioni al 30 giugno 2025.
Il primo semestre 2026 si chiude con un Utile netto pari €1,1 milioni , in deciso miglioramento ( +349%) rispetto a €0,2 milioni conseguiti nel primo semestre 2025.
L’Indebitamento Finanziario Netto al 30 giugno 2026 si attesta a €6,6 milioni (debito netto), rispetto a €2,3 milioni al 31 dicembre 2025. Tale dinamica riflette principalmente il maggiore fabbisogno finanziario connesso alla significativa crescita dell’attività e all’avanzamento delle commesse in portafoglio, che ha determinato un incremento del capitale circolante netto, passato da €12,7 milioni al 31 dicembre 2025 a €18,1 milioni al 30 giugno 2026, nonché il ricorso a nuovi finanziamenti a supporto dello sviluppo operativo del Gruppo.
Al 30 giugno 2026 Patrimonio Netto è pari a €15,7 milioni , in aumento rispetto a €14,6 milioni al 31 dicembre 2025 quale conseguenza dell’utile di periodo.
Si ricorda che al 31 dicembre 2025, Energy Time ha un backlog di commesse da completarsi entro il 2027, di potenza complessiva di 242 MW e un controvalore di circa €125 milioni, in costante aggiornamento.
PRINCIPALI EVENTI AVVENUTI NEL CORSO DEL PRIMO SEMESTRE 2026
In data 18 febbraio la Società ha comunicato la sottoscrizione di nuovi contratti da EPC per la realizzazione di impianti fotovoltaici in Sicilia e Molise per complessivi 40 MWp e un controvalore pari a circa €18 milioni, il cui completamento è previsto nella seconda metà del 2026. La controparte dell'accordo è Nadara (tramite SPV dedicati), produttore di energia rinnovabile e uno dei principali Independent Power Producer (IPP) che possiede e gestisce più di 200 siti energetici in Europa e negli Stati Uniti, con oltre 4 GW di capacità installata e altri 18 GW in fase di sviluppo.
Il 4 maggio l’Assemblea degli Azionisti di Energy Time ha approvato il bilancio di esercizio chiuso al 31 dicembre 2025 e la destinazione riserve del risultato di esercizio (pari a €3,0 milioni).
Il 24 giugno Energy Time ha annunciato il rafforzamento della partnership strategica con Huawei Technologies Italia S.r.l. attraverso Huawei Digital Power, con nuovi ordini di inverter e power station Huawei per complessivi 70 MW registrati al 31 maggio 2026, che si aggiungono agli oltre 100 MW di impianti fotovoltaici con tecnologia Huawei già installati da Energy Time nel precedente biennio.
EVENTI SUCCESSIVI AL PRIMO SEMESTRE 2026 ED EVOLUZIONE PREVEDIBILE DELLA GESTIONE
Il 31 luglio l’assemblea degli Azionisti di Energy Time ha conferito l’incarico di revisione legale dei conti per gli esercizi 2026, 2027 e 2028 alla società RSM Società di Revisione e Organizzazione Contabile S.p.A. e ha nominato il Dott.
Antonio Passarelli quale Sindaco Supplente del Collegio Sindacale , ai fini dell’integrazione del medesimo, con durata in carica sino all’approvazione del bilancio dell’esercizio al 31/12/2027.
La Società continua a dare seguito alla volontà di mantenere elevati gli standard di trasparenza con il mercato tramite il proficuo dialogo con la comunità finanziaria italiana ed estera, così come da programma annunciato ad inizio esercizio.
I positivi risultati conseguiti nella prima parte dell’anno trasmettono ampia fiducia per il prosieguo delle attività, e del trend di crescita registrato, anche nella seconda parte dell’esercizio.
L’evoluzione della gestione sarà prevalentemente incentrata sull’esecuzione del backlog di commesse già sottoscritte (al 31 dicembre 2025 pari a 242 MW per un controvalore di circa €125 milioni) e sull’ulteriore incremento dello stesso tramite nuovi accordi, sfruttando le partnership siglate e le relazioni instaurate.
Il management prosegue inoltre nella valutazione di opportunità volte a rafforzare ulteriormente il posizionamento del Gruppo lungo la catena del valore delle energie rinnovabili, ampliandone progressivamente il perimetro di attività e valorizzando le competenze sviluppate nelle attività di Development, Engineering, Procurement, Construction, Operation & Maintenance.

KEY CONSOLIDATED RESULTS AS OF JUNE 30, 2026
The first half of 2026 recorded significant growth across all key financial indicators, confirming the development path undertaken by the Group and the effectiveness of the actions implemented by management.
Value of Production amounted to €11.5 million , up 82.3% from €6.3 million in the first half of 2025. This includes €3.0 million relating to “Changes in inventories of work in progress, semi-finished and finished products” associated with photovoltaic plant projects currently under construction, compared with €(0.4) million in the first half of 2025, and €8.2 million in sales revenues , up 28% from €6.4 million in the first half of 2025.
Profitability increased at an even faster pace, with EBITDA reaching €1.8 million , up 368% from €0.4 million in the first half of 2025. The EBITDA margin increased to 15.6% , compared with 6.1% in the first half of 2025, reflecting the scalability of the business and greater efficiency in project management.
At the time of the 1H25 results, the Company had highlighted a reversal in the trend compared with the same period of 2024, when EBITDA was negative at €(0.59) million, down 12%. The growth rate was particularly strong and substantially consistent across both 2025 vs. 2024 and 2024 vs. 2023 (+166.3% in 2024 vs. 2023 compared with +166.2% as of June 30, 2025 vs. June 30, 2024), demonstrating that the improvement was not driven by exogenous factors but rather by enhanced organizational efficiency and the rationalization of resources and costs.
It should also be noted that the Group's business has historically been characterized by seasonality, with a greater concentration of activities in the second half of the financial year, consistent with the operational dynamics and progress of projects.
Following depreciation, amortization and impairment charges of €0.2 million (€0.1 million as of June 30, 2025), EBIT amounted to €1.6 million , up 452% from €0.3 million as of June 30, 2025.
The first half of 2026 closed with net profit of €1.1 million , a significant 349% increase compared with €0.2 million achieved in the first half of 2025.
Net Financial Debt as of June 30, 2026 amounted to €6.6 million , compared with €2.3 million as of December 31, 2025.
This change mainly reflects the higher funding requirements associated with the significant growth in business activity and the progress of projects in the order backlog, which resulted in an increase in net working capital from €12.7 million as of December 31, 2025 to €18.1 million as of June 30, 2026, as well as the use of new financing to support the Group’s operational development.
As of June 30, 2026, shareholders’ equity amounted to €15.7 million , up from €14.6 million as of December 31, 2025, mainly as a result of the profit generated during the period.
As of December 31, 2025, Energy Time had an order backlog of projects to be completed by 2027, with a total capacity of 242 MW and an overall value of approximately €125 million , which is continuously being updated.
KEY EVENTS DURING THE FIRST HALF OF 2026
On February 18, the Company announced the signing of new EPC contracts for the construction of photovoltaic plants in Sicily and Molise, with a total capacity of 40 MWp and an overall value of approximately €18 million , with completion scheduled for the second half of 2026. The counterparty to the agreement is Nadara (through dedicated SPVs), a renewable energy producer and one of the leading Independent Power Producers (IPPs), owning and operating more than 200 energy sites across Europe and the United States, with more than 4 GW of installed capacity and a further 18 GW under development.
On May 4, the Shareholders’ Meeting of Energy Time approved the financial statements for the year ended December 31, 2025 and the allocation to reserves of the profit for the year, amounting to €3.0 million .
On June 24, Energy Time announced the strengthening of its strategic partnership with Huawei Technologies Italia S.r.l. , through Huawei Digital Power, with new orders for Huawei inverters and power stations totaling 70 MW as of May 31, 2026. These add to the more than 100 MW of photovoltaic plants using Huawei technology already installed by Energy Time over the previous two years.
EVENTS AFTER THE FIRST HALF OF 2026 AND OUTLOOK
On July 31, the Shareholders’ Meeting of Energy Time appointed RSM Società di Revisione e Organizzazione Contabile S.p.A. as the independent statutory auditor for the 2026, 2027 and 2028 financial years and appointed Dr. Antonio Passarelli as Alternate Statutory Auditor, in order to complete the Board of Statutory Auditors, with his term of office running until approval of the financial statements for the year ending December 31, 2027.
The Company continues to pursue its commitment to maintaining high standards of transparency with the market through constructive dialogue with the Italian and international financial community, in line with the program announced at the beginning of the financial year.
The positive results achieved in the first part of the year provide strong confidence in the continuation of operations and the growth trend recorded during the second half of the financial year.
The Group’s business development will focus primarily on the execution of the existing order backlog (as of December 31, 2025, amounting to 242 MW with an overall value of approximately €125 million ) and on further increasing the backlog through new agreements, leveraging existing partnerships and established business relationships.
Management is also continuing to assess opportunities aimed at further strengthening the Group’s positioning across the renewable energy value chain, progressively expanding the scope of its activities and leveraging the expertise developed across Development, Engineering, Procurement, Construction, Operation & Maintenance .
