Si rende noto che, dalla data odierna, è disponibile al pubblico , presso la sede sociale, Via Feltrina Centro n. 16, 31044 in Biadene di Montebelluna (TV) e presso il meccanismo di stoccaggio eMarket Storage (www.emarketstorage.it ) la Relazion e Illustrativ a degli Amministratori Redatta ai sensi degli artt. 125 -ter TUF, 72 del Regolamento Emittenti e 2441, comma 6, c.c., in conformità agli Schemi 2 e 3 dell'Allegato 3A al Regolamento Emittenti , unitamente al la Relazione della società di revisione sul prezzo di emissione delle azioni relative all’aumento di capitale sociale con esclusione del diritto di opzione ai sensi dell’articolo 2441, quinto e sesto comma, del Codice Civile e dell’articolo 158, primo comma, del D.Lgs. 58/1998 e al parere del Collegio Sindacale , di cui alla p arte straordinaria della prossima Assemblea Ordinaria e Straordinaria degli Azionisti di Geox S.p.A.

FILING OF THE DIRECTORS’ REPORT ON THE ITEMS OF EXTRA -ORDINARY PART OF THE
ORDINARY AND EXTRAORDINARY SHAREHOLDERS’ MEETING CALLED ON 13 NOVEMBER
2026
It is announced that, as per today, the Directors’ Report of the Board of Directors pursuant to Art. 125-ter of the “Testo Unico della Finanza” or “TUF” (Italian Consolidated Law on Finance), Art. 72 of the Issuers’ Regulation and Art. 2441, paragraph 6, of the Italian Civil Code, in compliance with Models 2 and 3 of Annex 3A to the Issuers’ Regulation , together with the Report of the Independent Auditors on the issue price of the shares relating to the share capital increase with the exclusion of pre -emption rights pursuant to Article 2441, fifth and sixth paragraphs of the Italian Civil Code and Article 158, first paragraph, of Legislative Decree 58/1998 , and with the Statutory Auditors ’ Report , referred to the extra -ordinary agenda of the Ordinary and Extraordinary Shareholder’s meeting of Geox S.p.A. to be held on single call for November 13th, 2026 is available at the Company’s registered office, Via Feltrina Centro n. 16, 31044 in Biadene di Montebelluna (TV) as well as on the authorized storage mechanism eMarket Storage ( www.emarketstorage.it ).
