L’ASSEMBLEA ORDINARIA DEGLI AZIONISTI APPROVA IL BILANCIO DI ESERCIZIO AL
31 DICEMBRE 2025 E LA DESTINAZIONE DEL RISULTATO DI ESERCIZIO
Messina (ME) – 30 luglio 2026 - Misitano & Stracuzzi S.p.A., uno dei principali operatori italiani business to business (B2B) attivo a livello internazionale nella creazione, produzione e commercializzazione di essenze agrumarie prevalentemente di origine naturale e in misura minore nella produzione di succhi di agr umi (“M&S” o la “Società ”), quotato sul mercato Euronext Growth Milan , comunica che, in data odierna, si è riunita in sede ordinaria l’Assemblea degli Azionisti, in prima convocazione , delibera ndo favorevolmente in merito a tutti i punti all ’ordine del giorno .
L’Assemble a ha approvato all’unanimità il bilancio d’esercizio al 31 dicembre 2025, che evidenzia un utile di Euro 96 mila , integralmente destinato alla riserva di utili a nuovo .
L’Assemblea ha altresì preso atto del bilancio consolidato del Gruppo al 31 dicembre 202 5, che evidenzia i seguenti principali dati contabili:
• Ricavi di vendita Euro 85,9 milioni , in crescita del 17,9% rispetto all’esercizio precedente (Euro 72,8
milioni) ;
• EBITDA pari a Euro 3,5 milioni ; EBIT pari a Euro 1,6 milioni e Risultato consolidato negativo pari a Euro 319 mila .
*** Si rammenta che il Top Management ha sottoposto alle banche finanziatrici una proposta organica di “Manovra finanziaria”, volta a sostenere il percorso di riequilibrio della struttura finanziaria della Società.
Le interlocuzioni con gli istituti finanziatori , condotte con il supporto di advisor finanziari e legali di primario standing incaricati dalla Società, nonché di un advisor legale nominato dal ceto bancario, sono proseguit e in modo continuativo e alcuni degli istituti coinvolti, alla data del presente comunicato, hanno già adottato le relative deliberazioni . Gli Amministratori ritengono ragionevole il positivo completamento del processo di finalizzazione della Manovra , mediante la sottoscrizione de lla relativa contrattualistica , entro il mese di settembre 2026 .

THE ORDINARY SHAREHOLDERS' MEETING APPROVES THE STATUTORY FINANCIAL
STATEMENTS AS AT 31 DECEMBER 2025 AND THE ALLOCATION OF THE YEAR'S
RESULT
Messina (ME), Italy – 30th July, 2026 – Misitano & Stracuzzi S.p.A. ("M&S " or the " Company "), one of Italy's leading business -to-business (B2B) operators with an international presence in the creation, production and marketing of predominantly natural citrus essential oils and, to a lesser extent, citrus juices, listed on Euronext Growth Milan, announces that the Ordinary Shareholders' Meeting, held today on first call, approved all items on the agenda.
The Shareholders' Meeting unanimously approved the statutory financial statements for the year ended 31 December 2025 , which reported a net profit of Euro 96 thousand , to be entirely allocated to retained earnings.
The Shareholders' Meeting also acknowledged the consolidated financial statements of the Group for the year ended 31 December 2025, whose key financial highlights are as follows:
• Revenue: Euro 85.9 million, up 17.9% compared with the previous financial year (Euro 72.8 million);
• EBITDA: Euro 3.5 million; EBIT: Euro 1.6 million and consolidated negative net result of Euro 319 thousand.

As previously announced, the Company's Top Management has submitted to its lending banks a comprehensive financial restructuring plan aimed at supporting the rebalancing of the Company's financial structure.
Discussions with the lending institutions, conducted with the assistance of leading financial and legal advisors appointed by the Company, as well as a legal advisor appointed by the banking syndicate, have continued on an ongoing basis. As of the date of this press release, several of the lending institutions have already approved the proposed measures. The Directors reasonably expect the financial restructuring process to be successfully completed through the execution of the relevant contractual documentation by September 2026.
