▪ Investimenti pari a 718 milioni di euro , in crescita del 5% rispetto al primo semestre dell’anno precedente, di cui circa il 70% relativo a progetti di sviluppo per il potenziamento ed efficientamento delle reti di distribuzione elettrica, per l ’ulteriore realizzazione di asset fotovoltaici , nonché per la crescita dei business in ambito Circular Economy.
Il 67% degli investimenti risulta ammissibil e ai fini della Tassonomia Europea , il 59% allineato .
▪ Ricavi Adjusted a 8.425 milioni di euro : +22% rispetto a l prim o semestre del 2025 (6.891 milioni di euro) riconducibile all’aumento delle quantità di energia elettrica intermediate sui mercati all’ingrosso e alla crescita dei volumi venduti sul mercat o retail elettricità .
▪ Margine Operativo Lordo Adjusted a 1.181 milioni di euro , -3% rispetto al primo semestre dell’anno precedente (1.223 milioni di euro) , per l ’incremento dei costi per canoni concessori idroelettrici e il transitorio minor contributo di alcuni impianti di trattamento . Tale andamento è stato in parte compensato dalle maggiori produzioni eoliche e fotovoltaiche , dalla performance positiva dell’attività di trading ed energy management , e dalla crescita del contributo dei business regolati , nello specifico distribuzione elettrica e ciclo idrico .
▪ Utile netto Adjusted a 374 milioni di euro , in riduzione dell’11% rispetto all’analogo periodo del 2025 (419 milioni di euro) , a seguito dell a contrazione del Margine Operativo Lordo Adjusted e dell'incremento degli ammortamenti per i maggiori investimenti realizzati .
▪ Posizione Finanziaria Netta a 5.786 milioni di euro (5.474 milioni di euro al 31 dicembre 2025), con un flusso di cassa operativo in grado di coprire gli investimenti di periodo. Rapporto PFN/EBITDA Rolling Adjusted , pari a 2,6x (2,4x al 31 dicembre 2025).
▪ S&P Global migliora la valutazione del business risk profile di A2A da “Satisfactory” a “Strong” grazie alla continua crescita di investimenti “green”, in particolate nelle energie rinnovabili e nella distribuzione elettrica, e alla stabilità del flusso di cassa generato da attività regolate e contrattualizzate a lungo termine. Il miglioramento del business risk profile ha comportato anche la revisione delle soglie del ratio FFO/Debito Netto a 20% -26% dal precedente 24% -30%.
Confermato inoltre il rating BBB di lungo termine e l’outlook "stable” .
▪ La quota di debito sostenibile sul totale debito lordo al 30 giugno 2026 risulta pari all’ 82% .
▪ 2,7 GW di capacità installata FER1, in aumento del 5% rispetto all’analogo periodo del 2025 , grazie all’ingresso in esercizio di nuovi impianti eolici e fotovoltaici.

2 ▪ 15,9 TWh di elettricità venduta sui mercati retail , in crescita del 24% rispetto al primo semestre 2025 guidat a in particolare dal segmento B2B, di cui 5,4 TWh di elettricità verde venduta , in crescita del 11% rispetto al primo semestre 2025 .
▪ Siglato con Equinix un accordo finalizzato al recupero e alla valorizzazione del calore generato dai data center , che sarà integrato nella rete di teleriscaldamento della città di Milano. Il progetto rappresenta una delle più significative iniziative di economia circolare applicata alle infrastrutture digitali in Italia che, a regime, consentirà di recuperare circa 225 GWh/anno di energia termica , sufficienti a soddisfare il fabbisogno di oltre 21.000 abitazioni .
Brescia , 30 luglio 202 6 - Si è riunito oggi il Consiglio di amministrazione di A2A S.p.A. che, sotto la Presidenza di Roberto Tasca , ha esaminato e approvato la Relazione Finanziaria Semestrale al 30 giugno 2026.
“I risultati del primo semestre 2026 confermano la solidità del nostro modello industriale e la tenuta dei fondamentali economico -finanziari del Gruppo . In un contesto di perdurante incertezza dei mercati energetici e dello scenario geopolitico internazionale, abbiamo continuato a garantire una performance robusta, traducendo gli obiettivi del Piano Strategico in risultati concreti e confermando il nostro impegno nella transizione ecologica. La crescita degli investimenti, saliti del 5% rispetto allo stesso periodo del 2025 a 718 milioni di euro, insieme all'incremento della capacità installata da fonti rinnovabili e all'aumento dell'energia green venduta, testimonia il contributo di A2A al pr ocesso di decarbonizzazione del Paese. Si sta concretizzando la strategia sui data center delineata lo scorso novembre: abbiamo già la disponibilità delle aree per i primi due progetti e sono in fase di avvio gli iter autorizzativi. Guidance
Le previsioni sull’esercizio 2026 confermano un EBITDA Adjusted compreso tra 2,21 e 2,25 miliardi di euro e un Utile Netto di Gruppo Adjusted , compreso tra 0,63 -0,66 miliardi di euro.

4 Commento alla performance H1 2026
Ricavi Adjusted
Nel primo semestre del 2026 i Ricavi Adjusted del Gruppo sono pari a 8.425 milioni di euro, in aumento del 22% rispetto all’anno precedente ( 6.891 milioni di euro). La variazione è riconducibile all’aumento delle quantità di energia elettrica intermediate sui mercati all’ingrosso e alla crescita dei volumi venduti sui mercati retail elettricità.
Costi operativi e costo del personale
I costi operativi si attestano a 6.761 milioni di euro, in crescita del 30% rispetto al primo semestre del 2025 , per i maggiori costi legati all’incremento dei volumi delle commoditi es energetiche .
Il costo del personale, pari a 483 milioni di euro , aumenta del 4% rispetto allo stesso periodo dell’anno precedente , circa 18 milioni di euro . L’incremento è riconducibile alla crescita del numero di FTE (+179 FTE), legato alle assunzioni effettuate nel corso del 2025 e dei primi mesi del 2026, agli sviluppi dei business e all’avvio di nuove gare nel comparto Raccolta rifiuti , in parte compensati dalla cessione del ramo gas ad Ascopiave . Il Margine Operativo Lordo Adjusted è pari a 1.181 milioni di euro, in riduzione del 3%, -42 milioni di euro rispetto al 3 0 giugno 2025 (1.223 milioni di euro ), a seguito prevalentemente del minor contributo delle Business Unit Circular Economy e Generazione e Trading , in parte compensat o dalle migliori performance delle Business Unit Smart Infrastructures e Mercato .
Il Margine Operativo Lordo della Business Unit Generazione & Trading è risultato pari a 394 milioni di euro, in riduzione d i 26 milioni di euro rispetto al primo semestre 2025 .
La variazione è principalmente riconducibile ai seguenti contributi:
• entrata in esercizio di nuovi impianti fotovoltaici ed eolici nel 2025 e nei primi mesi del 2026, nonché repowering di asset esistenti;
• positivo andamento del portafoglio di trading e delle azioni di energy management.
Tali effetti sono stati più che compensati da:
• minori produzioni da impianti idroelettrici, a seguito della minore idraulicità registrata negli impianti del Nord Italia, in particolare nei mesi di maggio e giugno , parzialmente compensata dalla maggior idraulicità della Calabria .
• maggiori canoni idroelettrici, in seguito alla Delibera del 30.12.25 di Regione Lombardia che, nel sancire la prosecuzione temporanea delle concessioni scadute, ha rideterminato la potenza nominale media delle concessioni, a valere, in parte, anche sugli a nni pregressi.

Il Margine Operativo Lordo della Business Unit Mercato si è attestato a 232 milioni di euro, in aumento di 3 milioni di euro rispetto al primo semestre dell’esercizio precedente .
Nonostante il contesto competitivo, il Margine Operativo Lordo è in crescita principalmente per effetto del contributo positivo del mercato elettrico, che nel confronto con l’anno precedente ha beneficiato di minori oneri di retention e di maggiori volumi venduti (15,9 TWh, + 3,1 TWh rispetto al l’H1 2025), relativi in particolare al segmento grandi clienti, in parte compensati da una minore marginalità.
Il Margine Operativo Lordo Adjusted della Business Unit Circular Economy è risultato pari a 293 milioni di euro, in riduzione di 29 milioni di euro rispetto al primo semestre 2025 .
La variazione è principalmente attribuibile al:
• settore del trattamento rifiuti in calo di 27 milioni di euro, per la minore marginalità derivante dal nuovo contratto di servizio con la Regione Campania per la gestione del termovalorizzatore di Acerra, per il minor contributo del termovalorizzatore di Parona e di alcuni impianti di trattamento, principalmente per manutenzioni programmate e accidentali e minori conferimenti rifiuti;
• comparto raccolta in contrazione di 5 milioni di euro, per maggiori costi per servizi ambientali e carburante destinato agli automezzi;
• comparto calore in riduzione di 5 milioni di euro, per minori ricavi da vendita calore e certificati
bianchi;
• comparto ciclo idrico in aumento di 8 milioni di euro, prevalentemente per maggiori ricavi ammessi e allineamento del lag regolatorio relativo alla quota a copertura degli ammortamenti.
Il Margine Operativo Lordo della Business Unit Smart Infrastructures del periodo in esame è risultato pari a 285 milioni di euro , in aumento di 9 milioni di euro rispetto al primo semestre 2025 .
La crescita è principalmente attribuibile all’aumento dei ricavi regolati della distribuzione elettrica, per effetto dell’applicazione del metodo tariffario ROSS, alla crescita organica della RAB e all’ allineamento del lag regolatorio.
Tale variazione positiva è stata in parte compensata dagli effetti della cessione del ramo gas relativo alle Province di Brescia, Cremona, Bergamo, Pavia e Lodi, perfezionata nel luglio 2025, nonché dal riconoscimento avvenuto nel corso del 2025, dei ricav i a copertura dei costi operativi per gli anni 2020 -
2024 nel comparto distribuzione gas .
Risultato Operativo Netto Adjusted
Il Risultato Operativo Netto Adjusted si attesta a 641 milioni di euro, in riduzione del 10%, rispetto allo stesso periodo del 202 5 (709 milioni di euro). La variazione è riconducibile principalmente alla flessione del Margine Operativo Lordo Adjusted e all’incremento degli ammortamenti e svalutazioni per 21 milioni di euro , dovuto principalmente ai maggiori investimenti realizzati .
Oneri Finanziari Netti
Gli Oneri Finanziari Netti risultano pari a 87 milioni di euro, in aumento rispetto agli 85 milioni di euro dell’esercizio precedente, con un costo del debito invariato rispetto al 2025 e pari al 2,7% .
Imposte Adjusted
Le Imposte Adjusted si attestano a 165 milioni di euro, in riduzione di 19 milioni di euro rispetto al primo semestre del 2025 per una minore base imponibile, con un tax rate del 29,5%.
Utile Netto Adjusted
L’Utile Netto Adjusted di pertinenza del Gruppo è pari a 374 milioni di euro, in riduzione dell’11% rispetto al

(*) I valori al 30 giugno 2025 sono stati riesposti per renderli omogenei con i valori al 30 giugno 2026 per recepire alla voce "ammortamenti" (+9 milioni di euro) e "imposte sui redditi" ( -2 milioni di euro) gli effetti della Purchase Price Allocation avvenuta al 31 dicembre 2025 per l'acquisizione di Duereti S.r.l.. I valori al 30 giugno 2025 recepiscono inoltre la riclassifica alla voce "ricavi" degli effetti dell'aggiustamento prezzo per l'acquisizione dell a partecipazione in Tecno A (WTE Crotone) avvenuta nel 2021 in coerenza con quanto esposto nel conto economico del bilancio al 31 dicembre 2025 (+7 milioni di euro) e l'iscrizione del Badwill per la conclusione della Purchase Price Allocation per l'acquisizione di Biomax S.r.l. Gli Special Items al 30 giugno 2026 sono negativi e pari a 10 milioni di euro, iscritti nella voce “imposte” e si riferiscono all’incremento temporaneo pari a +2% dell’aliquota IRAP, introdotto con il “Decreto Energia n.
21/2026” previsto nei confronti delle imprese che operano in determinati settori del comparto en ergetico.
Al 30 giugno 2025 gli Special Items risultavano positivi e pari a 8 milioni di euro complessivi e si riferivano principalmente all’aggiustamento prezzo per l’acquisizione della partecipazione in TecnoA (WtE Crotone) avvenuta a fine 2021.
Investimenti
Nel primo semestre del 2026, gli investimenti sono cresciuti del 5% rispetto allo stesso periodo del l’anno precedente, attestandosi a 718 milioni di euro . Circa il 70% è relativo ad interventi di sviluppo, principalmente finalizzati al potenziamento ed efficientamento delle reti di distribuzione, soprattutto elettrica, all’ulteriore realizzazione di asset fotovoltaici , alla crescita dei business legati alla Circular Economy (sviluppo termovalorizzatori, impianti finalizzati al recupero di materia e alla produzione di bioenergie e biometano , mezzi per la Raccolta rifiuti funzionali a nuove gare vinte ) e alla digitalizzazione del Gruppo , nonché alla realizzazione della nuova sede aziendale a Milano .

Gli investimenti della Business Unit Generazione e Trading sono risultati pari a 80 milioni di euro (133 milioni di euro nel primo semestre del 2025). Sono stati effettuati interventi di sviluppo per 50 milioni di euro, di cui circa 36 milioni di euro relativi ad impianti fotovoltaici ed eolici finalizzati ad acce lerare la crescita della generazione da fonti rinnovabili e circa 13 milioni di euro per interventi su impianti termoelettrici a ciclo combinato (nuovo CCGT di Monfalcone).
Circa 30 milioni di euro hanno riguardato attività di manutenzione straordinaria, di cui principalmente 18 milioni di euro per gli impianti termoelettrici e 7 milioni di euro per i nuclei idroelettrici e gli impianti fotovoltaici.
Gli investimenti della Business Unit Mercato si sono attestati a 59 milioni di euro (55 milioni di euro nel primo semestre del 2025) e hanno riguardato:
▪ il comparto Energy Retail con 56 milioni di euro per oneri capitalizzati di acquisizione di nuovi clienti e per interventi di manutenzione evolutiva e di sviluppo delle piattaforme Hardware e Software, finalizzati al supporto delle attività di fatturazione e gestione clienti delle società di vendita del
Gruppo;
▪ il comparto Energy Solutions con 3 milioni di euro per progetti di efficienza energetica.
Gli Investimenti della Business Unit Circular Economy si sono attestati a 240 milioni di euro ( 189 milioni di euro nel primo semestre del 2025 ) e hanno riguardato:
▪ per 117 milioni di euro il comparto di trattamento rifiuti, per interventi di mantenimento e sviluppo relativi ai termovalorizzatori per 55 milioni di euro, di cui 30 milioni di euro dedicati allo sviluppo del nuovo termovalorizzatore di Corteolona, e ad a ltri impianti di trattamento, quali biomasse e bioenergie, recupero materia e FORSU per 62 milioni di euro;
▪ per 63 milioni di euro il comparto teleriscaldamento e gestione calore, per interventi di manutenzione e sviluppo della rete di distribuzione del calore e nuovi allacci;
▪ per 34 milioni di euro il comparto ciclo idrico integrato, per attività di manutenzione e sviluppo della rete di trasporto e distribuzione dell’acqua, nonché per interventi e rifacimenti delle reti fognarie e degli impianti di depurazione;
▪ per 26 milioni di euro il comparto raccolta rifiuti , relativi all’acquisto dei mezzi per l’avvio delle nuove concessioni.
Gli Investimenti della Business Unit Smart Infrastructures sono risultati pari a 241 milioni di euro ( 258 milioni di euro nel primo semestre del 2025 ) e hanno riguardato principalmente :
▪ per 173 milioni di euro il comparto distribuzione energia elettrica: allacciamento di nuovi utenti, telecontrollo, interventi su impianti primari e cabine secondarie, interventi sulla rete in media e bassa
tensione;
▪ per 54 milioni di euro il comparto distribuzione gas: sostituzione di tubazioni in media e bassa pressione, rinnovo prese e colonne montanti, sviluppo cabine di primo e secondo salto e manutenzioni contatori gas;
▪ per 9 milioni di euro il comparto e -mobility con l’installazione di nuove colonnine di ricarica;
▪ per 5 milioni di euro complessivi Smartcity e il comparto illuminazione pubblic a
8 Posizione Finanziaria Netta
La Posizione Finanziaria Netta al 30 giugno 2026 risulta pari a 5.786 milioni di euro (5.474 milioni di euro al 31 dicembre 2025). Escludendo la variazione di perimetro intervenuta nell’arco del periodo in esame, pari a -2 milioni di euro, e l’acquisto di azioni proprie pari a -15 milioni di euro, la PFN si attesta a 5.769 milioni di euro. La quota a tasso fisso dell’indebitamento lordo è pari al 68%. La duration è pari a 5,1 anni. Il costo del debito rimane invariato rispetto al 2025 e pari al 2,7%.
Nel corso del periodo il Gruppo ha generato flussi di cassa operativi pari a 749 milioni di euro, che hanno garantito la piena copertura degli investimenti del periodo. Con riferimento alle voci diverse dall’Ebitda
Adjusted:
• la variazione di Capitale Circolante Netto (comprensiva della variazione di altre attività/passività e dell’utilizzo fondi) ha comportato un assorbimento di cassa di 287 milioni di euro, principalmente riconducibile a due fenomeni one off quali la riduzion e dei tempi di pagamento all’autorità di alcuni oneri di sistema, a seguito del DL Bollette, e il pagamento dei canoni demaniali pregressi per le
concessioni idroelettriche;
• il pagamento di imposte e degli oneri finanziari netti ha assorbito cassa per 145 milioni di euro, in riduzione rispetto al primo semestre dell’anno precedente.
Gli investimenti effettuati nel semestre sono pari a 718 milioni di euro, così come precedentemente descritti, mentre i dividen di sono stati pari a 326 milioni di euro.
Le variazioni di perimetro intervenute nel corso del 2026 risultano negative per 2 milioni di euro, comprensive anche dell’aggiustamento di prezzo incassato da Ascopiave per la cessione effettuata nel 2025 di alcuni ATEM relativi alla distribuzione del gas per 25 milioni di euro.
Si evidenziano, infine, pagamenti per complessivi 15 milioni di euro in conseguenza dell’acquisto di azioni proprie finalizzato all’attuazione del piano di azionariato diffuso approvato dall’Assemblea dei soci di A2A S.p.A. in data 29 aprile 2025.

Situazione patrimoniale

• acquisizione da parte di Ambiente Energia Brianza S.p.A. (AEB S.p.A.) del 100% di Renewable Adventure Cornate D’Adda S.r.l.;
• acquisizione da parte di A2A Rinnovabili S.p.A. del 100% di AREN09 S.r.l.;
• acquisizione da parte di A2A Wind S.r.l. del 100% di Das Wind S.r.l.;
• costituzione delle società AST3 S.r.l. e AST4 S.r.l. detenute per il 100% da A2A Storage S.r.l.;

Capitale Immobilizzato Netto
L’incremento del capitale immobilizzato netto è prevalentemente riconducibile a:
- aumento per 165 milioni di euro per immobili, impianti e macchinari trainato da investimenti per 515 milioni di euro , destinati principalmente allo sviluppo e al mantenimento delle reti elettriche, degli impianti di produzione da fonti rinnovabili, del teleriscaldamento e del trattamento rifiuti e da variazioni positive per effetto dei primi consolidamenti per 9 milioni di euro . Tali incrementi sono stati parzialmente compensat i da ammortamenti del periodo per 319 milioni di euro e da altre variazioni nette negative per 40 milioni di euro , dovut e principalmente alla riduzione del fondo decommissioning e spese chiusura
discariche ;

- decremento delle attività immateriali e avviamento per 27 milioni di euro, principalmente per effetto di investimenti pari a 203 milioni, destinati allo sviluppo dei sistemi informativi, delle reti gas e idriche, e al mantenimento del portafoglio clienti e da variazioni positive per effetto dei primi consolidamenti per 5 milioni di euro . Tali incrementi sono stati più che compensat i da ammortamenti del periodo per 179 milioni di euro e da altre variazioni nette negative per 5 6 milioni di euro dovute principalmente a riclassifiche ad attività destinate alla vendita ;
- incremento delle Partecipazioni e delle altre Attività finanziarie non correnti per 17 milioni di euro riconducibile prevalentemente per 10 milioni di euro all’acquisizione di una partecipazione pari al 9,96 % nella società Niulinx da parte di A2A Life Ventures e per 5 milioni di euro ad investimenti effettuati in start -up innovative tramite progetti di Corporate Venture Capital;
- incremento netto nelle Altre Attività e Passività non correnti per 8 milioni di euro riconducibile prevalentemente all’incremento dei crediti verso l’erario per agevolazioni fiscali previste dai bonus edilizi scadenti oltre l’esercizio successivo ;
- incremento delle Attività per imposte anticipate per 10 milioni di euro;
- decremento dei Fondi rischi, oneri e passività per discariche per 26 milioni di euro;
- decremento dei Benefici ai dipendenti per 6 milioni di euro per effetto di erogazioni del periodo e versamenti previdenziali, al netto degli accantonamenti del periodo.

Il “Capitale Circolante Netto ”, definito quale somma algebrica fra crediti commerciali, rimanenze finali e debiti commerciali è in decremento di 74 milioni di euro rispetto al 31 dicembre 2025 .

Al 30 giugno 2026 le “Rimanenze” sono pari a 352 milioni di euro ( 311 milioni di euro al 31 dicembre 2025), con un incremento di 41 milioni di euro.
La variazione in aumento è riconducibile per 36 milioni di euro all’incremento delle giacenze di combustibili per effetto della stagionalità (le giacenze comprendono le rimanenze di combustibili per la produzione di energia elettrica e le rimanenze di gas per l’attività di vendita e stoccaggio dello stesso) e per 15 milioni di euro per l’aumento delle rimanenze di materiali comprensiv e dell’accantonamento al fondo obsolescenza materiali .

Al 30 giugno 2026 i “Crediti commerciali” risultano pari a 3.087 milioni di euro ( 4.454 milioni di euro al 31 dicembre 2025), con un decremento di 1.367 milioni di euro.
La variazione dei crediti commerciali è riconducibile alla minore operatività legata principalmente alla stagionalità dei business del Gruppo.
Il “Fondo rischi su crediti” è pari a 284 milioni di euro e presenta un incremento netto di 12 milioni di euro rispetto al 31 dicembre 2025 , dovuto ad accantonamenti per 36 milioni di euro e ad utilizzi del periodo per 24 milioni di euro.

Al 30 giugno 2026 i “Debit i commerciali” risultano pari a 3.439 milioni di euro ( 4.691 milioni di euro al 31 dicembre 2025), con un decremento di 1.252 milioni di euro.
Il decremento è principalmente riconducibile alla stagionalità dei business del Gruppo.
Le “Altre attività/passività correnti” presentano un decremento netto pari a 160 milioni di euro rispetto al 31 dicembre 2025. Tale variazione è riconducibile principalmente a:
- decremento netto per 137 milioni di euro dei debiti verso Cassa per i Servizi Energetici e Ambientali;
- incremento netto del Fair Value attivo sui derivati su commodities per 132 milioni di euro riconducibile all’aumento dei volumi trattati e all’incremento dei prezzi delle commodities ;

- decremento d ei crediti per 25 milioni di euro riconducibili ad un aggiustamento di prezzo incassato da Ascopiave per la cessione effettuata nel 2025 di alcuni ATEM relativi alla distribuzione del gas;

Le “Attività/Passività destinate alla vendita ” risultano positive e pari a 48 milioni di euro (nessun valore al 31 dicembre 2025). La variazione si riferisce alla riclassificazione di asset riferiti al Servizio Idrico Integrato dei Comuni di Como e Brunate della società controllata Lereti S.p.A. (40 milioni di euro) e ad asset del servizio di distribuzione Gas del Comune di Sondrio della società controllata Reti Valtellina Valchiavenna S.r.l. (8 milioni di euro) per effetto dei subentri dei nuovi gestori che allo stato si stima avverranno nell’esercizio 2027.
Il “Capitale investito ” consolidato al 30 giugno 2026 ammonta a 12.303 milioni di euro (11.964 al 31 dicembre 2025) e trova copertura nel Patrimonio netto per 6.517 milioni di euro e nella Posizione finanziaria netta per 5.786 milioni di euro.
Il “Patrimonio netto ”, pari a 6. 517 milioni di euro, presenta una movimentazione positiva per complessivi 27 milioni di euro.
Alla variazione positiva ha contribuito il risultato del periodo per 364 milioni di euro, compensato dalla distribuzione del dividendo per 326 milioni di euro e da una variazione in aumento delle interessenze di terzi per complessivi 2 milioni di euro. Si evidenzia, infine, una variazione netta negativa dei derivati Cash flow hedge e delle riserve IAS 19 per complessivi 9 milioni di euro.

14 Indicatori alternativi di performance (AIP)
Nel presente comunicato stampa sono utilizzati alcuni indicatori alternativi di performance (AIP) non previsti dai principi contabili internazionali adottati dall’Unione Europea (IFRS -EU), al fine di consentire una migliore valutazione dell’andamento della gestione economico -finanziaria del Gruppo A2A. In conformità con le raccomandazioni dei nu ovi Orientamenti ESMA pubblicati a luglio 2020 e applicabili a partire dal 5 maggio 2021, di seguito si riportano il significato, il contenuto e la base di calcolo di tali indicatori:
• Ricavi Adjusted: indicatore alternativo di performance operativa, calcolato escludendo dai Ricavi gli Special Items ;
• Margine Operativo Lordo (EBITDA): indicatore alternativo di performance operativa, calcolato come la somma del “Risultato operativo netto” più gli “Ammortamenti, accantonamenti e
svalutazioni”;
• Margine Operativo Lordo Adjusted (EBITDA Adjusted) : indicatore alternativo di performance operativa, calcolato come margine operativo lordo sopra descritto al netto degli Special Items ;
• Margine Operativo Lordo Rolling Adjusted ( EBITDA Rolling Adjusted ): EBITDA Adjusted degli ultimi 12 mesi;
• Special Items: eventi non ricorrenti verificatisi nel periodo che hanno prodotto un effetto sul conto economico consolidato (tra i quali, ad esempio, plusvalenze e minusvalenze, svalutazioni e ripristini di valore da processi di impairment , effetti fiscali straordinari);
• Risultato Operativo Netto Adjusted: indicatore alternativo di performance operativa, calcolato escludendo dal Risultato Operativo Netto gli Special Items ;
• Risultato Netto Adjusted: indicatore alternativo di performance , calcolato escludendo l’impatto derivante dagli special items;
• Posizione finanziaria netta è un indicatore di struttura finanziaria. Tale indicatore è determinato quale risultante dei debiti finanziari correnti e non correnti, della quota non corrente dei Debiti commerciali e altri debiti non remunerati che presentano una significativa componen te di finanziamento implicito (debiti con scadenza oltre 12 mesi), al netto delle disponibilità liquide e mezzi equivalenti e delle attività finanziarie correnti e non correnti (crediti finanziari e titoli diversi da partecipazioni).
• Investimenti: indicatore alternativo di performance utilizzato dal Gruppo A2A quale obiettivo finanziario nell’ambito di presentazioni sia interne al Gruppo ( Business Plan ) sia esterne (presentazioni ad analisti finanziari e agli investitori) e costituisce una utile misurazione delle risorse impiegate nel mantenimento e nello sviluppo degli investimenti del Gruppo A2A.
• M&A : indicatore alternativo di performance utilizzato dal Gruppo A2A per rappresentare l’impatto complessivo a livello patrimoniale delle operazioni di crescita per linea esterna.

A2A, RESULTS AS AT 30 JUNE 2026

S&P Global upgrades A2 A’s business risk profile assessment
▪ Capex of 718 million euro , up 5% compared to the first half of the previous year, of which approximately 70% related to development projects to upgrade and improve the efficiency of electricity distribution grids, for the further construction of photovoltaic assets, as well as for the growth of businesses in the Circular Economy.
67% of capex is eligible under the European Taxonomy , with 59% aligned .
▪ Adjusted revenues of 8,425 million euro : +22% compared to the first half of 2025 (6,891 million euro) driven by the increase in the quantities of electricity brokered on the wholesale markets and the growth in volumes sold on the retail electricity market.
▪ Adjusted EBITDA of 1,181 million euro , -3% compared to the first half of the previous year (1,223 million euro), due to the increase in hydroelectric concession fee costs and the tempora rily lower contribution from some waste treatment plants. This trend was partly offset by higher wind and photovoltaic production, the positive performance of trading and energy management activities, and the growth in the contribution from regulated businesses, specifically electricity distribu tion and water cycle.
▪ Adjusted Net Profit of 374 million euro, down 11% compared to the same period of 2025 (419 million euro), following the reduction in Adjusted EBITDA and the increase in depreciation and amortization due to higher capex deployed.
▪ Net Financial Position at 5,786 million euro (5,474 million euro at 31 December 2025), with operating cash flow covering capex for the period. NFP/ Adjusted Rolling EBITDA ratio of 2.6x (2.4x at 31 December 2025).
▪ S&P Global has upgraded A2A’s business risk profile from “Satisfactory” to “Strong”, reflecting the Group’s continued growth in green investments, particularly in renewable energy and electricity distribution, as well as the stability of cash flows generated by regulated activities and long -term contracted operations. Following the improvement in the business risk profile S&P Global has also revised the FFO/Net Debt ratio thresholds to 20% -26% , from the previous 24% -30%.
S&P Global has confirmed A2A’s long -term rating at BBB, with a “stable” outlook.
▪ The share of sustainable debt on total gross debt as at 30 June 2026 was 82% .
▪ 2.7 GW of RES installed capacity1, up 5% compared to the same period of 2025, thanks to the commissioning of new wind and photovoltaic plants.

▪ Signed an agreement with Equinix for the recovery and reuse of heat generated by data centers , which will be integrated into the district heating network of the city of Milan. The project represents one of the most significant circular economy initiatives applied to digital infrastructure in Italy which, once fully operational, will allow for the recovery of approximately 225 GWh/year of thermal energy , sufficient to meet the needs of over 21,000 homes .

The outlook for FY2026 confirms an Adjusted EBITDA of between 2.21 and 2.25 billion euro and an Adjusted Group Net Profit of between 0.63 -0.66 billion euro.

4 Comments on H1 2026 performance
Adjusted Revenue
In the first half of 2026, the Group's Adjusted Revenue amounted to 8,425 million euro, up 22% compared to the previous year (6,891 million euro). The change is attributable to the increase in the quantities of electricity brokered on the wholesale markets and to the growth in volumes sold on the retail markets in the electricity segment .
Operating expenses and personnel expenses
Operating expenses stood at 6,761 million euro, up 30% compared to the first half of 2025, due to higher costs related to the increase in energy commodity volumes.
Personnel expenses , amounting to 483 million euro , increased by 4% compared to the same period of the previous year, approximately 18 million euro . The increase is attributable to the growth in FTEs (+179 FTEs), linked to the hiring during 2025 and the first months of 2026, to business developments and the launch of new tenders in Waste Collection, partly offset by the sale of gas distribution assets to Ascopiave. In addition to this effect, the growth is attributable to salary increases for contractual renewals and merit.

Adjusted EBITDA amounted to 1,181 million euro, a decrease of 3% ( -42 million euro) compared to 30 June 2025 (1,223 million euro), mainly as a result of the lower contribution from the Circular Economy and Generation & Trading Business Units, partly offset by the better performance of the Smart Infrastructures and Market Business Units.
The EBITDA of the Generation & Trading Business Unit amounted to 394 million euro, a decrease of 26 million euro compared to the first half of 2025.
The change is mainly attributable to the following contributions:
• commissioning of new solar and wind plants in 2025 and in the first months of 2026, as well as the repowering of existing assets;
• positive performance of the trading portfolio and energy management activities.
These effects were more than offset by:
• lower production from hydroelectric plants, due to the lower hydraulicity recorded in the plants in Northern Italy, particularly in May and June, partly offset by higher hydraulicity in Calabria.
• higher hydroelectric concession fees, following the Lombardy Region’s Resolution of 30 December 2025, which, in providing for the temporary extension of expired concessions, revised the average nominal capacity of the concessions, with partial retroactive e ffect on previous years.
5 EBITDA of the Market Business Unit stood at 232 million euro, an increase of 3 million euro compared to the first half of the previous year.
Despite the competitive environment, EBITDA increased mainly due to the positive contribution from the electricity market, which benefited from lower retention charges and higher volumes sold (15.9 TWh, +3.1 TWh compared to H1 2025), particularly in the large -customers segment, partly offset by lower margins.
The Adjusted EBITDA of the Circular Economy Business Unit amounted to 293 million euro, a decrease of 29 million euro compared to the first half of 2025.
The change is mainly attributable to:
• the waste treatment sector, down 27 million euro, due to lower margins from the new service contract with the Campania Region for the management of the Acerra waste -to-energy plant, the lower contribution from the Parona waste -to-energy plant and some trea tment plants, mainly due to scheduled and unscheduled maintenance and lower waste deliveries;
• the collection sector , down 5 million euro, due to higher costs for environmental services and fuel
for vehicles;
• the heat sector , down 5 million euro, due to lower revenues from heat sales and white certificates;
• the water cycle sector , up 8 million euro, mainly due to higher allowed revenues and the alignment of the regulatory lag for the portion covering depreciation.
EBITDA of the Smart Infrastructures Business Unit for the period amounted to 285 million euro, up 9 million euro compared to the first half of 2025.
The growth is mainly attributable to the increase in regulated revenues from electricity distribution, due to the application of the ROSS tariff method, the RAB organic growth and the alignment of the regulatory lag.
This positive change was partly offset by the effects of the disposal of gas distribution assets in the Provinces of Brescia, Cremona, Bergamo, Pavia and Lodi, completed in July 2025, as well as by the recognition during 2025 of revenues to cover operating costs for the years 2020 -2024 in gas distribution.
Adjusted Net Operating Profit
Adjusted Net Operating Profit stood at 641 million euro, down 10% compared to the same period of 2025 (709 million euro). The change is mainly attributable to the decline in Adjusted EBITDA and the 21 million euro increase in depreciation and amortization, mainly due to higher capex deployed.
Net Financ e Expenses
Net Financ e Expenses amounted to 87 million euro, up from 85 million euro in the previous year, with a cost of debt unchanged compared to 2025 at 2.7%.
Adjusted Taxes
Adjusted Taxes stood at 165 million euro, a decrease of 19 million euro compared to the first half of 2025 due to a lower tax base, with a tax rate of 29.5%.
Adjusted Net Profit
Adjusted Net Profit attributable to the Group amounted to 374 million euro, down 11% compared to the first half of 2025 (419 million euro).

As at 30 June 2025, Special Items were positive and amounted to 8 million euro and mainly referred to the price adjustment for the acquisition of the shareholding in TecnoA (WtE Crotone) at the end of 2021.
Capex
In the first half of 2026, Capex increased by 5% year -on-year to 718 million euro . Around 70% of investments were directed towards development projects, mainly focused on upgrading and enhancing the efficiency of electricity distribution grids, expanding photovoltaic capacity, supporting the growth of Circular Economy businesses (throu gh investments in waste -to-energy plants, material recovery facilities, bioenergy and biomethane production assets, and collection vehicles for newly awarded tenders), advancing the Group's digital transformation and developing the new corporate headquarte rs.

7 Capex of the Generation and Trading Business Unit amounted to 80 million euro (133 million euro in the first half of 2025). Development capex amounted to 50 million euro, of which around 36 million euro related to photovoltaic and wind power plants aimed at accelerating growth in generation from renewable sources, and around 13 million euro to CCGT plants (the new Monfalcone CCGT plant).
Around 30 million euro related to extraordinary maintenance activities, mainly including 18 million euro for thermoelectric plants and 7 million euro for hydroelectric and photovoltaic plants.
Capex of the Market Business Unit stood at 59 million euro (55 million euro in the first half of 2025) and
related to:
▪ 56 million euro in the Energy Retail se ctor for capitalized costs for the acquisition of new customer s and for adaptive maintenance and development of Hardware and Software platforms, to support the billing and customer management activities of the Group's sales companies;

Capex of the Circular Economy Business Unit stood at 240 million euro (189 million euro in the first half of 2025) and related to:

The Net Financial Position at 30 June 2026 amounted to 5,786 million euro (5,474 million euro at 31 December 2025). Excluding change s in the consolidation scope of -2 million euro and the share buyback for -15 million euro, the NFP stood at 5,769 million euro. The fixed -rate share of gross debt is 68%. The duration is 5.1 years. The cost of debt remains unchanged comp ared to 2025 and equal to 2.7%.
During the semester , the Group generated operating cash flow of 749 million euro, which fully covered the capex of the period . With reference to items other than Adjusted EBITDA:
• the change in Net Working Capital (including the change in other assets/liabilities and the use of funds ) led to a cash absorption of 287 million euro, mainly attributable to two one -off phenomena such as the reduction in payment times to the authority for certain system charges, following the DL Bollette, and the payment of past -due hydroelectric concession fees ;
• the payment of taxes and net financial expenses absorbed cash of 145 million euro, a decrease compared to the first half of the previous year.
Capex in the first half amounted to 718 million euro, as described above, while dividends amounted to 326 million euro.
The changes in consolidation scope during 2026 were negative by 2 million euro, also including the price adjustment of 25 million euro received by Ascopiave for the sale in 2025 of some ATEMs relating to gas distribution.
Finally, payments of 15 million euro were made for the repurchase of treasury shares aimed at implementing the shareholding plan approved by the A2A S.p.A. Shareholders' Meeting on 29 April 2025.

9 A2A Group - Balance Sheet and Financial Results
It should be noted that the consolidation scope at 30 June 2026 changed compared to 31 December 2025 due to the following transactions:
• acquisition by Ambiente Energia Brianza S.p.A. (AEB S.p.A.) of 100% of Renewable Adventure Cornate
D’Adda S.r.l.;
• acquisition by A2A Rinnovabili S.p.A. of 100% of AREN09 S.r.l.;

Net non -current assets
The increase in net non-current asset is mainly attributable to:
- an increase of 165 million euro in property, plant and equipment, driven by capex of 515 million euro, mainly for the development and maintenance of electricity grids, renewable production p lants , district heating and waste treatment, and by positive effect of the first-time consolidations of 9 million euro.
These increases were partly offset by depreciation and amortization for the period of 319 million euro and by other net negative changes of 40 million euro, mainly due to the decrease of the provision for decommissioning provision and closure expense s on landfill;

- a decrease in intangible assets and goodwill of 27 million euro, mainly due to capex of 203 million euro for the development of IT systems, gas and water networks, and the maintenance of the customer portfolio, and positive changes from first -time consolid ations of 5 million euro. These increases were more than offset by amortization for the period of 179 million euro and by other net negative changes of 56 million euro, mainly due to reclassifications to assets held for sale;
- an increase of 17 million euro in Equity investments and other non -current financial assets, mainly attributable for 10 million euro to the acquisition of a 9.96 % equity investment in Niulinx company by A2A Life Ventures and for 5 million euro to investments made in innovative start -ups through Corporate Venture Capital projects;
- a net increase in Other non -current Assets and Liabilities of 8 million euro, mainly attributable to the increase in receivables from tax authorities for tax facilitations provided by construction bonuses expiring beyond the following year;
- an increase in Deferred tax assets of 10 million euro;
- a decrease of 26 million euro in Provisions for risks, charges and landfill liabilities;
- a decrease of 6 million euro in Employee benefits, due to disbursements for the period and to payments to welfare funds , net of provisions for the period.
Net Working Capital and Other Current Assets/Liabilities
"Net Working Capital ", defined as the sum of trade receivables, inventories and trade payables, decreased by 74 million euro compared to 31 December 2025.

“Inventories” as at 30 June 2026, amounted to 352 million euro (311 million euro as at 31 December 2025), with an increase of 41 million euro.
The increase is attributable for 36 million euro to the increase in fuel inventories due to seasonality (inventories include fuel inventories for the production of electricity generation and gas inventories for the sales and storage activities thereof ) and for 15 million euro to the increase of material inventories, including the allocation to the materials obsolescence provision .

“Trade receivables” a s at 30 June 2026, amounted to 3,087 million euro (4,454 million euro as at 31 December 2025), with a decrease of 1,367 million euro.
The change in trade receivables is attributable to the lower activity, due to the seasonality of the Group's businesses.
The “ Cumulated impairment losses on trade receivables ” amounts to 284 million euro, with a net increase of 12 million euro compared to 31 December 2025, due to accruals to provisions of 36 million euro and uses in the period of 24 million euro.

“Trade Payables” as at 30 June 2026, amounted to 3,439 million euro (4,691 million euro as at 31 December 2025), with a decrease of 1,252 million euro.
The decrease is mainly attributable to the seasonality of the Group's businesses.
The “Other current assets/liabilities” showed a net decrease of 160 million euro compared to 31 December 2025. This change is mainly attributable to:
- a net decrease of 137 million euro in payables to the Cassa per i Servizi Energetici e Ambientali;

- a net increase of 132 million euro in the positive Fair Value of commodity derivatives, mainly attributable to the increase in volumes traded and to the increase in commodity prices ;

- a decrease in receivables of 25 million euro related to a price adjustment collected from Ascopiave for the sale of certain gas distribution ATEMs carried out in 2025;
- a net decrease of 92 million euro in current tax receivables.

“Assets/Liabilities held for sale ” were positive and amounted to 48 million euro (no value as at 31 December 2025). The change relates to the reclassification of assets concerning the Integrated Water Service of the Municipalities of Como and Brunate of the subsidiary Lereti S.p.A. (40 million euro) and assets of the Gas distribution service of the M unicipality of Sondrio of the subsidiary Reti Valtellina Valchiavenna S.r.l. (8 million euro) due to the takeover by new operators, which is currently estimated to take place in 2027.
Consolidated “ Capital Employed ” as at 30 June 2026 amounted to 12,303 million euro (11,964 as at 31 December 2025) and is covered by Equity for 6,517 million euro and Net Financial Position for 5,786 million euro.
“Equity ”, amounting to 6,517 million euro, shows a positive movement of 27 million euro.
The positive change was driven by the profit for the period of 364 million euro, offset by the distribution of dividend s of 326 million euro and an increase in non -controlling interests for a total of 2 million euro. Lastly, a net negative change in cash flow hedge derivatives and IAS 19 provisions for a total of 9 million euro was reported.

Alternative Performance Measures (APMs)
This press release uses certain alternative performance measures (APMs) not provided for by the International Financial Reporting Standards endorsed by the European Union (IFRS -EU), in order to allow a better assessment of the A2A Group's economic and financial performance. In compliance with the recommendations of the new ESMA Guidelines published in July 2020 and applicable as of 5 May 2021, the meaning, content and basis of calculation of the se measures are provided below:
• Adjusted Revenue: an alternative operating performance measure, calculated by excluding Special Items from Revenues;
• EBITDA (Gross Operating Margin): an alternative operating performance measure, calculated as the sum of “Net Operating Profit” plus “Depreciation, amortization, provisions and write -downs”;
• Adjusted EBITDA (Adjusted Gross Operating Margin) : an alternative operating performance measure, calculated as the EBITDA described above, net of Special Items;
• Adjusted Rolling EBITDA (Adjusted Rolling Gross Operating Margin) : Adjusted EBITDA last twelve months EBITDA ;
14 • Special Items: non-recurring events occurring during the period that have influenced the consolidated income statement (including, for example, capital gains and losses, write -downs and reversals of impairment, extraordinary tax effects);
• Adjusted Net Operating Profit: an alternative operating performance measure, calculated by excluding Special Items from Net Operating Profit;
• Adjusted Net Profit : an alternative performance measure, calculated by excluding the impact of
special items;
• Net Financial Position is a financial structure indicator. This indicator is determined as the result of current and non -current financial liabilities, the non -current portion of Trade payables and other non-interest -bearing payables that have a significant implicit financing c omponent (payables due after 12 months), net of cash and cash equivalents and current and non -current financial assets (financial receivables and securities other than shareholdings).
• Capex: an alternative performance measure used by the A2A Group as a financial target in presentations both within the Group (Business Plan) and externally (presentations to financial analysts and investors) and constitutes a useful measure of the resources used in the maintenance and development of the A2A Group's capex.
• M&A : an alternative performance measure used by the A2A Group to represent the overall impact on the balance sheet of inorganic growth transactions.
