Implementation of the CBI Share Buyback Program at the Maximum Purchase Price of €1 per Share
Paris, France, October 8, 2026, at 8:00 a.m. CET (CBI, Euronext Growth Paris: FR0014007LWO – ALCBI; OTCQB: CBIPF) – CRYPTO BLOCKCHAIN INDUSTRIES ("CBI") announces the implementation, as of October 12, 2026, of its share buyback program, in accordance with the authorization given by the Combined Shareholders' Meeting of September 24, 2026. Authorization of the General Assembly CBI's Combined General Meeting of Shareholders held on September 24, 2026 authorized the Board of Directors to intervene in the Company's shares under the terms of its eighth resolution. The authorization of the Shareholders' Meeting has been granted for a maximum period of eighteen months. The Board of Directors has decided to implement this program for a period from October 12, 2026 to March 31, 2027 inclusive. The number of shares that may be held by CBI under this authorization may not exceed 10% of the share capital, subject to the specific limits applicable depending on the objective pursued. The maximum purchase price is set at €1 per share. Program Implementation The Board of Directors of CBI has decided to implement this authorization as of October 12, 2026. As part of its capital allocation policy, CBI plans to allocate to the share buyback program an amount corresponding to at least 25% of the profits generated by its Bitcoin mining activity, up to a maximum amount of €1 million over the duration of the program. The profit generated by the mining activity is calculated only on a cash basis, by calculating the gross margin generated by the activity: Bitcoins received during the month, minus the monthly electricity bill. Accounting depreciations, as well as the resale price of the servers, are not taken into account in these estimates. The acquisitions will be made on the market up to a maximum amount of €1 million, the maximum price of €1 per CBI share and the other limits provided for by the authorization of the General Meeting and by the applicable regulations. The minimum buyback amount will be 25% of the profits from Bitcoin mining. The maximum number of shares acquired will be 6 million shares. Objectives and allocation of the shares repurchased The destination of the repurchased shares will be determined at a later date by the Board of Directors, within the framework of the authorization of the General Meeting and the applicable regulations. At this stage, no decision to cancel the repurchased shares has been taken. The Combined Shareholders' Meeting of September 24, 2026 nevertheless authorized the Board of Directors, under the terms of its eleventh resolution, to reduce the share capital by cancelling shares acquired as part of a buyback program, if the Board subsequently decides to make use of this authorization. Implementing rules Buybacks will be carried out on the market in compliance with the applicable legal and regulatory provisions. For the execution of the purchases, CBI will apply the following terms: the purchase price may not be higher than the higher of the price of the last independent transaction and the best independent purchase offer available on the relevant trading platform; the volume purchased during the same trading day will not exceed 25% of the average daily volume of CBI shares traded on this platform, determined in accordance with the applicable regulations. The program runs until March 31, 2027. It may be suspended depending on the negative windows related to the publication of the financial statements as of September 30, 2026. More generally, the program may be suspended or interrupted at any time. The transactions carried out will be subject to the declarations and publications required by the applicable regulations. Warnings The implementation of CBI's projects, as well as their operating budget and financing plan, remain fundamentally subject to significant uncertainties.
