FORMER ENDESA CHIEF EXECUTIVE JOINS BERKELEY BOARD
• Former CEO of Endesa, Mr José Bogas Gálvez, appointed as a Non -Executive Director
of Berkeley
• Mr Bogas has over 40 years experience in the Spanish and EU nuclear and electricity

• Mr Bogas ’ appointment s ubstantially strengthens Berkeley’s position and influence in

Berkeley Energia Limited ( Berkeley or Company ) is pleased to announce that highly respected Spanish businessmen Mr José Bogas Gálvez has been appointed as an independent Non -Executive Director of the Company .
Mr Bogas joins the Company ’s Board of Directors after a long and successful career at Endesa , S.A.
(Endesa ), including 12 years as Chief Executive Officer, during which he spearheaded the company’s transformation to maintain its leadership in the Spanish electricity sector . He stepped down as CEO of Endesa in April 2026 but remains as a Director of company .
Endesa is a Spanish multinational electric utility company and one of the largest energy companies in the country. It has a substantial presence in the nuclear energy sector in Spain, contributing significantly to the country's nuclear energy capacity with interests in several nuclear power plants .
Mr Bogas has also been active ly involved in energy sector institutions including being a former member of the Board of Directors of AELEC (Association of Electric Power Companies ) and current ly the Honorary Vice -Chairman and Board Member of the Spanish Energy Club .
His significant contribution to the energy sector has been widely recognised with numerous awards, including the Influential Award in the Professional Career category from El Confidencial in 2024 , Executive of the Year by Merca2 in 2025, and the Forbes Best Vision of the Future 2025 Award presented by Forbes España in Davos in 2026 .
Mr Bogas appointment will substantially strengthen Berkeley’s position and influence in Spain, with his 40+ years experience in the Spanish and broader European energy sectors plus extensive business and government networks greatly assisting the Company as it continues to focus on resolving the current permitting situation and ultimately advancing the Salamanca Project towards production .
Berkeley’s Executive Director, Mr Robert Behets commented: “We are delighted to welcome José to the Board. Terms and Conditions of Appointment Mr Bogas has been appointed as a Non -Executive Director and will receive a director fee of A$45,000 per annum. Mr Jones will join the Company’s Remuneration and Nomination Committee and will receive a committee fee of A$15 ,000 per annum. The Company has also grant ed 2,000,000 incentive options exercisable at A$0.80 each on or before 30 September 20 28 that vest on 18 months continuous service as part of Mr Bogas ’ remuneration arrangement s in connection with his appoint ment as a Director of the Company .
Following the issue of unlisted options, Berkeley has the following securities on issue:
• 446,293,143 ordinary fully paid ordinary shares (of no par value) ; and • 5,300,000 unlisted options exercisable at A$0.80 each on or before 30 September 2028.
