Registration of the resolution on the demergerof the Tech Services
Business Line
Milan, 11 September 2026 – YOLO Group S.p.A. (“ YOLO” or the “ Company ”), one of the leading operators in the Italian insurtech market for digital insurance services, listed on Euronext Growth Milan, announces that the resolution for a demerger, pursuant to Article 2506. 1 of the Italian Civil Code, concerning the spin-off of the business providing technology services via proprietary digital platforms (“ Tech Services Business Line ”), approved by the Shareholders’ Meeting on 8 September 2026, was registered with the Companies Register on 10 September 2026. The 60-day period for creditors to object to the demerger will commence from the aforementioned date of registration.
Once this period has elapsed, the demerger deed will be drawn up and registered in accordance with the law.
The demerger was approved in accordance with the preliminary agreement signed with Atum S.r.l.
on 14 July 2026 and provides for the Tech Services Business Line to be transferred to a newly formed company in which Atum S.r.l. will acquire a 51 per cent stake.
