Aixia applies for delisting from Spotlight Stock Market after White Pearl Technology Group has initiated compulsory redemption
The Board of Directors of Aixia Group AB (publ) ("Aixia") received a request on Thursday, 24 September, from White Pearl Technology Group AB (publ) ("WPTG") for compulsory redemption (squeeze-out) of the remaining shares in Aixia pursuant to Chapter 22 of the Swedish Companies Act. WPTG holds 1,519,737 shares in Aixia, corresponding to approximately 96.43 per cent of the shares and approximately 97.73 per cent of the votes. WPTG has claimed that the redemption amount be set at SEK 87.50 per share and that WPTG be granted advance access to the shares.
WPTG has also requested that Aixia apply for delisting of its shares from Spotlight Stock Market and that the board convene an extraordinary general meeting. Against this background, the board has resolved to apply for delisting. The last day of trading in Aixia's shares will be announced once Spotlight Stock Market has decided on the application.
The notice convening the extraordinary general meeting, which is planned to be held on 3 November 2026, will be published in a separate press release. The meeting is proposed to resolve on the election of a new board of directors and auditor and on a change of company category to a private limited company.
In accordance with the Swedish Companies Act, Aixia will notify the other shareholders of the compulsory redemption and, unless the minority shareholders appoint an arbitrator themselves, apply to the Swedish Companies Registration Office for the appointment of a trustee (god man) to represent their interests in the arbitration proceedings.
