SATISFACTION OF THE “GOLDEN POWER” CONDITION
Milan, September 30, 2026 - With reference to the voluntary tender offer launched by Webuild S.p.A.
(“Webuild ”) on all the ordinary shares in Trevi- Finanziaria Industriale S.p.A. ( “Trevi ”), announced to the market on July 29, 2026 pursuant to Articles 102 of Legislative Decree No. 58 of February 24, 1998 and 37 of the Regulation adopted by CONSOB Resolution No. 11971 of May 14, 1999 (the “ Offer ”), Webuild hereby announces the satisfaction of the Offer condition precedent relating to the obtainment of the clearance pursuant to the Italian legal framework on investments in strategic sectors (D.L. No. 21 of March 15, 2012 - “Golden Power” ).
In particular, the Italian Government (Presidenza del Consiglio dei Ministri) communicated today the non -
exercise of the special powers under the applicable rules, without imposing conditions or limitations.
In order to make a properly informed assessment of the Offer, Trevi shareholders are invited to read the Offer document, published on September 18, 2026 .
