Verve Announces Expected Timetable for Relocation to Ireland and Proposed Suspension of Trading for One Day

• Relocation expected to become effective on 2 October 2026, bringing complex cross-border process to successful conclusion
• One-day trading suspension on 2 October 2026; trading expected to resume on 5 October 2026 under new Irish ISIN IE000ZVY0237

Stockholm, 24 September 2026 – Verve Group Media SE (ISIN: SE0018538068), a global leading mobile advertising intelligence company, today announces the expected timetable for its upcoming relocation to Ireland, including the expected effective date of the relocation, and details on the proposed impact on trading of Verve’s shares on Nasdaq First North Premier Growth Market and the regulated market of the Frankfurt Stock Exchange.

In connection with the relocation, trading in the Company’s shares is planned to be suspended on Nasdaq First North and the Frankfurt Stock Exchange on Friday, 2 October 2026. Accordingly, the last day of trading in the Company’s shares under the existing Swedish ISIN (SE0018538068) will be Thursday, 1 October 2026, and the first day of trading under the new Irish ISIN (IE000ZVY0237) will be Monday, 5 October 2026, as further set out in detail below.

No actions are required from Verve's shareholders in connection with the relocation. All Verve shares will be automatically converted from Swedish to Irish shares in connection with Verve becoming an Irish company. Each shareholder will hold the same amount of ordinary shares in Verve after the relocation as such shareholder's holding of class A shares before the relocation. Verve's shares will continue to be listed on Nasdaq First North and the Frankfurt Stock Exchange, however the shares will have the new Irish ISIN IE000ZVY0237.

Following the expected effective date for the relocation, Euroclear Bank SA/NV will be the Company’s new issuer central securities depository, and the Company’s shares will be admitted to the securities settlement system operated by Euroclear Bank. The Company’s ordinary shares will continue to be admitted to the book-entry systems maintained by Euroclear Nordics AB, Clearstream Banking S.A., and Clearstream Banking AG as investor CSDs for the purposes of settling trades on Nasdaq First North and the Frankfurt Stock Exchange, respectively.

Expected Timetable of Key Events

The anticipated timing of certain corporate actions in connection with the relocation is set out below. The information and timetable set out in this press release are presented solely for information purposes, and as noted above, no actions are required by any shareholders.

Thursday, 1 October 2026	The last day of trading of the Company’s shares with the existing Swedish ISIN (SE0018538068). Any trades in the Swedish ISIN on Nasdaq First North made on Thursday, 1 October will be settled, and settlement instructions for such trades and other transfers within Euroclear Nordics’ system must be submitted, on a T+1 basis. Trades in the Swedish ISIN on the Frankfurt Stock Exchange made on Thursday, 1 October will be settled, and settlement instructions should be submitted, in accordance with the ordinary settlement schedule on a T+2 basis, and will be settled in the Irish ISIN.
Friday, 2 October 2026	Trading in the Company’s shares will be suspended on the Frankfurt Stock Exchange and Nasdaq First North for this day.
	Registration of the relocation with the ICRO, and the relocation becomes effective.
	Last settlement date for the trades in the Swedish ISIN.
	The record time for positions in Euroclear Nordics to be migrated and recorded by book-entry in the Euroclear Bank system is 11:59pm (CEST).
Monday, 5 October 2026	Migration to the EB settlement system and enablement of Irish ISIN becomes effective at 7:00am (CEST). First day of trading of the Company’s shares in the Irish ISIN (IE000ZVY0237). Any trades in the Irish ISIN on Nasdaq First North made on Monday, 5 October and onward will be settled, and settlement instructions for such trades should be submitted, in accordance with ordinary settlement schedule on a T+2 basis. Settlement of trades made on the Frankfurt Stock Exchange on Thursday, 1 October in the new Irish ISIN on a T+2 basis.
Wednesday, 7 October 2026	Settlement of trades made on Nasdaq First North on Monday, 5 October in new Irish ISIN on a T+2 basis.

The timetable set out above is preliminary and may change due to factors outside the Company's control (such as, for example, actions taken by government agencies, stock exchanges, central securities depositories and other third parties in different jurisdictions). Any changes to the timetable above will be announced by the Company.

Background

As previously announced, shareholders approved the transfer of the Company’s registered office to Ireland at the annual general meeting on 5 June 2026, and the Company received the Swedish Company Registration Office’s permission to effect the relocation on 24 August 2026. The Company has applied to the Irish Companies Registration Office for registration of the Company in Ireland, and the relocation is currently expected to become effective on Friday, 2 October 2026
