Vertical Data Inc. (OTCQB: VDTA) is an AI infrastructure company led by Chairman and CEO Deven Soni. The company operates three platforms. VerticalData.io provides enterprise GPU provisioning and managed infrastructure. GPUfinancing.com arranges structured financing for GPU deployments. Vertical Edge holds equity in data centers the company sources, develops, leases, and manages. In September 2026, the company announced a series of developments, summarized below.

$192 Million Letter of Intent With a Global AI Developer

On September 15, 2026, Vertical Data announced it had signed a Letter of Intent with a global AI developer. The LOI contemplates an aggregate contract value of approximately $192.1 million over a five-year initial term on a take-or-pay basis.

Under the LOI, Vertical Data would deploy and operate 128 NVIDIA HGX B300 servers. That is a dedicated, single-tenant cluster of 1,024 NVIDIA B300 Blackwell Ultra GPUs. It is planned for an AI-ready data center in Western Europe and is engineered for sovereign AI workloads within the European Economic Area. According to the company, the deployment would include complete physical and network isolation, multi-petabyte storage and 24/7 managed engineering support. It is designed to align with data residency requirements and with SOC 2 Type II, ISO 27001 and GDPR standards. Service commencement is targeted for the first quarter of 2027.

The company states that the LOI includes binding take-or-pay and deposit obligations covering the full contracted compute and storage capacity at a fixed rate. The remaining commercial, operational, and delivery terms are non-binding. They remain subject to negotiation and execution of a definitive Master Services Agreement, which the company expects to finalize in the near term. The company also notes that the LOI does not obligate either party to complete the transaction. Performance is subject to conditions including financing approval, supplier and manufacturer allocation, export control compliance and completion of due diligence.

Canadian AI Infrastructure Deployment

On September 17, 2026, Vertical Data announced it had structured and arranged an AI infrastructure deployment at a single site in Canada, working in contract with an AI infrastructure partner in support of a global cloud provider. The deployment is expected to use NVIDIA GB300 NVL72 GPU infrastructure with managed services. It supports a multi-year cloud services agreement between Vertical Data's operating partner and its end customer. Vertical Data served as lead structuring and infrastructure partner.

Management estimates the infrastructure and procurement value at approximately US$189 million. The company states this figure is not recognized, contracted, or guaranteed revenue of Vertical Data. The timing and amount of any revenue will depend on its contractual entitlements, delivery schedules, and the timing of deployment.

Goldman Sachs Engaged and Annual Meeting Results

On September 29, 2026, Vertical Data announced that it had engaged Goldman Sachs & Co. LLC as its exclusive capital markets advisor in September 2026. According to the company, Goldman Sachs will provide financial advice and assistance on its capital markets strategy, including financial analysis and guidance on related strategic and commercial considerations. The company cautions that there is no assurance it will complete any capital markets transaction on acceptable terms or at all.

The company also reported results from its annual meeting of stockholders, held September 17, 2026. Stockholders approved all five proposals recommended by the Board. They elected Deven Soni, David Hackett and Jaime Leverton as directors, each receiving 99.99% of the votes cast. Stockholders ratified Simon & Edward LLP as the independent registered public accounting firm for the fiscal year ending September 30, 2026. They also approved Amended and Restated Bylaws, which took effect immediately, and an amendment to the Articles of Incorporation, which became effective on September 24, 2026. Final voting results appear in the company's Form 8-K filed September 23, 2026.

The company has also stated in its SEC filings that uplisting from the OTCQB to a national securities exchange is a primary near-term objective.

Data Center Expansion in Chicago and Sweden

In July 2026, Vertical Edge LLC acquired its first site, a 20 MW data center facility in downtown Chicago. Vertical Data holds a 50% interest in Vertical Edge. The purchase price was funded principally by an affiliate of Strategic Value Partners, LLC.

On September 11, 2026, Vertical Data announced that its majority-owned subsidiary Vertical Data Nordic AB had signed a definitive purchase agreement to acquire an existing 4.5 MW industrial data center site in the Sollefteå Municipality in Central Sweden. If the transaction proceeds, the company intends to pursue an application for up to 100 MW of total power capacity. That application remains subject to utility, regulatory and technical approvals. At the time of the announcement, the company anticipated closing in the next several weeks. Completion remains subject to financing, corporate approvals, regulatory clearances and other closing conditions.
