Vend Marketplaces ASA ("Vend" or the "Company") today announces the initiation of the second and final tranche of the share buyback programme announced on 30 April 2026. The programme covers purchases up to NOK 4 billion in total, split into two tranches comprising NOK 2 billion each. The first tranche was completed on 5 August 2026.
The Company has entered into a non-discretionary agreement with Skandinaviska Enskilda Banken AB to carry out the second tranche of the programme on behalf of Vend.
The second tranche of the buyback programme will commence on 6 August 2026 and shall be finalised within 31 December 2026.
The second tranche of the programme is limited to NOK 2 billion. The minimum price that can be paid per share is NOK 50 and the maximum price is NOK 500. Pursuant to the Board authorisation to buyback company shares approved by the Annual General Meeting on 30 April 2026, and taking into account the number of shares acquired under the first tranche of the buyback programme, the maximum number of shares that may be purchased under the second tranche of the buyback programme is 12,316,028.
Skandinaviska Enskilda Banken AB will make its trading decisions independently of the Company. The execution of any repurchases will depend on market conditions, and the Company may resolve to terminate the buyback programme before the threshold set out above is reached.
The purpose of the buyback is to reduce the capital of the Company. Apart from some shares repurchased under the programme which will be used in the Company's employee share saving plan and long-term incentive plans, the Company will seek approval by a future General Meeting for cancellation of the remaining shares repurchased under the programme.
The share buyback programme is carried out in accordance with the Market Abuse Regulation (EU) No 596/2014 ("MAR") and Commission Delegated Regulation (EU) No 2016/1052 ("Safe Harbour Regulation").
Vend currently owns a total of 8,775,153 own shares, corresponding to 4.16% of total issued shares in Vend.
