Trimco Group (UK) Limited announces final outcome in the recommended cash offer to the shareholders of Nilörngruppen AB (publ)

On 4 May 2026, Trimco Group (UK) Limited (the "Offeror"), an indirect wholly-owned subsidiary of Trimco Group Holdings Limited (together with its direct and indirect subsidiaries, "Trimco Group"), announced a recommended public offer to the shareholders of Nilörngruppen AB (publ) ("Nilörngruppen" or the "Company") to tender all outstanding shares in Nilörngruppen to the Offeror (the "Offer"). On 13 July 2026, the Offeror declared the Offer unconditional, announced that it would complete the Offer and extended the acceptance period up to and including 24 July 2026 at 15.00 (CEST).

The Offer is now closed. The shares tendered in the Offer at the end of the extended acceptance period on 24 July 2026 amount to in aggregate 0 shares of series A and 334,345 shares of series B in Nilörngruppen, corresponding to approximately 2.9 per cent of the share capital and 1.7 per cent of the votes in the Company. The total number of shares tendered in the Offer at the end of the extended acceptance period on 24 July 2026 amounts to in aggregate 960,000 shares of series A and 10,170,592 shares of series B in Nilörngruppen, corresponding to approximately 97.6 per cent of the share capital and 98.6 per cent of the votes in the Company.

Settlement commenced on 22 July 2026 for the shareholders who accepted the Offer no later than 10 July 2026. Settlement for shares tendered in the Offer during the extended acceptance period will take place on or around 5 August 2026. The Offeror reserves the right to set an earlier settlement date as well as postpone the settlement date to the extent permissible under applicable laws and regulations. Any such change of the settlement date will be announced by the Offeror by means of a press release in accordance with applicable laws and regulations.

Neither the Offeror nor any of its closely related companies or closely related parties owned or controlled any shares in Nilörngruppen, or any financial instruments that give financial exposure equivalent to holding shares in Nilörngruppen, at the time of the announcement of the Offer. Neither the Offeror nor any of its closely related companies or closely related parties have acquired or agreed to acquire any shares, or any other financial instruments in Nilörngruppen that give financial exposure equivalent to holding shares in Nilörngruppen outside the Offer.

Since the Offer is unconditional, shareholders who have accepted the Offer have no right to withdraw their acceptances.

The Offeror has initiated compulsory redemption proceedings under the Swedish Companies Act (Sw. aktiebolagslagen (2005:551)) to acquire all remaining shares in Nilörngruppen. Furthermore, the Offeror has requested that Nilörngruppen applies for delisting of Nilörngruppen's shares from Nasdaq Stockholm.
