Disclosure of a transparency notification

Transparency notification by Baltisse Group
In accordance with the Act of 2 May 2007 on the publication of important participations in listed companies, Recticel (Euronext: RECT) publishes the following notification:
1. Summary of the notification
Recticel (Euronext: RECT) has received a transparency notification dated 9 September 2026, stating that on 3 September 2026 the companies Baltisse NV, Floorenter NV, Spring Holdco BV and Servint BV, although ultimately controlled by the same person, namely Mr Filiep Balcaen, entered into an agreement to act in concert with regard to Recticel NV and the shares issued by Recticel NV held by them.

• Chain of controlled undertakings through which the participating interest is effectively held: Baltisse is controlled by the company Enterhold S.A., which in turn is controlled by STAK Patek, wholly controlled by Mr Filiep Balcaen.
Spring Holdco BV is a company controlled by Baltisse NV. Spring Maatschap is a partnership controlled by Baltisse NV.
Floorenter NV is a sister company of Baltisse NV and is also controlled by Enterhold S.A., which in turn is controlled by STAK Patek, wholly controlled by Mr Filiep Balcaen.
Servint BV is controlled by Gulf Invest Holding GmbH, which in turn is controlled by Mr Filiep Balcaen.
