The following correction has been made to the 'Pre-close Interim Trading Update' announcement released on 30 July 2026 at 7.00am under RNS Number 4492O.
In the first paragraph the date 30 June 2025 has been corrected to 30 June 2026.
All other details remain unchanged.
Pre-close Interim Trading Update
Trading in line with Management expectations as JTC transitions into the Genesis era
JTC, the global professional services business, issues the following trading update in advance of its interim results for the period ended 30 June 2026.
On 10 November 2025, JTC announced that it had reached agreement on the terms of a recommended cash acquisition by Papilio Bidco Limited ("Bidco") of the entire issued and to be issued ordinary share capital of JTC at a price of £13.40 per share, giving an enterprise value of c. £2.7bn. Following shareholder approval at the Court Meeting and General Meeting held on 15 January 2026, good progress is being made on the remaining regulatory approvals. Based on current expectations, the transaction is expected to complete during the third quarter of 2026, subject to satisfaction of the remaining conditions.
In the first half of 2026, the Group has traded in line with Management's expectations. As JTC transitions into the Genesis era business plan from the Cosmos era, the Company remains well positioned to capitalise on the growing demand from private and institutional clients and in particular, capital flows from these groups to alternative assets.
The integration of the Group's two most recent acquisitions, Citi's global fiduciary and trust administration business, formerly known as Citi Trust, and Kleinwort Hambros Trust Company (KHT) is now complete, adding great value to the business and cementing JTC's position as the world's leading independent trust company.
