Toivo Group Plc to implement the transfer of treasury shares announced on 17 March 2026

On 17 March 2026, Toivo Group Plc announced its Board of Directors' decision to transfer treasury shares held by the company as part of the company's remuneration and commitment scheme for key employees. The purpose of the consideration received from the transfer is to cover the withholding taxes of the recipients of the share-based reward announced on 10 March 2026.

The company will now commence the transfers of shares in accordance with the decision. The originally planned transfer was not implemented because the company commenced a share buyback programme at the same time.

The terms of the transfer are as announced on 17 March 2026:

• A total of 65,934 treasury shares will be transferred on the main market of Nasdaq Helsinki Ltd.
• The treasury shares will be transferred for the purpose of remunerating and retaining the company’s key employees so that the consideration received from the transfer is intended to cover the withholding taxes of the recipients of the share-based reward announced on 10 March 2026.
• The shares will be transferred at the price formed in public trading to anonymous purchasers selected through the trading system.
• The shares are expected to be transferred during the period from 9 September 2026 to 25 September 2026 and, if necessary, from 2 November 2026 to 31 December 2026.
• The shares will be paid for to the company in accordance with the trading rules and settlement timetable applicable to stock exchange trading.

Following the transfer, the company will hold approximately 854,795 treasury shares.
