Oslo, Norway, 10 September 2026: Reference is made to stock exchange announcements by Thor Medical ASA (the "Company") on 3 September 2026 regarding the completion of a private placement of 60,260,000 new shares at a subscription price of NOK 4.80 per share, raising gross proceeds of approx. NOK 289.2 million (the "Private Placement"), and a retail offering of 2,240,000 new shares at a subscription price of NOK 4.80 per share, facilitated by Nordnet Bank AB, raising gross proceeds of approx. NOK 10.8 million (the "Retail Offering").
The Private Placement and the Retail Offering raised aggregate gross proceeds of NOK 300 million.
The share capital increases relating to the Private Placement and the Retail Offering are now registered with the Norwegian Register of Business Enterprises. The Company's share capital is after the registration NOK 84,500,364 divided into 422,501,820 shares. Each share has a nominal value of NOK 0.20 and represents one vote in the Company's general meeting.
