MONDO TV S.P.A.: IL TRIBUNALE DI ROMA AUTORIZZA L’ESECUZIONE DELL’ACCORDO CON L’AGENZIA
DELLE ENTRATE SOTTOSCRITTO NELL’AMBITO DELLA COMPOSIZIONE NEGOZIATA DELLA CRISI
Avverata l’ultima condizione sospensiva: piena efficacia degli accordi con l’Amministrazione finanziaria e il ceto bancario secondo quanto contrattualmente previsto
Roma, 6 ottobre 2026 – Mondo TV S.p.A. (“Mondo TV” o la “Società”), società quotata su Euronext Milan, comunica che, con decreto del 5 ottobre 2026, il Tribunale di Roma – Sezione XIV, ai sensi dell’art.
23, comma 2 -bis, del D.Lgs. n. 14/2019 (“CCII”), ha autorizzato l’esecuzione dell’accordo di transazione fiscale sottoscritto in data 30 luglio 2026 tra Mondo TV S.p.A., l’Agenzia delle Entrate – Direzione Provinciale III di Roma e l’Agenzia delle Entrate -Riscossione, con l’intervento di Trilateral Land S.r.l. quale terza datrice di ipoteca.
L’emissione del decreto autorizzativo determina l’avveramento della condizione sospensiva cui era subordinata l’efficacia dell’accordo con l’Amministrazione finanziaria e completa l’iter previsto dall’art. 23, comma 2 -bis, CCII ai fini della relativa esecuzione.
Per effetto dell’avveramento di tale condizione e in conformità a quanto contrattualmente previsto negli accordi sottoscritti nell’ambito del percorso di risanamento, risultano conseguentemente soddisfatte le condizioni sospensive previste per la piena efficacia degli accordi medesimi e consentendo così l’avvio della loro pi ena fase esecutiva.
Divengono pertanto pienamente efficaci e operativi, secondo i rispettivi termini e condizioni, l’accordo con l’Amministrazione finanziaria e gli accordi sottoscritti con il ceto bancario nell’ambito della Composizione Negoziata della Crisi, consentendo alla Società di procedere alla relativa esecuzione secondo le modalità e le tempistiche contrattualmente previste.

MONDO TV S.P.A.: THE COURT OF ROME AUTHORISES THE IMPLEMENTATION OF THE AGREEMENT WITH THE
ITALIAN REVENUE AGENCY ENTERED INTO WITHIN THE FRAMEWORK OF THE NEGOTIATED CRISIS SETTLEMENT

Fulfilment of the final condition precedent: full effectiveness of the agreements with the Tax Authorities and the banking sector in accordance with their contractual terms Rome, October 6, 2026 – Mondo TV S.p.A. (“Mondo TV” or the “Company”), a company listed on Euronext Milan, announces that, by decree dated October 5, 2026, the Court of Rome – Section XIV , pursuant to Article 23, paragraph 2-bis, of Legislative Decree No. 14/2019 (the “CCII”), authorised the implementation of the tax settlement agreement entered into on July 30, 2026 between Mondo TV S.p.A., the Italian Revenue Agency – Rome Provincial Directorate III and the Italian Revenue Collection Agency, with the participation of Trilateral Land S.r.l. as third -party mortgage provider.
The issuance of the authorisation decree results in the fulfilment of the condition precedent to which the effectiveness of the agreement with the Tax Authorities was subject and completes the process provided for under Article 23, paragraph 2 -bis, of the CCII for the purposes of its implementation.
As a result of the fulfilment of such condition and in accordance with the contractual provisions of the agreements entered into as part of the restructuring process, the conditions precedent provided for the full effectiveness of such agreements have consequently been satisfied, thereby allowing their full implementation phase to commence.
Accordingly, the agreement with the Tax Authorities and the agreements entered into with the banking sector within the framework of the Negotiated Crisis Settlement procedure have become fully effective and operational , in accordance with their respective terms and conditions, allowing the Company to proceed with their implementation in accordance with the contractually agreed terms and timetable
