The new shares issued in Wetteri Plc's directed share issue and the convertible bond have been registered in the Trade Register

Wetteri Plc announced on 9 April 2026 that it would acquire the service business of Sports Car Center Airport Helsinki from Oy Sports Car Center Ab in a business transaction, and on 15 May 2026 the completion (closing) of the transaction. As part of the purchase price, Wetteri Plc resolved on a directed share issue to the seller and issued a convertible bond to the seller. The new shares issued in the directed share issue and the convertible bond have now been registered in the Trade Register.

New shares

The 1,811,594 new shares issued in the directed share issue were registered in the Trade Register on 24 July 2026. Following the registration, the total number of shares in Wetteri Plc is 161,784,156. The new shares represent approximately 1.12 percent of all shares and votes in the company after the registration.

The new shares carry shareholder rights from the date of their registration in the Trade Register. The new shares are of the same class as the company's other shares. Trading in the new shares is expected to begin on the official list of Nasdaq Helsinki Ltd on or about 28 July 2026.

The shares issued as share consideration are subject to a lock-up restriction, under which 50 percent of the shares will be released from the restriction six (6) months and the remaining 50 percent twelve (12) months after the completion of the transaction on 15 May 2026.

Convertible bond

The special right referred to in Chapter 10 of the Finnish Limited Liability Companies Act, i.e. the convertible bond issued to the seller with a principal amount of EUR 1,153,550.02, was registered in the Trade Register on 24 July 2026. The principal of the loan has been set off against the purchase price. The loan will be repaid in cash through monthly instalments, with a maturity date of 31 December 2026. The loan carries a market-based interest rate.

The convertible bond includes the seller's conditional right to convert overdue receivables into new shares of Wetteri Plc in the event the company fails to pay an instalment when due. The conversion price is EUR 0.1656 per share, and the maximum number of new shares that may be issued under the convertible bond is 7,300,000.

The registrations will not affect the guidance for 2026 issued by Wetteri on 26 November 2025.
