Svenska Aerogel: The exercise period for TO9 expires tomorrow, 25 September 2026
Tomorrow, 25 September 2026, is the last day for the exercise of Svenska Aerogel Holding AB (publ)’s (“Svenska Aerogel” or the “Company”) warrants of series TO9 (the “Warrants” or ”TO9”). As previously communicated, the exercise of TO9 is secured to approximately 33.9 percent through exercise undertakings from the Company’s largest shareholder and members of the board of directors and executive management. Each Warrant entitles the holder to subscribe for one (1) new share in the Company at a subscription price of SEK 0.93 per share. Warrants that are not exercised for subscription of shares by 25 September 2026 will lapse without value.
Summary of the terms for the Warrants
- Terms: One (1) Warrant entitles the holder to subscribe for one (1) new share in the Company.
- Subscription Price: SEK 0.93 per share, no commission is payable.
- Exercise Period: From 11 September 2026 up to and including 25 September 2026.
- Shares, Share Capital and Dilution: Upon full exercise of all Warrants, the Company’s share capital will increase by SEK 594,012.78 from SEK 2,970,064.02 to SEK 3,564,076.80 and the number of shares will increase by 9,900,213 from 49,501,067 to 59,401,280 shares. Upon full exercise of all TO9, a maximum dilution effect of approximately 16.67 percent will arise.
Please note that an earlier last date for exercise may apply to holders who hold Warrants through a nominee.
As previously announced, the Company has received exercise undertakings for a total of 3,355,499 Warrants, corresponding to approximately SEK 3.1 million and 33.9 percent of the total number of outstanding TO9. The Warrants are thus secured to approximately 33.9 percent through exercise undertakings.

Exercise of Warrants
Nominee-registered Warrants (custody account):
Subscription and payment upon exercise of Warrants shall be made in accordance with instructions from the respective nominee. Please contact your nominee for further information.
Directly registered Warrants (Securities Account):
No issue statement or payment instructions will be sent out. Subscription shall be made by simultaneous cash payment in accordance with the instructions on the subscription form. The Warrants will thereafter be replaced by interim shares pending registration with the Swedish Companies Registration Office.
