Svenska Aerogel Holding AB (publ) secures exercise of warrants of series TO9

Svenska Aerogel Holding AB (publ) ("Svenska Aerogel" or the “Company") hereby announces that the Company has received exercise undertakings to secure the exercise of warrants of series TO9 (the “Warrants” or ”TO9”). The Company has received exercise undertakings of approximately SEK 3.1 million, corresponding in aggregate to approximately 33.9 per cent of the total proceeds that may be received by the Company through the exercise of TO9. The exercise undertakings have been provided by the Company’s largest shareholder Patrik Björn, directly and indirectly through the company Gästrike Nord Invest AB, as well as by members of the Company’s board of directors and senior management.

Exercise undertakings from the Company’s largest shareholder, board members and senior executives

The Company has received exercise undertakings for a total of 3,355,499 Warrants, corresponding to approximately SEK 3.1 million and 33.9 per cent of the total number of outstanding TO9. Accordingly, approximately 33.9 per cent of the Warrants are secured through exercise undertakings.

Svenska Aerogel has received exercise undertakings from the Company’s largest shareholder Patrik Björn, directly and indirectly through the company Gästrike Nord Invest AB, as well as from board members and senior executives.

The outcome of the exercise of TO9 will be announced by way of press release on or around 28 September 2026.

Summary of terms and conditions for the Warrants

• Terms: One (1) warrant of series TO9 entitles the holder to subscribe for one (1) new share in the Company.
• Exercise price: SEK 0.93 per share; no brokerage commission applies.
• Exercise period: From 11 September 2026 up to and including 25 September 2026.
• Last day of trading in warrants of series TO9: 23 September 2026.
• Shares, share capital and dilution: Upon full exercise of all Warrants, the Company’s share capital will increase by SEK 594,012.78, from SEK 2,970,064.02 to SEK 3,564,076.80, and the number of shares will increase by 9,900,213, from 49,501,067 to 59,401,280 shares. Upon full exercise of all TO9, the maximum dilution effect will be approximately 16.67 per cent.

Exercise of Warrants

Nominee-registered Warrants (custodian account):
Subscription and payment through the exercise of Warrants shall be made in accordance with instructions from the relevant nominee. Please contact your nominee for further information.

Directly registered Warrants (CSD account):
No issue statement or payment instructions will be distributed. Subscription shall be made through simultaneous cash payment in accordance with the instructions on the application form. The Warrants will thereafter be replaced by interim shares pending registration with the Swedish Companies Registration Office (Bolagsverket).
