SUCCESSFUL COMPLETION OF THE FULL SUBSCRIPTION OF THE CAPITAL INCREASE FILING OF THE CAPITAL VARIATION Cà Tron, July 9, 2026 – H-Farm S.p.A. (the “Company” or “H-Farm”), a company with shares listed on the multilateral trading system Euronext Growth Milan, organized and managed by Borsa Italiana S.p.A., following the press release issued on July 7, 2026, announces that the capital increase resolved by the Board of Directors on May 29, 2026 (the “Capital Increase”) has been successfully completed with the full subscription of n. 26,435,815 newly issued ordinary shares of H-FARM (the “New Shares”), for a consideration (including premium) of Euro 7,930,744.50. During the offer period of the New Shares to holders of H-FARM ordinary shares, which began on June 15, 2026 and ended on July 2, 2026, inclusive (the “Option Period”), n. 175,557,412 option rights were exercised and, consequently, n. 23,186,828 New Shares were subscribed, equal to 87.71% of the total New Shares offered, for a total amount (including premium) of Euro 6,956,048.40. The remaining n. 24,599,473 option rights not exercised during the Option Period (which entitled the holder to subscribe the remaining n. 3,248,987 New Shares) were offered on the Euronext Growth Milan market, organized and managed by Borsa Italiana S.p.A., and entirely sold in the second trading session (i.e., July 7, 2026). On July 8, all remaining n. 3,248,987 New Shares were subscribed, for a total amount (including premium) of Euro 974,696.10. In consideration of the completion of the Capital Increase, the subscribed and paid-up share capital of H-FARM amounts to Euro 22,659,274.00 and is divided into n. 226,592,740 ordinary shares without par value, the attestation of which was filed today with the Companies' Register of Treviso-Belluno, pursuant to art. 2444 of the Italian Civil Code.

Pursuant to the Transparency Regulations and Article 17 of the EGM Issuers Regulation, the Company also announces that it has received notification of a change in its shareholding following the capital increase operation from the following shareholders: § Riccardo Donadon: directly held shares amount to n. 96,119, equal to 0.042% of the new share capital, while shares held through E-Farm S.r.l. amount to n. 85,960,098, equal to 37.936% of the new share capital; § CGN Futuro S.r.l.: held shares amount to n. 83,723,816, equal to 36.949% of the new share capital; § Education S.r.l. (company jointly held by E-Farm S.r.l. and CGN Futuro S.r.l.): held shares amount to n. 27,066,148, equal to 11.945% of the new share capital.
