LINDBERGH S.p.A: CAMBIAMENTO SOSTANZIALE IN MATERIA DI ASSETTI
PROPRIETARI, AI SENSI DELL’ART. 17 DEL REGOLAMENTO EMITTENTI

Pescarolo ed Uniti (CR), 10 settembre 2026 - Lindbergh S.p.A. (EGM:LDB) , Gruppo che offre servizi nei settori MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) ed Economia Circolare , rende noto, ai sensi della Disciplina sulla Trasparenza e dell’art. 17 del Regolamento Emittenti Euronext Growth Milan , di aver ricevuto in data 9 settembre 2026 comunicazione da parte dell’azionista Pibes Srl, circa la riduzione della propria partecipazione al di sotto della soglia di rilevanza del 25% (dal 25,01% al 24,97% ), per effetto della vendita di 3.750 azioni avvenuta il 29 luglio 2026.
A seguito di tale cambiamento, ai sensi dell’art. 26 del Regolamento Emittenti Euronext Growth Milan e sulla base delle informazioni in proprio possesso, si riporta di seguito la composizione della compagine sociale aggiornata.

▪ Vibes , Bonfire e Livingston sono riconducibili rispettivamente a Matteo Vaccari, A ndrea Allegrini e Marco Rodini , ciascuno con ruoli manageriali all’interno della società.
Lindbergh è un Gruppo che offre servizi nei settori MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) ed Economia Circolare. Lindbergh opera attraverso tre Business Units: Network Management , per l'offerta di servizi di logistica e prodotti - dedicati alle aziende dotate di reti di tecnici manutentori itineranti - veicolati da un servizio di logistica notturna "a bordo veicolo". HVAC , con l'obbiettivo di divenire -
attraverso la controllata SMIT e grazie ad iniziative di m&a - il primo player italiano nell'industria del riscaldamento, raffrescamento e ventilazione. Circular Economy , per l'offerta di servizi complessi nell'ambito della gestione di rifiuti industriali con la finalità di identificare - attraverso supply chain virtuose – processi innovativi per la valorizzazione dei rifiuti e la produzione di materiali riciclati traccia ti. LINDBERGH S.p.A.: SUBSTANTIAL CHANGE IN OWNERSHIP STRUCTURE
PURSUANT TO ARTICLE 17 OF THE EURONEXT GROWTH MILAN ISSUERS'
REGULATION
Pescarolo ed Uniti (CR), September 10th, 2026 - Lindbergh S.p.A. (EGM:LDB), an Italy -based Group primarily engaged in providing services for MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) and Circular Economy segments , pursuant to the Transparency Rules and Article 17 of the Euronext Growth Milan Issuers’ Regulation , hereby announces that on September 9, 2026, it received notification from the shareholder Pibes Srl regarding the reduction of its shareholding below the relevant threshold of 25% (from 25,01% to 24,97% ), as a result of the sale of 3,750 shares carried out on July 29, 2026 .
Following this change, pursuant to Article 26 of the Euronext Growth Milan Issuers' Regulation and based on the information available to the Company, the updated shareholding structure is set out below :

Lindbergh is an Italy -based Group primarily engaged in providing services for MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) and Circular Economy segments. Lindbergh operates through three different business units: Network Management , aimed at providing logistics services and products – delivered by an “on board” night logistic service – to Field Service Engineers; HVAC , aimed at building – through m&a initiatives carried out by the controlled company SMIT – the first national player in Italy in the segment;
Circular Economy , aimed at providing complex services for industrial waste management with the final scope to identify - through virtuous supply chains - innovative processes for waste valorization and the production of traceable recycled materials.
