Subscription price determined and exercise period begins for warrants of series 2026 (TO2)
Precise Biometrics AB (publ) (the “Company” or “Precise Biometrics”) hereby announces that the subscription price for the warrants of series 2026 (TO2) (the “Warrants”) has been determined at SEK 0.47 per share. The exercise period begins today, on 11 September 2026, and ends on 2 October 2026. The last day of trading in the Warrants on Nasdaq Stockholm is 30 September 2026.
The Warrants in brief
- 211 Warrants entitle to subscribe for one (1) new ordinary share in Precise Biometrics.
- The subscription price amounts to SEK 0.47 per share.
The subscription price has, in accordance with the terms and conditions for the Warrants, been determined at a price corresponding to 70 percent of the average volume-weighted price for Precise Biometrics share on Nasdaq Stockholm during the ten trading days occurring before, but not including, 11 September 2026, however at most SEK 3.20 per share. The total number of outstanding Warrants amounts to 1,855,541,003.
Assuming full exercise of the Warrants, the share capital of Precise Biometrics will increase by a maximum of SEK 2,638,209.90 and the number of ordinary shares will increase by a maximum of 8,794,033.

Holders who do not wish to exercise their Warrants have the option to sell them on Nasdaq Stockholm. The Warrants are traded until 30 September 2026 under the ticker symbol PREC TO2 and with ISIN SE0029504273. Warrants that are not exercised for subscription no later than 2 October 2026 will expire without value.
Exercise of the Warrants:
If the Warrants are nominee registered
Subscription and payment for new shares, through the exercise of Warrants, shall be made to the respective bank or other custodian where the warrants are registered. Subscription and payment shall be made in accordance with the instructions provided by each such bank or custodian. Please contact your bank or custodian if you cannot find these instructions. Subscribed and paid shares may be registered in your securities account as “interim shares” or “IA” until the registration of the new shares is completed at the Swedish Companies Registration Office (Sw. Bolagsverket), at which point interim shares will automatically be converted to shares in Precise Biometrics.
If the Warrants are directly registered
Subscription for new shares, through the exercise of Warrants, shall be made by submitting a fully completed subscription form to DNB Carnegie. Payment shall be made in connection with the submission of the subscription form to DNB Carnegie, in accordance with the payment instructions on the subscription form. The completed subscription form and payment must be received by DNB Carnegie no later than 2 October 2026 at 15:00 CEST. Subscribed and paid shares will be registered in your CSD account as “interim shares” or “IA” until the registration of the new shares is completed at the Swedish Companies Registration Office (Sw. Bolagsverket), at which point interim shares will automatically be converted to shares in Precise Biometrics.
