START OF THE SHARE BUYBACK PROGRAMME
Colleferro (Rome), 5 October 2026 – Today, the Board of Directors of Avio S.p.A. (“ Avio”), in implementation of the resolution passed by the Shareholders’ Meeting o n 8 September 2026 , resolved to start a share buy back programme (the “ Programme ”) for a maximum amount of no. 500,648 shares, equal to 1% of the total number of shares into which Avio’s share capital will be divided following registration with the Companies Register of the reserved capital increase carried out on 24 September 2026, which was the subject of a separate communication to the market.
The Programme will be implemented through purchases made by an authorised intermediary, Equita SIM S.p.A., which will make decisions regarding the purchases entirely independently, including as to the timing of the transactions, in compliance with applicab le regulations and the above -mentioned shareholders’ resolution.
In line with the terms of the shareholders’ resolution, the Programme is intended to:
(a) efficiently utilise liquidity generated by Avio operations, also through medium -long-
term investment in treasury shares;
(b) offering shareholders an additional tool to monetise their investment;
(c) using treasury shares as consideration in corporate transactions, to receive funds for acquisition projects and/or in exchanges of shareholdings, or for other uses deemed of interest to Avio in financial, managerial and/or strategic terms;
(d) using the treasury shares purchased or already in portfolio to support any share incentive plans, existing and future for Directors, employees and collaborators of Avio and/or its subsidiaries.
Taking into account Avio’s share closing price on 2 October 2026 on the Euronext Milan market (STAR segment), organised and managed by Borsa Italiana S.p.A., equal to Euro 29.18 , the potential disbursement related to the execution of the Programme is estimated at approximately Euro 15 million .
Purchases will be made on Euronext Milan (STAR segment) in accordance with Article 144 -
bis, paragraph 1, letter b) of Consob Regulation No. 11971/1999 and other applicable provisions, in a manner that ensures compliance with the equal treatment of shareholders pursuant to Article 132 of the Consolidated Financial Act , as well as in accordance with the operating procedures set out in the rules governing the organisation and management of Borsa Italiana S.p.A. The Programme may be carried out until the expiry of the authorisation granted by the Shareholders’ Meeting on 8 September 2026 ( i.e., until 8 March 2028), unless such authorisation is revoked.
Avio will disclose to the market, in accordance with applicable provisions, details of the purchase transactions carried out.
As of today, Avio holds 626,929 treasury shares, equal to 1.25% of the total number of shares into which Avio’s share capital will be divided following registration with the Companies Register of the reserved capital increase carried out on 24 September 2026 .
