Milan, September 30, 2026 - The Board of Directors of Snam , which met today under the chairmanship of Alessandro Zehentner , approved the annual renewal of the Euro Medium Term Notes (EMTN) Programme, launched in 2012, and the three -year renewal of the Euro Commercial Paper Programme (ECP Programme ), launched in 2018 .
The two programmes are complementary instruments within Snam's financing strategy, providing flexibility in raising funds on the capital markets and in managing the Group's funding and liquidity requirements on competitive terms.
The maximum overall amount of the EMTN Programme has been confirmed at 15 billion euros. The Board of Directors authorised the issuance, within one year from the date of approval of the relevant Base Prospectus by the competent authority, of one or more bo nds, including in multiple tranches, within the Programme's residual capacity, currently amounting to approximately 2.6 billion euros, increased by the amount of any bonds redeemed during the same period. The aggregate nominal amount of bonds outstanding shall not exceed, in any event, the maximum threshold of 15 billion euros.
The bonds will be placed with qualified investors and may, but will not necessarily, be listed on regulated markets or multilateral trading facilities. The relevant Base Prospectus will be submitted for approval to the Commissione Nazionale per le Società e la Borsa (CONSOB ) as the competent authority for regulating and supervising Italy's financial markets , without prejudice to the possibility of passporting it to other European competent authorities .
In line with the Group's sustainable finance strategy, proceeds from bond issuances may be used both for general corporate purposes, including through Sustainability -Linked Bonds linked to specific ESG performance indicators, and to finance eligible projects and investments through bond instruments structured on a use -of-proceeds basis support ing energy integration and the Group's long -term decarbonisation strategy.
To date, under the EMTN Programme, Snam has issued bonds for an aggregate nominal amount of approximately 12.4 billion euros.
The Board of Directors also approved the three -year renewal of the ECP Programme, confirming its maximum overall amount at 3.5 billion euros or the equivalent amount in other currencies . Under the ECP Programme , Snam may issue Euro Commercial Paper (ECP) in one or more series or tranches, within the ECP Programme’s residual capacity, as increased from time to time by the amount of any ECP redeemed and decreased by any ECP
pag 2 / 2 issued in the interim , with maturities of up to 364 days and to be placed with qualified investors. The aggregate nominal amount of ECP outstanding under the ECP Programme shall not exceed, in any event, the maximum threshold of 3,500,000,000 euros.
The ECP Programme enables Snam to diversify its short -term funding sources, supporting efficient management of the Group's treasury and liquidity, as well as the management of market windows for medium - to long -term funding. To date, Euro Commercial Paper outstanding under the Programme amounts to approximately 1.2 billion euros.
As part of the renewal, Snam intends to maintain an ESG component within the ECP Programme , considering its evolution in line with the most recent market best practices . The ECP Programme will also continue to benefit from the STEP (Short -Term European Paper) Label, subject to completion of the relevant documentation update and filing process.
