Strategic transaction in the humanities educational publishing segment through the integration of the “Rocci Greek –Italian Dictionary” and the strengthening of the Group’s position in the high -authority long -seller market

Simone (SMN:IM) announces that it has today signed a preliminary agreement for the acquisition of 100% of the share capital of Società Editrice Dante Alighieri S.r.l. , a publishing house specialising in humanities titles and the owner, among other assets, of the rights to and trademark of the Rocci. Greek Italian. Dictionary , a benchmark reference work in the field of classical studies in Italy.
The Rocci Greek –Italian Dictionary is one of the leading lexicographical tools for the study of Ancient Greek in Italy and is widely used in classical high schools and universities. The publication is considered a long seller, distinguished by its high academic authority and structurally r ecurring demand.
The reference market is characterised by stability and predictability, with an estimated annual intake of between 25,000 and 30,000 new students enrolled in classical high schools and an estimated demand of approximately 10,000 Greek –Italian dictionaries per year, excluding the second -hand ma rket. The segment is also characterised by a highly concentrated competitive structure, essentially reflecting a duopolistic market.
Operational Rationalisation and Industrial Integration
The acquisition is consistent with the Group’s strategy of strengthening its position in the humanities educational publishing segment and enhancing the value of long -established publishing assets through their industrial and commercial integration with the Group’s Simone per la Scuola catalogue, which already enjoys strong recognition in the specific market segment served by the target company.
The Group plans to integrate the acquired company’s operating activities into its existing organisational structure, with a gradual rationalisation of costs and the consolidation of non- strategic functions. The transaction will also enable the integration of the humanities catalogue into the Group’s publishing portfolio, creating potential editorial, commerci al and digital synergies.
In particular, the Group expects: editorial integration with its existing educational series; development of derivative products and catalogue updates; strengthened distribution through the existing sales network; and development of digital editions and on line reference tools.
Investment, Financial Outlook and Medium -Term Objectives The investment amounts to EUR 0.48 million, payable over a 12 -month period.
In 2025, the company generated revenue of EUR 224 thousand, reported negative EBITDA and recorded a net loss of EUR 100 thousand.
Following the restructuring and industrial integration already planned, management expects the acquired asset to progressively return to performance levels consistent with the potential of its brand and distribution network. Over a three -year horizon, mana gement expects the business to achieve annual gross revenue of at least EUR 0.5 million, with an expected operating margin of approximately 20%, assuming full commercial integration and the rationalisation of the operating structure, while further strengthening the Group’s overall educational publishing segment.

Closing
Completion of the transaction is subject to customary conditions precedent and the execution of the notarial deed transferring the equity interests, which is expected to take place by September 2026.
