OF THE BOARD OF STATUTORY AUDITORS
SUBMISSION BY GCH OF A PROPOSED RESOLUTION FOR THE
APPOINTMENT OF A MEMBER OF THE BOARD OF STATUTORY
AUDITORS
Marina di Carrara, Carrara, 15 September 2026 – The Italian Sea Group S.p.A. (“ TISG ” or the “ Company ”) announces that, following Mr Elbano de Nuccio’s withdrawal of his acceptance of the nomination due to personal commitments, and in light of the absence of any other slates, yesterday the shareholder GC Holding S.p.A. submitted, pursuant to Article 126 -bis of Italian Legislative Decree No. 58 of 24 February 1998, a proposed resolution in respect of item 5.1 on the agenda of the Shareholders’ Meeting, proposing the appointment of Mr Gian Luca Ancarani as a member and Chairman of the Company’s Board of Statutory Auditors until the date of the Shareholders’ Meeting convened to approve the financial statements for the financial year ending 31 December 2028.
Mr Gian Luca Ancarani is a Chartered Accountant and Registered Auditor with over thirty years of experience in corporate matters, auditing, corporate restructuring and appointments to supervisory and control bodies of companies and public and private entities. Among other positions, he is a National Councillor of the CNDCEC (Italian National Council of Chartered Accountants and Accounting Experts), with responsibility for control systems and statutory, financial and non -financial auditing.
The proposed resolution, the related explanatory report, the candidate’s curriculum vitae, including the list of positions held, as well as his declaration accepting the nomination and the office, are available to the public at the Company’s registered off ice at Viale C.
