SHAREHOLDERS’ MEETING OF 30 SEPTEMBER 2026 —
APPOINTMENT OF THE BOARD OF STATUTORY AUDITORS:
REOPENING OF THE TERM FOR THE SUBMISSION OF LISTS AND
REDUCTION OF THE OWNERSHIP THRESHOLD
Marina di Carrara, Carrara, Italy, 8 September 2026 - The Italian Sea Group S.p.A. (“TISG ” or the “ Company ”), with reference to the ordinary and extraordinary Shareholders’ Meeting convened for 30 September 2026, in single call, which is also required to resolve upon the appointment of the Board of Statutory Auditors, hereby announces the following.
Upon expiry of the term provided for by law and by the by -laws for the filing of the lists of candidates for the office of statutory auditor, only the list submitted by the shareholder GC Holding S.p.A., holder of no. 28,410,000 ordinary shares, equal to 53,604 % of the share capital, has been filed.
No minority lists have therefore been submitted.
Consequently, pursuant to Article 144 -sexies, paragraph 5, of the Regulation adopted by Consob with resolution no. 11971 of 14 May 1999, as subsequently amended and supplemented (the “Issuers’ Regulation”), and in accordance with what was already stated in the notice of call, further lists of candidates for the office of statutory auditor may be submitted until 11 September 2026 .
In such case, the shareholding required for the submission of lists is halved and therefore amounts to 1.25% of the Company’s share capital, instead of the 2.5% indicated in the notice of call.
For the lists submitted within the term indicated above, the filing procedures and the supporting documentation requirements provided for by the by -laws, by the notice of call and by Articles 144 -sexies and 144 -octies of the Issuers’ Regulation remain unch anged, including — for shareholders other than those who submitted or voted for the list that ranked first by number of votes at the previous election — the declaration certifying the absence of any relationships of connection relevant pursuant to Article 144-quinquies of the Issuers’ Regulation.

The duly filed lists, together with the relevant documentation, will be made available to the public without delay at the Company’s registered office in Marina di Carrara, on the website www.theitalianseagroup.com, Investor Relations — Shareholders’ Meetin g section, as well as through the authorised storage mechanism eMarket STORAGE (www.emarketstorage.it).
